Bridging Asian and Australian Capital Markets ABOUT SSX Sydney Stock Exchange (SSX) is a securities exchange in Australia with a market licence granted by the Australian Securities & Investments Commission (ASIC). SSX provides opportunities for growth oriented companies to raise the capital they need for expansion from a diversified range of domestic and international investors. The aim of SSX is to foster and nurture companies, in addition providing the right trading and operational environment as they grow and meet relevant milestones over time, culminating into success stories. SSX offers Chinese market participants an alternative listing venue to the Shanghai and Shenzhen stock exchanges in China. As a securities exchange, SSX provides listing facilities to companies and securities issuers; as well as 'trading' facilities for stock brokers and investors to buy and sell shares. SSX offers combined main and secondary style boards. The types of securities traded on SSX include: shares issued by companies, units issued by trusts, pooled investment products and fixed interest securities. SSX CORPORATE LOGO In SSX s corporate logo, the black color is a symbolic representation of the depth of the ocean a source of wealth. The red color represents the energetic listees who have listed on the exchange. The outline of the square box represents the rules of the stock exchange and the rules and regulations of the listing, financing and trading market. The platform of wealth that the stock exchange built is considered as the dark ocean representing ownership of unlimited wealth; the swirling red sun represents the success, energy and vibrancy of companies listed on SSX. However, no matter how energetic the listees are, the rules and regulations cannot be breached. The outline of the box represents the boundaries of the rules with which all participants must comply. SSX s corporate logo shows our willingness to create a thriving and prosperous, fair and transparent stock market. SSX offers a unique set of listing rules which maintains a very high level of accountability, disclosure and rigour. The SSX Business Rules and ASIC SSX Market Integrity Rules have been designed to world class standard compliance in the Australian market. The business rules and obligations are aligned to those of existing market practices. SSX listed companies form part of the market and listee information dissemination to profile their story to high networth, professional and institutional investors. Companies are able to do this through online profile, email distribution, CEO interviews, media release and editorial features. 9

SSX Sponsor & Broker SSX SPONSOR Sydney Stock Exchange (SSX) has a definitive interest to ensure that the reputation and integrity of its listed companies and its market are protected and beneficial to all stakeholders. With this insight the exchange understands that the majority of our Listees are listing on an exchange for the first time it is important that they have an understanding of all the requirements and rules relevant to their exchange listing. As part of the listing rule criteria SSX listed companies are required to have a sponsor for the first 2 years of listing on the market. To accommodate this listing criterion, the SSX has developed a support model SSX Sponsor which refers SSX Listees to qualified expert advisers who assist the Listee through the listing process. The Sponsors play a vital role as they ensure each Listee has a clear understanding of compliance as it pertains to exchange listing requirement, advice and guidance on business activities and validating price-sensitive documents related to listing. SSX will also arrange introductions to partner service providers who can provide competitive rates on service offerings such as share registry services, company secretarial services and public relations services. SSX PARTICIPANT SSX recognizes the importance that market participants bring to the exchange. SSX has developed a Participant Model based on strict criteria for becoming an SSX Participant in order to safeguard the integrity of the market. The Participant or Broker is an essential step towards operating in the SSX stock market. SSX brokers are professionals who facilitate investor s access to buy, sell, and trade shares of listed companies for their clients. The additional role of SSX brokers is to complete any delivery and settlement of transactions required by the client. 10

Our Differences ADVANCED & FLEXIBLE MINING, OIL & GAS (MOG) RULES The SSX s MOG rules represents a significant step forwards in the internationalization of mining markets in Australia. Until now, all mining companies listed in Australia had to report solely under the JORC Code. SSX MOG rules has adopted the best practices from Australia and a number of other markets throughout the world, and can list MOG companies from throughout the Asian and Pacific region. In a first for an Australian market, mining companies are to be permitted to report using the Australian JORC Code, the Canadian NI 43-101 Code or the South African SAMREC Code. Oil & Gas companies will report under the International SPE-PRMS Code. The MOG Rules are aligned not just with current Australian market practice, but with international best practice. The SSX MOG market has been developed having regard to the markets, rules, regulations and applicable legislation of a number of jurisdictions, including Australia, Canada, South Africa, Singapore, Hong Kong, Norway, the United Kingdom (UK), the United States of America (US) and China. TRADING SYSTEM SSX s trading platform is powered by Nasdaq's X-stream Trading technology. The trading technology is an integral part of SSX's efforts to increase its footprint in the Asian and Australian marketplaces, establishing the exchange as a competitive, alternative Australian listing and trading venue.
