MPWLC invites eligible firms of Chartered Accountants duly licensed to practice in India, to indicate their interests for discharge of the duties as mentioned above. Interested firms must provide information indicating that they are qualified to perform the services (brochures, number of partners and professional staff, experience of the firm, presence in India in the region and experience of the firm on other similar assignments). The firm will be selected on the basis of relevant experience of Statutory Audit besides requirement of duties mentioned in this NIT. The panel of shortlisted Chartered Accountants may be used for other DBFOT Projects to be taken up by MPWLC. INTRODUCTION 1.1 MPWLC has entered into Concession Agreements with selected bidders for Development, Operation & Maintenance of Steel Silos on DBFOT basis in Nine (9) Locations in Madhya Pradesh, viz., Mungalia Kot (Bhopal), Durgapur (Dewas), Baghwad (Harda), Juneta (Hoshangabad), Barlai Sugar factory (Indore), Mouhari (Satna), Murli (Sehore), Manpura (Ujjain) and Pathari Haweli (Vidisha). 1.2 As per the Concession Agreement, the Concessionaire(s) has(/have) to appoint statutory Auditors from a Panel of Chartered Accountants comprising of reputable firms of Chartered Accountants. 1.3 As per the provisions of the Concession Agreement, MPWLC ( the Authority ) is responsible for inviting offers from reputable firms of Chartered Accountants who fulfil the eligibility criteria laid down in the Concession Agreement. 1.4 Now, the Chief Engineer, MPWLC, invites applications from reputable firms of Chartered Accountants for Empanelment as Statutory Auditors / Concurrent Auditor for Development, Operation & Maintenance of Steel Silos on DBFOT basis in Nine (9) Locations in Madhya Pradesh. 2. ELIGIBILITY CRITERIA 2.1 MPWLC invites applications from reputable firms of Chartered Accountants that fulfil the following criteria (i) (ii) The firm should have conducted statutory audit of the annual accounts of at least one hundred (100) companies registered under the Companies Act, 1956 of which at least ten (10) should have been public sector undertakings; The firm should have at least five (5) practicing Chartered Accountants (FCAs) on its rolls, each with a minimum experience of ten (10) years in the profession;
(iii) (iv) (v) (vi) The firm or any of its partners should not have been disqualified or blacklisted by the Comptroller and Auditor General of India or MPWLCor by any Government or any other organisation in respect of any assignment or behaviour. Authorised signatory of the firm to submit an undertaking in this regard The firm should have an office in Madhya Pradesh or in an adjacent State with at least two (2) practicing Chartered Accountants (FCAs) on its rolls in such state. Turnover of the firm should not be less than Rs.25.00 lakhs annually in any of the last five (5) accounting years preceding the date of this notice. No proposal shall be entertained in Joint Venture or in Consortium. 2.2 Interested firms meeting the eligibility criteria shall be required to submit a statement of their capability including the curriculum vitae of all the practicing Chartered Accountants on its rolls. In particular, each firm shall be required to furnish year wise information relating to the names of all the companies with on annual turnover exceeding Rupees Twenty Five Crores (Rs.25,00,00,000) whose annual accounts were audited by such firm in any of the five (5) Accounting Yearspreceding the date of this notice. 2.3 The firm should submit relevant documents duly attested by the authorized signatory, in support of the eligibility criteria given above. Any firm not qualifying these minimum criteria need not apply as their proposal shall be summarily rejected 3. Guidelines for Submitting the Proposals: 6.1 General Guidelines: Firms are required to submit the proposal as per the guidelines and formats detailed out in the following paras: i. The Technical proposal shall be submitted in two copies one original and one copy. The Financial proposal shall be only in original. The original and a copy of the Technical Proposal shall be placed in a sealed envelope clearly marked TECHNICAL PROPOSAL Similarly, the original Financial Proposal shall be placed in a separate sealed envelope clearly marked FINANCIAL PROPOSAL followed by the name of the assignment, and with a warning DO NOT OPEN WITH THE TECHNICAL PROPOSAL. The envelopes containing the Technical and Financial Proposals shall be placed into an outer envelope and sealed. This outer envelope shall bear the submission address, reference number and title of the Assignment. MPWLC shall not be responsible for
misplacement, losing or premature opening if the outer envelope is not sealed and/or marked as stipulated. This circumstance may be case for Proposal rejection. If the Financial Proposal is not submitted in a separate sealed envelope duly marked as indicated above, this will constitute grounds for declaring the Proposal non-responsive. ii. Single Proposal: A firm should submit only one proposal. If a firm submits or participates in more than one proposal, all such proposals shall be disqualified. iii. The Technical Proposal shall be marked ORIGINAL or COPY as appropriate. All required copies of the Technical Proposal are to be made from the original. If there are discrepancies between the original and the copy of the Technical Proposal, the original governs. iv. Financial proposals submitted by the firm should be valid for 6 months from the date of submission of the proposal by the firm. v. Each page, Form, Annexure and Appendices of the Technical and Financial Proposal must be numbered and signed by the Authorised signatory of the firm. vi. All blank spaces in the financial proposal must be filled in completely where indicated, either typed or written in ink. vii. Chief Engineer, MPWLC, reserves the right to accept or reject any application without giving any explanation 6.2 Technical Proposal: i. Letter of Transmittal (Annexure I) ii. Details of the Firm (Annexure II), iii. Details of Qualified Staff (Annexure III), iv. Brief of the relevant experience (Annexure IV) 6.3 Financial Proposal: i. The financial proposal shall be submitted only for the professional (audit) fee to be charged by the firm. The audit firm shall bearall travelling and incidental expenditure. This audit fee shall be exclusive of the taxes as applicable. The taxes, as applicable (service tax & cess on service tax), shall be paid by the Concessionaire separately. The financial bid shall be submitted as per Annexure V.
7. EVALUATION AND SELECTION 7.1 The information furnished by each firm shall be scrutinised and evaluated by MPWLC and 1 (one) point shall be awarded for each annual audit of the companies specified in Paragraph 2.2 above. (For the avoidance of doubt, a firm which has conducted audit of the annual accounts of any such company for five years shall be awarded five points). 7.2 MPWLC shall prepare a list of all the eligible firm along with the points scored by each such firm and five (5) firms scoring the highest points shall be indentified and included in the draft Panel of Chartered Accountants. 8. CONSULTATION WITH THE CONCESSIONAIRES MPWLC shall covey the aforesaid panel of firms to the Concessionaires for scrutiny and comments, if any. The Concessionaires shall be entitled to scrutinise the relevant records of MPWLC to ascertain whether the selection of firms has been undertaken in accordance with the procedure prescribed in the Concession Agreement(s) procedure and it shall send its comments, if any, to MPWLC within fifteen (15) days of receiving the aforesaid panel. 9. MUTUALLY AGREED PANEL 9.1 MPWLC shall, after considering all relevant factors including the comments, if any, of the Concessionaire, finalise and constitute a panel of five (5) firms which shall be deemed to be the mutually agreed Panel of Chartered Accountants. 9.2 After completion of every five (5) years from the date of preparing the mutually agreed Panel of Chartered Accountants, or such earlier period as may be agreed between MPWLC and the Concessionaire(s), a new panel shall be prepared in accordance with the provisions of the Schedule U of the Concession Agreement. 10. SCOPE OF WORK 10.1 The Statutory Auditor shall prepare and/or review and certify the book of accounts for all of concessionaire s receipts (including the revenues from storage charges, variable charges, service charges, charges for unutilized capacity, other businesses and all income derived/collected by the Concessenaire/s from or on account of the Storage facility/steel Silo and/or its use), income, expenditure, payments assets and liabilities in accordance with the Concession Agreement executed between the
Authority and Concessionaire/s, good industry practices, applicable laws and applicable permits. 10.2 The Statutory Auditor shall provide the Authority with two (2) copies of Concessionaire/s Balance Sheet, Profit & Loss Account and Cash Flow Statement, along with a report thereon, within ninety (90) days of the close of the Accounting Year, to which the financial statements pertain and such audited accounts, save and except where expressly provided to the contrary, shall form the basis of payments by either Party to the Concession Agreement. The Authority shall have the right to inspect the records of the Statutory Auditor during office hours and require relevant extracts of books of accounts, duly certified, to be provided to the Authority for verification of basis of payments, and in the event of any discrepancy or error being found, the same shall be rectified and such rectified account shall form the basis of payments. 10.3 On or before the thirty first day of May of each year, the Auditor shall provide to the Authority, a statement giving summarized information on (a) (b) (c) (d) (e) (f) Receipts on account of Fixed Charge Receipts on account of Variable Charges Receipts on account of Service Charges Revenues from Unutilized Capacity Revenues from De-reserved Capacity such other information as the Authority may reasonably require 11. DURATION OF THE EMPANELMENT The empanelment shall be valid for a period of five (5) years from the date of preparing the mutually agreed Panel of Chartered Accountants, or such earlier period as may be agreed between MPWLC and the Concessionaire(s).
