1. SCOPE 1.1. Hays Consolidated Independent School District (HCISD) requests proposals for an experienced professional search firm specializing in employment searches for Superintendents of Schools to assist in the location, screening, interviewing, and selection of a Superintendent for the Hays Consolidated Independent School District. The firm must be licensed to do business in the State of Texas. 1.2. Potential Offerors may ally with another potential Offeror (i.e., joint venture) to meet the requirements of this RFP. The joint venture may be with other local, state or national individuals or firms. 1.3. The firm shall identify and recruit qualified applicants, screen candidates (to include background checks and verification of resume information), assist HCISD in interviewing and selecting a Superintendent as per the criteria of the Board of Trustees as outlined in this RFP. The firm s efforts may include a National Advertising Campaign with advertisements in various professional media throughout the US. All such advertisements and media must be approved, in advance, by the HCISD Board of Trustees. The proposal shall also provide details of any guarantees provided by the Firm with regard to the selection and retention of a quality Superintendent for the HCISD. 1.4. Offeror should present its qualifications; references; experience; methodology for the search and selection process; proposed time line; marketing plan and price/fee. 1.5. Firms must disclose any potential conflict of interest with the District and specifically the individual members of the Board of Trustees. 1.6. HCISD will select the Proposal that it deems provides the best value and is most qualified to serve the best interests of the HCISD. 1.7. HCISD will accept proposals either by mail or hand carried until 2:00 p.m., JUNE 08, 2017. Proposals received after the opening date and time will not be accepted and will be returned unopened to vendor. One (1) electronic copy (PDF format preferred on a CD or flash drive, PDF must be searchable created in PDF, not scanned) copy, one (1) printed original and ten (10) printed copies of the response are required for evaluation purposes. Offers may be hand carried or mailed in a sealed envelope/package clearly marked with the offering company's name, return address, the Proposal number RFP 25-061706VL, opening date and time, and addressed to: Hays Consolidated Independent School District, PURCHASING DEPARTMENT, ATTN: Valerie Littrell, 21003 IH 35, Kyle, TX 78640. 1

2. CONTRACT PERIOD 2.1. Initial contract period shall be effective from date of award until fulfillment of all obligations. 3. The following is the Board's desired timeline for selecting a search: 3.1. RFP issued: May 18, 2017 3.2. Questions from potential Offerors: No later than 10:00 AM June 01, 2017 3.3. RFP opens: June 8, 2017 @ 2:00 p.m. 3.4. Selected Offerors interviewed by HCISD Board: June 28, 2017 3.5. Award of Contract to Offeror with effective date: July 01, 2017 4. It is imperative that at the interview, Offerors have both a named partner (if applicable) and the person who will work our account (Accounts Manager) be present. THIS IS A NON-NEGOTIABLE REQUIREMENT. 5. Proposals shall include marketing and recruiting plans and methodology to ensure a quality candidate will be available and selected as Superintendent. 6. Firms shall conduct and verify background, criminal records, financial records and reference checks on all candidates submitted to HCISD. 7. The Firm shall solicit and include community stakeholder input if requested. 8. The Firm shall involve the Board of Trustees, and at the Board of Trustees discretion the search firm may be asked to involve a Superintendent Search Committee that may comprise staff, parents, community members and students and/or a combination thereof, in the selection process. 9. The Firm shall hold meetings with the Board of Trustees and/or the Superintendent Search Committee and shall serve at the direction of the Board of Trustees. 10. The Firm shall provide all of the services necessary in order to facilitate the recruitment of Superintendent Candidates including and not limited to the cost of advertising; processing of applications; lodging; travel; and reference checks. HCISD will reimburse the selected firm for travel costs associated with interviewing candidates. Travel costs for interviewing candidates are not to be included in the fee proposal. 11. The Firm shall meet with the Board of Trustees and/or the Superintendent Search Committee for review of applications and materials to identify candidates for interviewing, arranging interviews with the candidates; and attending and facilitating such interviews. 12. The Firm shall develop and provide applicable interview questions for the Board of Trustees and/or the Superintendent Search Committee. 2

13. The Firm shall provide training for the Board of Trustees and/or the Superintendent Search Committee members on interviewing and scoring and evaluating of candidates. 14. The Firm shall verify all references, background checks, resume information, and determine that each candidate meets all criteria before presentation of each subsequent Candidate(s). 15. The Firm shall assist the Board of Trustees and or the Superintendent Search Committee in determining the semi-finalist(s) and finalist(s), contacting semi-finalists and finalist(s) and scheduling on-site visitations; if applicable. 16. The Firm shall facilitate the superintendent search process for the Board of Trustees. 17. The Firm's proposal shall detail all references and prior and current school superintendent searches performed or currently being performed. 18. The firm s proposal shall include a copy of a proposed contract with HCISD. 19. The Firm's detailed proposal shall detail all fees. Fees shall cover all expenses, including copies, postage and advertising. HCISD will reimburse the selected firm for travel costs associated with interviewing candidates. Travel costs associated with interviewing candidates are not to be included in the fee proposal. Offeror bears all cost of responding to this RFP. Details of the fee will include amounts included for the preceding expenses. The firm must set out in the fees the portion to be paid to each Subcontractor if applicable. 20. The Firm s proposal shall include a specific timeline of all activities from time of award (time of award is anticipated to be July 1, 2017) until selection of Superintendent. 21. INDEMNIFICATION: The contractor shall save and keep harmless and indemnify HCISD against any and all liability, claims and costs of whatsoever kind and nature for injury to or death of any person or persons and for loss or damage to any property occurring in connection with or in any incident to or arising out of occupancy, use, service, operations or performance of work in connection with this contract, resulting in whole or in part from the negligent acts or omissions of the Vendor. 22. INSURANCE: 22.1. Provide proof of professional liability/errors omissions insurance and history of all claims. Provide information necessary to contact your Insurance Carrier. 3

23. TERMINATION 23.1. FOR DEFAULT: The performance of work under the contract may be terminated by HCISD in accordance with this clause, in whole or in part, in writing, whenever HCISD shall have determined that the Vendor has failed to meet the performance requirements of the contract. HCISD has the right to terminate for default if the Vendor fails to make delivery of the goods or perform the work, or if the Vendor fails to perform the work within the time specified in the contract, or if the Vendor fails to perform any other provisions of the contract. 23.2. FOR CONVENIENCE: HCISD may terminate the contract at its convenience with thirty (30) day advance written notice to the Vendor. In the event of such a termination by HCISD, HCISD shall be liable for the payment of all approved work performed prior to the termination. 23.3. In the event of termination, HCISD reserves the right to re-award this contract to the next low responsive bidder. 24. GENERAL TERMS AND CONDITIONS 24.1. Inquiries and requests for information affecting the RFP must be in writing and shall be directed to Valerie Littrell, Procurement Specialist Purchasing Dept., via email (Valerie.littrell@hayscisd.net), mail (21003 IH 35, Kyle, TX 78640). To provide HCISD sufficient time to adequately prepare responses to vendor inquiries, all questions must be submitted via email no later than 10:00 AM June 1, 2017. Contact with HCISD personnel other than Valerie Littrell or her designee regarding this solicitation may be reason for elimination from the selection process. Any prospective respondent detecting a conflict or ambiguity in the RFP should notify Valerie Littrell, Procurement Specialist in writing, setting forth the grounds of the alleged conflict or ambiguity and requesting the issuance of a clarifying addendum. If HCISD believes that clarification is necessary or proper, a clarifying addendum will be distributed to all prospective vendors. HCISD will not be bound by any oral or other informal explanation of the requirements of the RFP documents. 24.2. Provide detailed explanations of any variances or exceptions the respondent has with any requirement or term specified in this RFP and thoroughly explain any alternate service offered. 24.3. HCISD is not responsible for any costs incurred by the Vendor for the preparation or distribution of the RFP. 24.4. Respondents or other authorized representatives are expected to fully inform themselves as to all conditions, requirements, and specifications before submitting offers. Failure to do so will be at the respondent's own risk. 4

24.5. PROPRIETARY INFORMATION: Proprietary information if any submitted to HCISD in response to this RFP should be identified as such. Any information identified as proprietary will be handled in accordance with the provisions of the Texas Open Records Public Information Act as it applies to such information. 24.6. HCISD reserves the right to negotiate all elements, which comprise the Respondent's offer to ensure the best possible consideration, be afforded to all concerned and to reject any and all offers and to re-solicit for offers in such an event. 24.7. Assignment: Contractor shall not assign or sub-contract this agreement, its obligations or rights hereunder to any party, company, partnership, incorporation or person without the prior written specific consent of HCISD. 24.8. Disclosure of Criminal Histories: Prior to commencement of any work under this Contract, the Contractor shall provide HCISD with a list of all Contractor employees and subcontractor employees who have been arrested for, convicted of, or received deferred adjudication for any criminal conduct, except misdemeanor traffic violations. The Contractor shall ensure that no worker with a criminal history performs work for the District without first notifying the District. HCISD reserves the right of first refusal to prohibit such persons from entering District premises. 24.8.1. Criminal Background Checks: The Contractor acknowledges and agrees that the HCISD reserves the right to subject all persons entering District premises to background screening checks prior to granting access to areas frequented by students. Background checks may require surrendering a driver s license or submitting fingerprints for inspection. If any of the Contractor's employees, representatives or subcontractors refuse to submit to a background check, or if a background check reveals a criminal history, such persons may be refused access to District premises; however such refusal shall not relieve the Contractor of its obligations as specified in this Contract. 24.9. Requirements of Texas Senate Bill 9: Any company that contracts with school districts or charters may be subject to the requirements of Senate Bill 9 as codified in Texas Education Code 22.0834, a copy of which is included as Attachment A of this solicitation. 24.10. Subcontract Agreements: If subcontractors are utilized by the Contractor, each subcontract agreement must preserve and protect the rights of HCISD with respect to the terms and conditions of this Contract. 5

24.11. Evaluation Criteria: The responses will be evaluated on the following criteria and will be based upon the combination of criteria that offer the greatest value. A total of 100 possible points. Fees and Associated Costs 35 possible points Demonstrated expertise and experience 30 possible points o Experience with the bidder and quality of the bidder s goods or services o References Completeness & Responsiveness to the RFP 5 possible points The above criteria will be used to determine a short list of firms to be interviewed. 30 possible points 24.12. Invoices: In order to receive payment for goods or services furnished to HCISD, invoices for each purchase order must be submitted to the HCISD Business Office, Attn: Carter Scherff, at 21003 IH 35, Kyle, TX 78640. 24.12.1 All invoices must clearly indicate the following information: originating purchase order number complete description of goods or services furnished, including unit prices, extended prices and quantities delivered project name date of issuance all applicable prompt payment discount terms 24.13. The Contractor shall not bill more than one purchase order on a single invoice. The purpose of this requirement is to reduce the administrative burden associated with verifying charges and remitting invoices. Failure to comply with these requirements may result in delayed payments. 24.14. Payment terms: HCISD will make payment on a Net 30-day basis. The payment term shall begin on the date the deliverables are inspected, delivered and accepted by HCISD, or on the date a correct invoice is received by HCISD, whichever is later. Bidders are welcome to quote a discount for early payment; however, prompt payment discounts will not be considered as an evaluation criterion. Prompt payment discounts shall be considered earned if payment is postmarked or personally delivered within the prescribed term. 24.15. Hays CISD is not liable for orders accepted without a purchase order. 24.16. Form 1295 Certificate of interested Parties must be completed by the awarded vendor prior to receiving the Purchase Order and delivering goods and/or services. 6

25. GENERAL DISTRICT INFORMATION: HCISD is a fast growing district comprised of 22 campuses, 19,240 students and an annual budget of approximately $225,000,000. HCISD, a Texas Education Agency Acceptable District, is governed by a seven-member Board of Trustees elected by the District population of HCISD for three year staggered terms. 26. PRICING: The District requires full disclosure of any/all prices to include any hidden or additional charges. The District will not be liable for hidden costs or additional charges not disclosed. ATTACHMENT A Texas Education Code 22.0834. Criminal History Record Information Review of Certain Contract Employees. (a) This subsection applies to a person who is not an applicant for or holder of a certificate under Subchapter B, Chapter 21, and who on or after January 1, 2008, is offered employment by an entity that contracts with a school district, open-enrollment charter school, or shared services arrangement to provide services, if: (1) the employee or applicant has or will have continuing duties related to the contracted services; and (2) the employee or applicant has or will have direct contact with students. (b) A person to whom Subsection (a) applies must submit to a national criminal history record information review under this section before being employed or serving in a capacity described by that subsection. (c) Before or immediately after employing or securing the services of a person to whom Subsection (a) applies, the entity contracting with a school district, open-enrollment charter school, or shared services arrangement shall send or ensure that the person sends to the department information that is required by the department for obtaining national criminal history record information, which may include fingerprints and photographs. The department shall obtain the person's national criminal history record information and report the results through the criminal history clearinghouse as provided by Section 411.0845, Government Code. 14
