Any entity or Individual that engages in the business of the sale or issuance of payment instruments, stored value, or of receiving money or monetary value for transmission to a location within or outside the United States by any and all means, including wire, facsimile, or electronic transfer. Notwithstanding any other provision of law, "money transmission" also includes bill payment services not limited to the right to receive payment of any claim for another. Activities Authorized Under This License This license authorizes the following activities Electronic money transmitting, Issuing traveler's checks, Selling traveler's checks, Issuing money orders, Issuing and/or selling drafts, Transporting Currency, Issuing prepaid access/stored value, Selling prepaid access/stored value Pre-Requisites for License Applications Each licensee under this chapter must at all times have a net worth of not less than one hundred thousand dollars, calculated in accordance with generally accepted accounting principles. The financial condition and responsibility, financial and business experience, and character and general fitness of the applicant must reasonably warrant the belief that the applicant's business will be conducted honestly, fairly, and in a manner commanding the confidence and trust of the community. In determining whether this qualification is met and for purposes of investigating compliance with this chapter, the commissioner may review and consider the relevant business records and capital adequacy of the applicant. Every corporate applicant, at the time of filing of an application for a license under this chapter and at all times after a license is issued, must be in good standing in the state of its incorporation. At the time of the filing of an application for a license under this chapter and at all times after a license is issued, all noncorporate applicants must be registered or qualified to do business in the state. Each application must be accompanied by a surety bond, irrevocable letter of credit, or such other similar security device, hereinafter "security device", acceptable to the commissioner in the amount of one hundred fifty thousand dollars. The commissioner may increase the amount of the bond or security device to a Updated: 9/26/2018 Page 1 of 10

maximum of five hundred thousand dollars for good cause. The security device must be in a form satisfactory to the commissioner and must run to the state for the benefit of any claimants against the licensee to secure the faithful performance of the obligations of the licensee with respect to the receipt, handling, transmission, and payment of money in connection with the sale and issuance of payment instruments and transmission of money. In the case of a bond, the aggregate liability of the surety may not exceed the principal sum of the bond. Claimants against the licensee may themselves bring suit directly on the security device or the commissioner may bring suit on behalf of such claimants, either in one action or in successive actions. In lieu of a security device or of any portion of the principal thereof, as required by this section, the licensee may deposit with the commissioner, or with banks in this state as the licensee may designate and the commissioner may approve, cash, interest-bearing stocks and bonds, notes, debentures, or other obligations of the United States or any agency or instrumentality thereof, or guaranteed by the United States, or of this state, or of a city, county, school district, or instrumentality of this state, or guaranteed by this state, to an aggregate amount, based upon principal amount or market value, whichever is lower, of not less than the amount of the security device or portion thereof. The securities and cash must be deposited as aforesaid and held to secure the same obligations as would the security device, but the depositor is entitled to receive all interest and dividends thereon, with the approval of the commissioner may substitute other securities for those deposited, and must be required so to do on written order of the commissioner made for good cause shown. The security device must remain in effect until cancellation, which may occur only after thirty days' written notice to the commissioner. Cancellation does not affect any liability incurred or accrued during the period. The security device must remain in place for at least five years after the licensee ceases money transmission operations in the state. However, notwithstanding this provision, the commissioner may permit the security device to be reduced or eliminated before that time to the extent that the amount of the licensee's payment instruments outstanding in this state are reduced. The commissioner may also permit a licensee to substitute a letter of credit or such other form of security device acceptable to the commissioner for the security device in place at the time the licensee ceases money transmission operations in the state. Each licensee under this chapter must at all times possess permissible investments having an aggregate market value, calculated in accordance with generally accepted accounting principles, of not less than the aggregate face amount of all outstanding payment instruments and stored value issued or sold by the licensee in the United States. This requirement may be waived by the commissioner if the dollar volume of a licensee's outstanding payment instruments and stored value does not exceed the bond or other security devices posted by the licensee pursuant to section 13-09-05. Permissible investments, even if commingled with other assets of the licensee, are deemed by operation of law to be held in trust for the benefit of the purchasers and holders of the licensee's outstanding payment instruments in the event of the bankruptcy of the licensee. Registration with ND Secretary of State s Office North Dakota does not issue paper licenses for this license type. (Filing submission) FBI Criminal Background Check for MU2 Individual: $36.25 per person. (Filing submission) Uniform Authorized Agent Reporting Annual Processing Fee: An annual fee of twenty-five cents ($0.25) for each active authorized agent/delegate location reported through is invoiced on November 1st. There is no fee for the first 100 active agents reported (Companies with 100 agents or less are not subject to the UAAR Processing Fee). The fee is capped at $25,000 per licensee in any one year. The invoiced amount is based on the number of active agents in the system as of August 16th, (day after third quarter reporting deadline). REQUIREMENTS COMPLETED IN Complete ND Money Transmitter License Submitted via Submission of Company Form (MU1): Complete and submit the Company Form (MU1) in. This form serves as the application for the license/registration through. Financial Statements: Upload an audited financial statement prepared by a Certified Public Accountant/Signed by an executive officer in accordance with Generally Accepted Accounting Principles dated within 90 days of your fiscal year end. Financial statements should include a balance sheet, income statement, and statement of cash flows and all relevant notes thereto. If applicant is a start-up company, only an initial statement of condition is required. The financial statement must illustrate a company net worth of no less than $100,000 NDCC 13-09-04) Authorized Agents (Delegates) Locations: Licensees must use the Uniform Authorized Agent Reporting (UAAR) functionality to report Authorized Agents. Upon license approval, applicants are required to utilize the UAAR to upload a list of agents who are authorized to conduct money transmission business in the state of North Dakota on the Applicant s behalf. Agent adjustments (additions, deletions, and modifications) must be submitted through the UAAR on a quarterly basis, even if there are no changes to report. For more information, consult the Resource Center. Other Trade Name: If operating under a name that is different from the applicant s legal name, that name ( Trade Name, Assumed Name or DBA ) must be listed under the Other Trade Names Form (MU1). North Dakota does not limit the number of other trade names. If operating under an Other Trade Name, upload the Trade Name Registration Certificate from the ND Secretary of State. Regarding ability to do business under that trade name. This document should be named North Dakota Trade Name Assumed Name. Resident/Registered Agent: The Resident/Registered Agent must be listed under the Resident/Registered Agent Form (MU1) and must match the information currently on record with ND Secretary of State. Primary Contact Employees: The following individuals must be entered into the Contact Employees Form (MU1). 1. Primary Company Contact. 2. Primary Consumer Complaint Contact. See the Company Disclosure Explanations Quick Guide for instructions. Qualifying Individual: A Qualifying Individual must be designated for North Dakota jurisdiction. This individual must be listed in the Qualifying Individual section of Company Form (MU1). It is recommended the Qualifying Individual be in a managerial role with three years or more industry or supervisory experience. A credit report will be required. Control Person (MU2) Attestation: Complete the Individual Form (MU2) in. This form must be attested to by the applicable control person before it is able to be submitted along with the Company Form (MU1). Credit Report: Individuals in a position of control are required to authorize a credit report through. Individuals will be required to complete an Identity Verification Process (IDV) along with an individual attestation before a license request for your company can be filed through. This authorization is made when the Individual Form (MU2) is submitted as part of the Company Form (MU1). MU2 Individual FBI Criminal Background Check Requirements: The following Individuals, as specified below, on the Company Form (MU1) are required to authorize a FBI criminal background check (CBC) through. Direct Owners Executive Officers Indirect Owners Shareholders of 25% or more are required to complete an FBI CBC through. Presidents and/or CEOs are required to complete an FBI CBC through. Qualifying Individuals Shareholders of 25% or more indirect ownership in the applicant are required to complete an FBI CBC through. Not required to complete an FBI CBC through. After authorizing a FBI criminal background check through the submission of the Company Form (MU1) and Individual Form (MU2), you must schedule an appointment to be fingerprinted if new prints are required. See the Criminal Background Check section of the Resource Center for more information. Note: If you are able to Use Existing Prints to process the FBI criminal background check, you DO NOT have to schedule an appointment. will automatically submit the fingerprints on file. Surety Bond: Submit a bond in the amount of $150,000 furnished by a surety company authorized to conduct business in North Dakota. The name of the principal insured on the bond must match exactly to the Full Legal Name of applicant and include any fictitious name(s)/assumed Name it plans to use for North Dakota Activity. The Surety Bond Requirement may be satisfied completing one of the following: 1. Electronic Surety Bond: Submit an Electronic Surety Bond (ESB) via in the amount listed above furnished and submitted by a surety company authorized to conduct business in North Dakota. See the ESB Adoption Table and the ESB for Licensees page of the Recourse Center for more information. 2. Surety Bond Alternate Security Device: The Security Device must be in the form satisfactory to the commissioner; the types of alternate security devices which the commissioner may approve are found in the Section 13-09-05 of the North Dakota Century Code. The Security Device must be in an aggregate amount of $150,000 or such other amount as set by the commissioner not to exceed $500,000, based on the lower of the principal amount or market value. This document should be named ND Money Transmitter Security Device. Certificate of Authority/Good Standing Certificate: Upload a State-issued and approved document (typically by the Secretary of State s office), dated not more than 60 days prior to the filing of the application through that demonstrates authorization to do business in the applicant s state of formation and/or ND.
