Tenders received by the LIC will be opened in the presence of the vendors representatives who choose to attend the opening of tender on the date and time specified above. Only the vendors who have submitted their offer in response to this tender shall be permitted to attend the opening. Technical Specifications, Terms and Conditions and various format and proforma for submitting the tender offer are described in the tender document and its Annexure. 2. INSTRUCTIONS TO VENDORS 1. Non-transferable Offer This tender document is not transferable. Only the vendor, who has purchased the tender document, is entitled to quote. 2. Offer validity Period The offer should hold good for a period of 90 days from the date of the opening of offer. 3. Modification and Withdrawal of Offers No offer can be modified or withdrawn by a vendor, after the submission of offers. 4. Clarification of Offers To assist in the scrutiny, evaluation and comparison of offers, LIC may, at its discretion, ask some or all vendors for clarification of their offer. The request for such clarifications and the response will necessarily be in writing. 1
5. No Commitment to Accept Lowest or Any Offer LIC shall be under no obligation to accept the lowest or any other offer received in response to this tender notice and shall be entitled to reject any or all offers including those received late or incomplete offers without assigning any reason whatsoever. LIC reserves the right to make any changes in the terms and conditions of purchase. LIC will not be obliged to meet and have discussions with any vendor, and / or to entertain to any representations. The Technical Offer should enclose Brochures/leaflets/Product catalogues etc. 6. Locations of Installation The batteries being procured through this tender shall be installed and commissioned by the vendor on getting the order. 7. Cost of supply The offer must be, including the following: Minimum of 2 years comprehensive replacement on-site warranty. This period will start from the date of installation. The rates shall be F.O.R. at site including all taxes, levies, etc. except Service Taxwherever applicable. Service tax will be reimbursed against production of proof of remittance to the authorities. Vendors have to make their own arrangements for obtaining road permits wherever needed. 8. Right to Alter Quantities LIC reserves the right to alter the quantities specified in the tender. 9. Repeat Orders LIC reserves the right to place a repeat order for batteries on the successful bidder on the same accepted rates, terms and conditions, within the expiry of tender validity period of 90 days. Also LIC reserves the right to split the order to more than one agency at its sole discretion. Tenders received late or those received without Earnest Money Deposit (EMD) are liable to be rejected at the sole discretion of the Sr. Divisional Manager.. 2
ANNEXURE - A - Terms and Conditions of the Tender 1. Payment Terms LIC will make payment as follows: 1. Payment will be made after satisfactory supply, installation, testing, commissioning of the battery system/set and submission of bills in triplicate along with guarantee card for each individual battery from OEM and installation report. 2. Security Deposit: Security Deposit @ 5% of the total value of the order will be retained by LIC of India, till the completion of Defect Liability period of 2 years. Alternatively in lieu of this the 5% may be paid against a Bank Guarantee from a nationalized bank located in Pune as per specimen given by LIC for the like amount to be valid till defect liability period of 2 years. The Bank guarantee shall be taken for further 6 months in both the cases above over defect liability period towards claim lodgment period. Security deposit shall carry no Interest. 3. Delivery, Installation and Commissioning The Vendor shall be responsible for delivery and installation of the batteries ordered at site and for making them fully operational at no additional charge within 30 days along with necessary links, wires etc.of receiving the purchase or dispatch order. If the vendor fails to deliver and/or install all the batteries ordered within the stipulated time schedule or by the date extended by LIC, it will be a breach of contract. In the event of LIC agreeing to extend the date of delivery at the request of vendor, it is a condition precedent that the validity of Bank Guarantee shall be extended by further period as required by LIC. If tender being accepted but contractor fails to execute the order within contract period then EMD amount will be forfeited which please be noted. 4. Completeness of Installation The installation will be deemed as incomplete if not delivered or is delivered but not installed and/or not operational or not acceptable to LIC. In such an event, the supply & installation will be termed as incomplete and it will not be accepted and warranty period will not commence. The entire site will be accepted after complete commissioning and satisfactory working for a minimum period of 30 days. 5. Order Cancellation LIC reserves its right to cancel the order in the event of following situation: 1. Delay in delivery beyond the specified period for delivery. 6. Any other reason. In addition to the cancellation of purchase order, LIC reserves the right to claim the damages from the vendor will be recovered from any dues payable to the vendor.. 7. Warranty The offer must include a minimum 2 year of free comprehensive on-site replacement warranty for batteries, from the date of installation and acceptance of the batteries by LIC. 3
8. Penalty for delay For any delay in installation and commissioning of the batteries beyond 30days, LIC will charge penalty @ 1% of the order value per week or part thereof from 5th week onwards, subject to a maximum of 10% of the order value. 9. Indemnity Vendor shall indemnify, protect and save LIC against all claims, losses, costs, damages, expenses, action suits and other proceeding, resulting from infringement of any patent, trademarks, copyrights etc. or such other statutory infringements in respect of all the UPS / Battery systems supplied by the Vendor. 10. Insurance Policies : The contractor shall indemnify the LIC from all claims for injury caused to any person whether a workman or not, the LIC shall not be bound to detect and claim for under the work men compensation act. The contractor shall be responsible for all injuries damages to men materials and properties which may arise from the operations or negligence of himself and or his subcontractors on account..the contractor shall take insurance policies from any nationalized general insurance company of adequate amount in the joint name of the employer and the contractor at 7.5% of the contract value for the third party and 5% of contract value for work men compensation which should renewed and kept in force till date of virtual completion of work. The above policy documents should be submitted to LIC of India on date of handing over the site 10. Force Majeure The parties shall not be liable for default or non-performance of the obligations under the contract, if such default or non-performance of the obligations under this contract is caused by any reason or circumstances or occurrences beyond the control of the parties, i.e. Force Majeure.For the purpose of this clause, Force Majeure shall mean an event beyond the control of the parties, due to or as a result of or caused by acts of God, wars, insurrections, riots, earth quake and fire, events not foreseeable but does not include any fault or negligence or carelessness on the part of the parties, resulting in such a situation. In the event of any such intervening Force Majeure, each party shall notify the other party in writing of such circumstances and the cause thereof immediately within five calendar days. Unless otherwise directed by the other party, the party pleading Force Majeure shall continue to perform/render/discharge other obligations as far as they can reasonably be attended/fulfilled and shall seek all reasonable alternative means for performance affected by the Event of Force Majeure. In such a case, the time for performance shall be extended by a period(s) not less than the duration of such delay. If the duration of delay continues beyond a period of three months, the parties shall hold consultations with each other in an Endeavour to find a solution to the problem. Not withstanding above, the decision of LIC shall be final and binding on the Vendor. 11. Resolution of Disputes LIC and the vendor shall make every effort to resolve amicably, by direct informal negotiation, any disagreement or dispute arising between them under or in connection with the contract. If after thirty days from the commencement of such informal negotiations, LIC and the Vendor have been unable to resolve amicably a contract dispute, either party may require that the dispute be referred for resolution by formal arbitration. All questions, disputes or differences arising under and out of, or in connection with the contract, shall be referred to two Arbitrators: one Arbitrator to be nominated by LIC and the other to be 4
nominated by the Vendor. In the case of the said Arbitrators not agreeing, then the matter will be referred to an umpire to be appointed by the Arbitrators in writing before proceeding with the reference. The award of the Arbitrators, and in the event of their not agreeing, the award of the Umpire appointed by them shall be final and binding on the parties. The arbitration and reconciliation Act 1996 shall apply to the arbitration proceedings and the venue of the arbitration shall be Mumbai. 12.
