Taxes : Excise duty & Sales Tax, as applicable, on date shall charges inclusive in the bid price. 12. Quantity Required: 8 NOS 13. Guarantee/Warranty : The bidder shall furnish normal Guarantee/ warranty applicable for 24 months from the date of receipt by the Tender. Details of all free services offered during the Guarantee/ warranty period, may be listed out in tender. 14 Liquidated Damages : The applicable rate is 0.5% per week and subject to maximum of 10% of the contract price/ supply order. 15. Performance : 5% of the total value of the order to be Security-cum-Deposit deposited in the form of Demand Draft / Bank guarantee from scheduled bank in favour of Commissioner, Jalandhar, Division, Jalandhar City, Punjab within 15 days after placement of the order and will be released only after the period of guarantee/ warranty is over i.e. after 24 months from the date of supply 16. Earnest Money : A Demand Draft of 5% of the tendered amount drawn in favour of Commissioner, Jalandhar Division, Jalandhar be enclosed with the Tender, failing which the tender would be rejected. 17. Financial Standing : Proof of financial standing of the firm. The detailed balance sheet of the last 3 years is to be enclosed showing consistent Profit. 18. Specifications : Firm should confirm whether the Motorcycles offered are strictly as per specification enclosed (Annex. I). 19. Payment Terms : No advance payment will be given. 90% payment will be released on production of inspection notes, dispatch documents and receipt certificate having received the Motorcycles in good and safe conditions.10% will be released after 45 days.made in Indian Rupees only. 20. Transit Insurance : No separate claims for transit insurance would be admissible. The supplier will be responsible for safe and good condition till destination/ consignee. 21. Inspection : Inspection would be carried out by any of the Testing Agencies/ Technical team(as decided by purchaser) i.e. at the final stage before dispatch and the inspection charges will be borne by the purchaser. 22. Experience : Firm should have experience in design, Manufacture/or authorized dealers of the manufacturer company or exclusive Indian company/agent of Manufacturing company having full fledged after sale &service netwok in India for the supply of Motorcycles as per specifications of similar nature at least for a Period of last 5 years and submit documentary evidence for the same. And must have supplied at least four similar motorcycles to the Govt Department/ Public Sector Undertakings/ Autonomous Bodies/any other registered Organization during preceding 3 years. A list of consignees/offices to whom similar motorcycles have been supplied may be enclosed along with proof of satisfactory performance of the equipment. 23. After Sale Service : Should submit the details of availability of after sale service network for the offered motorcycles. 24. Training to operators : Firm should impart the practical training to at least five persons free of cost. Page 3 of 10
25. The tenderers are requested to quote their rates neatly and clearly. Any cutting and over-writing must be duly signed. The tenderers shall submit their bids in two covers i.e. techno-commercial bid to be submitted in one sealed packet and the price bid should be submitted in the second cover. The earnest money should be put in the envelope containing the techno-commercial bid. The techno-commercial bid will be opened first and the price bid of those bidders would be opened whose technocommercial bid is found to be acceptable. Bidder shall have to arrange a demonstration of the similar motorcycles quoted anywhere in Punjab before the finalization of tender. The Purchaser will evaluate and compare the bids which have been determined to be substantially responsive. No bid will be considered if the complete requirements covered in the schedules are not included in the bid. Based on eligibility criteria and terms & conditions of bid the technical bids shall be evaluated first. The financial bids of only technically successful bidders shall be opened. The financial bids shall be evaluated on the basis of rates quoted in Price Schedule. 27 Termination for Insolvency 27.1 The Purchaser may at any time terminate the Contract by giving written notice to the Supplier, if the supplier becomes bankrupt or otherwise insolvent. In this event, termination will be without compensation to the Supplier, provided that such termination will not prejudice or affect any right of action or remedy which has accrued or will accrue thereafter to the Purchaser. 28. Termination for Convenience 28.1 The Purchaser, by written notice sent to the Supplier, may terminate the Contract, in whole or in part, at any time for its convenience. The notice of termination shall specify that termination is for the Purchaser s convenience, the extent to which performance of the Supplier under the Contract is terminated and the date upon which such termination becomes effective. 28.2 The Goods that are complete and ready for shipment on the day of Supplier s receipt of notice of termination shall be accepted by the Purchaser at the Contract terms and prices. For the remaining Goods, the Purchaser may elect: (a) To have any portion completed and delivered at the Contract terms and prices; and / or (b) To cancel the remainder and pay to the Supplier and agreed amount for partially completed Goods and for materials and parts previously procured by the Supplier. 29. Force Majeure 29.1 For purposes of this Clause, "Force Majeure" means an event beyond the control of the Supplier and not involving the Supplier's fault or negligence and not foreseeable. Such events may include, but are not limited to, acts of the Purchaser either in its sovereign or contractual capacity, wars or revolutions, fires, floods, epidemics, quarantine restrictions and freight embargoes. 29.2 If a Force Majeure situation arises, the Supplier shall promptly notify the Purchaser in writing of such conditions and the cause thereof. Unless otherwise directed by the Purchaser in writing, the Supplier shall continue to perform its obligations under the Contract as far as is reasonably practical, and shall seek all reasonable alternative means for performance not prevented by the Force Majeure event. 30. Settlement of Disputes 30.1 The Purchaser and the supplier shall make every effort to resolve amicably by direct informal negotiation any disagreement or dispute arising between them under or in connection with the Contract. 30.2 If, after thirty (30) days, the parties have failed to resolve their dispute or difference by such mutual consultation, then either the Purchase or the Supplier may give notice to the other party of its intention to commence arbitration, as hereinafter provided, as to the matter in dispute, and no arbitration in respect of this matter may be commenced unless such notice is given. 30.2.1 Any dispute or difference in respect of which a notice of intention to commence arbitration has been given in accordance with this Clause shall be finally settled buy arbitration. Arbitration may be commenced prior to or after delivery of the Goods under the Contract. 30.2.2 Arbitration proceedings shall be conducted in accordance with the rules of procedure specified. 30.3 Notwithstanding any reference to arbitration herein the parties shall continue to perform their respective obligations under the Contract unless they otherwise agree.and 30.4 The dispute resolution mechanism to be applied pursuant to Clause 30.2.2 shall be as follows: (a) In case of Dispute or difference arising between the Purchaser and supplier relating to any matter arising out of or connected with this agreement, such disputes or difference shall be settled in accordance with the Arbitration and Conciliation Act, 1996. The arbitral tribunal shall consist of 3 arbitrators one each to be appointed by the Purchaser and the Supplier. The third Arbitrator shall be appointed by Department of Revenue, Rehabilitation and Disaster Management, Government of Punjab who shall act as presiding arbitrator. (b) Arbitration proceedings shall be held at Jalandhar, Punjab, India, and the language of the arbitration proceedings and that of all documents and communications between the parties may be English/ Hindi/Punjabi as mutually agreed. (c) The decision of the majority of arbitrators shall be final and binding upon both parties. The cost and expenses of Arbitration proceedings will be paid as determined by the arbitral tribunal. However, the expenses incurred by each party in connection with the preparation, presentation, etc. of its proceedings as also the fees and expenses paid to the arbitrator appointed by such party or on its behalf shall be borne by each party itself. 31. Each cover should be clearly super-scribed with the tender number and name of the bid i.e. techno-commercial/ price bid. 29. All the documents and information as mentioned above and price bid in this schedule shall be submitted complete in all respect along and tender schedule duly signed. 30. Firm should specifically mention in their offer that they have enclosed/given the information in respect of latest valid Income Tax Clearance Certificate, Details of Annual Turnover, Earnest Money, confirm that similar motorcycle offered are as per Tender Enquiry Specifications and all other commercial terms and conditions have been accepted in toto as given in Tender Enquiry Schedule. Incomplete bid/tender in any above respect shall not be considered and no correspondence at any later date shall be entertained. 31.
