Cebu Pacific Citibank Card Privileges Terms and Conditions 1. DEFINITIONS In these terms and conditions, unless the context otherwise requires: Bank means Citibank N.A. Philippines; Card means the Cebu Pacific Citibank Card issued by Citibank and includes a supplementary card where the context requires; Card account means the account maintained with the Bank in respect of the Card; Cardholder means the person to whom a Card is issued, and refers principally to the primary cardholder, the person in whose name the Card account is maintained. This term may also include the supplementary Cardholder where the context requires; Card privileges means the privileges granted to the Cardholders, such as to participate in the Program and to be notified of Seat Sale Alerts. "CEB Points" means the points earned through usage of the Cebu Pacific Citibank Card as specified in these Terms and Conditions, which may be used to redeem an E-Voucher or any goods, services, benefits, arrangements or other privileges, as may be determined by the Bank in its absolute discretion; Cebu Pacific Products and Services means Cebu Pacific products and services offered to the public; E-Voucher means the co-branded electronic voucher that can be used to purchase Cebu Pacific Products and Services; Program means the Cebu Pacific Citibank CEB Points Program, whereby Cardholders can earn CEB Points on their purchases using the Card as provided in these Terms and Conditions; and Purchase means a purchase of any goods or services for personal consumption by the use of the Card and may, at the Bank s absolute discretion and without prior notice, include any Card transaction as may be determined by the Bank. Seat Sale Alert means the SMS and/or email notice to be sent to the Cardholders regarding Cebu Pacific seat sale offers. 2. CARD PRIVILEGES 2.1 A Cardholder whose Card account is open and remains in good credit standing, as determined by the Bank in its sole discretion, is entitled to participate in the Program and to be notified of Seat Sale Alerts within 15 working days from card issuance. 2.2 If a Cardholder s Card is terminated at any time for any reason, whether by the primary Cardholder or the Bank, the Cardholder shall no longer be entitled to the Card privileges. Thus, the Cardholder shall be disqualified from participating in the Program and shall no longer be entitled to notice of any Seat Sale Alerts. 3. PARTICIPATION IN THE PROGRAM 3.1 If a primary Cardholder s Card is terminated at any time for any reason, whether by the primary Cardholder or the Bank, the primary Cardholder and any supplementary Cardholders will forthwith be

disqualified from participating in the Program and all unused CEB Points then accrued shall automatically be forfeited immediately after voluntary or involuntary cancellation of the Card. 3.2 Any remaining CEB Points shall immediately cease to be valid upon the occurrence of any of the following: (a) the cancellation of the Card; or (b) the conversion of the Card to any other Citibank credit card, and no refund, extension or compensation shall be given by the Bank; or (c) the delinquency of the Card account, or if the Card account ceases to be in good credit standing. 3.3 Transfer of CEB Points from an expired or closed Card account to a current Card account will not be allowed. 3.4 If a supplementary Card is terminated at any time for any reason, the primary Cardholder may still participate in the Program; provided that the primary Card account remains open, active and in good credit standing. 3.5 Unused CEB Points of Cardholders who have availed of debt restructuring, rewrite and other collection programs for their Card accounts shall remain forfeited despite eventual payment of their Card account. 4. ISSUANCE AND REDEMPTION OF CEB POINTS 4.1 CEB Points can only be redeemed starting on October 1, 2011. 4.2 Subject to clauses 3, 4.3 and 5, there is no time restriction on the redemption of CEB Points. 4.3 Citibank reserves the right to suspend or exclude the Cardholder from participating or continuing to participate in the Program if: 4.3.1 In its opinion the Cardholder or supplementary Cardholder has in any way breached the CEB Points Program Terms and Conditions or the Terms and Conditions Governing the Issuance and Use of Citibank Credit Cards; or 4.3.2 In its opinion the Cardholder conducts his/her Card account in a manner inconsistent with the object and intent of the Program. 4.4 A Cardholder will receive CEB Points that will be credited to his/her Card account at the rate of 1 Air Point for every PhP 1.00 charged by him/her on his/her Card for purchases of goods or services for personal consumption while the Card account is open, remains in good credit standing and is currently within the Terms and Conditions. Each Air Point is equivalent to one centavo (PhP 0.01) on the E-Voucher. 4.5 Charges on the Card that are not eligible to earn CEB Points include, but are not limited to, cash advance transactions, refunded, disputed, unauthorized or fraudulent transactions, all fees and charges (annual membership fees, interest payments, charges for cash advance, any other form of service/miscellaneous fees), traveller s check or casino chip purchases, and other unauthorized charges. Balance Conversion, Balance Transfer, Call for Cash and Retail Conversion transactions do not earn CEB Points unless otherwise stated. 4.6 PayLite transactions earn CEB Points for the portion of the principal of the monthly instalment amount billed on the statement of account. Any interest charges will not be entitled to earn CEB Points. 4.7 Charges for One Bill transactions (other than Meralco and PLDT transactions) up to an aggregate amount of PhP100,000.00 per billing cycle will earn CEB Points. One Bill charges on Meralco and PLDT transactions up to an aggregate amount of PhP20,000.00 per billing cycle will earn CEB Points. Any amount of One Bill transactions in excess of the said caps shall not earn CEB Points. 4.8 The CEB Points shall be computed on a per transaction basis and shall be rounded off to the nearest centavo, including decimal values. 4.9 For the avoidance of doubt, the Bank is entitled, in its absolute discretion, at any time and from time to time and without notice and without giving any reason, to take into account or disregard any Card

transactions or charges or retail purchase in the calculation of CEB Points to be credited or to otherwise vary the basis of calculation of CEB Points. The rates of the CEB Points are subject to change and shall be reviewed periodically at the Bank s discretion from time to time. 4.10 CEB Points accrue in the primary Cardholder's name only, but are earned through supplementary Card usage as well. 4.11 Where CEB Points have been credited to the Cardholder's Card account and/or used or redeemed before the purchase/transaction for which such CEB Points were earned is charged back, the Bank will debit the Card account for the credited CEB Points. 4.12 Where CEB Points have been credited to the Cardholder s Card account, the Bank reserves the right to forfeit the CEB Points balance in the event that the Card account becomes delinquent. Delinquent accounts shall have the same meaning as defined in the Terms and Conditions Governing the Issuance and Use of Citibank Credit Cards. 4.13 The Bank shall be entitled to debit such CEB Points even if such debiting causes the Card account to have a negative CEB Points balance. 4.14 Provided that the Card account is in good standing as determined by the Bank and that the Card Account has sufficient CEB Points, a Cardholder may select and redeem based on the qualifying CEB Points amount, via such CEB Points redemption channel as the Bank may from time to time inform the Cardholder. The Cardholder agrees that the use of any channel will be governed by its applicable terms and conditions. 4.15 The accumulation and usage of CEB Points shall be specified in the monthly statement of account. Unless expressly stated herein, CEB Points are not transferable to any other person and not exchangeable for cash or credit. 4.16 Unless Citibank hears from the Cardholder within 20 calendar days upon delivery of his/her monthly statement of account to his/her billing address, the CEB Points for the Card account as reflected on the statement are considered correct. 5. REDEMPTION OF CEB POINTS 5.1 Starting October 1, 2011, the accumulated CEB Points can be redeemed for E-Vouchers, provided that the minimum amount of CEB Points required to redeem an E-Voucher shall be 25,000 CEB Points, which shall be equivalent to Two Hundred Fifty Pesos (PhP 250.00) worth of E-Voucher. 5.2 The Cardholder can redeem his/her CEB Points by calling 24-hour CitiPhone at 995 9999 in Metro Manila, 234 9999 in Cebu, 1 800 10 995 9999 from other provinces or +63 2 995 9999 from abroad. 5.3 Each redemption request must be for a minimum of 25,000 CEB Points and in increments of 25,000 CEB Points. 5.4 No cancellation of redemption request is allowed. In the event of an unsuccessful redemption request, the CEB Points will not be debited from the Cardholder's Card account. 5.5 Redemption of E-Vouchers 5.5.1 All E-vouchers will be delivered to the Cardholder s e-mail address as indicated in the Bank s records. 5.5.2 The Cardholder understands and agrees that the E-voucher will only be e-mailed to the redeeming Cardholder. 5.5.3 The issuance of an E-Voucher to the Cardholder, and/or the Cardholder s receipt of an E- Voucher, do/es not constitute a reservation with Cebu Pacific. The Cardholder is responsible for making the booking or reservation directly with Cebu Pacific. Booking is essential to redeem Cebu Pacific Products and Services using the E-Voucher and is subject to availability of flights/seats. 5.5.4 The Cardholder may redeem the E-Voucher for Cebu Pacific Products and Services in accordance with the procedures, rules and regulations of Cebu Pacific. Citibank shall not be liable for any changes made by Cebu Pacific on the E-Voucher redemption process for which

the Cardholder may suffer any loss or inconvenience, or for the Cardholder s inability to use the E-Voucher or failure to redeem Cebu Pacific Products and Services for whatever reason. 5.5.5 Receipt of the E-Vouchers shall be at the risk of the Cardholder and Citibank is not liable to replace any E-Vouchers that may be lost by the Cardholder or that may not have been redeemed by the Cardholder for any equivalent Cebu Pacific Products and Services for whatever reason. 5.5.6 Citibank does not make any representation and/or warranty on the Cebu Pacific Products and Services redeemed by the Cardholder nor accept any liability for expenses, losses or damages which the Cardholder may incur as a result of using the E-Voucher and the Cebu Pacific Products and Services. Any and all dispute/s arising from or in connection with the use of or inability to use the E-Vouchers, redemption of Cebu Pacific Products and Services using the E-Vouchers, and the use of or inability to use or avail of the Cebu Pacific Products and Services shall be settled between the Cardholder and Cebu Pacific. 6. SEAT SALE ALERTS 6.1 By providing an email address and a mobile phone number upon application, the Cardholder agrees that the Bank shall send Seat Sale Alerts through text messages or through the Cardholder s SMS-enabled cellular phone and/or through email. 6.2 Cardholders who have existing Citibank credit cards prior to the issuance of their Cards acknowledge that the Bank shall use the mobile phone number indicated in the Bank s records, not the mobile phone number provided in the Card application form, for the Seat Sale Alerts. For those Cardholders who do not provide an email address and/or mobile phone number upon application for the Card, the Bank shall use the email address and/or mobile phone number indicated in the Bank s records for the Seat Sale Alerts. The Cardholder may call Citiphone at 995-9999 to update his primary phone number and/or email address. 7. OTHER CONDITIONS 7.1 The Bank may at any time vary, delete, add to, modify or amend these Terms and Conditions, the CEB Points, the manner of redemption, or the goods or services for which the CEB Points may be redeemed, as it may, in its absolute discretion, think fit, and the Cardholder shall be bound by such variations and amendments. Such modifications and amendments shall be effective on such date or dates as shall be determined solely by Citibank. 7.2 These Terms and Conditions may be modified, added, deleted or varied by Citibank by way of posting on the Citibank Website, or in any other manner deemed suitable by Citibank. The Cardholder agrees to access the Citibank Website at regular time intervals to view these Terms and Conditions and to ensure that he/she is kept up-to-date with any changes or variations to these Terms and Conditions. 7.3 The Cardholder agrees that his/her continued usage of the Card and any submission of redemption requests shall constitute his/her acceptance of these Terms and Conditions (as modified and varied from time to time). 7.4 Fraud and abuse relating to the earning or redemption of CEB Points may result in forfeiture of earned CEB Points. 7.5 Without prejudice to any of the Bank's rights and remedies, the Bank is entitled, at any time, in its absolute discretion and without giving any reason or notice, to terminate the Card privileges, whether the Program, the Seat Sale Alerts, or both, or withdraw, cancel or invalidate any CEB Points already issued. 7.6 The Bank is not liable if it is unable to perform its obligations under these Terms and Conditions, due directly or indirectly to the failure of any machine or communication system, industrial dispute, war, act of God, riot, strike, lockout, fire, flood, storm, or anything outside the control of the Bank, its agents or any third party. The Bank shall not be responsible for any delay in the transmission to the

Bank of evidence of retail purchases by the participating merchants or any other third party or for any delay in transmission to the Bank of any notice of seat sale offers. 7.7 The Bank shall be entitled without liability to the Cardholder or any third party to extend any processing time for the card application or redemption requests. 7.8 Redeemed goods or services are not exchangeable for other goods or services, nor refundable, replaceable or transferable for cash or credit under any circumstances. 7.9 The Bank shall not be obliged to recognize or replace any E-Vouchers, goods or services redeemed through the Program that are lost, stolen or destroyed after delivery. 7.10 The Bank shall not in any way be liable to the Cardholder, or any third party, including any accompanying persons, for any Seat Sale Alerts, whether erroneous or otherwise, or for any goods, products, or services or the quality or performance of such goods, products, or services redeemed from/supplied by Cebu Pacific, nor for any death, injury, loss of or damage to property, or consequential loss or damage of any nature that the Cardholder, and if applicable, any accompanying persons, may or has/have suffered arising from or out of the redemption of any E-Voucher, the use of Cebu Pacific Products and Services, flights and holiday packages, cancellation or delay of flights and holiday packages, extra charge, any advice, pointers, tips and directions contained in any publication or printed material pertaining to Cebu Pacific Products and Services. In the event that redemption from other third parties would be available under the Program, Citibank shall not in any way be liable to the Cardholder or any third party for any goods, products or services or the quality of performance of such goods, products or services redeemed from/supplied by any partner, service provider, merchant or any third party under/pursuant to the Program. The Cardholder should seek redress and direct any complaints or comments in respect of such goods, products and services to the respective partner, service provider, merchant or third party. 7.11 The Cardholder hereby authorizes the Bank to disclose information regarding himself/herself and his/her Card account(s) to such third parties as the Bank deems necessary for the purposes of the Card privileges. 7.12 The Bank's records of all matters relating to the Card privileges, including the Program, shall be conclusive and binding on the Cardholder. The Bank is entitled, for any reason and at any time, without liability or prior notice, to suspend the calculation, accrual or redemption of CEB Points, to rectify any errors in the calculation, or otherwise adjust such calculation. 7.13 The Bank's decision on all matters relating to the Card privileges, including the Program, shall be final and binding on the Cardholder. 7.14 The Bank has taken and will take reasonable care to ensure that information it publishes in relation to the Card privileges is accurate. 7.15 All questions or disputes regarding eligibility for the Card privileges, for the Program or eligibility of CEB Points for redemption, including transfer of CEB Points to a participating program, will be resolved by Citibank at its sole discretion. 7.16 The Terms and Conditions Governing the Issuance and Use of Citibank Credit Cards shall apply to the Cebu Pacific Citibank Card and in the event of any conflict or discrepancy between the Terms and Conditions Governing the Issuance and Use of Citibank Credit Cards and the terms set out herein, the terms set out herein shall prevail insofar as the Card privileges is concerned. 7.17 To the fullest extent permitted by law, in no event will Citibank or any of its officers, employees, representatives and/or agents be liable for any loss or damages (including without limitation, loss of income, profits or goodwill or indirect, incidental, consequential, exemplary, punitive or special damages of any party including third parties) howsoever arising, whether in contract, tort, negligence or otherwise in connection thereof, even if Citibank has been advised of the possibility of such damages in advance, and all such damages are expressly excluded.

8. TAXATION 8.1 The CEB Points obtained as a result of the Cardholder s private transactions should have no taxation consequences. 8.2 The Cardholder will be responsible for whatever tax implications may arise out of the ultimate treatment of the CEB Points.
