What is UCC Article 4A? Article 4A is state law first promulgated in 1989 by National Conference of Commissioners on Uniform State Law and American Law Institute A uniform or model law must be adopted by state legislatures to be effective By 1996, all 50 states and the District of Columbia have adopted Article 4A 3
When Does UCC 4A Apply? UCC 4A applies to funds transfers that credit the receiving account Wholesale wire transfers ACH credit entries Including Same Day ACH credits On-us transfers Remittance transfers UCC 4A does not apply to Regulation E transactions Debit transactions 4

UCC 4A Relationship to Other Law and Rules NACHA Rules Govern all funds transfers made over the ACH network, including those to which Article 4A does and does not apply Federal Reserve Operating Circulars 4 & 6 Drafted to be consistent with Article 4A; circulars control in event of conflict Apply only when the Federal Reserve Bank participates in the credit transfer Electronic Fund Transfer Act (Regulation E) Apply generally to consumer electronic fund transfers, which are not governed by Article 4A 6

UCC Article 4A Definitions 4A-103 "Funds transfer" means the series of transactions, beginning with the originator's payment order, made for the purpose of making payment to the beneficiary of the order 12
Funds Transfer: A Series of Payment Orders Funds Transfer Originator Issues Payment Order Receiving Bank Intermediary Bank Beneficiary s Bank Beneficiary Each of the payment orders in a funds transfer must be either Accepted or Rejected. The moment of acceptance is when liability for the funds transfer occurs. 13
UCC Article 4A Definitions 4A-103 "Payment order" means an instruction of a sender to a receiving bank, transmitted orally, electronically, or in writing, to pay, or to cause another bank to pay, a fixed or determinable amount of money to a beneficiary if: i. the instruction does not state a condition to payment to the beneficiary other than time of payment, ii. the receiving bank is to be reimbursed by debiting an account of, or otherwise receiving payment from, the sender, and iii. the instruction is transmitted by the sender directly to the receiving bank or to an agent, funds-transfer system, or communication system for transmittal to the receiving bank. 14
UCC Article 4A Definitions 4A-104 "Sender" means the person giving the instruction to the receiving bank "Receiving bank" means the bank to which the sender's instruction is addressed Intermediary bank means a receiving bank other than the originator's bank or the beneficiary's bank 15
UCC Article 4A Definitions 4A-103 "Beneficiary" means the person to be paid by the beneficiary's bank "Beneficiary's bank" means the bank identified in a payment order in which an account of the beneficiary is to be credited pursuant to the order or in which otherwise is to make payment to the beneficiary if the order does not provide for payment to an account Originator means the sender of the first payment order in a funds transfer Originator s bank means (i) the receiving bank to which the payment order of the originator is issued if the originator is not a bank, or (ii) the originator if the originator is a bank 16
UCC Article 4A Definitions 4A-401 Payment date means the day on which the amount of the order is payable to the beneficiary by the beneficiary s bank. The payment date may be determined by the instruction of the sender but cannot be earlier than the day the order is received by the beneficiary s bank and, unless otherwise determined, is the day the order is received by the beneficiary s bank 17
Acceptance of Payment Order 4A-209 Receiving Bank (ODFI), other than a Beneficiary Bank (RDFI), accepts a Payment Order when it executes it (i.e., issues a new Payment Order to carry out the received order) Beneficiary s Bank accepts at the earliest of: When Beneficiary s Bank pays the Beneficiary or notifies it of receipt of the Payment Order When Beneficiary s Bank receives payment at final settlement (wire settlement time, or ACH: 8:30 a.m. 1:00 p.m. or 5:00 p.m. ET) 18
When Acceptance Cannot Occur 4A-209 Beneficiary does not have account with Receiving Bank, Account has been closed, or Receiving Bank is not permitted to receive credits for Beneficiary s account 19
Rejection of Payment Order 4A-210 Bank is not required to accept a payment order How can a bank reject a payment order? By sending rejection Bank does not execute (i.e., send the payment order to the next Receiving Bank) Bank fails Acceptance precludes rejection 20
Rejection Fine Print 4A-210 Rejection of Payment Order a) A payment order is rejected by the receiving bank by a notice of rejection transmitted to the sender orally, electronically, or in writing. A notice of rejection need not use any particular words and is sufficient if it indicates that the receiving bank is rejecting the order or will not execute or pay the order. Rejection is effective when the notice is given if transmission is by a means that is reasonable in the circumstances. If notice of rejection is given by a means that is not reasonable, rejection is effective when the notice is received. If an agreement of the sender and receiving bank establishes the means to be used to reject a payment order, (i) any means complying with the agreement is reasonable and (ii) any means not complying is not reasonable unless no significant delay in receipt of the notice resulted from the use of the noncomplying means. 21
When Must Bank Refund Payment 4A-204, 4A-304, 4A-505 Bank (ODFI) must refund if: Transfer not authorized Not enforceable Erroneously executed Customer must notify bank within a reasonable time (not exceeding 90 days) in order to be entitled to interest on refund (at Federal Funds Rate) A reasonable time may be fixed by agreement but must truly be reasonable Customer must make claim within one year of notification 22
Mis-Description of Beneficiary 4A-207 Acceptance cannot occur if: Name, Account, or other Number refers to nonexistent or unidentifiable person If Payment Order identifies Beneficiary by both name and account number and name and number identify different person: If Bank does not know, Bank may rely on number If Bank does know, Bank may pay person named or account number if person is entitled Bank (RDFI) liable if wrong person is paid 23
