Agreement to Official Rules: By participating in the Sweepstakes, each entrant ( Entrant ) fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Sponsor and Administrator, which are final and binding in all matters related to the Sweepstakes. 4. Sweepstakes Period: The Sweepstakes begins at 12:00:00 a.m. Pacific Time ("PT"), April 30, 2018 and ends at 11:59:59 p.m. PT, May 14, 2018 (the "Sweepstakes Period"). Administrator s computer is the official time-keeping device for this Sweepstakes. 5. How to Enter: During the Sweepstakes Period, visit Coke.com/SouthwestEatsandBeats and follow the links and instructions to complete and submit the registration form, including providing a valid home address. P.O. Boxes are not permitted. Online Entrants must have a valid email address. Then, follow the links and instructions to vote for the featured musical artist/group (each, an Artist ) that is your favorite and the featured chef (each, a Chef ) that is your favorite, from the options presented. Once you do so, you automatically will receive one (1) entry into the Sweepstakes. The cumulative votes will determine the winning Artist and Chef that participate in the Event (details below). Entries become the property of Sponsor and none will be returned. Those who do not follow all of the instructions, provide the required information in their registration form, or abide by these Official Rules or other instructions of Sponsor may be disqualified. Limit: One (1) entry per person/email address per day during the Sweepstakes Period. Multiple Entrants are not permitted to share the same email address. Any attempt by any Entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations or logins, or any other methods will void that Entrant s entries and that Entrant may be disqualified from the Sweepstakes. Automated entries are prohibited. Any use of robotic, repetitive, automatic, programmed or similar entry methods or agents (including, but not limited to, sweepstakes entry services) will void all entries by that Entrant. In the event of a dispute as to any online entry, the authorized account holder of the email address used to enter will be deemed to be the Entrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other

organization responsible for assigning email addresses for the domain associated with the submitted address. Potential Winners (defined below) may be required to show proof of being the authorized account holders. Sponsor is not responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error which may occur in the processing of the entries. Sponsor reserves the right, in its sole discretion, to cancel or suspend this Sweepstakes should fraud, virus, bugs, or other causes beyond the control of Sponsor corrupt the administration, security, or proper play of the Sweepstakes. Sponsor is not responsible for computer system, phone line, hardware, software, or program malfunctions, or other errors, failures, or delays in computer transmissions or network connections that are human or technical in nature. 6. Drawings and Requirements of Potential Winners: Administrator is an independent judging organization whose decisions as to the selection of the Potential Winners are final and binding. On or about May 15, 2018 Administrator will select the names of the potential winners (each, a Potential Winner ) in a random drawing of all eligible entries received during the Sweepstakes Period. The odds of winning a prize depend on the number of eligible entries received during the Sweepstakes Period. The Potential Winners will be notified by email, mail or phone on or around May 15, 2018. Potential Winners must accept the prize by May 25, 2018. Sponsor is not responsible for any change of email address, mailing address, and/or telephone number of any Entrant. Potential Winners must continue to comply with the Official Rules. Winning is contingent upon fulfilling all requirements. If a Potential Winner is found not to be eligible or not in compliance with these Official Rules, or if prize notification or any prize is returned as undeliverable, the Potential Winner may be disqualified. Potential Winners are subject to verification, including verification of age, address, confirmation of availability and intention to attend event, and provision of name and age of guest to attend with him or her, and if he or she is not verified or does not provide the required information within the specified time frame, he or she will forfeit the prize. In the event that a Potential Winner cannot be contacted, forfeits the prize, or is disqualified for any reason, the Potential Winner may be disqualified. In such event, Sponsor reserves the right to award the prize to an alternate Entrant who will be selected randomly, even if the disqualified Potential Winner s name may have been publicly announced. If the alternate Potential Winners are disqualified, the applicable prize may not be awarded. Prizes will be fulfilled at the Event, see details below. Except where prohibited by law, each Potential Winner grants (and agrees to confirm this grant in writing, if requested) permission for Sponsor and those acting under its authority to use his/her name, photograph, voice and/or likeness, for advertising and/or publicity purposes in any and all media now known or hereinafter invented without territorial or time limitations and without compensation. Potential Winners may be required to complete, sign, and return an Affidavit of Eligibility/Liability Release, and, where lawful, a Publicity Release, within fourteen (14) days of attempted notification or prize may be forfeited. Guests accompanying Potential Winners may be required to sign and return a release of liability/publicity prior to the Event. 7. Prizes: 10 GRAND PRIZES: Ten (10) Grand Prize winners (each a Grand Prize Winner ) will each receive (1) a pair of tickets (lanyards) and guest list spots for the Event at the winning Chef s restaurant in San Jose on or about June 21, 2018 from [7:00pm] to [11:00pm] to listen to a performance by the winning Artist and enjoy a meal made by the winning Chef (the Event ) (ARV: $250), and (2) a gift bag (ARV: $20). Contents of gift bag determined by Sponsor, in its sole discretion. Total Approximate Retail Value ( ARV ) of each Grand Prize: $270. The ARV of the prizes is based on available information provided to Sponsor and the value of any prize awarded to a Grand Prize Winner may be reported for tax purposes where required by law.

Sponsor is not responsible if the Event is delayed, postponed or cancelled for any reason. In the event the Event is cancelled, Grand Prize Winner will be provided with a one-time cash prize of $250. Tickets to the Event may be subject to issuer s standard rain-check policies and procedures. All expenses, travel, and other costs not expressly stated in the package description above are the sole responsibility of each Grand Prize Winner. Each Grand Prize Winner's guest must be at least 21 years old. Lost, mutilated, or stolen tickets, lanyards, vouchers or certificates will not be replaced. By accepting ticket prize, each Grand Prize Winner agrees to abide by any terms, conditions and restrictions provided by the ticket. Sponsor is not responsible if Grand Prize Winner does not use ticket on day of event. No substitution, exchange or transfer of prize by any Grand Prize Winner. Sponsor reserves the right to substitute any prize for one of equal or greater value. Each Grand Prize Winner is responsible for all taxes and fees associated with prize receipt and/or use. The Grand Prize Winners may be required to provide Sponsor with a valid social security number or tax identification number before the Grand Prize will be awarded for tax reporting purposes. Limit: 1 prize per person. 8. General Conditions: In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, including, but, not limited to, fraud, virus or other technical problem, the Sponsor may, in its sole discretion, either: (a)suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules; or (b) cancel the Sweepstakes and, at Sponsor s option, award the prizes in a random drawing from among all eligible entries received up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of the Official Rules of this or any other promotion, or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. The Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. 9. Release and Limitations of Liability: Except where prohibited by law, by participating in the Sweepstakes, Entrants agree to release and hold harmless The Coca-Cola Company, Coca-Cola bottlers, AMP Agency, Southwest Airlines Co., HelloWorld, Inc., and their respective parents, subsidiaries, affiliates, promotional partners, prize partners, agents and agencies, and the officers, directors and employees of them (the Released Parties ) from and against any liability, loss, damage, claim, or cause of action (collectively, Cause of Action ) arising out of participation in the Sweepstakes or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Sweepstakes; (b) technical errors related to computers, servers, providers, printers or telephone or network lines; (c) printing errors; (d) errors in the administration of the Sweepstakes or the processing of entries; (e) late, lost, or undeliverable mail; or (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant s participation in the Sweepstakes or receipt of any prize. Entrant further agrees that in any Cause of Action, the Released Parties liability will be limited to the cost of entering and participating in the Sweepstakes and in no event shall the Released Parties be liable for attorney s fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, incidental, or indirect damages. If, for any reason, an Entrant s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, Entrant s sole remedy is another Sweepstakes entry, if it is possible. If the Sweepstakes, or any part of it, is discontinued for any reason, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any prize offered herein. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth herein to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims. 10. Disputes: Entrant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prizes awarded shall be resolved individually, without resort to

any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering any Sweepstakes, but in no event attorneys' fees. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Michigan, without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan. 11. (the Contest ) is open only to the Artists and the Chefs (as defined below) invited to participate. Contest is not open to members of the general public. Contest is subject to all applicable federal, state, and local laws and regulations and is void outside of California and where prohibited by law. Employees, contractors, directors, officers, and non-employee workers of The Coca-Cola Company ( Sponsor ),Coca-Cola bottlers, AMP Agency, Southwest Airlines Co., HelloWorld, Inc. ( Administrator ), and their respective parent companies, subsidiaries, affiliates, distributors, sales representatives, retailers, and advertising, promotion, and judging agencies and all other agents and those prize providers and agencies that are involved in the development or execution of this Contest or any of its materials, and the immediate family (spouse, parents, siblings, and children) and household members of each such person are not eligible. 2. Agreement to Official Rules. By participating in the Contest, Contestants fully and conditionally agree to and accept these Official Rules and the decisions of Sponsor and Administrator, which are final and binding in all matters related to the Contest. 3. Contest Period. The Contest begins on April 30, 2018 and ends on May 14, 2018 (the Contest Period ) 4. Contest Description: Representatives of Sponsor will identify three (3) artists (each performer or group, an Artist and collectively, the Artists ) and three (3) chefs (each, a Chef and collectively, the Chefs ), who will be invited to participate in the Contest. The selected Artists and Chefs ( Contestants ) must sign a performance agreement (the Artist Agreement and Chef Agreement ) prior to participating in the Contest setting out the Contestants rights and responsibilities as they relate to the Contest. In case of a conflict between these Official Rules and the Artist Agreement or Chef Agreement, as applicable, the Artist or Chef Agreement shall govern. Each confirmed Contestant will then be invited to participate in a video shoot as directed by Sponsor (the Video Shoot ) for the creation of additional creative assets as set forth in the Artist Agreement or Chef Agreement. Representatives of Sponsor will film each Contestant s profile video. The video footage will then be edited and turned into a short video for each Contestant, including footage from the Video Shoot, short interviews with the Contestant, and other materials as determined by Sponsor and/or its representative (collectively, the Videos ). The compilation of each Video shall be at the sole discretion of Sponsor and Sponsor s representative responsible for creating the Videos. Videos become the property of Sponsor and none will be returned. Once the Videos are complete they will be posted to Coke.com/SouthwestEatsandBeats (the Microsite ) during the Contest Period wherein entrants to the Eat & Beats San Jose Sweepstakes (the Entrants ) will have the opportunity to watch the Videos and vote for their favorite Artist and their favorite Chef (the Criteria ). The Criteria will be 100% Entrant preference, with the assumption that Artist/Chef likeability, display of musical or culinary vision and skill, connection to and representation of San Jose, and Contestant personal story were primary determining factors. Except where prohibited by law, each Contestant grants (and agrees to confirm this grant in writing, if requested) permission for Sponsor and those acting under its authority to use his/her name, photograph, voice and/or likeness, for advertising and/or publicity purposes in any and all media now known or hereinafter invented without territorial or time limitations and without compensation. 5. Selection of Winner/Winner Notification: During the Contest Period, Entrants will visit the Microsite (Coke.com/SouthwestEatsandBeats) and will submit votes for their favorite Artist and their favorite Chef.

Registration and entry into the Sweepstakes is required in order for Entrants to vote. Once registered, Entrants can vote one (1) time daily during the Contest Period. Votes by Entrants are subject to the Eats & Beats San Jose Official Sweepstakes Official Rules, available at Coke.com/SouthwestEatsandBeats. For the avoidance of doubt, Sponsor is not responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Sweepstakes or in this Contest or by any technical or human error which may occur in the processing of the entries. Sponsor reserves the right, in its sole discretion, to cancel or suspend the related Sweepstakes or this Contest should fraud, virus, bugs, or other causes beyond the control of Sponsor corrupt the administration, security, or proper play of the Sweepstakes or this Contest. Sponsor is not responsible for computer system, phone line, hardware, software, or program malfunctions, or other errors, failures, or delays in computer transmissions or network connections that are human or technical in nature. The one Artist and the one Chef who receive the most votes will be named the winners (each, a Winner ). In the event of an exact tie between two or more Artists or two or more Chefs, the Sponsor will consider the Artist or Chef who received the highest/higher number of unique votes to be the Winner among the tied entries. Sponsor and/or Administrator will notify the representative of each potential Winner on or about May 15, 2018 via email, mail and/or phone and the Artist and Chef will have twenty-four (24) hours to confirm Winner s participation in the Eats & Beats finale Event (as described below). In the event a potential Winner cannot participate in the Event as scheduled and/or does not respond to the notification within twenty-four (24) hours of notice thereof, such potential Winner may forfeit the opportunity to participate in the Event in Sponsor s discretion and the opportunity may be awarded to the Artist or Chef who received the next highest total votes in Sponsor s discretion. Sponsor is not responsible for any change of email address, mailing address, and/or telephone number of Contestants. Potential Winners may be required to complete, sign, and return an Affidavit of Eligibility/Liability Release, and, where lawful, a Publicity Release, within fourteen (14) days of attempted notification or prize may be forfeited. 6. Prizes: The Event: The Winners will collaborate with the Sponsor and its designees to design a unique event experience at,the Event. The Eats & Beats finale event is scheduled to take place at the Chef Winner s restaurant in San Jose, California or Campbell, California on or about June 21, 2018, from approximately 5:00pm PT to 11:00pm PT (the time and date of the event ultimately subject to Sponsor s sole discretion) (the Event ). The Event will be attended by local Rapid Rewards members, Rapid Reward member card holders who redeem experiential packages, and the 10 winners of the related Sweepstakes and their guests. The Event will feature a musical performance by the Artist Winner featuring the Artist Winner s music. In connection with such Event, Artist Winner agrees to perform a full 60-90 minute set of (original) music (timing to be determined by Sponsor), or a set of performances reaching equivalent length; modify Artist Winner s performance to fit the unique venue and structure of the Event; and provide meet and greet opportunities to Rapid Reward Cardholder members. Chef Winner and Restaurant agree to provide a full meal and bar service to all Event attendees and to allow all necessary Event production to take place within Chef Winner s restaurant (the Restaurant ), per terms determined when negotiating a buy-out. In connection with such Event, Chef Winner and Restaurant agree to modify their menu, restaurant layout, venue, and service to fit the unique structure of the Event. Sponsor agrees to provide Restaurant with Coca-Cola products to be used for service at the Event.

Additional Artist Winner Prize: The Artist Winner will be paid to distribute as set forth herein: (i) an appearance fee of $1,000 (the Artist Fee ) for the services performed at the Event; (ii) 40,000 Rapid Rewards Points (Approximate Retail Value ( ARV ): $540) in the form of redemption codes, provided that Artist Winner has a valid Rapid Rewards account; (iii) a premium gift package including refreshing Coca--Cola beverages and materials of Sponsor s choosing (ARV: $250). Additional Artist Winner Prize will be awarded on or around June 21, 2018. Total ARV: of the Additional Artist Winner Prize is $1,790. Sponsor will supply one (1) payment in full for the Additional Artist Winner Prize. Additional Chef Winner Prize: The Chef Winner will receive a: (i) a booking fee for the Event, as negotiated by the parties in good faith following standard procedures, including but not limited to the restaurant venue, food & beverage, furniture rentals, and service staffing (the Restaurant Fee ); (ii) 40,000 Rapid Rewards Points (ARV $540) in the form of redemption codes, provided that Chef has a valid Rapid Rewards account; and (iii) a premium gift package including refreshing Coca--Cola beverages and materials of Sponsor s choosing (ARV: $250). In addition, Southwest Airlines Co. will make good faith efforts to feature the Chef and/or Chef s restaurant in a 2018 publication of Southwest Magazine s Route Map. Additional Chef Winner Prize will be awarded on or around June 21, 2018. General: If a prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute prize with another prize of equal or greater value. The ARV of the prizes is based on available information provided to Sponsor and the value of any prize awarded to a winner may be reported for tax purposes here required by law. There will be no substitutions if winner is unable for any reason to attend the Event. If the Event is canceled or postponed for any reason, no Chef or Artist prize will be provided in lieu thereof, nor will Sponsor award an alternate prize or cash value of Prizes. Prizes must be accepted as awarded by May 25, 2018 or prize will be forfeited and may be awarded to an alternate winner in Sponsor s discretion, provided time remains. All costs and expenses associated with prize acceptance and use not specified herein or in the Artist Agreement or Chef Agreement as being provided, including but not limited to lodging, transportation costs, meals, gratuities and other expenses incurred by accepting the prize, are the sole responsibility of the Artist Winner and Chef Winner. No prize substitutions, cash equivalent, or transfer of prizes permitted except at the sole discretion of the Sponsor. Sponsor reserves the right, in its sole discretion, to award a prize of greater or equal value of the advertised prize is unavailable. Payments of all federal, state, and local taxes, if and as applicable, are solely the responsibility of the winner. Winners will be required to sign an IRS Form W-9 with the winner s full social security number or the equivalent. Failure to submit a Form W-9 upon request will result in forfeiture of the prize. Winnings of $600 or more will be reported to the IRS. 7. Conditions: In the event that the operation, security, or administration of this Contest or the related Sweepstakes is impaired in any way for any reason, including, but, not limited to, fraud, virus or other technical problem, the Sponsor may, in its sole discretion, either: (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules; or (b) cancel the Contest and, at Sponsor s option, award the prizes in a random drawing from among all eligible entries received up to the time of the impairment. Sponsor is not responsible for lost, stolen, mangled, misdelivered, postage -due, illegible, incomplete or late Sweepstakes entries or votes, telephone service outages, delays, busy signals, equipment malfunctions and any other technological difficulties that may prevent an individual from claiming a prize.

Any suspected or deliberate attempt to manipulate, or otherwise fraudulently tamper with the voting process, including the fan interaction results, may result in disqualification of the Artist or Chef, at the Sponsor s sole discretion. Fraudulent tampering includes but is not limited to: (i) offering any type of inducement or compensation (monetarily or otherwise) to any third party, in exchange for manipulation of any Contestant s voting results, (ii) fan interaction generated by a macro, script, bot or other fraudulent means in an attempt to manipulate the outcome of the Contest, or (iii) any unsportsmanlike conduct as determined by Sponsor in its sole discretion. Sponsor is the sole arbiter of compliance with these requirements and reserves the right to waive these requirements in its discretion, if it deems any action to be irrelevant to the outcome of the Contest. Sponsor, in its sole discretion, reserves the right to disqualify any person tampering with the operation of the Microsite, voting, this Contest, or otherwise in violation of the Official Rules. Sponsor further reserves the right to cancel, terminate or modify the Contest if it is not capable of completion as planned, including infection by computer virus, bugs, tampering, unauthorized intervention or technical failures of any sort. Any attempt to undermine the operation of the Contest may be a violation of criminal and civil law, and, should such attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Failure to comply with the Official Rules and the Artist Agreement or Chef Agreement, as applicable, may result in Contestant s disqualification solely at the discretion of the Sponsor. The Sponsor is not responsible for typographical or other errors in the printing, the offering or the administration of the Contest, or in the announcement of a prize. In any case, the final winners of all prizes will be determined, and prizes will be awarded, within a reasonable time after the end of the Contest Period, except as agreed between Sponsor and winners. Sponsor is not responsible if potential winner does not receive his/her prize because erroneous, expired, canceled, fraudulent, or fake information was provided during the Contest. Only the prize(s) set forth in these Official Rules will be awarded. Sponsor reserves the right to award only the stated number of prizes from all legitimate, unawarded, eligible prize claims. Except where prohibited by law each Winner grants (and agrees to confirm this grant in writing, if requested) permission for Sponsor and those acting under its authority to use his/her name, photograph, voice and/or likeness, for advertising and/or publicity purposes in any and all media now known or hereinafter invented without territorial or time limitations and without compensation. 8. SPONSOR AND RELEASED PARTIES ARE NOT RESPONSIBLE FOR LOST, STOLEN, MANGLED, MISDELIVERED, POSTAGE DUE, ILLEGIBLE, INCOMPLETE OR LATE MAIL, TELEPHONE SERVICE OUTAGES, DELAYS, BUSY SIGNALS, EQUIPMENT MALFUNCTIONS AND ANY OTHER TECHNOLOGICAL DIFFICULTIES THAT MAY PREVENT AN INDIVIDUAL FROM CLAIMING A PRIZE. THIS CONTEST OFFER IS BEING MADE EXCLUSIVELY BY THE SPONSOR. SPONSOR AND RELEASED PARTIES ARE NOT RESPONSIBLE FOR TECHNICAL, HARDWARE, SOFTWARE, OR TELEPHONE FAILURE OF ANY KIND, LOST OR UNAVAILABLE NETWORK CONNECTIONS OR FRAUD, INCOMPLETE, GARBLED, OR DELAYED COMPUTER TRANSMISSION WHETHER CAUSED BY SPONSOR, USER, OR BY ANY OF THE EQUIPMENT OR PROGRAMMING ASSOCIATED WITH OR UTILIZED IN THE CONTEST. RELEASED PARTIES ARE NOT RESPONSIBLE FOR ANY DAMAGES OR INJURY INCURRED BY WINNERS AND GUESTS AS A RESULT OF WINNING.

Except where prohibited by law, by participating in the Contest, Contestants agree to release and hold harmless The Coca-Cola Company, Coca-Cola bottlers, AMP Agency, Southwest Airlines Co., HelloWorld, Inc., and their respective parents, subsidiaries, affiliates, promotional partners, prize partners, agents and agencies, and the officers, directors and employees of them (the Released Parties ) from and against any liability, loss, damage, claim, or cause of action (collectively, Cause of Action ) arising out of participation in the Contest or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Contest; (b) technical errors related to computers, servers, providers, printers or telephone or network lines; (c) printing errors; (d) errors in the administration of the Contest or the processing of entries; (e) late, lost, or undeliverable mail; or (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Contestant s participation in the Contest or receipt of any prize. Contestant further agrees that in any Cause of Action, the Released Parties liability will be limited to the cost of entering and participating in the Contest and in no event shall the Released Parties be liable for attorney s fees. Construction and Disputes: Contestants agree that: (a) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; and (b) any and all claims, judgments and awards shall be limited to actual out-ofpocket costs incurred, including costs associated with entering this Contest or the related Sweepstakes, but in no event attorneys' fees. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Contestant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Michigan, without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan. 10.
