Sustainability Scavenger Hunt Sweepstakes The Sustainability Scavenger Hunt Sweepstakes (the Employee Sweepstakes ) is a voluntary promotion that is subject to these Official Rules (the Official Rules ). No purchase is necessary to enter or win. A purchase or payment will not increase your chances of winning. The Employee Sweepstakes is sponsored by Harman International Industries, Incorporated, 400 Atlantic Street, Stamford, CT 06901 (the Sponsor ). These Official Rules form a binding legal agreement between you and Sponsor with respect to the Employee Sweepstakes. All submissions with all correct answers will be entered into a random drawing for one of ten prizes, with a total of ten winners. In the event that there are no entries with all correct answers, the entries with the most correct answers or a drawing from the entries of most correct answers will occur. 1. Eligibility: The Employee Sweepstakes is open to the employees of Sponsor who are legal residents and who are the legal age of majority in their state or country of residence (and at least 18), have internet access and a valid email address or are willing to participate by visiting one of Sponsor s offices, at the start of the Employee Sweepstakes Period, as set forth in Section 3 of these rules ( Employee ). Sponsor s sweepstakes supervisors, contractors, vendors, and members of their immediate families, and members of Employee s families are not eligible to participate or win. Employment with Sponsor will not be affected if Employee chooses not to participate. The Employee Sweepstakes is subject to all applicable federal, state and local laws, rules and regulations. Void where prohibited. 2. Employee Sweepstakes Period: The Employee Sweepstakes begins at 8:00 a.m. Eastern Time ( ET ) and ends at 11:59:59 p.m. ET according to the dates outlined below (the Employee Sweepstakes Period ). Employee Sweepstakes Entry Start Date Employee Sweepstakes Entry End Date November 17, 2016 December 1, 2016 Entries for the Employee Sweepstakes must be received by the Employee Sweepstakes Entry End Date according to Sponsor s internal time clock. Entries will not be considered if received after the Employee Sweepstakes Entry End Date. 3. How to Enter the Employee Sweepstakes: By entering the Employee Sweepstakes, Employee agrees to be bound by these Official Rules. Sponsor will release a Sustainability Report on November 17, 2016. Employee must answer questions through a link on HarmanHub.net that relates to the Sustainability Report. Employee can enter the Employee Sweepstakes by one of the following methods:
a. Visit http://www.harman.com/sustainability/2016 to review the Sustainability Report and submit your answers to the questions provided. Employee must be connected to the network and have access to harmanhub.net. b. Visit the site leader of Employee s local office who will provide Employee with access to the Sustainability Report and questionnaire. When submitting the form, Employee must provide Employee s first and last name, Employee Harman ID and an email address where Employee can be reached in the event Employee is selected as the winner of the Employee Sweepstakes. All entries must be received within the Employee Sweepstakes Period. Online service, mobile, or data charges may apply. This is a voluntary sweepstakes. Sponsor cannot pay or reimburse Employee for any expenses related to participating in the Employee Sweepstakes including, but not limited to travel, online service, mobile or data charges. 4. Multiple Entries: Each Employee may submit one entry. 5. Ineligible Entries: Incomplete, garbled, corrupted or illegible entries are void and will not be accepted. Sponsor and its site leaders are not responsible for lost, late, damaged, delayed, destroyed, misdirected, or incomplete entries. Sponsor reserves the right to disqualify false entries or entries suspected of being false. In the event of a dispute as to the identity of a potential winner, the potential winner will be deemed to be the natural person with the name listed in the photo submission or provided to Sponsor. By entering the promotion, Employee(s) irrevocably assigns and transfers to Sponsor and its agents, affiliates, and licensees, all rights in the entry, including, without limitation, all copyrights. By submitting an entry, Employee warrants and represents that the entry is the original idea of the Employee. 6. Prizes: In total, there will be ten (10) winners from among all eligible entries received. Subject to verification of eligibility and compliance with these Official Rules, the potential winners will be declared the official winners of the Employee Sweepstakes (each an Employee Sweepstakes Winner and collectively, the Employee Sweepstakes Winners ). Limit one (1) prize per employee/person. The following sets forth the prizes for the Employee Sweepstakes. Employee Sweepstakes Winner cannot assign or transfer their prize to another person or entity. Employee Sweepstakes Winner is solely responsible for any and all federal, state, and local taxes on prize. No more than the stated number of prizes will be awarded. If there are not enough eligible entries, then less than the stated number of prizes or no prize, will be awarded. If prize notification or any prize is returned as undeliverable, or if a potential winner may not accept or receive a prize for any reason, the prize will be forfeited. Sponsor will not make multiple attempts to contact each potential winner. 7. Selection Of Winners: Ten (10) potential winners will be selected at random from among all eligible entries after the Employee Sweepstakes Period (the Potential Winners ). Odds of winning depend on the total number of eligible entries received for the drawing. Each Potential Winner will be notified by email within five (5) days of the completion of the Employee Sweepstakes Period. If a Potential Winner does not respond and comply with the instructions within forty-eight (48 ) hours after Sponsor sends the message, he/she will forfeit the prize and Sponsor may select an alternate potential winner in his/her place in a random drawing of all eligible entries received for the drawing at issue. Each Potential Winner must comply with all terms and conditions of these Official Rules, and winning a prize is contingent upon fulfilling all requirements. Each Potential Winner may be required to sign and return an Affidavit of Eligibility and Liability/Publicity Release within twenty-four (24) hours 3
of the date of notice in order to claim his/her prize and become an official winner ( Official Winner ). If a prize or prize notification is returned as undelivered, a Potential Winner cannot be contacted, or fails to sign and return the Affidavit of Eligibility and Liability/Publicity Release (collectively, Releases ) within the required time period or is not in compliance with these Official Rules, the Potential Winner may be disqualified and forfeits the prize. In the event that a Potential Winner is disqualified for any reason, Sponsor may award the prize to an alternate Potential Winner by random drawing from among all remaining eligible entries received. If after three (3) attempts to award any prize, the prize still remains unawarded, Sponsor reserves the right to not award that prize. For clarity, there will be ten (10) Official Winners. 8. Notification of Potential Winners: The potential winner will be notified on or before December 5, 2016. The potential winner will be notified by a direct message through the email address provided with the entry and posted on harmanhub.net, or by their site leader. If Employee submits an entry by the method set forth in Section 3(c), then Employee may contact its site leader for a list of the potential winners. The potential winner will be required to respond (as directed) within three (3) days of attempted notification. The potential winner shall also be sent the Releases. Unless restricted by law, the potential winner will be required to complete and return the Releases within five (5) days from the date of notification. An alternate potential winner shall be selected from among the remaining eligible entries in accordance with the selection criteria if a potential winner: (i) fails to respond to a notification of winning as required by these Official Rules; (ii) fails to sign and return the Release as required by these Official Rules; or (iii) cannot accept or receive the prize for any reason. Employee Sweepstakes Winner will be sent its prize by mail or other delivery method after Sponsor receives the completed, signed Release from the potential winner. An Employee is not an Employee Sweepstakes Winner of any prize until that Employee s eligibility has been verified. 9. Publicity: By participating in the Employee Sweepstakes, any Employee in the Employee Sweepstakes agrees to be bound by these Official Rules and irrevocably grants the Sponsor and its respective successors, assigns and licensees, and assigns the right to use (unless prohibited by law) such Employee s, name, voice, photograph, video or film clips, biographical information and/or other visual likeness in any and all media or format now or hereafter known without further compensation (financial or otherwise), permission or notification for any purpose, including without limitation, commercial, advertising and promotional purposes as well as in, on or in connection with Sponsor s website, LinkedIn, Glassdoor, Indeed, Twitter, or the Employee Sweepstakes or other promotions, and hereby release the Sponsor and each of its respective parent companies, subsidiaries, affiliates, officers, directors, employees, governors, owners, distributors, retailers, agents, assignees, advertising/promotion agencies, representatives, and agents from any liability with respect thereto, to the extent permitted by law. During the Employee Sweepstakes Period, the Sponsor may promote the Employee Sweepstakes through various social media platforms including but not limited to Facebook, Twitter, or LinkedIn, internet forums, weblogs, and Sponsor s site. 4
10. Intellectual Property: All entries (whether or not copyrightable) and any copyrighted or copyrightable works or designs or other intellectual property related to this Employee Sweepstakes are and shall become the sole property of Sponsor. By submitting an entry, and to the extent that Sponsor does not or cannot perfect its title in and to the entries, Employee hereby grants Sponsor the irrevocable, royalty-free, perpetual, transferable, worldwide right to use, reproduce, edit, market, store, distribute, have distributed, publicly and privately display, communicate, publicly and privately perform, transmit, have transmitted, create derivative works based upon, and promote any entry (as such may be edited and modified by the Sponsor in its discretion) for editorial, commercial, promotional and all other purposes (including posting on any websites). 11. Privacy. The information you provide in your entry will be used for administering the Employee Sweepstakes and for marketing purposes in accordance with Sponsor s privacy policy found here: http://www.harman.com/privacy-policy 12. General Conditions: By participating in the Employee Sweepstakes, Employee agrees to be fully and unconditionally bound by these Official Rules and the decisions of Sponsor and waive any right to claim ambiguity in the Employee Sweepstakes or these Official Rules. Any portion of the Employee Sweepstakes may be canceled, suspended and/or modified, in whole or in part, if in Sponsor s opinion any fraud, technical failure or other factor beyond Sponsor s control impairs the integrity or proper functioning of the Employee Sweepstakes. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Employee Sweepstakes, to be acting in violation of these Official Rules, or to be acting in an unsportsman-like or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Employee Sweepstakes, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Employee may not enter with multiple identities or use any automated system, bot or other device or artifice to enter or obtain more than the maximum number of qualified entries. Unclaimed prizes will not be awarded. All federal, state or other tax liabilities (including income taxes) arising from this Employee Sweepstakes will be the sole responsibility of Employee Sweepstakes Winner. Employee Sweepstakes Winners may be issued an IRS Form 1099 for the ARV of any awarded prize. Caution: any attempt to deliberately damage or undermine the legitimate operation of the Employee Sweepstakes may be in violation of criminal and civil laws and will result in disqualification from participation in the Employee Sweepstakes. Should such an attempt be made, Sponsor reserves the right to seek remedies and damages (including attorney fees) to the fullest extent of the law, including criminal prosecution. 5
13. Limitations of Liability: If for any reason an entry is confirmed to have been erroneously deleted, lost or otherwise destroyed or corrupted, the Employee's sole remedy is to submit another entry into the same Employee Sweepstakes during the Employee Sweepstakes Period. Employee and Employee Sweepstakes Winner also agree to release, discharge, indemnify and hold harmless Sponsor,, and its parent companies, subsidiaries, affiliates, officers, directors, employees, governors, owners, distributors, retailers, assignees, advertising/promotion agencies, representatives and agents (collectively Releasees ) from and against any claims, actions, liability, loss, injury or damages, disability, attorneys' fees, and costs of litigation and settlement, as well as any liability due to any injuries, damages or losses to any person (including, without limitation death to Employee, Employee Sweepstakes Winner or any third party) or real property of any kind resulting in whole or in part, directly or indirectly, by any reason, from: (i) use, redem ption, acceptance, possession, ownership, or misuse of any prize, (ii) participation in any activity, event, or excursion offered in connection with the prize, (iii) use of any facility, service and/or accommodation related to the prize, or (iv) participat ion in any Employee Sweepstakes-related activity or participation in this Employee Sweepstakes. The Releasees shall not be liable for: (i) late, lost, delayed, misdirected, incomplete unreadable, inaccurate, garbled or unintelligible entries, communications or declarations, regardless of the method of transmission; (ii) telephone system, telephone or computer hardware, software or other technical malfunctions, lost connections, disconnections, delays or transmission errors; (iii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; (iv) any injuries, losses or damages of any kind caused by the prize or resulting from acceptance, possession or use of a prize, or from participation in the Employee Sweepstakes; or (v) any printing, typographical, administrative or technological errors in any materials associated with the Employee Sweepstakes. Without limiting the generality of the foregoing, Releasees are not responsible for computer malfunctions, network connections, email delivery problems, Sponsor or third party systems failure or incompatibility, typographical, technical or key-stroke errors, or interruptions in your internet service, and for incomplete, illegible, misdirected, misprinted, late, lost, damaged or stolen notifications. In the event Sponsor is prevented from continuing with the Employee Sweepstakes as contemplated herein by any event beyond its control, including but not limited to fire, flood, earthquake, explosion, labor dispute or strike, act of God or public enemy, or any federal, state or local government law, order, or regulation, or other cause not reasonably within Sponsor s control (each a "Force Majeure" event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, or terminate the Employee Sweepstakes. If the Employee Sweepstakes is terminated before the designated end date, Sponsor may (if possible) select the winners from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be 6
construed in accordance with their terms as if the invalid or illegal provision were not contained herein. 14. Disputes: Disputes regarding these Official Rules and/or this Employee Sweepstakes will be governed by the internal laws of the State of New York, and each Employee irrevocably and unconditionally agrees that it shall not commence any action, litigation or proceeding of any kind whatsoever against Sponsor in any way arising from or relating to this Employee Sweepstakes or these Official Rules in any forum other than appropriate district or State courts of the State of New York sitting in the Borough of Manhattan. Decisions of Sponsor are binding and final. No claimant in any dispute involving Sponsor shall be entitled to claim or obtain indirect, punitive, incidental or consequential damages. Sponsor s failure to enforce any provision in these Official Rules shall not constitute a waiver of that provision. Except as prohibited by law and as a condition of participating in this promotion, Employee hereby waives any right he/she may have to participate in a class action or have a trial by jury for any litigation directly or indirectly arising out of, under or in connection with this Employee Sweepstakes, or any related document, agreement or transaction 15.
