I. GENERAL TERMS AND CONDITIONS AND INSTRUCTIONS TO BIDDERS 1. STPI Noida invites Tenders from the eligible bidders for the supply and installation of Fire Extinguishers of ABC, Clean agent and CO2 type with buyback of old Fire Extinguishers at STPI-Noida from reputed vendors who comply with general terms and conditions and scope of Purchase as per following: 2. The tender document can be downloaded from our office website www.noida.stpi.in and CPP Portal https://eprocure.gov.in/epublish/app. 3. The tender has to be submitted in one sealed envelope and write on the top of envelop Limited Tender for procurement of Fire Extinguishers with Buy back option at STPI-Noida and addressed to The Director, Software Technology Parks of India, Ganga Software Technology Complex, Sector 29, Noida -201303 (UP). 4. The completion of the order should be within 20 days from the date of Purchase Order. 5. All the pages and appendices attached should be signed by the bidder. 6. The fire extinguishers supplied should be of good quality and Brand. 7. Bid validity should be of 90 days from the date of closing. 8. The tender should be duly sealed (with sealing wax/tape) and should reach on or before 15:00 hrs on 06.04.2017 by registered post or by hand. The tender should also be duly super scribed on the top of envelope as for Limited Tender for procurement of Fire Extinguishers with Buy back option at STPI-Noida. STPI will not be responsible for postal or any other delays. 9. Award Criteria: STPI will award the Contract to the successful Bidder whose bid would be determined to be substantially responsive, technically complied and determined as the best evaluated bid in terms of lowest rates. The lowest rates (L1) will be evaluated as per the Grand Total of the Financial Bid Form in Annexure-I. If the L1 vendor refuses/fails to accept the Purchase Order within 20 days, the EMD may be forfeited. 10. The successful bidder shall be required to furnish a Performance Security within 15 days of receipt of Purchase Order for an amount of 5% of total order value in the form of a Bank Page 2 of 12

Guarantee from any nationalized/commercial bank in an acceptable form (Annexure-B) in favour of STPI NOIDA as per the payment terms. The Performance Security shall remain valid for a period of ninety days beyond the warranty period. 11. Copies of the following should be submitted along with the bid: a. Minimum turnover of 5 Lakh for last two financial year (attach copy of same). b. Service Tax Certificate c. Income Tax PAN no. d. Income Tax Return for last three years i.e. 2013-14, 2014-15, 2015-16. e. Copy of undertaking regarding Blacklisting.(Annexure-III) f. Documents regarding experience of 02 years in providing similar services/goods. g. For any query/clarification, vendor may call/visit STPI-Noida (0120-2470450,456) before quoting for the tender. h. Price Composition: The price quoted for Supply & Installation of Fire Extinguishers should be only in Indian rupees and inclusive of following: Cost of the Fire Extinguishers with accessories including gas cartridge F.O.R. destination. All taxes, duties and levies (excepting octroi which will be at actual). Installation and commissioning charges, if any Cost of training to be imparted One year on-site warranty covering all parts, service, and visits to the site. i. Payment Terms: No advance amount will be paid to suppliers. The Bill amount would be paid by STPI Noida after successful completion of Purchase. GUARANTEES The Fire Extinguishers supplied to STPI Noida should be brand new. AVAILABILITY OF SPARES Spares for the product offered should be available for at least 06 years. WARRANTY The offer must include on-site warranty of one year from the date of installation for new supply of fire extinguishers. Supplier shall be fully responsible for the manufacturer s warranty in respect of proper design, quality and workmanship of all equipments, accessories, etc., covered by the offer. The supplier must warrant all equipments, accessories, spare parts etc., against any manufacturing defects during the warranty period. During the warranty period the supplier shall maintain the equipment and repair / replace all the defective components at the installed site at no additional charge of whatsoever nature to the Bank. j. Earnest Money Deposit of Rs. 5,000/- should be deposited through NEFT, Bank Details - Bank of India, SB A/c - 711710110001585, IFSC Code- BKID0007117] on or before bid submission Page 3 of 12

closing time as mentioned in the tender document at STPI Noida failing which offer will be liable for rejection. Bidders, however, have to attach scanned copies of Earnest Money Deposit while submitting the bids. Bids submitted without EMD will stand rejected. EMD will not be accepted in the form of cash / cheque. No interest is payable on EMD. k. EMD will be return to the unsuccessful bidder after completion of award of Purchase/contract. EMD of the successful bidder will be released after submission of an amount of 5% of total order value in the form of a Bank Guarantee from any nationalized/commercial bank. l. STPI reserves the right to terminate the agreement at its option at any time without assigning any reason, thereof. m. STPI reserves the right to reject any or all of the tenders or accept them in part or to reject lowest tender without assigning any reason thereof. n. Termination By default: The STPI Noida may, without prejudice to any other remedy for breach of contract, by written notice of default sent to supplier, terminate the Contract in whole or part: a) If the Supplier fails to provide goods/services/rectification of the fault within the time period specified in the contract or any extension thereof granted by the STPI Noida. b) If the Supplier fails to perform any other obligations under the Contract. o. Rejection of the bid : a) The bidder is expected to examine all instructions, formats, terms & conditions, & scope of Purchase in the bid document. Failure to furnish all information required as per bid document or submission of bid which is not substantially responsive to the bid document in every respect may result in rejection of bid. In respect of interpretation/clarification of this bid document and in respect of any matter relating to this bid document, the decision of STPI-Noida will be final. b) Bid without EMD will be summarily rejected. c) The bidder will have to furnish the requisite document supporting the qualification/eligibility criteria and credential as specified in the bid document, failing which the bid is liable to be rejected. d) The discount, if any, should be merged with the quoted prices. If the bidder does not follow this stipulation, the bid is liable to be rejected. Page 4 of 12

e) The bids received after specified date & time will not be considered. f) The bids received through Fax / Telex/photocopy will not be considered. p. Blacklisting Company/Firm blacklisted by Govt./PSU/Corporate organization are not eligible to Bid. If at any stage of bidding process or during the currency of contract, such information comes to knowledge of STPI, the STPI shall have right to reject the bid and forfeit the EMD or terminate the contract, as the case may be, without any compensation to the bidder. q. Arbitration All disputes or difference whatsoever arising between the parties out of or relating to the construction, meaning and operation or effect of the purchase order/purchase order or the breach thereof shall be settled by reference to arbitration by the Director, STPI Noida. The award made in pursuance thereof shall be binding on both parties. The venue of arbitration shall be Noida. r. Force Majeure If, at any time, during the continuance of the agreement, the performance in whole or in any part by either party of obligation under the agreement shall be prevented or delayed by reasons of any war, hostile acts of the enemy, civil commotion, subrogate, fire, floods, earthquakes, explosions, epidemics, strikes and quarantine restrictions by acts of God (herein after referred to as eventualities) then provided notice of the happening of any such eventualities is given by either party to the other within two days from the date of occurrence thereon, neither party shall, by reason of such eventualities be entitled to terminate this contract agreement nor shall either party have any claim of damages against the other in respect of such non performance or delay in performance. Performance of the contract agreement shall, however be resumed as soon as practicable after such eventuality has come to an end. Page 5 of 12

SCOPE OF PURCHASE STPI-Noida intends to invite sealed offers for Supply and installation of following 90 nos of Limited Tender for procurement of Fire Extinguishers with Buy back option at STPI-Noida. Tenders are hereby invited from contractors/suppliers. Fire Extinguishers of old / withdrawn IS Code will not be supplied by the vendor. Supply of Fire Extinguisher with all accessories. Installation of Fire Extinguishers at suitable locations at STPI Noida. Training to Staff members at the time of installation. Rectification of any defect during warranty period of one year. 1. The completion of the order should be within 15 days from the date of Purchase Order/Purchase Order. 2. The vendor should provide maintenance services/replacement etc and support services of all the products/ equipments during the warranty period within 24 HRS failing which liquidated damages @ 2% per day or part thereof per instance if the supplies are not made within stipulated time. 3. Annexure- II DECLARATION We declare and confirm that we have not been blacklisted or deregistered by any central/ state government department or public sector undertaking and none of our Purchases had ever been terminated by client after award of contract, during last three years. We acknowledge the right of the Employer, if he finds to the contrary, to declare our Tender to be non-compliant and shall be liable for cancellation without any notice at the sole discretion of STPI Signature & Seal of the Bidder Page 9 of 12

FORM OF BANK GUARANTEE FOR WARRANTY PERFORMANCE SECURITY (To be stamped in accordance with Stamps Act of India) Annexure - B 1. THIS DEED of Guarantee made this day of between (Name of the Bank) (hereinafter called the Bank ) of the one part and (Name of the Department) (hereinafter called the Department ) of the other part. 2. WHEREAS (Name of the Department) has awarded the contract for Security services contract for Rs. (Rupees in figures and words) (hereinafter called the contract ) to M/s (Name of the contractor) (herein after called the contractor ). 3. AND WHEREAS THE Contractor is bound by the said Contract to submit to the Employer a Performance Security for a total amount of Rs. (Amount in figures and words). 4. NOW WE the Undersigned (Name of the Bank) being fully authorized to sign and to incur obligations for and on behalf of and in the name of (Full name of Bank), hereby declare that the said Bank will guarantee the Department the full amount of Rs. (Amount in figures and words) as stated above. 5. After the Contractor has signed the aforementioned contract with the Department, the Bank is engaged to pay the Department, any amount up to and inclusive of the aforementioned full amount upon written order from the Department to indemnify the Department for any liability of damage resulting from any defects or shortcomings of the Contractor or the debts he may have incurred to any parties involved in the Purchases under the Contract mentioned above, whether these defects or shortcomings or debts are actual or estimated or expected. The Bank will deliver the money required by the Department immediately on demand without delay without reference to the Contractor and without the necessity of a previous notice or of judicial or administrative procedures and without it being necessary to prove to the Bank the liability or damages resulting from any defects or shortcomings or debts of the Contractor. The Bank shall pay to the Department any money so demanded notwithstanding any dispute/disputes raised by the Contractor in any suit or proceedings pending before any Court, Tribunal or Arbitrator(s) relating thereto and the liability under this guarantee shall be absolute and unequivocal. 6. THIS GUARANTEE is valid for a period of months from the date of signing. (The initial period for which this Guarantee will be valid must be for at least three months longer than the anticipated expiry date of the Contract period). 7. At any time during the period in which this Guarantee is still valid, if the Department agrees to grant a time of extension to the contractor or if the contractor fails to complete the Purchases within the time of completion as stated in the contract, or fails to discharge himself of the liability or damages or debts as stated under para-5 above, it is understood that the Bank will extend this Guarantee under the same conditions for the required time on demand by the Department and at the cost of the contractor. 8. The Guarantee hereinbefore contained shall not be affected by any change in the Constitution of the Bank or of the contractor. 9. The neglect or forbearance of the Department in enforcement of payment of any moneys, the payment whereof is intended to be hereby secured or the giving of time by the Department for the payment hereof shall in no way relieve the Bank of their liability under this deed. 10. The expressions the Department, the Bank and the Contractor hereinbefore used shall include their respective successors and assigns.
