Signing this application creates a contract between San Joaquin Pride Center and you, and you agree that you have read and will abide by the Information, Guidelines, Rules & Code of Conduct for all vendor participants, and employees and/or representatives helping or working with you. FORCE MAJEURE: San Joaquin Pride Center shall not be liable for a delay in the Stockton Pride Festival or its performance of its obligations and responsibilities under this Agreement due to causes beyond its control, including, without limitation, weather, interruption or failure of telecommunication or digital transmission links, war, strikes, lockouts or work stoppages or other labor difficulties, energy failures, embargo, national, regional, or local emergency, insurrection or riot, acts of the public enemy, fire, flood, or other natural disaster. 6 th Annual Stockton Pride Festival Vendor Information, Guidelines, Rules and Code of Conduct 1. All Vendors must supply their own shade, canopy, tables, chairs and signage. 2. Vendors are solely responsible for collecting and reporting all sales and income taxes for yourself and/or your business. 3. Food Vendors are responsible to meet all County Dept. of Health requirements and codes and completing attached Temporary Food Vendor s Application. 4. Food Vendors are required to have a Full & Working Fire Extinguisher in their booth. 5. All booths are responsible for providing their own generators or power sources. 6. The Food Booth set-up period starts Saturday at 9:00 am. 7. All booths must be set-up by 10:45 am Saturday, ready for festival opening. 8. Booths must stay in operation until 6:00 pm. In lieu of location and public presence, booth teardown is not allowed prior to this time. 9. All participants will conduct themselves in a well-behaved and lawful manner at all times. 10. Participants are responsible for all members of their party. 11. No pets, except service animals. 12. Dress Code: Clothing required at this event. Nudity, in part or in whole, is not permitted. 13. No firearms or weapons are allowed. 14. No alcohol is allowed except in designated areas by approved vendors. 15. No illegal drugs or substances allowed. 16. No sexually explicit, adult-only merchandise may be displayed in open areas. If you have these items, they must be kept completely out of view of children when being shown. 17. Vendors are responsible to keep their booth area clean and trash put in proper receptacles. 18. Children under 12 must be attended by a responsible adult at all times. 19. No soliciting without permission of the festival administration. 20. No parking is permitted within the Weber Point facility and is the responsibility of vendor. 21. With the exception of loading/unloading, vehicles shall not park or drive through unauthorized areas; otherwise vehicles will be towed away at owner s expense by City of Stockton Parks & Recreation. Additional information, guidelines, rules and codes of conduct may be added as necessary. In the event that there is an update, San Joaquin Pride Center will distribute an updated copy. A participant refers to vendors, groups, organizations, presenters, entertainers, festival staff and volunteers. Festival vendor participants, and their employees and/or representatives agree to hold harmless the San Joaquin Pride Center, Stockton Pride Festival Promoters, Sponsors, Property Owners, and any of their officers, directors, employees, agents, or representatives for any and all claims for loss, damage, theft, injury or liability from all activities while occupying said premises and event. Vendor participants and their employees and/or representatives agree to comply with list of Information, Guidelines, Rules & Code of Conduct (page 2) provided with this Disclaimer. Furthermore, Vendor participants and their employees and/or representatives agree to comply with the decisions made by San Joaquin Pride Center and Stockton Pride Festival Promoters as to enforcement of the said list contained with the Information, Guidelines, Rules & Code of Conduct. Special Event Vendor Form All vendors seeking authorization to sell food, non-alcoholic, alcoholic beverages, or merchandise on City of Stockton property during a special event or private rental must have a valid permit from the City of Stockton Community Service Department. Per SMC 12.56.010, without the proper Special Event Permit, it is unlawful to sell any goods or services of any kind within a City of Stockton park or facility. By completing the necessary special event requirements you will be permitted to sell goods during special events that have identified you as one of their vendors. In addition, your business will be added to the City of Stockton Special Event Annual Vendor Database, which is valid for one (1) year from the date of approval. Upon request, this database will be provided to event organizers who are looking for potential vendors at their events held on City of Stockton property. You may also be contacted by City of Stockton personnel for any City-produced community events. HOLD HARMLESS Contractor agrees to indemnify, save, hold harmless, and at City's request, defend the City, its officers, agents, and employees from any and all costs and expenses (including attorney and legal fees), damages, liabilities, claims, and losses occurring or resulting to the City in connection with the performance, or failure to perform, by Contractor, its officers, agents, sub-contractors, employees, or anyone directly or indirectly employed by any of them, or anyone for whose acts any of them may be liable under this Agreement, and from any and all costs and expenses (including attorney and legal fees), damages, liabilities, claims, and losses occurring or resulting to any person, firm, or corporation who may be injured or damaged by the performance, or failure to perform, of Contractor, its officers, agents, or employees under this Agreement. The duty to defend and the duty to indemnify are separate and distinct obligations. The indemnification obligations of this section shall survive the termination of this agreement.
