Each AEPA Member Agency will make that determination after reviewing AEPA recommended bids. The AEPA Member Agency s contracting decision shall be final. Estimated first year volume for this solicitation is provided above where available. AEPA Member Agencies anticipate that purchase volume will increase in contract years 2-4. This information is provided as an aid to vendors in preparing bids only. It is not to be considered a guarantee of volume under this IFB. The successful vendor s discount and pricing schedule shall apply regardless of the volume of business under the contract. 3. Glossary of Terms AEPA Member Agency: A state cooperative purchasing agency recognized by AEPA to represent a specified state in contracting activities associated with this solicitation. Contracting AEPA Member Agency: An AEPA Member Agency that enters into a contract as a result of this solicitation. Member: A public school district or other qualifying agency authorized to use the contracts of an AEPA Member Agency. Vendor: Individual or entity providing goods and services to AEPA members based on the specifications of this solicitation. Page 2 of 5

4. Special Terms & Conditions The following are in addition to the applicable standard terms and conditions. Please review these carefully. Any exceptions to these terms and conditions shall be clearly stated in writing and included with the bid response. 4.1 General 4.1.1.ThesuccessfulvendormustgiveAEPAmembersthebenefitofallgeneralpricereductions extendedtoitsothercustomersatanytimeduringtheperiodofthiscontractorany extensionthereof.writtennoticewillbemadetoaepamembersintheeventofadecrease intheprevailingcontractpriceandwillbecomeeffectiveimmediately. 4.1.2.Thesuccessfulvendormustabidebyallapplicablefederal,state,andlocallaws,codes,and ordinancesgoverninganyarea(s)inwhichanyserviceisrenderedandmusthaveall requiredpermits,licenses,agreements,tariffs,bondingandinsurancerequiredbysame.no claimsforadditionalpaymentwillbeapprovedforchangesrequiredtocomplywithany suchrequirements. 4.1.3Responsesmustclearlyidentifyallchargesandcomponentsnecessaryforperformanceof thecontractevenifsucharenotspecificallyaddressedinanyparagraphorsup paragraph orformthatisapartofthisrequest.optionalservicesmustbeidentifiedseparately,and mustincludecleardescriptionsofproposedservices. 4.1.4.Vendorsmustprovideaproductormixofproductsinamannerthatwillallowcontract participantstomigratetoemergingtechnologies/servicesandbetweenlegacy technologieswithnopenaltychargeassociatedwithmaintainingthemostappropriate selectionsofgoodsandservicesthroughoutthelifeofthecontract.allproduct submissionsthatoccurafterthebidawardbywinningbiddersmustbereviewedand approvedbytheaepacopiercommittee. 4.1.5.AdditionaldiscountsoffofAEPAbidpricingmaybegivenbythevendorasaspotreduction forsinglesalesopportunitieswhichexceedtwenty five(25)units,or$100,000.ifsuch discountsareoffered,theymustbeextendedtoanyotheraepamemberwhomeets comparablecriteria. 4.1.6.AdditionaldiscountsoffofAEPApricingmaybeofferedbythevendortomemberswho makeahighvolumecommitmentof100,000impressionspermonthorgreater. 4.2 Equipment 4.2.1.Allequipmentwillbenewandwarrantedbythemanufacturer.Thevendormustlistand describethetypesofdigitalcopiersavailable.allequipmentmustbeofthebestquality, workmanshipandmaterialoftheirrespectivekind.allcopiersaretobenew,plainpaper copiers.remanufacturedornewlyremanufacturedequipmentwillbeconsideredaslong asitisremanufacturedbytheoriginalequipmentmanufacturer(oem).alloem remanufacturedequipmentthatisquotedmustbeclearlylabeledassuchinthebid package.refurbishedequipmentwillnotbeconsidered.copierswillberequiredtorun recycledpaper.modelsandmakesspecifiedarefordescriptivepurposesonly.copiersof equivalentorsuperiorqualityandfunctionalitywillbegivenequalconsideration. However,inadditiontospecifyingthemachineyouarebiddingonthebidform,youmust enclosedescriptiveliteratureonmachinesyoubid.suchliteraturemustincludeata Page 3 of 5

minimumthespecificationsregardingcopyspeed,reduction/enlargement,document feeder,accountorauditronreceptivity,sorterandbins,stapling,finishing,electrical requirementsandenergyconsumption.also,thenumberofcopiesrecommendedper monthbythemanufacturerandexpectedlifeofeachmachinemustbeincludedinthebid. 4.2.2.Allcopierequipmentwillbebidasaseparateitemfromservice. 4.2.3.Thevendorwillwarrantallequipmentforthetermofthecontract,againstdefectsin materialsorworkmanshipandwillreplaceatnocosttothepurchaseranyequipmentthat isdefective.thereplacementwillbemadewithinone(1)workingdayfromthedateofthe notificationoftrouble. 4.2.4.Allmachines,ifrequired,mustbecapableofaccountassignment,whichtracksthecopy countusageofeachaccountnumberassigned. 4.2.5.Bidpriceshallincludeallequipmentcost,delivery,installation,removal,emergencyand scheduledpreventativemaintenancerepairs,allparts,allsupplies(exceptpaperand staples)andpropertrainingtokeypersonnel.allequipmentshallequalorexceed,inall respects,therequestedspecificationsprovidedintheschedule.pricingshallnotinclude taxes.contractorshallmakeclearthatanytaxesnotinitiallyidentified,thatmightoccurin thefuture,aretheresponsibilityofthecontractor. 4.3 Service and Coverage 4.3.1.Afterbeingnotifiedbytheusingagency,arrivalofarepairtechnicianshallnotexceedfour (4)workinghours.Workinghoursaredefinedbytheindividualdistrict,excluding individualdistrictholidays,andwillbesuppliedtothecontractoruponrequest.machines shallbekeptingoodworkingordersothatworkdelaysandcopyproblemswillbe minimized.intheeventthatacopierexhibitscontinuingbreakdownsorpoorcopyquality foronemonthorfive(5)emergencybreakdowncalls,theindividualdistrictreservesthe righttorejectthecopier.thecontractorwill,atthedistrict soption,replacethecopier withanacceptablecopierforthedurationofthecontract. 4.3.2.Thesuccessfulcontractormustprovideloanerequipmentwheneverservicecannotbe completedinareasonableperiodoftime. 4.3.3.Thesuccessfulcontractorwilltrainoneindividualforeachcopierinthemachinelocation asakeyoperatorandwilltrainreplacementkeyoperatorsasrequired.arrangementsfor trainingshallbecoordinatedbythecontractorwitheachdistrictinwhichcopiersare located. 4.3.4.Bidrespondersshouldprovideanyserviceandwarrantythatwillbeprovidedbutnot otherwiselistedinthisbid. 4.4 Billing and Management Reports 4.4.1.Bidrespondersmustdescribebillingmethod(s)andchargesinaclear,straightforward fashionsothatatrueandaccuratepricemaybederived,testedandusedintheevaluation ofinvoicesrenderedastheresultofanycontractenteredintoasaresultofthisbid. 4.4.2.Norecurringorlikeservicechargesmaybeappliedtolaterinvoicesifomittedfromthe invoiceonwhichthechargeshouldhaveappeared. 4.4.3.Bidrespondersmustagreetoprovidequarterlyutilizationreportstothecontract administratorbaseduponaepapricingagreement. 4.4.4.Onemonthlyinvoicewillbesubmittedtoeachdistrict.Thecontractormustbecapableof summaryinvoicing.contractormustsubmitwiththeinvoiceanitemizationshowingat minimumthelocationofeachmachine,i.d.number,andthenumberofcopiesrunduring thebillingcycle. 4.5 Technical/Customer Support Requirements Throughoutthelifeofthecontractandanyextensionthereof,thesuccessfulvendorwillprovide aserviceforcetoeffectappropriateaccountmanagement,maintenance,andcustomerservice activities.accountmanagerstooverseeactivitiesundertakenbyemployees,subcontractors, andothersprovidingservicespursuanttothecontractresultingfromthisbid.billingspecialists toassistinresolutionofdifficultieswithinvoicesrenderedbythesuccessfulvendororits agents.customerservicespecialiststoassistuserswithdeviceoperationandsupported peripherals. 5.
