A G R E E M E N T PRINTERS/SUPPLIERS THIS AGREEMENT made this day of BETWEEN State Bank of India, Regional Stationery Department LHO, Mumbai and M/s firm/partnership firm/company having its registered office at hereinafter called the Contractor (which expression shall unless excluded by or repugnant to the context be deemed to include its successors and assigns) of its ONE PART and STATE BANK OF INDIA a body corporate constituted under State Bank of India Act 1955 having its Local Head Office at Synergy Building, Bandra Kurla Complex, Bandra East Mumbai 400 051 and one of its Regional Stationery Department at Plot no. Sp. 12, Phase I, Kalyan Shil Road, MIDC Area, Dombivali East, 421203. Dist Thane, Maharashtra. hereinafter called the Bank (Which expression shall unless excluded by or repugnant to the context be deemed to include its successors and assigns, of the SECOND PART. WHEREAS the Bank has at the request of the Printers/Suppliers agreed to handover to the Printers/Suppliers the responsibilities of carrying out Printing/supply of stationery items/articles belonging to the Bank to such places of destination as may be directed by the Bank from time to time. AND WHEREAS the Printer/Supplier has agreed to carry out the said responsibilities on the terms and conditions hereinafter appearing.
NOW THIS INDENTURE WITNESSETH and it is hereby agreed by and between the parties hereto as follows : (i) (ii) (iii) (iv) (v) (vi) That the paper will be lifted by the Printer/supplier from the office or the place instructed by the Bank within a reasonable period but not later than 7 days from the date of such work order. That the goods so accepted for printing/converting will be delivered at Regional Stationery Department Dombivali/the consignee s address/at the place instructed by the Bank within a period stipulated in the work order, in any case not exceeding 45 days from the date of getting paper. That the paper lifted/supplied will be properly taken care of against all weather and fire hazards and will be adequately protected from thefts, burglary etc. and the Printer/Supplier shall take out insurance cover for the entire consignment. That in the event of any damage caused to the paper in transit, the printer/supplier shall adequately compensate the Bank for the loss on the basis of the claim put up by the Bank as per its record of dispatch which would not be disputed by the printer/supplier and accepted as correct. The Bank reserves the right to deduct or hold payment of printer/supplier s bills against any losses sustained by it on account of acts of omission or commission of the printer/supplier. The printer/supplier shall keep with the Bank a deposit of (Rs.50,000.00/,5,00,000/10,00,000.00 as per category/ nature of work) in cash/bank Guarantee as security deposit which shall be repaid/returned by the Bank to the printer/supplier.
(vii) (viii) (ix) As and when required by the Bank the printer/supplier shall provide right type of vehicles at the place or places directed by the Bank with proper authority to lift bank s consignments. That the printer/supplier shall supervise proper loading of the goods to avoid any damages to the same in course of transit. That the printer/supplier shall during the course of transit take adequate and appropriate protective measures of the goods including tie up with ropes and tarpaulin covering. (x) (xi) (xii) That the bills for payment shall be submitted to the Bank accompanied with the acknowledged/receipted challan for issuing cheque/draft in favour of the printer/supplier in due course. Delivery of such cheques/drafts shall be taken by the contractor or his agent duly authorized in writing from Bank s office. That the door delivery shall be effected during the office hours of the consignees. That if actual transportation is entrusted to other agencies, at any stage, then it will be the sole responsibility of the contractor to ensure proper adherence to all the above conditions and that the contractor shall be primarily liable for any loss or damage arising out of such transportation.
(xiii) (xiv) (xv) (xvi) (xvii) That for any delay on the part of printer/supplier beyond the stipulated period from the Scheduled delivery date, the printer/supplier shall be liable to pay the bank the penalty apart from recovery of the cost of the Bank s paper at the entire discretion of the Bank reserving further the right to forfeit security deposit/ invoke Bank Guarantee and to take other actions. That on the basis of day-to-day experience, in case it is felt necessary to make additions/alterations of any of the above conditions, it may be done by exchange of letters, which will be acceptable to the printer/supplier Generally the printer/supplier shall indemnify and keep indemnified the Bank without any demur against any loss or damage that may be suffered / incurred by the Bank by reason of printer/supplier s handling the transportation of the said goods from time to time as aforesaid. The Printers/Suppliers should ensure that the paper supplied by the Bank to them is adequately insured at their cost. If the paper is supplied by the Bank, the penalty would be @ 2% per week of delay and if the paper is not supplied by the Bank, the penalty would be @ 2% per month on the printing /labour charges paid by the Bank to the printers/suppliers. (xviii) This Agreement will be valid till the period of this empanelment and its renewal/extension if any.
(xix) The breach of terms and conditions of this Agreement and/or work entrusted is not performed as per stipulation including the quality, the Bank is entitled to remove the printer/supplier from the panel. In Witness whereof the parties hereinabove have executed these presents on the day and year first herein above written. Signed and Delivered by Sri being the contractor aforesaid Signed and Delivered by Sri an authorized officer of the State Bank of India for and on behalf of the said Bank. The common seal of the said. being the Contractor hereinabove were hereunto affixed pursuant to a resolution of its Board of Directors passed in that behalf on the day of The Sealing clause shall be in conformity with the Articles of Association of the Company.
