Managed portfolio Beanstalk 20 Shares Portfolio Portfolio manager The portfolio manager is Beanstalk Investment Management Pty Ltd (ABN 49 111 957 807; AFSL 285643) ( BIM ). The portfolio manager is responsible for designing and managing the composition of this managed portfolio to meet the investment objectives and investment strategy detailed below. Execution of investment strategy Code HUB24 is responsible for implementing the investment instructions of the portfolio manager, by buying and selling of shares, taking into consideration, timing, trading costs (such as brokerage and currency costs, if applicable) and the mandate of the portfolio. HUB24 has the right to vary the managed portfolio, as set out in the IDPS Guide. The Beanstalk 20 Shares Portfolio aims to outperform the S&P/ASX 300 (TR) over the long term (7 years) and to generate superior post-tax returns. Investments are typically made with a long term time horizon. Investment decisions are made bearing in mind capital gains tax, franking of dividends and other taxation considerations. Turnover aim The strategy is an active investment strategy seeking to optimise long term post-tax returns and as such portfolio turnover is, on average, low. The investment management fee is calculated as a percentage of the managed portfolio calculated daily and deducted from your cash account monthly in arrears. The investment management fee is paid to HUB24 and used to remunerate the portfolio manager for its services in relation to the Service, and to meet the costs of the asset consulting and the investment management services associated with the portfolio. About the portfolio manager Beanstalk Investment Management Pty Ltd Established in 2004, Beanstalk Investment Management (BIM) Pty Limited is an Australian-owned investment manager based in Sydney. It offers investment solutions to charities, high-net-worth individuals, corporate and institutional clients. BIM recognises the responsibility and relationship of trust associated with wealth management. BIM believes a solid, ethical approach in daily operations is the cornerstone of successful business. Consequently, compliance obligations are taken seriously. Similarly, BIM s attention to growing and protecting your wealth occupies and engages it continuously. The company believes a long-term approach is conducive to investing successfully. It is also interested in maintaining a sustainable relationship with its clients. BIM does not believe it is in the clients' interests for the company to charge performance fees of the type usually seen in the marketplace. Such fees give the manager an incentive to take unnecessary risks with clients' money. Instead, BIM is rewarded on a flat-fee basis. This creates an incentive to grow clients' wealth while also ensuring that the manager endeavors to protect clients' funds from a potential market fall. This incentive is consistent with a long-term client relationship. Investment strategy and process Investment philosophy and strategy BIM starts by understanding the importance of capital preservation. Investments are then made in assets that represent value given the expected returns from those assets. Consideration is also given to the existing portfolio profile. The portfolio profile describes the level of diversification in asset classes as well as across asset classes. Investments are typically made with a long term time horizon. Investment decisions are made bearing in mind capital gains tax, franking of dividends and other taxation considerations. The approach to finding the expected return from an asset involves in-depth in-house research. A representative of BIM undertakes company or manager visits, comparative industry analysis and thorough financial modelling of assets. BIM also maintains a continual oversight of global value and economic relativities across countries and asset classes. Asset markets do not operate in a vacuum but are integrated. It is therefore a fundamental belief that all asset classes, industries and geographical markets must be considered when making investment decisions, even if just one market is involved. Stating this objective is one thing, but benefiting from it requires active daily management. In this respect, BIM is well positioned to exploit universal valuation discrepancies. Investment process The Beanstalk 20 Shares Portfolio chooses its investments following a rigorous stock selection process. Its long term focus and approach is suited to optimising post-tax returns for the portfolio. Industry capital flows and key valuation ratios are considered to determine which investment candidates are worthy of further consideration. Research favours industries where cost of capital is high and long term expected returns are set to increase because of low current investment. It also favours those companies trading on low relative valuation multiples. The process for stock selection then centres on developing inputs for company modelling. This involves visits to management and other parties, forming long term industry assumptions and long term economic assumptions. Management s capital intentions are relevant. A dividend discount model is developed with cash flows tempered by valuation output controls. The bulk of the Beanstalk 20 Shares Portfolio consists of companies with an available ten year, financial track record. Upon completion of this process, the valuation of each qualifying company is compared to its current price to form an expected return. The expected returns of companies are compared as the first step in forming or changing the portfolio. Taxation Taxation is incorporated into the ranking system of expected returns for each investment by the generation of a tax-effected expected return. To do this, Beanstalk produces the following - 1) posttax internal rates of returns and 2) a CGT liability / tax benefit for existing holdings. Portfolio construction risk management To prevent the portfolio from being exposed to concentration risk, Beanstalk has developed the Beanstalk Proprietary Diversification Model to assist in portfolio construction. 4

The Beanstalk Proprietary Diversification Model is crucial for portfolio construction and portfolio management at Beanstalk. It assists directing the underlying portfolio to the efficient frontier ; value adding through market timing within the strict confines of Beanstalk portfolio construction; providing a snapshot of the weighted characteristics of the underlying portfolio and how they have changed; an independent check of the numeric valuation process; and contributing to the Beanstalk research program for the following year. How the portfolio manager manages risk? BIM attempts to manage risk through the use of fundamental analysis according to a proscribed and measured investment process. This process uses a long term approach to investing. Long term historical data is used in asset analysis and valuation output controls may be considered as a means to reducing pricing risk. Individual asset risk is then mitigated by the use of portfolio diversification. BIM uses the Beanstalk Proprietary Diversification Model above as one tool in this regard. See the Risks section in the IDPS Guide and please note this is not an exhaustive list of all the risks. The risks relevant to this portfolio reflect the underlying investments. For information about risks with regard to your personal situation speak to your adviser. Trade notifications If the portfolio manager is planning to perform a rebalance or reallocation on your investment, HUB24 may send you an email notifying you of a set of pending investment instructions. This is called a trade notification. The specific details of the investment instructions will be set out on InvestorHUB. You have a minimum of 24 hours from the time and date of the trade notification to cancel these pending investment instructions. If you don t respond or take any action in relation to the pending investment instructions, the portfolio manager will submit the investment instructions on or around 10.00 am the next business day. If you opt out (i.e. do not consent) to the portfolio manager s proposed rebalancing or reallocation your investment in the managed portfolio will be withdrawn and be deposited into your cash account. If you can t contact your adviser to cancel the pending investment instructions, you can give HUB24 verbal and or written instructions directly, as long as the verbal and or written instructions are received by HUB24 within the time frame mentioned above. The rebalance and reallocation of managed portfolios may occur regularly and you may receive a trade notification from HUB24 each time a rebalance or reallocation occurs. Note: The trade notification feature has been developed to provide transparency and the right to veto any pending investment instructions within the agreed timeframe with your adviser or HUB24. Universe of investments A managed portfolio can only be made up of asset classes and underlying assets and securities from the approved list of investments in the Service. The portfolio manager will select from this list to construct this managed portfolio. Where available, the actual list of assets and securities acquired in all of the above asset categories will be set out in your Statement of Advice.
