It s a great time to take advantage of your University of Virginia retirement benefits. The University of Virginia has selected Fidelity Investments and TIAA-CREF as our ongoing retirement service providers, effective October 19, 2011. This change is based on the work of the UVa Retirement Administrative Committee and follows a review of the retirement programs and recommendation process in light of new federal regulations that require greater oversight of investments and plan administration of retirement plans. Together with Fidelity and TIAA- CREF, UVa will offer a new level of service and a renewed commitment to help you prepare for retirement. Use this guide as a resource to help you make the best investment decisions for your future. Review the changes and familiarize yourself with the key dates so that you understand how your account may change during the transition period. There are some exciting changes ahead. A New Investment Lineup several changes to our lineup have been made in order to provide a diversified range of low-cost mutual fund options from nationally recognized fund families, including Fidelity s mutual funds and target date funds along with 96% of the funds previously offered at Vanguard. Streamlined Number of Providers in October, Fidelity and TIAA-CREF will become our only two approved retirement service providers. Vanguard investors will continue to have access to their Vanguard investments through the Fidelity platform. Fidelity Freedom K Funds Fidelity s lower-cost lifecycle funds. Loans beginning October 19, 2011, UVa is offering the ability to take a loan through your Fidelity account. Loans were not previously available through Vanguard or Fidelity. In-person Guidance* dedicated representatives from each of our retirement providers are ready to meet with you on Grounds to help with managing your retirement account(s). Fidelity Investor Center access the Richmond, Va., Investor Center with professionals trained to know all about the University of Virginia plans. * Although consultations are one on one, guidance provided by Fidelity is educational in nature, is not individualized, and is not intended to serve as the primary or sole basis for your investment or tax-planning decisions. 3 113766_02_BRO_UVA_TBRO.indd 3

The blackout period. In October you will no longer be able to maintain a Vanguard retirement account. Instead, the Vanguard fund lineup will become available on the Fidelity platform and your Vanguard account will be transferred to Fidelity. As part of the transition from Vanguard to Fidelity, you will have restricted account access, temporarily, if your account is currently held at Vanguard. This period during which you will be unable to exercise the transactional rights otherwise available is called a blackout period. During the blackout period, you will be unable to modify your investment holdings or take a distribution from the plans. There will be no blackout period for any accounts that are currently held with either Fidelity or TIAA-CREF. The blackout period is expected to begin on October 13, 2011, at 4 p.m. Eastern time and end the week of October 23, 2011. It is very important that you review and consider the appropriateness of your current investments in light of your inability to direct or diversify those investments during the blackout period. On October 19, 2011, your account balance will be invested in the new investment options at Fidelity according to the chart on pages 9 12. If you do not want your investments to transfer this way, you must make an exchange in your current investment options at Vanguard before 4 p.m. Eastern time on October 13, 2011. If you do not make a change by this deadline, your account balance will transfer to the new investment options and you will not be able to make any changes until the blackout period has ended, (approximately the week of October 23, 2011). For your long-term retirement security, you should give careful consideration to the importance of a well-balanced and diversified investment portfolio, taking into account all your assets, income, and investments. 4 113766_02_BRO_UVA_TBRO.indd 4

Important dates. Please review the calendar of events below so that you can understand how account activities will be affected during the blackout period and conversion to Fidelity. This calendar will help you plan ahead for any actions you may want to take. Visit http://www.hr.virginia.edu/go/retirement for a complete schedule of events and links to on-demand webcasts that you can view at your own pace, any time. Review your investments in your Vanguard account If you do not want your current investments at Vanguard to transfer to the new investment options at Fidelity as shown on pages 9-13, you must make an exchange in your Vanguard account before 4 p.m., Eastern time on October 13, 2011. Choose a retirement services provider During this time, you will have the opportunity to elect which of our two approved providers (Fidelity or TIAA-CREF) your Vanguard account will be directed to. If you would prefer to invest with TIAA-CREF, you will need to contact TIAA-CREF to initiate a plan-to-plan transfer of your account from Vanguard. If you prefer to invest with Fidelity, no action is required; your account will be transferred to Fidelity on October 19, 2011. Blackout period begins at Vanguard exchanges and distributions restricted The last day to make an exchange, change your contribution amount, or process a distribution through Vanguard is October 13, 2011. Valuation date Account balances will be valued after 4 p.m. Eastern time on October 18, 2011. Transition of accounts from Vanguard to Fidelity University of Virginia plan assets held at Vanguard are scheduled to be transferred to Fidelity according to the chart in the How your Vanguard account will transfer section on pages 9 12. Full account access in your new account at Fidelity The University of Virginia Retirement Plans will open for all plan services through Fidelity Investments. You can now: Request exchanges among investment options Check your account balances Request loans, withdrawals, and distributions Visit http://www.mysavingsatwork.com/atwork/uva.htm or call 1-800-343-0860 to access your account or speak to a Fidelity representative. Beneficiary forms Any beneficiary information you currently have on file will not be transferred to Fidelity. Please complete the new beneficiary designation form included with this packet and return it to Fidelity in the envelope provided. New statement from Fidelity Once the transition is complete, you will receive off-cycle statements from both Vanguard and Fidelity showing the conversion of your account. Ongoing at Fidelity, quarterly account statements will be available online at http://www.mysavingsatwork.com/atwork/uva.htm starting with the fourth quarter cycle, available in January 2012. If you want to receive an e-mail reminder when your online statement is available each quarter, you will need to share your e-mail. A paper statement of your account may be requested at any time. The effective date of plan changes and the end of the blackout period depend upon the accurate, timely transfer of data. If this does not occur, the delivery of services and investment options described here could be delayed. 5 113766_02_BRO_UVA_TBRO.indd 5

Investment lineup changes. There will be a new investment lineup available to all employees with Fidelity accounts. The new lineup includes: The change of 16 existing Fidelity funds to lower share classes Addition of 94 funds previously available at Vanguard to the Fidelity platform The change of 40 Vanguard funds to lower share classes Removal of four Vanguard investments New share class information The current suite of 12 Fidelity Freedom Funds is being removed and will be replaced by the suite of Fidelity Freedom K Funds, effective at 4 p.m. Eastern time on October 4, 2011. The Fidelity Freedom K Funds are a new series of Fidelity target date retirement mutual funds. All existing balances and future contributions in the Fidelity Freedom Funds will be transferred to the Fidelity Freedom K Funds, as shown in the chart below. The Fidelity Freedom K Funds have the same management team, investment objectives, and invest in the same underlying funds as the Fidelity Freedom Funds. Because they are designed as Fidelity s institutional target date series of mutual funds, Fidelity Freedom K Funds have a lower expense ratio than the corresponding target date Fidelity Freedom Funds, resulting in lower expenses for plan participants. Similarly, there are four additional Fidelity Funds that will be replaced by Class K shares, resulting in lower expenses. The Fidelity funds with lower share classes are shown in the chart below. If you request a change either before or after this transition without satisfying the required holding period, you may incur a short-term trading fee. 7 113766_02_BRO_UVA_TBRO.indd 7

Vanguard funds available through Fidelity You will also have access to 94 funds that were previously available at Vanguard on the Fidelity platform, 40 of which will have a lower-cost share class. This will be a move to the Institutional, Admiral, or Signal share classes. Because this will be a share class change only, it will not change the fund s investment objective or strategy but will benefit plan participants by providing a lower expense ratio. Please see the chart on the following pages for details. Investment options no longer available The following investment options will no longer be offered in the University of Virginia Retirement Plans. Any balances you have invested in these funds will be transferred from Vanguard to Fidelity as shown below on October 19, 2011. If you do not want your investments to transfer this way, you must make an exchange in your current investment options at Vanguard before 4 p.m. Eastern time on October 13, 2011, when the blackout period begins. While many accounts may need to be liquidated, then reinvested into the new investment option, UVa may determine, based on various factors, that a reregistration, or in-kind transfer, is appropriate. Please be aware that the transfer methodology may vary by individual investment option. Therefore, certain investment options may be out of the market for a day or more, while others are able to remain fully invested during the transition. Keep in mind that the chart above contains changes for all the UVa Plans at Fidelity. Because each plan has a slightly different investment lineup, you may not be eligible to invest in all the options shown above. Once the blackout period is complete, your account through Fidelity NetBenefits will show the specific fund list available to you at a plan level. 12 113766_02_BRO_UVA_TBRO.indd 12

Next steps. Complete the new beneficiary designation form. Review your investments at Vanguard. Review the Investment Guide brochure included in this packet. Attend a webcast. Meet with a Fidelity Workplace Planning and Guidance Consultant. Register your e-mail address online. Your beneficiary designation at Vanguard will not transfer to Fidelity, so you will need to complete a new designation by completing the form included in this packet. Return it to Fidelity in the postage-paid envelope by November 30, 2011. In light of your inability to make changes in your Vanguard account during the blackout period (October 13 October 19), we suggest you review your current investment holdings to ensure you are comfortable with how your current investment holdings will transfer to Fidelity from Vanguard (if you elected Fidelity as your investment service provider or made no vendor election). Be sure to make any modifications in your Vanguard account before 4 p.m. Eastern time on October 13, 2011. The accompanying brochure in this packet contains the new investment lineup offered through Fidelity. In this brochure you will find complete descriptions for all investments offered in the plans as of October 5, 2011. Visit http://www.hr.virginia.edu/go/retirement for the most up-to-date schedule for events on Grounds plus links to view a prerecorded session at your own pace. Keep in mind that investing involves risk. The value of your investment will fluctuate over time and you may gain or lose money. It is your responsibility to select and monitor your investments to make sure they continue to reflect your financial situation, risk tolerance, and time horizon. Most investment professionals suggest that you reexamine your investment strategy at least annually or when your situation changes. In addition, you may want to consult an investment advisor regarding your specific situation. Be sure you understand the plan guidelines and impact of taking a loan before initiating a loan from your plan account. Please be sure you understand the tax consequences of any withdrawal from the plans. This document provides only a summary of the main features of the University of Virginia Retirement Plans, and the Plan documents will govern in the event of any discrepancy. Unless otherwise noted, transaction requests confirmed after the close of the market, normally 4 p.m. Eastern time, or on weekends or holidays, will receive the next available closing prices. The investment options available through the plans reserve the right to modify or withdraw the exchange privilege. For a mutual fund, the expense ratio is the total annual fund or class operating expenses (before waivers or reimbursements) paid by the fund and stated as a percentage of the fund s total net assets. Where the investment option is not a mutual fund, the figure displayed in the expense ratio field is intended to reflect similar information. However, it may have been calculated using methodologies that differ from those used for mutual funds. Mutual fund data has been drawn from the fund s prospectus. For non mutual fund investment options, the information has been provided by the plan sponsor or investment option s manager or the trustee. When no ratio is shown for these options, it is because none was available. Nevertheless, there may be fees and expenses associated with the investment option. Expense information changes periodically. Please consult NetBenefits for updates. Fidelity Brokerage Services LLC, Member NYSE, SIPC 900 Salem Street, Smithfield, RI 02917 2011 FMR LLC.
