Areas Of Practice We provide legal assistance to our clients in the following areas: Corporate and Commercial: We provide legal advice on the operation, m a i n t e n a n c e, g o v e r n a n c e a n d transformation of businesses, supporting clients through company registration and i n c o r p o r a t i o n, j o i n t v e n t u r e a n d shareholding structuring. We undertake extensive due diligence processes, perfection of securities and provide company secretarial services for a number of our corporate clients. We advise on a variety of commercial agreements such as distribution and agency agreements, service agreement, technical partnership agreements, cross border agreements, sale of goods and loan agreements.

Construction and Infrastructure: We have built up valuable experience in the construction and building industry in relation to professional liability matters such as faulty planning, delayed projects, penalty clauses and badly executed works. We are well versed in FIDIC compliant contracting and negotiations, due diligence, project nance and securities. We advise on the full range of real estate transactions, including acquisition, development and leasing. Our clients include multinational companies who are engaged in infrastructural projects within the energy, defence and aviation sectors. Energy and Natural Resources: Our work in this area includes, full-range c o n t r a c t i n g a n d n e g o t i a t i o n s o f petroleum agreements, advice on environmental, health and safety matters, and other regulatory compliance matters. We represent clients on setting up in compliance with the petroleum and local content laws including joint ventures and r e g i s t r a t i o n w i t h t h e P e t r o l e u m Commission and the National Petroleum Authority. We provide advice on the interpretation of local petroleum laws and its compatibility with existing petroleum agreements and stability clauses. Our clients include international oil companies o p e r a t i n g i n b o t h u p s t r e a m a n d downstream sectors and the petroleum services sector. International Anti-Corruption and Compliance: We have knowledge and provide compliance training to our clients on the US Foreign Corrupt Practices Act, UK Bribery Act and other international anticorruption laws. Localization of global anticorruption and corporate compliance frameworks. Employment: We provide advice on the employment aspects of corporate transactions. Our work entails reorganisation of small and medium sized companies in line with best work practices. Interventions on all aspects of Ghanaian Labour law relating to employment agreements, remuneration and severance packages, employee handbooks, employee bene t schemes, non-compete restrictions and termination. Our focus is on the solution and not the dispute and therefore we view litigation as a last resort. However, if litigation is inevitable, we pursue the litigation process vigorously in the best interest of our clients. Immigration: We assist our investor clients on all aspects of setting up and support them with emergency entry and multiple entry visas, work permits, residence permits. We also provide advice and representation in the process of securing the GIPC immigration quotas, always ensuring that our clients are compliant with the local content requirements of Ghanaian law. Charities (NGOs): We have expertise in advising and representing international NGOs in the registration, incorporation and structuring processes in Ghana. We also provide company secretarial services and training in legal processes for social entrepreneurs upon request. Litigation and Alternative Dispute Resolution: We represent clients throughout the entire lifecycle of dispute including enforcement and recognition of foreign decisions and judgments. Our focus is on the solution and not the dispute and therefore we view litigation as a last resort. We advise our clients on their alternative dispute resolution options and engage in arbitration, mediation and negotiation on their behalf, depending on which method we believe is most suited to their case. However, if litigation is inevitable, we pursue the litigation process vigorously in the best interest of our clients. Debt Recovery: A substantive portion of our work is in relation to debt recovery on behalf of clients. We provide a complete range of services to accommodate corporate and individual debt collection needs through correspondence and court proceedings. However, we assess matters on a case by case basis and will be the rst to advise our clients in circumstances where we assess recovery through court proceedings not to be a cost-effective option for our client. Corporate Social Responsibility A s p a r t o f o u r c o r p o r a t e s o c i a l responsibility, we have identi ed a local charity located within the heart of Accra, which provides shelter and education for underprivileged children. Our team is a very enthusiastic participant in this project. We provide pro bono legal advice whenever it is required and make donations to support their good work. Key Contacts Our lawyers are licensed to practice in England and Wales, New York and Ghana and are experienced in representing clients in cross border transactions in all three jurisdictions. Adelaide Benneh Prempeh is the Founder and Managing Partner of B & P ASSOCIATES. Prior to setting up the rm in 2014, Adelaide worked as a member of the Energy and Natural Resources team at Bensti-Enchill, Letsa & Ankomah. Her clients included multinational companies within the petroleum and mining sectors as well as corporates involved in domestic and multi-jurisdictional restructurings. With over 15 years of experience as a legal practitioner, Adelaide brings a wealth of knowledge and experience from both jurisdictions of England & Wales and Ghana. She began her legal career in 2001 with the international law rm Lovells (now Hogan Lovells) in London where she assisted in the drafting of depositions and pleadings for high pro le product liability cases and various contentious matters regarding regulatory requirements. With a background in litigation, Adelaide joined Renaissance Chambers in London as a practicing barrister where she was regularly instructed to appear at all levels of Court in a variety of cases from 2003 until 2012. Adelaide is presently an appointed tutor at the Ghana School of Law where she teaches Advocacy and Legal Ethics. She is a member of the Bar Council of the United Kingdom, The Honourable Society of Lincoln's Inn, London and the Ghana Bar Association. She is a Board member of the Ghana Netherlands Business and Culture Council. Eyram Agbenyega is a Legal Consultant at B & P ASSOCIATES. Her role is to assist our clients on international energy matters and to focus on international business. Eyram offers international expertise in energy and natural resources law. From feasibility to conclusion, she is passionate about assisting corporate clients and foreign investors with a full range of transactional services, including market entry/ risk assessments, regulatory compliance advice, company registrations/ licensing, contracting and negotiations. Her portfolio includes advice in relation to partnership and joint venture agreements, petroleum licensing and joint operating agreements, local content and anticorruption AML compliance. Eyram is an International Certi ed Compliance and Ethics Professional (CCEP-I). Eyram is member of the Ghana Bar Association and the New York Bar. Ayele Nuworkpor-Gapson is an Associate at B & P ASSOCIATES. She is a passionate and resourceful lawyer with a results-driven approach. Prior to joining the rm, Ayele worked with Hayibor Djarbeng Danso & Co, a law rm with a focus on litigation, where she gained experience in drafting pleadings, undertaking legal research, general preparation for court matters and representation of clients in Court. Ayele is meticulous at reviewing agreements with a ne eye for detail. She has worked on a variety of contracts including employment agreements, distribution agreements and technical partnership agreements. She has gained and continues to develop expertise in foreign investment, real estate, construction and land matters and has handled incorporation of both local and foreign companies.
