The Fund is constituted in the form of a mutual fund, domiciled in Luxembourg and its home regulator is the Commission de Surveillance du Secteur Financier ( CSSF ). Investment Objective and Investment Policy Investment Objective To achieve long term capital growth and income by investing primarily in quoted companies in any economic sector involved directly or indirectly in the Asian and Pacific Region (excluding Japan). Investment Policy The Fund will invest at least two-thirds of its net asset value in equity and equity related securities (including listed preference shares, listed convertible unsecured loan stock, listed warrants and other similar securities) of companies which: (i) have their registered office in the Asian and Pacific Region (excluding Japan); and/or (ii) conduct the predominant part of their economic activities in the Asian and Pacific Region (excluding Japan), in sectors and geographical areas which are considered by the Investment Manager to offer good prospects for capital growth and income, taking into account economic trends and business developments. The use of financial derivative instruments, including options, futures, portfolio swaps, and forward currency contracts, is restricted to hedging and Efficient Portfolio Management purposes only. The use of such instruments for efficient portfolio management purposes will be limited up to 20% of the net assets on any exposure and there may be significant periods of time where there is no use of financial derivative instruments for efficient portfolio management at all.

Nor will financial derivative instruments be used with the objective of introducing gearing into the Fund s investment portfolio. Investment Style The Fund will typically hold shares in 40-50 companies from across the Asian and Pacific Region (excluding Japan), including both developed and developing markets. The Investment Manager will focus on dividend-paying stocks of companies that are believed to be well-managed and well-positioned within their own industry, with pre-defined dividend ratios, scaleable business models and management that is committed to sharing profits with shareholders without sacrificing capital growth for income. Whilst seeking to deliver income, the Investment Manager also focuses on long term capital growth and may invest in stocks which might not have a high yield but are believed to provide capital appreciation over the long term. The Fund will be actively managed and will not be constrained by specific country or sector exposure limits. It is the intention of the Investment Manager to review a firm s business model prior to investment, evaluating the business, management, and long term potential for income and growth. The economic and political trends affecting each country s markets will also be considered, which means its overall strategy will take into account each country s individual strengths and weaknesses and potential impact to a company. This may result in the Fund holding very little or no shares in some of the Asian and Pacific Region s (excluding Japan) largest countries, companies, or sectors, if the Investment Manager feels the risks of investing in them outweigh the potential rewards. For the purposes of the above, the Asia and Pacific Region (excluding Japan) shall consist of all those countries which are included in the MSCI All Country Asia Pacific Ex-Japan Gross TR Index 1, at the time of the relevant investment. 1 The MSCI All Country Asia Pacific Ex-Japan Gross TR Index is referenced solely for the purpose of identifying the countries that the Investment Manager may invest in and, for the avoidance of doubt, the Investment Manager shall not be tied to investing in the constituent companies of such index. What are the Key Risks? Investment involves risks. The key risks associated with the Fund are set out below. Please refer to the offering documents for details of all the risk factors. 1. General investment risk The Fund is an investment fund. The Fund s investment portfolio may fall in value due to any of the key risk factors below and therefore investment in the Fund may suffer losses. Risks related to investments in equities and equity-related securities The Fund s investment in equity securities and equityrelated securities is subject to general market risks, whose value may fluctuate due to various factors. Equities may be subject to strong price fluctuations, influenced by issuer-specific factors, changes in investment sentiment, the profits or otherwise of individual enterprises and sectors as well as macro-economic developments and political perspectives which determine the expectations of the securities markets and thus the movement of prices of the securities. The Fund s investment in equity-related securities is also subject to counterparty and liquidity risks. In addition, investment through equity-related securities may lead to a dilution of performance of the Fund when compared to a fund investing directly in the underlying equity securities due to, for example, the fees embedded in such equityrelated securities. Although the Fund will generally seek to invest in dividendpaying stocks of companies that are committed to sharing profits, it is not guaranteed that all underlying investments will generate dividends. To the extent that underlying investments of the Fund are income producing, the potential for capital growth may be reduced. Trading on a securities exchange in Asian and Pacific Region (excluding Japan) may be halted, suspended or limited pursuant to the securities exchange s rules. The government or the regulators in a country or region may also implement policies that may affect the financial markets. All these may have a negative impact on the Fund. High market volatility and potential settlement difficulties in the markets may also result in significant fluctuations in the prices of the securities traded on such markets and thereby may adversely affect the value of the Fund. 3. Risks related to geographical concentration The Fund will specialise in investing in a particular geographical region (i.e. Asian and Pacific Region (excluding Japan)) and is likely to be more volatile than funds with a broader range of investments. The value of the fund may be more susceptible to adverse economic, political, policy, foreign exchange, liquidity, tax, legal or regulatory event affecting the Asian and Pacific Region (excluding Japan) market. 4. Risks related to investments in emerging and less developed markets The Fund invests in emerging markets which may involve increased risks and special considerations not typically associated with investment in more developed markets, such as liquidity risks, currency risks/control, political and economic uncertainties, legal and taxation risks, settlement risks, custody risk and the likelihood of a high degree of volatility.

Risks related to use of financial derivative instruments for hedging / efficient portfolio management Risks associated with financial derivative instruments include counterparty/credit risk, liquidity risk, valuation risk, volatility risk and over-the-counter transaction risk. In adverse circumstances, the Fund s use of financial derivative instruments may become ineffective in hedging / efficient portfolio management and the Fund may suffer significant losses in relation to use of financial derivative investments. The leverage element/ component can even result in a loss significantly greater than the amount invested in the financial derivative instrument by the Fund. 6. Risks related to foreign currencies Given that the Fund may invest in assets which are not in its base currency and the class currency may be different from the base currency of the Fund, the NAV may be affected unfavourably by the fluctuations in currency exchange rates between these currencies and the base currency and by changes in exchange rate controls. The Investment Manager does not currently intend to hedge the foreign currency exposure of the Fund. 7. Risks associated with distributions effectively out of capital Payment of dividends effectively out of capital amounts to a return or withdrawal of part of a shareholder s original investment or from any capital gains attributable to that original investment. Any dividends involving payment of dividends effectively out of the capital of the relevant class may result in an immediate reduction of the NAV per share of the relevant class. Risks related to investments in equities and equity-related securities The Fund s investment in equity securities and equityrelated securities is subject to general market risks, whose value may fluctuate due to various factors. Equities may be subject to strong price fluctuations, influenced by issuer-specific factors, changes in investment sentiment, the profits or otherwise of individual enterprises and sectors as well as macro-economic developments and political perspectives which determine the expectations of the securities markets and thus the movement of prices of the securities.
