Our Global Experience Our global experience covers all aspects of employment, employee benefits, equity and incentive plans, ERISA, pensions, global mobility and migration. Our advice extends from proactively anticipating and avoiding issues to navigating and resolving matters once they become concerns. Employment We advise clients on all areas of employment law and across multiple jurisdictions. Our counseling experience includes advising on the recruitment of employees, management of employees during employment (e.g., grievance or disciplinary matters), equality and diversity issues, such as sex, race, disability, age and gender discrimination, together with wage and hour issues, whistleblowing, data protection issues, the drafting and enforcement of restrictive covenants and other post-termination obligations of employees, individual and collective consultation for redundancy exercises and business transfers, and dismissals, terminations and severance agreements. Executive Compensation and Equity and Incentive Plans Our globally coordinated practice provides advice on the many laws and regulations that apply to executive compensation, as well as broad-based equity and incentive plans in multiple jurisdictions. We assist employers in the coordination of legal advice that may be applicable to a single arrangement that operates in many different jurisdictions, and we advise on the full range of issues affecting restricted stock and restricted stock unit plans or long-term incentive plans, stock option plans, stock purchase plans, stock appreciation rights and phantom plans, equity-based incentive plans and deferred cash bonus arrangements. Retirement Arrangements and Other Employee Benefits We deal with the full range of work relating to retirement, pension and welfare arrangements including plan design, implementation, restructuring and closure, funding, de-risking and the investment of plan assets. Around the globe, we regularly advise across the myriad regulatory environments clients may find themselves in. Our broad and diversified global practice is capable of servicing all of the employee benefit needs of our clients. Pension Investment and Finance Our practice is focused on the investment of pension and other retirement plan assets, as well as the structuring and operation of complex institutional investment funds and products, advising fund managers, pension fund trustees and other fiduciaries on the legal aspects of investments and transactions, and advising on compliance, enforcement and regulatory matters applicable to them. We bring together lawyers with specialist skills in pensions law, derivatives, funds, bulk annuity policies, financial services regulation and tax who are used to working together on these projects. Litigation and Dispute Resolution We regularly represent employers in connection with employment litigation covering the full range of employment issues (including joint employer issues). We litigate at all levels, including individual, collective and class actions, from administrative proceedings to the highest courts in the jurisdiction. In addition, we represent companies and pension fund trustees before government agencies, employment and other courts on retirement plan, pension and other benefit-related issues, and advise on alternative dispute resolution and avoiding litigation. Global Mobility and Migration We have the agility, on-the-ground experience and dedicated resources to help clients organize, manage, monitor and anticipate the movement of their people around the globe. We handle applications for visas and other work authorizations in worldwide jurisdictions and use sophisticated software to ensure that visa filings occur on time. We help audit clients internal processes for immigration compliance and develop remediation plans for both regulatory compliance and cost optimization. Mergers, acquisitions and other transactions can also impact visa status and are frequently accompanied by reductions in force. We know this landscape well and can provide a thorough analysis of the steps to be taken on a country-by-country basis and an implementation timeline. Global Case Studies Mayer Brown s global Employment & Benefits group advises a large range of global clients on a diverse range of employment and benefits matters: Americas Global company Global financial institution Global oil and gas companies We advised in connection with a sizable global acquisition and subsequent restructuring and integration process on workforce transfer and reduction, union matters, employee benefits and executive compensation in more than 20 countries across the globe. We advised on the redesign of a global equity compensation program. This involved drafting the plan and all related agreements and/or reviewing issues for employees in the United States and a dozen non-us countries, analysis and resolution of tax, securities, accounting and investor relation issues. We have assisted in several labor lawsuits filed by expatriates and Brazilian employees. We have helped companies in complex expatriate and offshore employee cases that involve international labor legislation conflicts. We assist yearly on the negotiation of collective bargaining agreements with employees unions. Asia Global financial institution Technology company Insurance company We arranged for the review and updating of a global diversity handbook to bring it into line with multiple global jurisdictions. Europe We reviewed policies concerning treatment of personal data across numerous jurisdictions in Asia and beyond. We suggested changes and explained the position in each jurisdiction. We advised on the drafting and implementation of various employee share plans (including associated employee benefit trusts) in numerous Asian jurisdictions, and advised on the terms of engagement of the independent trustee/ administrator. Global company Global TMT group Global energy company We advised on a significant and sensitive project involving more than 50 countries across Europe, the United States and Asia. This included the introduction of a global payroll for the top 100 senior executives to harmonize executive pay and benefits. We also developed and delivered two training modules for the client s mobility teams. We advised on acquisition-related issues with regard to more than 25 countries across the Americas, Europe and Asia, led out of the London office. Activity included business transfers, redundancies, and senior executive contract changes, as well as the closure of a final salary pension scheme. We advised the trustees of a pension scheme sponsored by a global energy company on the sponsor s sale of part of its business. The pension terms could have been a stumbling block for the whole deal.
