2017 CASQA Annual Conference Sacramento Convention Center, Sacramento, CA September 25-27, 2017 www.casqa.org Thank you for exhibiting at the California Stormwater Quality Association (CASQA) 2017 conference in Sacramento, California. The theme for this year's conference is: "CASQA in the Capital: Building Bridges for Water" The CASQA 2017 conference will again offer a full agenda of training workshops, presentations, and exhibits for holders of municipal, industrial, and construction National Pollutant Discharge Elimination System (NPDES) stormwater permits,and waste discharge requirements (WDRs). The CASQA membership provides stormwater management services to over 21 million people in California and includes almost every Phase I municipal program and many of the Phase II municipal programs within the State. By exhibiting at the CASQA conference you are provided with a unique opportunity to interact with the key stormwater contacts throughout the state and understand the critical issues and needs of the stormwater programs. The conference attendees look forward to interacting with the exhibitors each year since they have a diverse set of needs including consulting and professional services, public education and outreach, legal services, and pollution prevention and treatment best management practices. The conference provides the exhibitors with the opportunity to highlight the types of goods and services sought by the attendees and to identify new and innovative ideas. We expect that this year s conference will once again draw the most influential members of the stormwater community including local, state and federal decision makers, stormwater program coordinators, contractors, consultants, engineers, lawyers, scientists and planners. 2017 Exhibitor Highlights: Based on the feedback that CASQA has received over the years, we have made improvements so that we ensure that the conference continues to provide the highest possible value to our exhibitors. The enhancements that will be continued for the 2017 conference are summarized below. Traffic to the Exhibit Hall: The exhibit hall is located adjacent to the main conference area so that it is highly visible and the conference attendees have easy access to it. Snacks and breakfast pastries/coffee will be served inside the Exhibit Hall at key locations. To make the best use of exhibitor time, the Exhibit Hall will be open from 12 pm - 6:00pm on Monday, September 25 so that Training Workshop attendees can also benefit from the Exhibit Hall. The always well attended Exhibitor Reception will be on the evening of Tuesday, September 26. Appetizers and drinks will be served to provide a casual and cordial environment to interact with conference attendees. An exhibitor-sponsored prize drawing will be held on Wednesday, September 27 to highlight the sponsoring exhibitors. This has been a big hit every year! Visibility and tracking attendance: All exhibitors will receive a copy of the attendee registration list after the completion of the conference. This may take up to three (3) weeks after the conference to provide due to late registrations. Super-Premium exhibitor spaces contain larger booths located in high traffic areas of the Exhibit Hall. Super-Premium exhibitors will receive a complimentary half (1/2) page ad in the conference program - deadline for ad submittal is August 15, 2017 Super-Premium exhibitors will receive additional complimentary advertising during the Exhibitor Reception on Tuesday, September 26. Super-Premium exhibitors will receive an advance copy of the attendee registration list up to two (2) weeks before the conference starts. 2

Exhibitor Shipping & Handling: Shipping of exhibitor packages for the conference will be handled through Western Event Services (WES), the official service contractor for the 2017 CASQA Conference. Upon registering, you will receive your Exhibitor Kit. This Kit will instruct you on how to handle shipping/handling of packages. You may also order furniture for your booth, additional electricity, lighting, carpeting, etc. through WES. If you have any questions regarding your WES order, please contact them directly at (510) 430-0510 for assistance. Basic Exhibitor Information: All spaces are available on a first come, first serve basis. CASQA member organizations receive a discount on space reservation compared to nonmembers. In addition, a portion of each exhibit space fee is dedicated to the conference s Exhibitor Sponsored Reception from 5:30pm-7:30pm on Tuesday, September 26. The fee for Regular exhibit space is ($1,900 member / $2,200 non-member) and includes the following: 8' background drape and 3' side drape with a printed header sign that includes the company name and booth number One (1) 6' draped table, two chairs and wastebasket All booths will be provided electricity (110v) Listing in the CASQA Conference Program, CASQA website, and CASQA mobile app until Dec. 31, 2017 Two (2) drink tickets for the Exhibitor Reception One (1) 3-Day Full Conference Pass including Training Workshops, Technical Program, lunch. Includes the Networking Event on Monday evening. CASQA members only- One (1) 3-Day Additional Pass: exhibit hall admission, lunch on all three days. The fee for Premium exhibit space is ($2,100 member / $2,400 non-member) and includes a Premium location within the Exhibit Hall, as well as the following: The fee for Super-Premium exhibit space is ($2,800 member / $3,100 non-member) and includes a premium location within the Exhibit Hall, as well as the following: Double booth with 16' background drape and 3' side drapes with a printed header sign that includes the company name and booth number Two (2) 6' draped table, four chairs and wastebasket All booths will be provided electricity (110v) Listing in the CASQA Conference Program, CASQA website, and CASQA mobile app until Dec. 31, 2017 Five (5) drink tickets for the Exhibitor Reception Half (1/2) page ad in the CASQA Conference Program- submittal date is August 15, 2017. Additional Exhibitor Registrations: During registration you will pay for and list the names of any additional booth workers. CASQA members who purchase a booth receive one (1) 3-Day Exhibitor registration (Regular & Premium) and two (2) 3-Day Exhibitor registration (Super Premium) Non-members do not receive a complimentary exhibitor registration. Additional exhibitor booth attendants can purchase a conference registration or, if not attending the conference sessions, must purchase an Exhibitor Registration ($200 for one 3-day pass). This covers admission to the Exhibitor Hall and lunch for all days of the conference. For example: A non-member purchases a booth and will have three people coming to help with the booth - one person receives the full conference registration as a part of the booth purchase, however the other two people will have to either purchase a conference registration or an exhibitor registration to attend. Carpet: The Sacramento Convention Center exhibit hall is not carpeted. However, you can order additional carpeting for individual booths through our Service Contractor, WES. Move in & Set up: Please note the set-up and open hours for 2017: Exhibitors will be allowed into the Exhibit Hall to set-up booths on Monday, September 25 from 8:00-11:00 am. All booths must be ready by 11:30 am for the show opening at 12:00 pm on Monday. Lodging Information: A special group rate is available at the Hyatt Regency Sacramento. The rate cutoff date is Monday, September 4, 2017. 2017 CASQA Annual Conference Sacramento Convention Center, Sacramento, CA September 25-27, 2017 www.casqa.org Exhibit Rules, Policies & Regulations: Responsibility for the tradeshow, its Rules and Regulations and enforcement thereof shall rest with an Annual Conference Planning Committee, which is established by CASQA. 1. AGREEMENT By signing the Contract for Space, the Exhibitor agrees to abide by these Rules and Regulations and all amendments thereto and the decisions of CASQA. The term exhibit hall shall mean the hotel facility, or any other exhibit hall designated by CASQA in the future. The term Exhibitor shall mean any company, firm or person who has applied for or been allocated space in the Exhibit Hall. 2. UNDESIRABLE ACTIVITIES The Exhibitor agrees that his/her exhibit shall be admitted into the show and shall remain from day to day solely on strict compliance with all the rules herein described. CASQA reserves the right to reject, eject, or prohibit any exhibit in whole or in part, or any Exhibitor with or without giving cause. CASQA s liability for rejection without giving cause shall be limited to a refund to the Exhibitor of the amount of rental unearned at the time of ejection. However, if an exhibit or Exhibitor is ejected for violation of these rules or for any other stated reason (with cause), no return of rental shall be made. 3. POLICY STATEMENT a) Conference Planning Committee: Responsibility for the Conference, its Policy and enforcement of the Policy shall rest with the CASQA Conference Planning Committee. b) Exhibitors: Company s wishing to exhibit may purchase booth space if space is available. Exhibitor agrees to exhibit for the hours specified and abide by the conditions established by CASQA and the hotel for the exhibits. Exhibitor assumes responsibility and agrees to indemnify and defend CASQA and its agents against any claims or expenses arising out of its use of the exhibition premises. No exhibits or information tables will be allowed without approval by the Conference Planning Committee. There will be no dismantling of booths/exhibits prior to the published tear-down time. c) Policy Enforcement: It is understood that exhibiting companies will comply with the exhibit rules, policies and regulations. Should a company not comply, the Planning Committee has the right to refuse the company s application to exhibit at any future Expos. 4. BOOTH ASSIGNMENTS CASQA s assignment of booth space is final and shall constitute an acceptance of the Exhibitor s offer to occupy space. Booth space will be secured only after receipt of the Exhibitor Contract for Space, Registration Form/Badge Form and the appropriate booth fees have been paid. After assignment, space location may not be changed, transferred, or canceled except upon written request and with the subsequent written approval of CASQA. Notwithstanding the above, CASQA reserves the right to change location assignments at any time, as it may, in its sole discretion, deem necessary. 5. INSTALLATION AND REMOVAL Please note the specific Freight/ Materials shipping & handling instructions included in this packet. Please check-in at the registration desk prior to moving into the exhibit hall. You will receive your exhibitor badges and packet upon check-in. CASQA reserves the right to fix the time for the installation of the booth prior to the show opening and for its removal after the conclusion of the show. Installation of all exhibits must be fully completed at least 30 minutes prior to the opening time of the Show. All exhibits and booth materials must be removed by 5:00 p.m. on Wednesday, September 27, 2017. 6. EARLY REMOVAL OF EXHIBITS NOT ALLOWED! a) No exhibit shall be packed, removed, or dismantled prior to the closing of the show without written permission from CASQA. If the Exhibitor acts in breach of this provision it shall pay, as compensation for the distraction to the Exhibition s appearance, an amount equal to one-third of the total space charge for the Exhibitor s allocated area, in addition to all sums otherwise due under this agreement. Additionally, breach of this provision could result in the loss of the Exhibitor s right to exhibit in future shows produced by CASQA. b) For security reasons, any equipment removed from the exhibit facility prior to the official closing of the show shall require a special pass issued by CASQA. 7. EXHIBITOR APPOINTED CONTRACTORS (EAC): Any Exhibitor using an EAC agrees to notify CASQA of such appointment and agrees to indemnify and hold harmless CASQA, the exhibit facilities, and their respective officers, directors, staffs, employees and agents and all official contractors from any and all liability or losses for any act, complaint, damage, or loss to any other Exhibitor, the exhibit hall, the property of any contractor and any consequential damages arising out of any such act or loss from the time the 5

independent EAC first arrives at the hall until the final move-out is complete. The Exhibitor further agrees that CASQA may prohibit the EAC from working in the hall if they do not fully comply with all rules and regulations set forth for them at this event. Any Exhibitor using an EAC agrees to advise its EAC of all rules and regulations. 8. PROHIBITED ACTIVITIES a) No cooking may take place in Exhibitor s space and no food and/or beverage products may be distributed by Exhibitor. Candy or small snack items are allowed. No beer, wine or intoxicating liquor may be distributed by any Exhibitor. b) All demonstrations, sales activities, and distribution of circulars and promotional material must be confined to the limits of the Exhibitor s booth. All equipment for display or demonstration must be placed within the assigned booth area to attract observers into the booth. c) Exchange of money or consummating the sale of goods or services on the exhibit floor is prohibited. Orders may be taken for future only. d) Exhibitor agrees that noise levels within the exhibit hall will be required to be reduced when workshops are in session. Exhibits which include the operation of musical instruments, radios, sound motion picture equipment, public address systems, or any noise-making machines must be operated so that the resulting noise will not annoy or disturb adjacent Exhibitors or their patrons. e) Exhibitors are prohibited from displaying any devices or objects in the booth that exceed the inside dimensions of the booth which are 8 x 10 with 8 high back walls and 3 high side dividers without prior written approval from CASQA. f) Animals and pets are not permitted in the facility except in conjunction with an approved exhibit, display or performance legitimately requiring use of animals. Seeing eye dogs are permitted. g) Exhibitors are not allowed to conduct any activities that could be considered an illegal lottery under the State laws where the event is to be held. h) Electrical equipment that is not UL approved may not be used in the exhibit hall. No wiring or other electrical work shall be done except by the electrical contractor authorized by CASQA or the hotel. Each booth will be provided with one 110v electrical outlet. 9. RIGHT OF ENTRY AND INSPECTION CASQA, in its absolute discretion, shall have the right at any time to enter the leased area occupied by Exhibitor or otherwise inspect the Exhibitor s material. 10. BOOTH MAINTENANCE Exhibitor is required to maintain the daily cleanliness of booth. Cleaning shall take place at times other than Show hours. CASQA will be responsible only for the cleaning of aisle space and public areas. 11. STORAGE All supplies, handouts, literature and samples must be confined to booth. Packing crates and/or large boxes are not permitted in booths during exhibit period. 12. CARE OF BUILDING AND EQUIPMENT Exhibitors or their agents shall not injure or deface any part of the exhibit building, the booths or booth contents or show equipment and decor. When such damage appears, the Exhibitor is liable to the owner of the property so damaged. 13. CANCELLATION BY EXHIBITOR The Exhibitor specifically recognizes and acknowledges that CASQA will sustain certain losses if the Exhibitor cancels its exhibit space after it has been purchased. Due to the difficulty, if not impossibility, of determining and proving said losses, the Exhibitor agrees to the following cancelation policy: *Cancellations of an exhibit space will be converted to a sponsorship of CASQA s choice at the 2016 CASQA Conference. Due to planning and printing deadlines, exhibitors converted to sponsors may receive limited recognition however efforts will be made to accommodate any changes. 14. CANCELLATION OR POSTPONEMENT OF SHOW In the event that any unforeseen occurrence shall render the fulfillment of this agreement impossible by CASQA, the parties shall mutually amend or terminate the agreement at CASQA s option. The Exhibitor hereby waives any claim against CASQA for damages or compensation. CASQA may return a portion of the amount paid for space after deduction of any amounts necessary to cover expenses incurred in connection with the show. Such expenses shall include, but not be limited to all expenses incurred by CASQA as a result of contracts with third parties for services or products incidental to the show including out of pocket expenses incidental to the show, and all overhead expenses attributable to the production of the show. No monies will be returned should the dates or location of the show be changed by CASQA, but Exhibitor will be assigned space which the Exhibitor agrees to use under these same rules and regulations. CASQA shall not be financially liable in the event the show is interrupted, canceled, moved, or dates changed except as provided herein. 15. EXHIBITS AND PUBLIC POLICY Each Exhibitor is charged with knowledge of all Federal, State and local laws, ordinances and regulations pertaining to health, fire prevention and public safety, while participating in this Show. Compliance with such laws is mandatory for all Exhibitors, and the sole responsibility is that of the Exhibitor. CASQA and service contractors have no responsibility pertaining to the compliance with laws as to public policy as far as individual Exhibitor s space, materials and operation is concerned. Exhibitors with questions regarding such laws, ordinances, and regulations should contact the appropriate agency or government authority. All booth decorations must be flameproofed. Electrical wiring must conform with National Electric Code Safety Rules and the electrical code in the city where the Show is held. If inspection indicates any Exhibitor has neglected to comply with these regulations, or otherwise incurs fire hazard, the right is reserved to remove all or such part of his exhibit as may be in violation, at Exhibitor s expense. If unusual equipment or machinery is to be installed, or if appliances that might come under fire codes are to be used, the Exhibitor should contact the CASQA Show Manager for information concerning facilities or regulations. 6

City and State fire regulations must be complied with. Use of hazardous materials, such as open flame or liquid propane gas, must be approved by the local Bureau of Fire Prevention. 16. ERRORS AND OMISSIONS CASQA assumes no responsibility or liability for any of the services performed or materials delivered by official show contractors or other suppliers to the show, their personnel, or their agents. Any controversies which may arise between Exhibitors and official contractors or union representatives, or personnel of either, on the show premises shall be referred to CASQA for resolution, and CASQA s decision shall be final and binding. 17. SECURITY Limited security will be provided during the Conference. This security is to help prevent unauthorized entry into the show areas, however, does not guarantee the safety of items left in the exhibit hall. Please take precautions to secure valuable items. 18. LIABILITY AND INSURANCE a) All property of the Exhibitor remains under its custody and control in transit to and from exhibit facility, during installation and removal, and while it is within the confines of the exhibit facility. Neither CASQA or the service contractors, the management of the exhibit facility nor any of the officers, staff members, or directors of any of the same are responsible for the safety of the property of Exhibitors from theft, damage by fire, accident, vandalism or other causes, and the Exhibitor expressly waives and releases any claim or demand he may have against any of them by reason of any damage to or loss of any property of the Exhibitor, except where the damage or loss is due to the gross negligence or willful misconduct of the persons or entities mentioned above, their agents or employees, arising out of CASQA s responsibilities under the agreement. The Exhibitor expressly releases CASQA, the service contractor and the Exhibit Facility, their directors, officers, agents, and employees from any such loss, damage or injury. b) Exhibitor understands that CASQA does not maintain insurance covering the Exhibitor s property and it is the sole responsibility of the Exhibitor to obtain such insurance. The Exhibitor agrees to obtain adequate insurance during the dates of the trade show, including move-in and move-out days, and shall be prepared to furnish a certificate of insurance to CASQA if requested for the following coverage: (a) Commercial /General Liability insurance coverage including protective and contractual liability coverage for bodily injury and property damage; (b) Employers Liability insurance; (c) Worker s Compensation /Occupational Disease coverage in full compliance with federal and state laws; (d) Comprehensive General Liability Automobile insurance covering owned, non-owned, and hired vehicles, including loading and unloading hazards. c) CASQA and the Exhibitor agree to waive the right of subrogation by their insurance carriers to recover loss sustained under the respective insurance contracts for real and personal property. 19. ENFORCEMENT OF REGULATIONS CASQA has full power to interpret and enforce all regulations of the show and the power to make amendments and/or further regulations, orally or in writing, that are considered necessary for the proper conduct of the show. Such decisions shall be binding on Exhibitors. Failure to comply with these or any other regulations or amendments may be sufficient cause for CASQA to require the immediate removal of the exhibit and/or the offending Exhibitor at the expense of the Exhibitor. In addition, all Exhibitors agree to be bound by the terms of CASQA s agreement with the facility in which the show is held. Failure to comply with all applicable rules may also result in forfeiture of all further rights to exhibit at future shows sponsored by CASQA together with all fees paid. CASQA may lease any space so forfeited to another Exhibitor and retain all revenues collected. 20. CONFLICTING MEETING AND SOCIAL EVENTS a) In the interest of the entire show, the Exhibitor agrees not to extend invitations, call meetings, or otherwise encourage absence of members, Exhibitors, or invited guests from the educational sessions or exhibit hall during the official hours of the show. 21. ADA COMPLIANCE Exhibitor represents and warrants: (1) the exhibit will be accessible to the full extent required by law; (2) that its exhibit will comply with the Americans with Disabilities Act (ADA) and with any regulations implemented by the Act; and (3) that it shall indemnify and hold harmless and defend CASQA from and against any and all claims and expenses including reasonable attorneys fees and litigation expenses that may be incurred by or asserted against CASQA on the basis of the Exhibitor s breach of this paragraph or non-compliance with any of the provisions of the ADA. 22. WAIVER Waiver by either party of any term or condition or breach shall not constitute a waiver of any other term or condition or breach of this agreement. The rights of CASQA shall not be deemed waived except as specifically stated in writing and signed by an authorized representative of CASQA. 23. SEVERABILITY In the event any provision of this agreement is held invalid or unenforceable then neither the remaining provisions of this agreement nor other applications of the provisions involved shall be affected thereby. 7
