The Tender is invited subject to the following terms and conditions. SCHEDULE A (TECHNO-COMMERCIAL Condition) 1. Tenders are invited for the Supply, Installation & Commissioning of 6 KVA APC/HITACHI MAKE UPS at State Load Dispatch Centre, Vadodara. 2. The 6 KVA APC/HITACHI Make UPS to be supplied as per Technical specifications and Guaranteed Technical Particulars (GTP). 3. The APC/HITACHI Make UPS shall have to be installed and commissioned as per the instruction of Engineer in charge. 4. The APC/HITACHI MAKE UPS to be supplied at SLDC, Gotri at the below mentioned address. After receipt of materials the same will be got inspected at this office and if any defect found in materials the same will be replaced by supplier with New. 6. The quantity indicated in SCHEDULE-B may vary as per requirement & the same has to be supplied as per instruction of EIC. Payment will be released accordingly for actual supplied quantity. 7. The rates quoted shall be on firm price basis & no price variation etc. will be payable on any thing till completion of contract. 8. The rates quoted should be valid for minimum 120 days from the opening of the tender. Rates should be clearly mentioned in the price bid otherwise tender will be out rightly rejected and no any communication will be carried out in this regard. 9. The rate should be for F.O.R. destination including Installation and commissioning, nothing will be paid extra. 10. The rates (Unit End Cost) should be inclusive of all taxes (Service, VAT, Sales tax etc.) as applicable. 11. Taxes, duties etc. as applicable will be deducted from the bills as per rules. 12. The supplier shall not be entitled to any compensation on such termination of contract. 14. If supplier fails to execute the order successfully, for a stipulated time limit & as per requirement the order will be got completed through other agency at the risk and cost of supplier. (Difference if any due to higher rate, will be recovered from the supplier.) 15. No tools, tackles nor their maintenance and manpower for execution of order will be provided by GETCO, SLDC. 16. In case of any dispute or any discrepancy, the decision of Chief Engineer, SLDC, GETCO, Vadodara will be final and binding to the supplier. 17. If the contract is required to be cancelled due to any reason attributable to contractor / supplier the same will be at the risk & cost of contractor / supplier. 18. General Terms & Conditions: The installation & Commissioning shall be carried out for supplied equipment as per instruction of engineer in charge as part of supply at no cost. Conditions here under are applicable in addition to the terms and conditions mentioned in Booklet TENDER AND CONTRACT OF WORKS available for reference at the Office of C.E. (SLDC) GETCO, Wherever the terms and conditions enumerated in the booklet TENDER AND CONTRACT OF WORKS conflict with those stated herein the later shall prevail over the former. 19. Commencement: Contract will commence from the date of receipt of order and/or as per directive of Engineer In-charge. 20. Terms of Payment: No advance payment will be done. The bill in triplicate should be forwarded to CE (SLDC) After receipt of materials at site in good condition and certification by concerned Engineer regarding supply as per terms of A/T / Contract, verifying the copy of bills, and submission of advance stamp receipt, the 100 % eligible payment will be made after deducting dues if any by cheque on receipt of actual quantities of 6 KVA APC/HITACHI Make UPS at SLDC, Vadodara. Payment shall be made by A/c. Payee cheque only. Income-Tax (if any) or any other taxes as applicable will be deducted at source from Bill, as per prevailing rules at the time of payment. 21. Performance Guarantee / Warranty: The APC/HITACHI Make UPS supplied shall be guaranteed for 12(Twelve) Months from date of commissioning. If any defect is found during the said period the same will have to be replaced/repaired free of cost. An amount of 10% of total supply rate will be retained as performance guarantee till completion of guarantee period. No interest shall be paid by the Company on amount of performance guarantee. There should be Free 24X7 technical supports / services and on-site Trouble shooting during the Guarantee / Warranty period. 22. Technical Specification Deviation: Technical Specification deviation if any, for the tendered items should be mentioned separately (Annexure-II) and must be enclosed with Techno-Commercial bid only. 23. EMD: 1% of the estimated cost is required to be paid except who are registered and exempted from paying the EMD, as Earnest Money Deposit along with tender form by Demand Draft drawn on any Nationalized Bank in favour of Gujarat Energy Transmission Corporation Ltd. SLDC payable at Baroda only Tender will not be considered without EMD. 5

Security Deposit: The 10 % of order value is to be paid except who are registered and exempted from paying the Security Deposit by Demand Draft drawn in favor of Gujarat Energy Transmission Corporation Ltd SLDC. Payable at Baroda only (on Nationalized bank),on acceptance of tender as, Security Deposit. The same shall be refunded on completion of supply, installation and commissioning of UPS successfully and on receipt of NOC from concerned Dept or can be converted in Performance Guarantee as per clause No.21 No interest shall be paid by the Company on security deposit. 25. The Full amount of the Earnest Money Deposit paid shall stand forfeited if the full amount of specified Security Deposit is not paid in specified time by the successful bidder and the order will stand cancelled at the risk and cost of successful bidder.( except those bidders who are registered and exempted from paying the EMD & Security Deposit.) 26. PENALTY: The 6 KVA APC/HITACHI MAKE UPS should be supplied and Commissioned within stipulated time within time limit and/or instruction of Engineer in charge, failing which penalty at the rate of ½% per week of delay not exceeding 10% of contract value will be imposed. 27. Taxes & Duties: No Sales / Professional or any other Taxes (including service Tax) or levy excise, octroi, toll tax, royalty or other duty will be payable by the company against this contract. All royalties, sales tax, toll tax and any other taxes including works contract tax in respect of this contract and also any statutory variation in future towards above mentioned taxes shall be payable by the contractor and GETCO will not entertain any claim whatsoever in this respect GETCO will not under take any liability / responsibility of works contract tax becomes applicable to this contract, the same will be to the supplier s account. 28. Unsatisfactory Progress of supply: If the supply is found not satisfactory or not progressing according to schedule given by the company, the GETCO may take any action as may be deemed fit to see that the work is completed in time at your risk and cost including forfeiture of entire security deposit. 29. The supply and commissioning of 6 KVA APC/HITACHI make UPS carried out as per Technical specification and GTP and as per instruction of Engineer in charge. Conditional Tender will not be accepted. 30. No extra cost will be paid for any transportation. 31. Bidder shall sign every page of the tender and submit, any claim of not reading or not knowing any terms will not entertain. No additions /alterations will be accepted. Any tender violating this condition will be rejected. 32. The supplier shall make his own arrangements for the loading / unloading of UPS, Battery etc. as required. No working staff will be provided by SLDC.The complete installation will be in the scope of bidder. 33. The supplier shall ensure that either himself or representative on his behalf is deputed by him to keep in touch with Engineer in charge with regard to detailing of the supply, installation progress or any changes required there of. 6
7 of 11 34. The supplier / contractor must follow all the rules and regulation of the labour laws (relating to engagements of persons by him.) 35. No interest shall be paid by the Company on security deposit as well as on amount of Security deposit. Earnest Money Deposit (EMD) received along with the tender. Security deposit can also be converted into performance Guarantee in the event of awarding the contract to a successful bidder. The same will be refunded within one month to all nonsuccessful bidders without any interest. 36. Tender fee paid for purpose of tender papers is non refundable. 37. The security deposit shall be refunded to successful tenderer only after satisfactory completion of the contract or on its termination by the Company due to its own reasons. The Company reserves the right to recover any dues, outstanding against the contractors from the bills due for payment on security deposit against any order/s placed by the GETCO towards any loss caused to the Company owing to negligence or default of the contractor, his servants or agents. The refund shall be done only on production of No Objection Certificate of concerned officer. 38. The rates quoted by the tenderer in the schedule of rates must include all charges of every type such as installation, levies, contractors, servant/agent wages etc. 39. Non fulfilling any of the clauses of the above specification will lead to outright rejection of tender / bid. 40.
