U.S. Government Contract Provisions and Clauses from the Federal Acquisition Regulation ( FAR ) the Department of Defense Federal Acquisition Regulation Supplement ( DFARS ) and National Aeronautics and Space Administration Federal Acquisition Regulation Supplement ( NFARS ) Provisions and Clauses Incorporated By Reference When the materials or products furnished are for use in connection with a U.S. Government contract or subcontract, in addition to the Additional Terms And Conditions For The Purchase Of Goods And Services, the following provisions shall apply, as required by the terms of the prime contract, or by operation of law or regulation. Clauses not applicable for these reasons shall be removed from this document and will be considered by all parties to be without force and effect. In the event of a conflict between these FAR, DFARS or NFARS provisions and the Additional Terms And Conditions For The Purchase Of Goods And Services, the FAR, DFARS or NFARS provisions shall control. The following provisions and clauses in effect as of the date of the contract are incorporated herein, unless made inapplicable by a corresponding note in the purchase order or subcontract, with the same force and effect as if they were given in full text. Seller shall indemnify and hold EnerSys Energy Products Inc. harmless from and against any cost, price reduction, withholding, offset, penalty, interest, claim, demand, determination of unallowability or unallocability, or any other civil, criminal, or administrative liability, whether arising under statute, regulation, contract or common law, and shall reimburse EnerSys Energy Products Inc. for all of its damages and associated costs, including reasonable attorney fees and other expenses, if said liability is attributable to the Seller or Seller s subcontractors failure to comply with the applicable U.S. Government contract clauses and provisions. The clauses listed above may require the submission of certifications and representations. When requested by EnerSys Energy Products Inc., Seller shall furnish any certification or representation that is necessary for compliance with such requirements. Page 5
