May 23, 2018 NOTICE TO PROPOSERS The following Project is being released utilizing the Request for Proposal Contracting Method of Procurement by Philadelphia Regional Port Authority ( PhilaPort ), an independent agency of the Commonwealth of Pennsylvania, where PhilaPort will consider technical qualifications, costs, and Diversity Inclusion participation. Proposals received by PhilaPort after the Proposal Submission Deadline will be rejected. PART 1 GENERAL INFORMATION FOR DESIGN BUILD FIRMS 1-1 Project Information. This Request for Proposals ( RFP ) provides interested Proposers with information to enable them to prepare and submit a proposal consisting of three separately sealed parts: Technical Submittal, Cost Submittal and Diversity Inclusion Submittal for consideration by Philadelphia Regional Port Authority ( PhilaPort ) for construction work on the Project reference in the Notice to Proposers. 1-2 Issuing Office. This RFP is issued by PhilaPort. The Request for Proposal Coordinator is the sole point of contact for this RFP. All correspondence concerning this RFP shall be directed to the Request for Proposal Coordinator and shall include the Project Name and Project Number. 1-3 Scope. The general scope of work encompassed under this RFP consists of the design and construction work for the Project identified on the cover sheet of this RFP and in the Notice to Proposers. The complete scope of work for this Project is further described by the Bridging Documents (provided as Appendices to this RFP), which shall take precedence over this general description. 1-4 Bidding Stage of the Request for Proposal Process. The Proposer is not required to identify in the RFP Technical Submission any proposed HVAC (Mechanical), Electrical and Plumbing ( MEP ) Construction. PhilaPort does not require the Proposer to submit qualifications for the aforementioned three divisions of work. The Proposer, as part of the signature page requirements set forth in Appendix A of the RFP, certifies to: The Proposer will provide a Lump Sum amount to be paid for all services necessary to provide the complete project described in the contract documents. Allowances for any of the work shall not be allowed. Regardless of the entities eventually selected by the DBC to perform the Work, the DBC shall be contractually committed to achieving the minimum of diversity inclusion percentage proposed in the HUB Solicitation and Commitment Statement Submission Form ( HUB ); or twenty (20%) whichever is greater. Such percentage shall be calculated on the entire Lump Sum amount proposed. 1. Design-Build Contract Includes Design and Construction Request for Proposal Part1-1 Philadelphia Regional Port Authority PhilaPort Project No.

The Design-Build Contract will encompass the costs for any and all design and construction services necessary to provide the complete project described in the contract documents, including, but not limited to, costs for the HVAC, Plumbing and Electrical design and construction work. The successful Proposer will become the DBC. 2. Design Documents Separate HVAC, Plumbing and Electrical Work The Final Design Submission from the DBC to PhilaPort shall be submitted to PhilaPort for review and conformance with the project scope. Final Design shall be organized into bid packages. Nothing in this requirement should be construed as prohibiting or requiring the DBC from developing multiple bid packages for award of different portions of the HVAC, Plumbing and/or Electrical Construction. 1-4 Type and Award of Contract. If a contract is entered into as a result of the RFP process, it will be a Design-Build Contract and Contact Bond, including the Contract Documents (all attached to this RFP as Appendices). The Contract Bond will be in the amount of 100% of the awarded contract. This Design-Build Contract will encompass the costs for any and all design and construction services necessary to provide the complete project described in the contract documents, including costs for the HVAC, Plumbing and Electrical work. The successful Proposer will become the DBC. No contract exists until all signatures required by law are affixed to the contract. The estimated date for the Initial Job Conference is 60 days from the Notice of Selection. PhilaPort reserves the right to issue a Letter of Intent to the successful proposer. The Letter of Intent will authorize the successful proposer to incur costs by commencing off-site work immediately as specifically described in the Letter of Intent. 1-5 Owner s Rights Reserved. PhilaPort reserves the right to modify, cancel or withdraw this RFP in whole or in part any time prior to full execution of the contract. PhilaPort reserves the right to reject any and all proposals received as a result of this RFP. PhilaPort may, in its discretion, waive any informality or technical deficiencies in proposals. 1-6 Incurring Costs. PhilaPort is not liable for any costs incurred by Proposers in preparing, delivering or submitting any proposals for the RFP or in anticipation of award of the contract. Request for Proposal Part1-2 Philadelphia Regional Port Authority PhilaPort Project No.

1-7 Pre-Proposal Conference. PhilaPort has scheduled a Pre-Proposal Conference as listed in the Notice to Proposers. Although attendance at the Pre-Proposal Conference is not mandatory, all prospective proposers, subcontractors and suppliers should plan to attend. The Conference will not be videotaped, so anyone who does not attend will not have an opportunity to participate in the discussion. Attendance will be taken and a list of attendees will be posted on the PhilaPort website. The purpose of the Pre-Proposal Conference is for PhilaPort and the Professional to present an overview of the Project and the proposal process. If possible, questions about the RFP and the Project should be forwarded to the Issuing Office prior to the conference to ensure sufficient analysis can be made before an answer is supplied. Questions may be asked at the conference but any answers furnished during the Conference will not be binding Answers furnished during the Conference will not be official until verified, in writing, by the Issuing Office. Questions and answers from the Pre-Proposal Conference issued as a bulletin become part of this RFP. Do not contact the Request for Proposal Coordinator or the Agency by phone with questions. 1-8 Clarification to the RFP: If there are any further technical questions, requests for information, requests for clarification, or requests for data after the Pre-Proposal Conference, the questions shall be submitted to PhilaPort s Request for Proposal Coordinator prior to the deadline set forth in the Calendar of Events for questions. If the Issuing Office deems it necessary to revise or clarify any part of this RFP or its Appendices, the Request for Proposal Coordinator will issue addenda recording the revision or clarification. These addenda will become part of this RFP. By submitting a Proposal, the Proposer acknowledges the receipt of all addenda issued for this Project and that they have read and understood them. PhilaPort will not issue any addendum later than indicated in the RFP Calendar of Events, unless PhilaPort cancels or extends the Proposal Submission Deadline. A written addendum issued by PhilaPort is the only binding amendment/revision to this RFP and no other form of amendment/revision, either written or oral, will be considered binding by PhilaPort. Proposers shall not rely on information other than written addenda issued by PhilaPort. 1-9 Proposal Submission Deadline. To be considered for selection by PhilaPort, proposals must be delivered to the Request for Proposal Coordinator (address listed in Notice to Proposers) on or before the Proposal Submission Deadline. Proposers who mail proposals should allow sufficient mail delivery time to ensure timely receipt of their proposals. If, due to inclement weather, natural disaster, or any other cause, PhilaPort is closed on the Proposal Submission Deadline, the deadline for submitting proposals shall be automatically extended until the next PhilaPort business day (and time of day specified in the Notice to Proposers) on which PhilaPort is open, unless Proposers are notified otherwise by PhilaPort. The Proposer shall be solely responsible for assuring that the proposal arrives prior to the Proposal Submission Deadline. Proposals delivered after the Proposal Submission Deadline, regardless of the reason for lateness, will automatically be rejected and returned unopened to the Proposer. 1-10 Proposals. To be considered by PhilaPort, a Proposer must meet the Mandatory Requirements of this RFP and should also submit a complete response to this RFP, using the format provided in Part 2. Proposals must be signed by an official authorized to bind the Proposer to its provisions. By submitting a proposal, the Proposer acknowledges that it has carefully reviewed this solicitation and agrees to comply with all applicable conditions and requirements. The contents of the proposal of the successful Proposer, which do not conflict with this RFP and/or its Appendices, will become contractual obligations if a contract is entered into by PhilaPort. The proposal shall remain valid and binding for at least 90 (ninety) days from the Proposal Submission Deadline, or until a contract has been fully executed. 1-11 If the Proposer is a Joint Venture. If the entity that will be signing the proposal is a joint venture, then there are additional requirements that apply. 1. The Joint Venture must submit a copy of the Joint Venture Agreement with the Technical Proposal. 2. Each entity comprising the Joint Venture must submit with the Proposal the corporate resolution or other legal document evidencing the entity s authorization to participate or form the Joint Venture. 3. The Joint Venture is the Design-Build Contractor / DBC throughout this RFP. 4. The Prime Contractor Qualification Statement (Appendix to this RFP) shall be completed by the Joint Venture with the Joint Venture as the firm and not as separate entities. 5. The Joint Venture should specifically identify and discuss in the Work Plan section of this RFP the responsibilities and scope of work on the Project for each entity in the Joint Venture. 1-12 Withdrawal of Proposal. Proposals may be withdrawn by written request, which shall be received by the Request for Proposal Coordinator prior to the Proposal Submission Deadline. A proposal may also be withdrawn in person by the Proposer or its authorized representative, provided their identity is made known and he/she signs a receipt for a proposal, but only if the withdrawal is made prior to the Proposal Submission Deadline. A proposal may only be modified by the submission of a new sealed proposal or submission of a sealed modification received by the Request for Proposal Coordinator prior to the Proposal Submission Deadline. After the Proposal Submission Deadline, a Proposer may withdraw a proposal without penalty up until the time PhilaPort issues a Notice of Selection. With the request for withdrawal, the Proposer must submit evidence that the reason Request for Proposal Part1-4 Philadelphia Regional Port Authority PhilaPort Project No.

for withdrawal is a clerical mistake as opposed to a judgment mistake and was actually due to an unintentional arithmetical error or an unintentional omission of a substantial quantity of work, labor, material or services made directly in the compilation of its bid. The evidence should be attached to the request to Withdraw at the time the request is submitted. 1-13 Public Works Employment Verification Act. The Proposer determined to be the most advantageous to PhilaPort will be required to comply with the Public Works Employment Verification Act by submitting to PhilaPort a Public Works Employment Verification Form (Form) prior to award of the contract. Proposers shall either provide the Form to PhilaPort with its Technical Submission or within three (3) days after receipt of notice to provide the Form. Failure or refusal to provide the Form will be considered a refusal to comply with the proposal, and the Proposer may be entered into the Contractor Responsibility Program. The Form and relevant information are located at http://www.dgs.state.pa.us/portal/server.pt/community/construction_and_public_ works/1235/act_127-2012_public_works_employment_verification/1357211. 1-14 Alternate Proposals. The Issuing Office has identified the basic approach to meeting its requirements, allowing Proposers to be creative and propose their best method of meeting these requirements. The Issuing Office will not accept alternate proposals or alternate base bids. 1-15 Discussions for Clarification. Offerors may be required to make an oral or written clarification of their proposals to the Issuing Office to ensure thorough and mutual understanding and Offeror responsiveness to the solicitation requirements. The Issuing Office will initiate requests for clarification. Clarifications may occur at any stage of the evaluation and selection process prior to contract execution. 1-16 Design-Build Contractor Responsibilities. The contract will require the selected Proposer to assume responsibility for all work and services offered in its proposal whether it produces them itself or by subcontract. The Issuing Office will consider the selected Proposer to be the sole point of contact with regard to contractual matters. 1-17 Disclosure of Proposal Contents. 1. Confidential Information. PhilaPort is not requesting, and does not require, confidential proprietary information or trade secrets to be included as part of Proposers submissions in order to evaluate proposals submitted in response to this RFP. Accordingly, except as provided herein, Proposers should not label proposal submissions as confidential or proprietary or trade secret protected. Any Proposer who determines that it must divulge such information as part of its proposal must submit the signed written statement described in subsection 3 below and must additionally provide a redacted version of its proposal, which removes only the confidential proprietary information and trade secrets, for required public disclosure purposes. 2. PhilaPort Use of Proposal Contents. All material submitted with the proposal shall be considered the property of PhilaPort and may be returned only at the Issuing Office s option. PhilaPort has the right to use any or all ideas not protected by intellectual property rights that are presented in any proposal regardless of whether the proposal becomes part of the contract. After the award of a contract pursuant to this RFP, all proposal submissions are subject to disclosure in response to a request for public records made under the Pennsylvania Right-to-Know-Law, 65 P.S. 67.101, et seq. If a proposal submission contains confidential proprietary information or trade secrets, a signed written statement to this effect must be provided with the submission in accordance with 65 P.S. 67.707(b) for the information to be considered exempt under 65 P.S. 67.708(b)(11) from public records requests. Financial capability information submitted with this RFP is exempt from public records disclosure under 65 P.S. 67.708(b) (26). 1-18 Best and Final Offers. A. While not required, prior to technical ranking, the Issuing Office reserves the right to conduct discussions with Offerors for the purpose of obtaining best and final offers. To obtain best and final offers from Offerors, the Issuing Office may do one or more of the following, in any combination and order: 1. Schedule oral presentations; 2. Request revised proposals; B. Proposer(s) shall not initiate news releases of media contact without prior written permission of the PhilaPort. This paragraph does not apply to any advertisement soliciting interested subcontractors made by the Proposer during the preparation of the proposal. 1-20 Restriction of Contact. From the issue date of this RFP until the date of the Notice of Selection all contacts with PhilaPort personnel concerning this RFP, proposals and the evaluation process must be approved through the Request for Proposal Coordinator. Any violation of this condition is cause for PhilaPort to reject the Proposer's proposal. If it is later discovered that any violations have occurred, PhilaPort may reject any proposal or rescind any contract awarded pursuant to this RFP. Proposers agree to make no other distribution of any part of their proposal beyond that made to the Request for Proposal Coordinator. A Proposer who shares information contained in their proposal with other PhilaPort personnel and/or competing Proposer s personnel may be subject to disqualification. 1-21 Notification of Selection. Upon completion of the Evaluation Committee s review of all eligible proposals, PhilaPort shall issue written notification of its selection for award to the Proposer whose proposal is determined to be the most advantageous to PhilaPort in accordance with the evaluation factors, procedures, and criteria set forth in this RFP. PhilaPort will notify in writing all Proposers not selected for award of their opportunity for a debriefing and the timeframe for this optional debriefing. Any unsuccessful Proposer who wants to be debriefed must fax or email in a written request to the RFP Coordinator within two (2) calendar days of the date of the notice they were unsuccessful. PhilaPort will hold a debriefing conference for each unsuccessful Proposer who submitted a written request for such a conference within five (5) calendar days of receipt of notice of a request for a debriefing but no later than seven (7) calendar days from the date of Notice of Selection. The PhilaPort Request for Proposal Coordinator of the Proposal Evaluation Committee will hold the debriefing conference and will discuss only the proposal of the Proposer being debriefed. The timeframe for debriefing of unsuccessful Proposers neither extends nor modifies in any way the deadlines for the RFP Protest Procedure set forth herein. 1-23 Term of Contract. The term of contract is the Contract Duration listed in the Notice to Proposers and will commence upon the effective date of the contract, as defined in the General Conditions of the Design-Build Contract (attached as an Appendix to this RFP). PhilaPort shall fix the effective date after the contract has been fully executed by the selected Proposer and by PhilaPort and all approvals required by Commonwealth contracting procedures have been obtained. The selected Proposer shall not start the performance of any work prior to the effective date unless authorized to do so in a Letter of Intent. PART 2 INFORMATION REQUIRED FROM DESIGN BUILD FIRM 2-1. Proposal Submission. The RFP is intended to provide interested Proposers with the basic information necessary to evaluate the project scope and requirements. Each Proposer shall develop an independent assessment of the project that shall form a suitable basis for their respective proposal. Each proposal should be a complete response to the RFP, following the format described in this RFP. Proposals shall be straightforward, concise presentations. Proposers shall include information for all items requested in the RFP as completely and accurately as possible. By submitting a proposal, the Proposer agrees to the terms and conditions as stated in this RFP. A proposal should be submitted in the format discussed below. To be considered by PhilaPort, the proposal shall respond to all requirements in this part of the RFP. Each proposal shall consist of the following 3 separate parts: 1) Technical Submittal; 2) Cost Submittal; and 3) Diversity Inclusion HUB Solicitation and Commitment Statement Submittal (HUB) PhilaPort will reject as non-responsive any submission that is not submitted and properly separated as described in this RFP.
