SPINNAKER BENEFITS MEMBERSHIP AND RIGHT TO USE PROGRAM RULES AND REGULATIONS Each Certificate Holder shall vacate the occupied dwelling unit no later than 10:00 A.M. on the last day of which his Right to Use interest terminates each year. No Certificate Holder shall take possession of a dwelling unit earlier than 4:00 P.M. on the first day of which the Right to Use privilege commences. Please keep in mind that this service interval is for the cleaning and maintenance staff to ready the unit for our next guests. A credit card is for various incidental charges. Please refer to your in-villa directory for additional information. No animals are allowed in any of the units except for those defined as service animals by the American Disabilities Act. A mandatory charge of $150.00 will be levied for violation and the animal removed. Certificate Holders are encouraged to report violations. The Seller (or its management company) has the right to ask serious violators to leave if they do not cooperate. The Seller (or its management company) may retain a pass key to each dwelling unit. No Certificate Holder shall change any lock or install an additional lock. The annual Association Fee does not cover damage or loss to villa furnishings, the unit, or grounds caused by negligence or theft. Please remember the occupant is responsible for the damage or theft and will be charged directly for the replacement or repair. Each occupant shall keep his unit in a clean and sanitary condition. Certificate Holders will be held responsible for actions of their guests and children. Children are allowed to play only in the designated play areas away from golf course greens, entrance ways, roadways and lagoons. No Property shall be removed from a dwelling unit at any time for any purpose. This specifically applies to the use of unit blankets and towels on the beach or at the pool. In accordance with local fire ordinances, barbecue grilles cannot be used on any of the balconies or walkways. Employees of each Association, the Seller, or their respective Declarants or their respective management agents, and any contractor or workman authorized by the Associations or their management agents, may enter the dwelling unit at any reasonable hour of the day for any purpose permitted under the terms of the respective Master Deeds of the Associations. Except in the case of emergency, entry will be made by prearrangement with the Certificate Holder. The walkways and entrances to the dwelling units may not be obstructed in any way and will be used only for walking to and from units. (This includes but is not limited to bicycles, baby carriages, and swimming floats.) The interiors of the dwelling units shall not be decorated by the occupant in any way whatsoever. No occupant shall do any painting to the exterior of his unit. No signs may be posted by the occupant inside or outside or on the grounds.

The occupants shall not put their names on the entry to the dwelling unit. No article shall be hung or shaken from the doors, windows, or balconies, or placed upon the window sills of the unit. (This includes beach towels, blankets, swim suits, and swimming floats.) No occupant, his children or guests will permit any noises that will disturb or annoy the occupants of the other units or interfere in any way with the rights, comforts, and convenience of the other occupants. There is a noise curfew from 9:00 P.M. to 9:00 A.M. Federal guidelines for energy conservation should be followed. Any complaints shall be made in writing to the Seller or its management agent. Any consent or approvals given under these Rules and Regulations by the Seller or its management agent are revocable at any time. Occupancy of the units is limited to four (4) people in a one (1) bedroom, six (6) people in a two (2) bedroom and eight (8) people in a three (3) bedroom unit. Use of all facilities and amenities are included with occupancy of a unit. The pools within the resorts which comprise the Spinnaker Benefits Property have no lifeguards. All children must be accompanied by an adult. Pool hours are from 9:00 A.M. till dark. Motor homes, U-haul trailers, and boat trailers, are not allowed within any of the resorts which comprise the Spinnaker Benefits Property. While Seller or its management agent will be inspecting the unit at the end of the usage by the Certificate Holder, we would also suggest that you as a Certificate Holder carry out a brief inspection and notify the Seller or its management agent of anything that is missing or abused. No Certificate Holder, family member, tenant, resident, guest, business invitee, or visitor shall smoke cigarettes, cigars, e-cigarette, or any other tobacco product within the unit or on the balcony areas of the unit. Smoking is prohibited in the units, on the balcony areas and pool deck/s. If found that an Certificate Holder and/or Guest has violated this policy a fine of $150 for a professional cleaning of the unit will be charged to the Certificate Holder and/or Guest who is registered at the Resort. If the next occupant to this unit must be relocated due to the smoke smell, the previous occupant will also be charged for any additional fees that may be incurred by the relocation. These Rules and Regulations may be modified, amended, or supplemented from time to time by the Seller (in its sole discretion). The Seller will provide notice to the participants in Spinnaker Benefits of any such changes to the Rules and Regulations. These Rules and Regulations are in addition to the rules and regulations established and administered by the respective associations for the timeshare units which comprise the Spinnaker Benefits Property. SPINNAKER BENEFITS TERMS AND CONDITIONS The specific terms and conditions of the Membership and Right to Use privileges and obligations of the Certificate Holder in the Spinnaker Benefits program are set forth in the Membership and Purchase and Rights of Use Agreement (the Agreement ) executed and delivered in conjunction with the issuance of this Certificate (the terms and conditions of the Agreement being incorporated into this Certificate) All travel must be completed between the first week of January through the second week of March (Spinnaker Benefits calendar weeks 1-11) and the third week of October through the last week of December (Spinnaker Benefits calendar weeks 42-52) at Waterside, Southwind and Egret Point. Travel at Cottages, French Quarter may be reserved during all 52 weeks based upon availability. Royal Floridian North can be reserved Weeks 1-8, 17-21 and 42-52. Annual Membership Fee prepayment will be required to reserve peak week reservations in Hilton Head, specifically described as reservations between Memorial Day and Labor Day. Certificate Holder must be current in payment of the Annual Membership Fee (Estimated Annual Membership Fee is $600-1 bedroom, $742-2 bedroom and $824-3 bedroom may be subject to change), and the obligations of the Promissory Note (if applicable). Reservation requests can be made a maximum of 270 days (9 months) in advance of check-in date. Requests must be made in compliance with the reservation requirements established from time to time by Spinnaker Benefits, and MUST be in writing to res@spinnakerresorts.com. Fulfillment of reservation requests are based upon availability. Right to Use week can be reserved or banked to Interval International and used for exchange (with all such banking and exchanges being administered/facilitated through Southwind Management. Payment of the Annual Membership fee must be paid prior to the week being deposited). Based upon availability, Certificate Holder may reserve and use up to two (2) additional Right to Use weeks upon payment of a DISCOUNTED Fee for the applicable size unit and can be reserved 90 days (3 months) in advance of the check-in date. (The discount is 20% of the Annual Membership Fee.) Once a Use week is reserved by the Certificate Holder, the Certificate Holder may request the reservation be changed (based upon availability) one time; conditional if the Reservation Department for Spinnaker Resorts is notified 30 days or more prior to the first day of the Use week. Certificate cannot be altered in any way or the Agreement will be null and void. This Certificate and the Right to Use privileges expire in 20 years from 1 st year usage.

Spinnaker Resorts PRIVACY ASSURANCE POLICY Spinnaker Resorts, and each of our affiliates, respects the confidential nature of both your personal and account information. To ensure your privacy, we have, and will continue to safeguard the information with which we are entrusted. Below, we have outlined the type of information that is typically collected from our owners and how this information is used. Please read this policy carefully and be assured of our commitment to safeguard the privacy policy rights of our owners. I. Type of personal information collected Information typically obtained for the purchase of property, from your purchase contract, credit application and other paperwork includes: your name, address, telephone number, social security number, employment, income, bank account information and monthly payment liability. Information obtained from third parties, as part of the purchase process, include credit reports and bank account information necessary to maintain your account. Information is also received from our regular transactions and experiences, which help us maintain the accuracy of your account information. II. Sharing your personal information We DO NOT share personal information on present or former customers with any nonaffiliated third parties, who are not directly involved in the process of handling or servicing your purchase. We do share your information with our title company to secure your title policy; and with our financial institution, as part of the mortgage servicing and collection process. We also use information for our own (internal) marketing programs. We DO NOT SELL your name, address or telephone number to any unaffiliated third parties. Here at Spinnaker Resorts, your personal information is private and is used to help us make your vacation ownership experience the best that it can be. III. Control of your personal information Spinnaker Resorts, and its affiliated companies, safeguard your information, both physically and electronically. Only parties with proper authority are permitted access to your personal information. All employees and related parties are required to adhere to the company s privacy Assurance Policy and violations would result in disciplinary action. IV. Your right to "Opt Out" While Spinnaker Resorts does not presently share personal information with non-affiliated third parties, or have any plans to do so. you have the option to "opt out", please contact us at 866-455-3577 to notify us of your choice. We will process your request within thirty (30) days and maintain this information on file until we receive further direction from you. While we may, as permitted by federal law, continue to share information such as your account history and balance with affiliates of the company, no information will be shared with nonaffiliated parties. While our Privacy Assurance Policy is designed for the primary signatory on each account, we honor the opt out request of all joint signatories, as well.
