Centaur provides services to clients in Europe, the US and Asia and has been approved after extensive due diligence processes by more than 100 institutional investor groups. Our comprehensive range of services includes fund administration, investor services and regulatory services. Founded in 2009, Centaur is regulated by the Central Bank of Ireland under the Investment Intermediaries Act and by the Bermuda Monetary Authority. The firm s success has led to significant growth every year since inception. Our regulatory services include: Registration of funds as Foreign Financial Institutions ( FFIs ) with the US Internal Revenue Service ( IRS ) Establishment and maintenance of FATCA/CRS status for investors Acting as Responsible Officer ( RO ) and Point of Contact ( POC ), as required, for both the IRS and Local Competent Authority ( LCA ) Reporting to the IRS or LCA Ongoing compliance monitoring and reporting.
CORPORATE SERVICES Centaur provides a comprehensive and specialized range of corporate secretarial services, including: ROUTINE COMPANY-RELATED MATTERS Acting as the main point of contact for Directors queries Organizing, attending and minuting board meetings, audit committee meetings and valuation committee meetings Ensuring documents are approved by the board and executed thereafter Monitoring the payment of company s annual fees and monitoring annual filings. NON-ROUTINE COMPANY-RELATED MATTERS Change of director or service provider Drafting resolutions to approve additional dealing days, signatory lists, amended offering documents etc. Applying for an extension to submit financial statements Amended constitutional documents Liquidations.
AIFMD SERVICES Centaur Financial Limited, as part of the Centaur Group, provides AIFMD depositary services for managers of non-eu-domiciled alternative investment funds. Our experts assist clients with the AIFMD regime and work with them to ensure they meet their depositary requirements in a timely and efficient manner. Services include: CASH FLOW MONITORING: ARTICLE 21(7) Ensure access to all cash account information held by or on behalf of AIFs, including payment information relating to subscriptions by investors Ensure all institutions where accounts are held meet the requirements of Directive 2006/73/EC (regulatory status and verification) Conduct cash flow movement reconciliations and cash flow monitoring. OVERSIGHT FUNCTION: ARTICLE 21(9) Conduct monitoring to provide reasonable assurance that investor transactions have been processed correctly and in accordance with the applicable laws and the AIFs constitutional documents Conduct monitoring to provide reasonable assurance on the AIFs compliance with investment restrictions and leverage restrictions in the AIFs constitutional documents Conduct monitoring to provide reasonable assurance that trades are settled within an acceptable timeframe and that any income is applied by the AIF in accordance with applicable law and the AIFs constitutional documents.
