Welcome to Bank of Ireland UK To help us to process your application as quickly as possible, it is important that this form is completed accurately. In order to comply with these obligations, before your account is opened we may seek documentation or information from you or an independent source to confirm the identity of the entity and/or the individual(s) specified overleaf. Please ensure that you have the consent of all individual(s) specified overleaf that you may provide us with the information we require in order to verify their identity. Please ask your Account Manager or your branch for details of those individual(s) for whom we will require documentation to confirm their identity. Even if you are a long standing customer and wish to open additional accounts with us, we are required to carry out identity checks where we have not already done so or where we may need to update documentation or information already held by us. The Bank may at its discretion seek further information and or documents to ensure compliance with its legal obligations. Furthermore, I hereby agree to hold myself liable for all monies due and liabilities, demands, claims, losses, costs and expenses incurred under the above authorisation in any manner whatsoever and however. Resolved that: 1) The following Authorised Signatory / Signatories is / are required to transact and give instructions. Sole proprietor only Any one of the Signatories All of the Signatories Any two of the Signatories Non Standard signing arrangements (see specific instructions attached) 2) Bank of Ireland UK (the Bank ) is hereby requested to open and / or continue one or more accounts, in the name of the Account Holder, at any branch(es) or department of the Bank. 3) The Bank is hereby authorised to honour and negotiate all cheques and other negotiable instruments drawn, made, endorsed or accepted on behalf of the Account Holder and to act on all instructions relating to the accounts affairs or transactions of the Account Holder, notwithstanding that such action may lead to borrowing or cause any of the accounts to be overdrawn or any overdraft to be increased provided that they are signed on behalf of the Account Holder in accordance with the Mandate set out above. 4) The Bank be supplied with a list of the officials authorised to sign in accordance with the Mandate set out above, together with their specimen signatures and the Bank be given notice in writing by me of any change which may occur from time to time in the list of Authorised Signatories. 5) The Bank is hereby requested to grant accommodation from time to time by way of overdraft, loan or otherwise for the purposes of the Account Holder, on such terms and conditions as are then current or may be stipulated by the Bank from time to time. 6) The Bank is authorised to act on any instruction to countermand or revoke any cheque, draft or order to pay before it is effected provided that the same is signed on behalf of the Account Holder in accordance with the Mandate set out above. 7) The Bank is hereby authorised in respect of any information and / or copy documents supplied to the Bank to enable the Bank to comply with its obligations to establish the identity of the Account Holder in accordance with the UK money laundering legislation, at any time, to disclose to, transfer to, or send copies thereof to any branch, any other member of the Bank of Ireland Group or persons so authorised under UK legislation who may at any time provide or be requested to provide any services to the Account Holder. 8) Any information and / or copy documents which have been supplied to any member of the Bank of Ireland Group or any branch of the Bank to enable it to comply with its obligations to establish the identity of the Account Holder in accordance with the UK money laundering legislation may at any time be disclosed or transferred to, or copies thereof sent by such member or branch to the Bank or another branch of the Bank so as to enable the Bank to comply with its obligations under UK legislation. For the benefit of any such member of the Bank of Ireland Group, the Account Holder confirms that such member may act on this authorisation as if it were specifically addressed to such member. 9) The Bank is hereby authorised in respect of any information supplied to the Bank relating to the identity of the Account Holder or in any connection with any matter arising from any application made to the Bank to make all and any enquiries the Bank considers appropriate or disclose any information contained in this form or any such application to, any third party providing a credit reference service and the Account Holder confirms that the Bank may disclose information relating to any account (if opened) and its operation to any credit reference agency. 10) This Mandate shall be communicated to the Bank and shall remain in full force until an amending Mandate shall be signed by me and communicated to the Bank. Before signing please ensure you have fully read and understood the authority you have given to the Bank in this Mandate. You must read Section 10, Data Protection using your information and section 11 the Declaration and Agreement on page 10. Section 4: Authority and Indemnity Telephone or Facsimile Instructions Bank of Ireland UK is a leading provider of electronic banking services. Bank of Ireland UK recommend the use of Business On Line as the most secure method of viewing transactional banking information and effecting payments. Should you wish to receive additional information on Business On Line, please advise us under Section 7. However, should you wish to transact business with us by way of telephone or facsimile instructions, then please proceed to complete this Section. To Bank of Ireland (UK) plc (hereinafter called The Bank ) 1. Your Name: Business Name of: Trading Name (if different from Business Name of): (the Account Holder ), hereby instructs the Bank in relation to the operation of any of his / her account(s) that the Bank is authorised to accept instructions by telephone or facsimile message in accordance with the current Business Account Mandate in section 3. 2. In consideration of the Bank agreeing, at the request of the Account Holder, to act on instructions received by telephone or facsimile message the Account Holder hereby: (a) Covenants and undertakes with and to the Bank that: (i) the Bank may act on such instructions sent by telephone or facsimile message whether such instructions include instructions to pay money or otherwise to debit or credit any account of the Account Holder with any amount or relate to the disposition of any money, or purport to bind the Account Holder to any agreement with the Bank or with any other person or commits the Account Holder to any other type of transaction or arrangement whatsoever; and the Account Holder shall at all times accept the debit or the credit of the Bank on any of the Account Holder s accounts in respect of any such transaction as conclusive evidence of any such instructions sent by telephone or facsimile message and of the amount involved. (ii) the Account Holder shall do all that is necessary to ensure maximum security in connection with the issue of any such instructions sent by telephone or facsimile message. (b) Acknowledges and agrees: (i) that no written confirmation shall be required before or after the Bank shall act on instructions sent by telephone or facsimile message but shall if called upon to do so by the Bank confirm such instructions in writing provided that failure to do so shall not render invalid any action taken by the Bank pursuant to such instructions. (ii) that the Bank assumes no liability or responsibility for consequences arising out of the interruption of, delay and / or loss in transit of any messages, letters or documents or for any delay, mutilation or other errors arising in transmission of any instructions sent by telephone or facsimile message or for errors in translation of and / or interpretation of technical terms. (iii) that the Bank assumes no liability or responsibility for consequences arising out of the interruption of the Bank s business due to failure of power supplies, riots, civil commotions, insurrections, wars, acts of God or any other causes beyond the Bank s control. (c) Indemnifies and agrees to keep indemnified the Bank against all claims, demands, liabilities, losses, costs (including legal fees on a full indemnity basis) actions, proceedings, charges and expenses whatsoever and howsoever arising which the Bank may incur or suffer by reason of the Bank acting on any instructions received by telephone or facsimile message and that the Bank may debit any account(s) in the name of the Account Holder with any sums payable by the Account Holder hereunder. 3. The Bank agrees and acknowledges that the Account Holder shall not incur any liability as stated in 2 (c) above, to the extent that any claims, demands, liabilities, costs, actions, proceedings, charges and expenses arise out of any fraud or negligence duly proved on the part of the Bank, its officers, servants or agents. 4. This Authority and Indemnity is irrevocable save with the prior written consent of the Bank. 5. For the benefit of the Bank the Account Holder submits to the jurisdiction of the Courts of Northern Ireland in relation to any claim or proceeding hereunder. The Account Holder further irrevocably submits to any other jurisdiction in which he / she has assets and hereby waives any objection to any claim that any suit action or proceeding have been brought in any inconvenient forum. Section 5: Current Account Switching Transfer Authority Depending on your needs and preferences you may qualify for the Current Account Switch Service (CASS). Alternatively, the Bank of Ireland UK Switch Service (BOI UK SS) will apply. Please see our Current Account Switch Service Information Pack for full details. Do you wish to close your existing Current Account? Yes No If YES, PLEASE COMPLETE SECTION (A) on the Current Account Switch Service below. If NO, or if you do not meet the eligibility criteria for the Current Account Switch Service, then PLEASE COMPLETE SECTION (B) on the Bank of Ireland UK Switch Service below. Section (A) Current Account Switch Service For use when you are closing your existing account, and are either: i) a business with an annual turnover that does not exceed 6.5 million and employs fewer than 50 people ii) a small charity with an annual income of less than 6.5 million iii) a small trust with a net asset value of less than 6.5 million Do you have any security attached to your existing account? I/we hereby instruct Bank of Ireland UK to contact my/our old bank to close my/our Old Account in accordance with the Account Closure Instruction. This cannot be reversed or cancelled any later than the close of business 7 working days before the Switch. I/we give my/our consent to the redirection of all payments to and from my/our Old Account to be made to and from my/our New Account for 36 months after the Switch. I/we understand that after the abovementioned 36 month period automatic redirection of payments will continue until such a time as there is a 13 month period when no Direct Debits, BACS Direct Credits or Faster Payment transactions have been automatically redirected to my/our Old Account. I/we have received, read and understood the relevant information pack regarding the Current Account Switch Service, which includes an explanation of the: 1. Current Account Switch Guarantee 2. Current Account Switch Agreement (including consent and service conditions) 3. Direct debits and recurring debit payments -please choose ONE option: Provide details of my/our new Bank of Ireland UK account to each of the persons and organisations whom I/we pay by direct debit. Send to my/our address a partially completed letter for each of the persons or organisations I/we have paid through direct debit or through recurring debit payments in the last 13 months so that I/we may forward to them details of my/our new Bank of Ireland UK account. Option (2): I/we will manage my/our own switch. X I/we will send to my/our old bank my/our own instructions regarding the cancellation of any existing direct debits, standing orders, future-dated payments, account closure and credit balance transfer as per my/our own preferences using the Customer Request to Complete Switch form(s) found in the Bank of Ireland UK Switching Service section of the Current Account Switch Service information pack. I/we have received, read and understood the relevant information pack regarding the Bank of Ireland UK Switch Service, and confirm my/our agreement. Section 10: Data Protection - using your information Important information about you and us, Bank of Ireland UK Bank of Ireland UK is a member of the Bank of Ireland Group. In this statement, our group means the Governor and Company of the Bank of Ireland and any of our subsidiary or associated companies. For a full list of our group, write to us at the address below. We may hold your information and it may be used by any other member of our group. Considering your application To help us decide whether to enter into this and any future agreement with you, we may use: any information you have given us; information we already hold about you; information we receive from enquiries we make about you; and information we get from other dealings with us or our group. We may make and keep copies of your passport, driving licence or other proof of your identity that you provide. We may also search your record held by credit reference agencies or ask them to make enquiries for us. We may give credit reference agencies the information they need to make their enquiries. The credit reference agencies will keep a record of our search, whether or not your application goes ahead. This record will be available to other organisations that make similar searches and could affect your ability to get credit elsewhere for a short period of time. Information the credit reference agencies hold about you may already be linked to records relating to other people. (This is called an association.) You may be considered to be financially linked to these people and we may consider their credit records when considering your application. If you are providing information on behalf of others within your business, you are applying for credit with someone else, or you have told us about a financial link with another person, you must be sure that you are entitled to: release information about that other person and anyone else you have referred to; and authorise us to search, link or record information about you (and anyone you have referred to) at credit reference agencies. Credit reference agencies will create a link between your credit records and those of any person you have said that you have a financial relationship with. When you or the people you have a financial relationship with apply for credit in the future, both your and their credit records will be taken into account. This process will continue until one of you tells the credit reference agencies that there is no longer a financial link. We may also use a creditscoring system or other automated system for making a decision. Using and sharing your personal information We will add to your record with the Credit Reference Agencies by giving information relating to your Agreement and information about how you manage your account and your repayment record. We will also tell them of any default and any change of address you fail to tell us about where any payment is overdue. It is important that you give us accurate information. We will check your details with fraud prevention agencies. If false or inaccurate information is provided and fraud is identified, details will be passed to fraud prevention agencies. Law enforcement agencies may access and use this information. The information we obtain will be shared with and cross-checked by other businesses, including Bank of Ireland Group companies, other lenders, fraud prevention agencies, companies or other bodies which maintain registers of assets and interests in them, any insurers, third parties engaged by us and anyone who introduced you to us. We and other organisations may also access and use this information to prevent fraud and money laundering, for example, when: checking details on applications for credit and credit related or other facilities verifying your identity tracing debtors, recovering debt managing credit and credit related accounts or facilities and administer your Account checking details on proposals and claims for all types of insurance checking details of job applicants and employees carrying out statistical analysis and market research, and developing and improving the products and services we provide and make available. This information will also be shared with Bank of Ireland Group companies ( the Companies ) so that they may carry out statistical research and analysis, compliance and regulatory reporting and administration of the Account. Direct marketing We may use your information to help us identify products and services which may be of interest to you and may contact you from time to time. We may also give information about you to: our group; and any other person or company we choose from time to time, so that they can use it for similar purposes. We may contact you by post, phone, e-mail, fax and in any other way.
