As used in these Terms and Conditions, the words you and your refer to the owner(s) (primary and secondary cardmembers) of your Account (defined below) enrolled in the Union Bank Rewards Program described below (the Program ). MUFG Union Bank, N.A., (referred to herein as we, us, our and Union Bank ) is the issuer of the credit card account(s) (the Account ) and the sponsor of the Program. These Terms and Conditions are in addition to those set forth in your Cardmember Agreement, Disclosure Statement and Security Agreement ( Cardmember Agreement ) and the Summary of Credit Terms governing your Account. Your Cardmember Agreement and Summary of Credit Terms remain in full force and effect and are not affected by these Terms and Conditions. Please read the terms below carefully, as they contain some important details and limitations. Complete details on the Union Bank Rewards Program may be found at unionbank.com/ rewardsdetails. 1. EARNING POINTS: Earn 3 points for each $1.00 of Net Purchases posted to your Account for Travel for the first $6,000 of Net Purchases made during each calendar year for Travel. (See definition of Travel below.) Earn 2 points for each $1.00 of Net Purchases posted to your Account at Restaurants for the first $6,000 of Net Purchases made during each calendar year at Restaurants. (See definition of Restaurants below.) Earn 1 point for each $1.00 of Net Purchases posted to your Account for purchases other than Travel and Restaurants. Earn 20,000 bonus reward points following your first $1,500 in Net Purchases within your first 3 months. These points will post to your rewards point balance within 8 weeks after the close of your 3rd billing cycle. You earn points by making Net Purchases with your credit card. You will earn 1 point per $1 of all new eligible Net Purchases charged to the card each billing cycle. You will earn 2 points (consisting of 1 base point and 1 bonus point) for the first $6,000 of Net Purchases made during 1

each calendar year at Restaurants. A Restaurant is a merchant with the merchant category code (MCC) for Grocery Stores or Caterers (MCC 5811); Eating Places and Restaurants (MCC 5812); Drinking Places (Alcoholic Beverages), Bars, Taverns, Cocktail lounges, Nightclubs and Discotheques (MCC 5813); or Fast Food Restaurants (MCC 5814). You will earn 3 points (consisting of 1 base point and 2 bonus points) for the first $6,000 of Net Purchases made during each calendar year on Travel purchases. A Travel purchase is a merchant with the (MCC) for Airlines (MCC 3000-3350); Airlines, Air Carriers (not listed elsewhere) (MCC 4511); Hotels (MCC 3501-3999); Car Rental (MCC 3351 3500); Other Travel (MCC 4112, 4121, 4131, 4411, 4457, 4722, 4784, 4789, 7012, 7033, 7519, 7523). Merchants are assigned a merchant category code by payment card processors based upon the merchant s primary line of business. We do not determine the MCC for a merchant. Whether a transaction is eligible for bonus points depends on the MCC actually assigned to a merchant. Purchases processed through merchants that do not process transactions under the eligible MCC and purchases processed through third-party payment accounts (e.g. PayPal) will not qualify to receive bonus rewards. After you make $6,000 in Net Purchases on Travel in a calendar year, you will earn 1 point for each $1.00 in Net Purchases that you make on Travel for the remainder of the calendar year. After you make $6,000 in Net Purchases at Restaurants in a calendar year, you will earn 1 point for each $1.00 in Net Purchases that you make at Restaurants for the remainder of the calendar year. Net Purchases are authorized, new purchases posted to the Account on or after the day you activate your credit card Account, excluding disputed billing items and items that are subsequently subject to a refund or credit (such as for returned merchandise). Points that have been earned may be deducted if, after points are earned, purchases are subsequently subject to a refund, credit or dispute. Net Purchases do not include: (a) annual fees, finance charges and other fees or charges posted by us to the Account; (b) cash advances (including but not limited to cash received over the amount of Purchases charged to the Account, purchases of money 2

orders or other cash equivalents) or special check transactions; (c) balance transfers; (d) overdraft advances (e) charges for other products, services, or benefits that we provide (such as credit insurance premiums); or (f) other transactions that we determine not to be eligible. With regard to the points earned under the Program, point awards are not earned until they show on the Account statement. We reserve the right to retroactively correct errors made in point awards. We are solely responsible for determining which transactions are eligible for point earnings and our determination is final. Points you earn during the billing cycle will be added to your rewards points balance within seven days after the end of the billing cycle. 2. LIMIT ON POINTS EARNED: You will earn 2 points for each $1.00 of Net Purchases only for the first $6,000 of Net Purchases made during each calendar year at Restaurants. You will earn 3 points for each $1.00 of Net Purchases only for the first $6,000 of Net Purchases made during each calendar year on Travel purchases. No limit on earning points for all other Net Purchases (excluding purchases for Travel or at Restaurants). 3. POINT REDEMPTION: You may redeem points for the following Rewards : For merchandise, gift cards/certificates, travel (airline, hotel and car rental), and Promotional Redemptions (defined below) based on the point redemption value associated with the Reward, which may vary depending on the Reward; For a statement credit to your card Account at a rate of 1 cent per point; For cash back into a Union Bank checking or savings account at a rate of 1.25 cents per point; For a principal reduction payment to your Union Bank mortgage account at a rate of 1.50 cents per point; 3

You must have a Union Bank checking account, savings account, or residential mortgage account in an open status with Union Bank to qualify for the point redemption values referenced above. When you redeem points for a statement credit to your card Account, the statement credit is treated as an additional payment on your Account. You are still required to make your regular monthly Account payments as indicated on your monthly mortgage statements. Statement credits will post to your card Account within 5 business days. It may not appear on your monthly statement for 1 to 2 billing cycles. When you redeem points for cash back to a Union Bank checking or savings account, the deposit will post to your checking or savings account within 5 business days. It may not appear on your monthly statement for 1 billing cycle. When you redeem points for a principal reduction payment to your Union Bank mortgage account, the payment will be applied as an extra principal payment and will not count toward your regular monthly payment. You are still required to make your regular mortgage account payments as indicated on your monthly mortgage statements. Principal reduction payments will post to your mortgage account within 5 business days. It may not appear on your monthly mortgage statement for 1 billing cycle. We may also provide additional redemption options from time to time ( Promotional Redemptions ). Promotional Redemptions are offered solely in our discretion, are not guaranteed, and are subject to any limits that we may impose. Promotional Redemptions may be withdrawn at any time without notice. A listing of all available Rewards, including their point redemption values, is on the online account access Website ( Website ), or you can obtain this information by calling the Rewards Service Center at 1-877 737 7166. The amount of points redeemed for a Reward will be subtracted from your point balance. We may, in our discretion, set a minimum or a maximum number of points that you may redeem in a single transaction. We may adjust this amount from time to time. We also may require that redemptions 4

occur in round increments that we will set in our discretion from time to time. All Rewards are subject to availability. We may withdraw, change or replace any Reward item. We may also change the number of points required to redeem a Reward, at any time and without prior notice to you. All redemption transactions are final. There are no refunds, exchanges, replacements or conversions for currency, credits, points, or Rewards. Point redemptions for Rewards may be subject to shipping, handling or other fees, and shipping restrictions may apply. The merchants participating in the Program are not affiliated with us nor are these merchants considered sponsors or co-sponsors of the Program. All trademarks are the property of their respective owners. The merchants terms and conditions apply to their respective gift cards/ certificates, merchandise and/or services. Upon receiving your Rewards, see each merchant s specific terms and conditions for complete details, which are subject to change by the merchants at their sole discretion from time to time, subject to applicable law. 4. REDEMPTION REQUESTS: Redeem your points 24/7 through the online account access Website at mycreditcard. unionbank.com or call the Rewards Service Center at 877-737-7166. Rewards Service Center is available 24 hours a day, 7 days a week. 5. YOUR POINT BALANCE: Point awards are not available for redemption until they appear on your Account statement. Each billing statement will include the total number of points earned for the current billing cycle. You can also obtain information regarding your Account (including the number of points earned and redeemed) by accessing your Account online and viewing the monthly billing statement or by calling the Customer Service number listed on the back of your credit card. Points have no monetary value, until such time you elect to redeem those points for a cash back redemption. Points are not transferable in the event of the cardholder s death, as part of a domestic relations matter, or for any other reason. We are not responsible and bear no liability for any disputes concerning the ownership, 5

redemption or disposition of any points. If you think there is an error with your point balance, you must notify us within 60 days of the date of the first Account monthly statement showing the error. If you fail to notify us, your Account monthly statement will be considered accurate, and you will have waived all claims for adjustments. We reserve the right to retroactively correct errors made in point awards. In the event that an adjustment to your point total means that you received a Reward (defined below) that you were not otherwise entitled to under the Program, you agree that you owe us the points for such excess redemption and that we have the right in our sole discretion to reduce your points accordingly, withhold any subsequent points and/or Rewards you earn that correspond(s) in number to any you received in error, and collect any such amount you owe. Point discrepancies do not constitute billing errors. 6. ANNUAL REWARDS PROGRAM FEE: There is no Annual Rewards Program Fee; however, please review the Fees Section in your Cardmember Agreement and Summary of Credit Terms for information on possible annual fees associated with your Account. 7. POINT EXPIRATION: Points are redeemed on a first-in, first-out basis and points will expire on or after the third anniversary of the date earned. 8. POINT FORFEITURE: If you fail to pay your Account on time or otherwise fail to follow the terms of your Cardmember Agreement and Summary of Credit Terms, you will forfeit accumulated points. In addition, closing your Account (by you or by us) will result in the termination of your enrollment in the Program and any unused, accumulated points will be forfeited. 9. DISQUALIFICATION / TERMINATION: If the Account does not remain in good standing, you will not earn future points, cannot redeem points, and you will forfeit any accumulated points previously earned. An Account is in good standing when no event has occurred that allows us to require immediate payment of your entire balance under the Cardmember Agreement, 6

including, without limitation, failing to make the minimum payment when due, having a payment to us denied, providing us false or misleading information, or violating the Cardmember Agreement or any other agreement with us. We reserve the right to disqualify or remove any person or Account from participation in the Program, refuse to award or redeem points, or close your Account at any time, for any reason including, but not limited to, your Account being inactive (as such term is defined by us from time to time). If such a disqualification is temporary, it may result in the forfeiture of any accumulated points. If such a disqualification is permanent, it will result in the forfeiture of any accumulated points. Closing your Account (by you or by us) will result in the termination of your enrollment in the Program and any accumulated points will be forfeited. 10. CHANGES: We reserve the right to change these Terms and Conditions and to limit, modify, delete or otherwise change any aspect of the Program and its rules, restrictions, benefits or features, in whole or in part, including but not limited to suspending or terminating all or part of the Program, with or without prior notice (except where required by law). Changes may have a retroactive effect. Changes may affect outstanding purchases and points, and may include, but are not limited to, the number of points required to earn Rewards, the type of purchases which qualify for points, the type and/or value of Rewards, the availability of Rewards, the addition of blackout dates, the imposition of an annual Program membership fee or other fee, or the increase of any fee that may be associated with the Program, and the number of points which may be earned per month or per year. Changes may affect points that have already been earned as well as those to be earned in the future. We may also substitute another Reward program for this one, in our sole discretion with or without prior notice. 11. TAX LIABILITY: Points or cash back may be subject to federal, state or local income tax. Determination and payment of any liability for federal, state, or local income taxes regarding the earning or 7

redemption of points are your sole responsibility. Please consult your tax advisor concerning any income or other tax consequences related to your participation in the Program. 12. RELEASE OF INFORMATION: You consent to our release of information about you and your Account to third parties as necessary or convenient to carry out the Program or as permitted by applicable law. 8
