Introducing the Investec Wealth Accelerator Equity Structured Product The Investec Wealth Accelerator Equity Structured Product ( ESP ) is a listed instrument on the Johannesburg Stock Exchange ( JSE ) and can be purchased via a stockbroking account in Rand. By investing in the ESP, a 3 year and 8 months equity investment linked to the FTSE/JSE Capped Top 40 Index ( Index ), investors will gain access to the performance of the biggest companies on the JSE, ranked by market capitalisation, with no one member comprising more than 10% weighting in the Index. The ESP is credit linked and the investor takes credit risk on both Investec Bank Limited ( IBL ) as issuer and the Credit Reference Entity FirstRand Bank Limited ( FSR ). IBL is the product supplier, liquidity provider, issuer and market maker. Summary of the investment A 3 year and 8 months equity investment linked to the performance of the FTSE/JSE Capped Top 40 Index. The return will be calculated in Rand Earn one and a half times geared exposure in the Index to a cap of 140%, giving a maximum growth level of 160% in Rand which equates to a maximum potential IRR of 13.70% per annum First 20% downside protected at maturity in Rands, provided no credit event has occurred in respect of the Credit Reference Entity Cash investments from R100 000 (minimum) and increments of R10 000 Daily liquidity in normal market conditions. What happens if the market value of the Index is up at maturity? By investing in the ESP, the investor has exposure to the Index for a 3 year and 8 month period. At maturity, if the Index is higher than the Initial Index level at inception, the ESP will deliver a return equal to the initial investment amount plus one and a half times the growth in the Index, subject to a maximum growth level of 60%. What happens if the Index is down at maturity? A further benefit in these turbulent times is that unlike traditional investments, the ESP also provides a buffer should the Index have a negative return of up to 20% at expiry. If the Index value is not down below 80% of the Initial Index Level (a fall of more than 20%), at maturity, the investor will receive back his/her initial investment in full. However, if the Index has fallen more than 20% at maturity, the investor will have exposure to any downside in excess of 20%; for example, if the Final Index Level ends down 25% at maturity then the investor will incur a loss of 5%, as the first 20% is protected. Examples of potential returns The table below shows examples of the potential return of the ESP, at maturity based on an initial investment of R100 000. The actual amount that an investor will receive is dependent on the amount invested, whether or not a credit event has occurred and the performance of the Index over the term of the investment. How is the Final Index Level calculated? At maturity, the final level of the Index will be calculated on its arithmetic average of the closing values of the Index for the three (3) business days up to and including the maturity date. Should a credit event ( Credit Event : Bankruptcy, Failure to Pay, Obligation Default, Repudiation/Moratorium, Government Intervention or Restructuring) occur in respect of the Reference Entity, the return will be reduced to an amount equal to the price that can be obtained for certain bond or loan obligations of the Reference Entity in the market, pursuant to standard market valuation procedures. This could result in a total loss of some or all of the ESP value which relates to the capital protection (as determined by the calculation agent), regardless of the performance of the Index. Liquidity This investment is designed to be held to maturity. Early redemptions are not encouraged as any capital protection and proposed investment returns only apply at maturity. IBL makes an active daily market in the ESP on the JSE with a bid to mid-spread of 1%, enabling investors to exit early to the extent they have unexpected cash flow requirements or if their investment view changes. No currency risk The returns will be paid to the investor in Rand i.e. the investment will not be affected by exchange rate fluctuations. Costs are controlled All fees, including JSE listing costs and licensing costs, have been priced into the product and will not affect the investor s return. A distribution fee of 1.25% of the investment amount (inclusive of VAT) will be paid annually in advance in year 1 and 0.75% will be paid in year 2 and 3, to the Financial/Investment Professional. For as long as an investor is the holder of the ESP, they will be the owner of a basket of units in an exchange-traded fund being the Satrix 40 ETFs. Section 9C of the Act deems receipts and accruals arising from the disposal of an exchangetraded fund to be of a capital nature if the taxpayer was the owner of the exchange-traded fund for a continuous period of at least 3 years immediately prior to the sale. The tax consequences for investors who elect to sell their exchange-traded fund before a period of 3 years has elapsed will be dependent upon individual circumstances and any profit realised from the sale may be subject to Income Tax/CGT.
