Transition to the Mylan Profit Sharing 401(k) Plan 1

Important Information About Your EMD, Inc. Savings and Investment Plan We are pleased to announce that assets in the EMD, Inc. Savings and Investment Plan (the EMD Plan ) at Fidelity will automatically be transferred to the Mylan Profit Sharing 401(k) Plan (the Mylan Plan ) at Merrill Lynch, the Mylan Plan s trustee and recordkeeper, effective January 2, 2009. We are making this change as part of the global benefit and administration review. Merrill Lynch was selected because we believe they can best meet the needs of our employees. They are one of the world s leading financial management and advisory companies, as well as a leader in the retirement plan industry. We believe this change to Merrill Lynch will enable you to take full advantage of the benefits available through the Plan as you save and invest for your financial future. Mylan offers you exciting new benefits with Merrill Lynch: n A diverse investment lineup: As before, you will continue to be able to create a portfolio appropriate for your investment goals, tolerance for risk and time horizon. n The Merrill Lynch Advice Access service: If you would prefer not to select individual investments, you can receive specific recommendations for a portfolio tailored to your financial circumstances. n New plan provisions to help you prepare for retirement. n A state-of-the-art Web site and call center: You can access your account, perform transactions and research investments virtually 24 hours a day, seven days a week. What Happens During this Transition? There will be a brief Blackout Period during which you will not be able to access your account, make any changes to your account or conduct any transactions in your account. This period is necessary to transfer and reconcile the Plan s records. This period begins at 4 p.m. (ET) on December 31, 2008, and is scheduled to end at 8 a.m. (ET) on January 16, 2009. Your current account balance and future contribution elections (if applicable) will be transferred automatically (or mapped ) to a new menu of investment choices. These new investment options are similar in style and objective to the EMD Plan s current investments. The mapping and descriptions of the investment choices that will be available through Merrill Lynch are included in this notice. About the Fund Mapping During these times of market volatility, keep in mind that your assets will not be out of the market during this transition, so any losses will not be locked in. Your account balance will remain fully invested. Your payroll deductions will continue, and contributions and loan repayments (if applicable) will be made to the Plan. The transition to the new investments will be displayed on your participant statement. Market volatility is difficult for all investors. But it s important to keep matters in perspective. Mylan recommends that you periodically review your savings and investing strategies and focus on your long-term goals. 2

What Do You Need to Do? There is nothing you need to do to make this transition happen. However, you will not be able to make any changes to your account during the transition, or request a loan, withdrawal or distribution. For this reason, it is very important that you review your account and consider the appropriateness of your current investments in light of your inability to redirect or diversify those investments during this period. If you would like to change how your account is invested, or make other changes to your account before the transition period begins, the deadlines to do so are outlined in the Key Transition Dates table below. Otherwise, you can make changes after the transition is complete. The transition is scheduled to be complete at 8 a.m. (ET) on January 16, 2009. At that time, you will have access to your account and will be able to take advantage of Merrill Lynch s extensive resources, retirement planning tools and investment services. Automatic Enrollment If you do not currently participate in the EMD Plan, you will be automatically enrolled in the Mylan Plan with the first pay period following March 1, 2009, at a contribution rate of 4%. If you do participate, but contribute at a rate lower than 4%, your contribution rate in the Mylan Plan will be increased to 4% with the first pay period following March 1, 2009. See page 10 for details. Easy Account Access Following the end of the transition (January 16, 2009), the Plan will offer several easy and convenient ways to manage and monitor your account. n Benefits OnLine : www.benefits.ml.com n Interactive Voice Response (IVR) System: (877) 233-0212 n Retirement Service Representatives: (877) 233-0212 Key Transition Dates Here are the key dates associated with the transition of the Plan to Merrill Lynch. If you want to make any changes to your account before this transition begins, please note the deadlines listed here. Date December 31, 2008 (4 p.m. ET) December 31, 2008 (4 p.m. ET) January 2, 2009 January 16, 2009 (8 a.m. ET) Transition Event Deadline to take these actions before the transition: n Redirect the allocation of your future contributions n Redirect the allocation of your existing balance n Increase or decrease your contribution rate Blackout Period begins; during this period you will not be able to access your account or conduct any transactions in your account Your account balance will be fully invested in the new investment options available through Merrill Lynch Blackout Period ends; your account and all plan services are available To make changes to your account by the deadlines noted above, please contact the EMD Plan s current provider, Fidelity, at www.401k.com or (800) 835-5097. 3

How Your Investments Will Be Transferred As part of the transition, your current investments and future contribution elections will be transferred (or mapped ) to new investment options as shown in the table below. The plan fiduciary has determined that the mapped investment options are reasonably similar to the investment options that were offered by the prior recordkeeper, and have comparable investment styles, objectives and risk and return characteristics. If you are satisfied with the transfer of your investments, there is nothing you need to do. However, if you want to change how your account is invested before the transition period begins, you must do so through Fidelity by the deadline listed on page 3. Otherwise, you can access your account after the transition and make changes at that time. More New Investment Options Available The following investment options will also be available through the Plan: Investment Option Merrill Lynch Mid Cap S&P 400 Index Trust (Tier II) Vanguard Total Bond Market Index Fund (Investor) Symbol N/A VBMFX JPMorgan SmartRetirement Funds After the transition, a series of JPMorgan SmartRetirement Funds will be available through the Plan. When you save for retirement, how you invest your account at age 30 might be very different from how you invest your account at age 60. After all, if retirement (or the time you ll need your money) is many years away, your focus might be on building assets. But as you move closer to retirement, your focus may turn to preserving what you have. Managing that process gradually shifting to a more conservative investment approach over time is what a SmartRetirement Fund can do for you. That s because each Fund is managed to a specific target year, and is adjusted automatically along the way to become more conservative as the targeted date approaches. Ten JPMorgan SmartRetirement Funds will be available in your Plan. These funds are included in the mapping chart on page 4. The Funds with dates furthest in the future currently have the more aggressive mix of investments allocated to stocks, bonds and cash equivalents. If you believe one of these Funds is appropriate for you, you would generally pick your date the year when you think you will retire or need the money in your account and select the Fund with a title closest to that date. (The JPMorgan SmartRetirement Income Fund is intended for those who are closest to retirement and want a more conservative investment mix.) The Plan s New Investment Choices Here are descriptions of the individual investment choices that will be available following the transition. Shown with each choice is its classification by Lipper, Inc. and its symbol (if applicable). Additional information about these investment options will be available through Merrill Lynch starting January 16, 2009. Prior to that date, prospectuses for the new mutual fund investment options can be found on the Securities and Exchange Commission s Web site at www.sec.gov/edgar/searchedgar/prospectus.htm. Your Plan will also include the Merrill Lynch Advice Access service (see page 9 for additional information). AllianceBernstein Small Cap Growth Portfolio (Class I) Symbol: QUAIX Lipper Classification: Small-Cap Growth Funds The Portfolio seeks long-term growth of capital. The Portfolio primarily invests in a diversified portfolio of equity securities of small-capitalization companies among many industries. The Portfolio may invest in any company (well known and established or less seasoned), and any type of security Fund management believe carries the potential for capital appreciation. The Portfolio may be appropriate for long-term investors who are willing to accept the increased volatility associated with stocks of small-capitalization companies. 1 5

Blended Preservation Fund Symbol: N/A Lipper Classification: Stable Value The Fund represents investments in both the Merrill Lynch Retirement Preservation Trust and the RiverSource Trust Income Fund II. The Merrill Lynch Retirement Preservation Trust is a collective trust maintained by Merrill Lynch Bank & Trust Co., FSB to which BlackRock Investment Management, LLC provides nondiscretionary investment advice. The Trust seeks to provide preservation of capital, liquidity and current income by investing in a broadly diversified portfolio of Guaranteed Investment Contracts and in high-quality money market securities. (Although the Trust purchases Guaranteed Investment Contracts, neither the Trust nor its units are guaranteed.) The RiverSource Trust Income Fund II, a collective trust, invests exclusively in the RiverSource Trust Income Fund I, which invests in a diversified pool of high quality bonds and other shortterm investments, together with book value contracts and traditional insurance contracts, of varying maturity, size and yield. The Blended Preservation Fund may be appropriate for investors seeking to maintain a stable net asset value, although achievement of that objective cannot be assured. Columbia Small Cap Value Fund I (Class Z) Symbol: CSCZX Lipper Classification: Small-Cap Value Funds The Fund seeks long-term growth by investing primarily in smaller-capitalization equities stocks with market capitalizations equal to or less than the largest stock in the Russell 2000 Value Index. The Fund may invest in REITs and various foreign securities. The Fund may be appropriate for long-term investors who are willing to accept the increased volatility associated with stocks of small-capitalization companies. 1,2,3 Eaton Vance Large Cap Value Fund (Class I) Symbol: EILVX Lipper Classification: Large-Cap Value Funds The Fund seeks total return. The Fund invests primarily in dividend-paying value stocks of large-cap companies. The Investment Adviser generally considers value stocks to be common stocks of companies that are inexpensive or undervalued relative to the overall stock market. The Fund may invest in non-dividend paying stocks. The Fund may be appropriate for long-term investors who are willing to accept changes in the value of their investments due to the regular fluctuations of stock prices. JPMorgan SmartRetirement Income Fund Symbol: JSIIX Lipper Classification: Mixed-Asset Target Allocation Conservative Funds The Fund seeks current income and some capital appreciation. The Fund is a fund of funds that mainly invests its assets in a combination of equity, fixed-income and short-term mutual funds in other JPMorgan Funds. The Fund s adviser uses an asset allocation strategy designed for investors who are retired or expect to retire soon. The Adviser may adjust the Fund s target allocation from time to time if the Adviser believes another allocation will provide a tactical or other advantage to the Fund. In addition, the Fund may invest directly in securities and other financial instruments, including derivatives, such as futures and swaps, to gain exposure to or to overweight or underweight allocations among various sectors or markets. Each Fund is a fund of funds that mainly invests its assets in a combination of equity, fixed income and short-term mutual funds in other JPMorgan Funds. The Fund s adviser uses an asset allocation strategy designed for investors expecting to retire around the target retirement date. Generally, the Adviser will change the Fund s asset allocation on an annual basis, becoming more conservative as the Fund nears the target retirement date. The Fund may invest directly in securities and other financial instruments, including derivatives, such as futures and swaps, to gain exposure to or to overweight or underweight allocations among various sectors or markets. The Fund may be appropriate for investors who wish to reduce the overall risk to their principal value by investing in more than one asset class. 4,5 Merrill Lynch Equity Index Trust (Tier X) Symbol: N/A Lipper Classification: S&P 500 Index This is a collective trust maintained by Merrill Lynch Bank & Trust Co., FSB to which BlackRock Investment Management, LLC provides nondiscretionary investment management advice. The Trust seeks to provide investment results that, before expenses, replicate the total return of the Standard & Poor s 500 Composite Stock Price Index (S&P 500 Index). This Index is a means to measure the performance of a broad base of large U.S. corporations. The Trust invests primarily in a portfolio of equity securities (stocks) designed to substantially equal or match the performance of this Index, before expenses. The percentage of the Trust s interest in each stock will generally be the same as the percentage that a particular stock represents in the Index. The Trust seeks to provide investment results that, before expenses, replicate the total return of the Morgan Stanley Capital International EAFE (Europe, Australasia and Far East) Index. The Index includes equity securities of companies within various industries whose primary trading markets are located outside the U.S., including Australia, Austria, Belgium, Denmark, Finland, France, Germany, Hong Kong, Ireland, Italy, Japan, Malaysia, The Netherlands, New Zealand, Norway, Singapore, Spain, Sweden, Switzerland and the United Kingdom. The securities in the Index are among the large-capitalization companies in these markets. In seeking this objective, Trust management may choose not to allocate investments among all of the countries or all of the companies within a country represented in the Index. This is a collective trust that seeks to match the performance of the S&P MidCap 400 Index (the S&P 400 ) as closely as possible before the deduction of Fund expenses. The S&P 400 is a marketweighted index composed of 400 common stocks issued by middle-capitalization U.S. companies in a wide range of businesses. In addition to stocks in the index, the Fund also invests in futures contracts and other instruments correlated with the index. Investments in mid-sized and smaller companies may involve greater risks than those of larger, more well-known companies. The Portfolio invests primarily in the common stock of large-capitalization companies traded in the U.S. with prospects of strong earnings growth and attractive overall business fundamentals, selling at attractive valuations. The Portfolio may invest in common stock of companies of all sizes, including small-capitalization companies. The fund will normally be invested in approximately 75 to 150 securities. The Fund may be appropriate for long-term investors who are willing to accept changes in the value of their investments due to the regular fluctuations of stock prices. 1 Vanguard Total Bond Market Index Fund (Investor Class) Symbol: VBMFX Lipper Classification: Intermediate Investment Grade Debt Funds The Fund seeks to track the performance of a broad, market-weighted bond index. The Fund employs a passive management strategy to track the performance of the Lehman Brothers Aggregate Bond Index. How Advice Access Works Basic information from your employer, such as your salary and 401(k) account balance (if applicable), along with projections about your retirement age and the amount of income you may need in retirement, is used to start the process. If you want, you can provide more information confidentially about your financial goals, savings and investment accounts outside your 401(k) plan, and family details. The more complete the information, the more personalized your Advice Access recommendations will be. Merrill Lynch Advice Access offers three implementation methods, depending on how actively involved with your account you want to be. n PersonalManager SM is the most comprehensive option. After investing your account according to its recommendations, Advice Access will review your account approximately every 90 days to see if you ve updated your personal information. New Plan Provisions Following the transition to Merrill Lynch, you will enjoy new plan provisions to help you make the most of your retirement plan. Automatic Enrollment If you are not currently participating in the EMD Plan, you will be automatically enrolled in the Mylan Plan on the first pay period following March 1, 2009. Each pay period, Mylan will automatically deduct 4% of your pay on a pre-tax basis to contribute to the Plan. Your contributions will be directed to the JPMorgan SmartRetirement Fund (see page 5) that most closely corresponds with your age and a projected retirement date based on retirement at age 65. If you are content to invest 4% in this fund, you do not need to take any action. If you would like to contribute more or less than 4%, redirect your contributions to different investments, use the Merrill Lynch Advice Access service or opt out of participating, you may do so at any time by logging on to www.benefits.ml.com or calling the Merrill Lynch Retirement Service Center at (877) 233-0212. Remember, if you do not want to participate, you must opt out prior to March 1, 2009 or your automatic 4% contributions will begin. Automatic Increase If you are currently contributing at a rate less than 4%, your contribution rate in the Mylan Plan will automatically increase to 4%, effective with the first pay period following March 1, 2009. If you want to continue at a contribution rate less than 4%, you may do so by logging on to www.benefits.ml.com and selecting the Current Elections tab, followed by Change Contribution Rate. Scroll to the bottom of the screen and click the button: I would like to stop Automatic Increase for my Pre-tax Contribution Rate at this time. This selection will appear in the box titled Automatic Contribution Rate Increase. You may also call the Merrill Lynch Retirement Service Center at (877) 233-0212. Please remember that the increase in contribution rate (if applicable) will take effect on March 1, 2009, if you do nothing prior to that date. If you are currently saving 4% or more, your contribution rate will remain unchanged. Your contributions are subject to IRS limits. The pre-tax contribution limit is $16,500 in 2009. If you are age 50 or above and you make the maximum allowable pre-tax contribution to the Plan, you will be eligible to make additional catch-up contributions, up to $5,500 in 2009. The total that may be contributed to the Plan employee and employer contributions is $49,000 in 2009 (or 100% of compensation, if less). 10
