In a sealed envelope, return an original proposal to JNPSD, 1414 West Main Street, Jacksonville, AR 72076, no later than 4:30pm Tuesday, August 2, 2016. Offers will be taken under advisement upon opening and the District will notify the apparent most qualified vendor(s) for selection which may include further negotiations if needed. The District reserves the right to reject any or all responses and waive any irregularities or formalities in proposals received. TERMS AND CONDITIONS FOR RFP The Jacksonville North Pulaski School District is seeking proposals in order to provide access to a full array of mental health services to students in each of the 8 schools within the District. Mental health vendors shall provide services that are based on best practices to assist students socially, emotionally, and academically within the school setting. A vendor may propose to provide services to all Jacksonville North Pulaski schools, or may propose individual schools in which services would be provided. The Jacksonville North Pulaski School District may choose to contract with one or multiple vendors in order to meet its goal of providing school-based mental health services for its students. The terms District and JNPSD are used interchangeably and refer to the Jacksonville North Pulaski School District. The words vendor, agency, company, and contractor may be used synonymously in this document. A. ASSIGNMENTS Neither this contract nor any interest therein or claim there under may or shall be assigned or transferred by the agency except as expressly authorized in writing by the District. No contract, subcontract or agreement shall be made by the agency with any other party for furnishing any product, work, or services herein contracted without the written approval of the District. B. CONFLICT OF INTEREST By submitting a proposal, the agency represents and warrants that no director or employee of the District is in any manner interested directly or indirectly in the proposal or contract which may result from the proposal or in any of the expected profits which might arise there from; further, that no attempt has been made to influence or gain favorable advantage by communicating directly or indirectly with any official of the JNPSD. C. INDEMNIFICATION AND LEGAL COMPLIANCE The contractor shall at all times observe and fully comply with any and all Federal, State and local laws, statues, orders, ordinances and regulations. The contractor agrees to save, hold harmless and to indemnify the District, its agents, employees, officers and board members against any and all liability, losses, claims or costs of whatsoever kind or nature relative to the services of the contract, whether to property or persons. Further, contractor shall indemnify, hold harmless and defend the District, its agents, employees, officers and board members from any lawsuits, causes of action, claims, liabilities and damages, of any kind and nature,
including but not limited to, attorney s fees and cost, arising out of the services of the contract whether attributable in whole or in part to any act, omission or negligence of the District, its agents or employees, including, but not limited to, any and all lawsuits, causes of action, claims, liabilities, and damages which the District, its agents or employees may sustain for reason of any failure by contractor to indemnify as provided herein, or any failure by contractor to otherwise perform its obligations pursuant to the contract, or by reason of the injury to or death of any person or persons. D. NON-DISCRIMINATION The company shall not discriminate against, or segregate, a person or a group of persons on account of race, color, creed, religion, sex, sexual orientation, marital status, familial status, national origin, ancestry, disability or condition of acquired immune deficiency syndrome or AIDSrelated complex in carrying out its duties and obligations pursuant to this agreement nor shall the company or any person claiming under or through he company establish or permit any such practice or practices of discrimination or segregation. E. INSURANCE The agency shall procure and maintain, at the agency s expense, insurance coverage for the period of the contract that includes: Workers Compensation Comprehensive General Liability Public Liability Insurance All proposals must contain a description of current liability insurance for the agency and may be asked to provide proof of such insurance. F. PROPRIETARY INFORMATION All information submitted in response to the RFP is public and will be available to interested parties after the award is made by the JNPSD. The agency should not include as part of the response to the RFP any information, which the agency believes to be confidential. Agency acknowledges that information in the possession of the District may be subject to the provisions of the Arkansas Freedom of Information Act. G. REJECTION OF PROPOSALS JNPSD may reject any and all proposals and reserves the right to waive any irregularities or formalities in any solicitation or proposal response. The District shall be the sole judge as to which proposal(s) is best and in determining that fact, may consider the agency s business integrity, financial resources, experience, facilities and/or capacity for performing the services.
H. STANDARD OF PERFORMANCE The agency shall perform according to the terms and conditions as stated herein, and according to the highest standards and practices. Instances of poor performance by the agency will be documented and submitted to the agency for immediate review and corrective action. Continued poor performance will be deemed a breach of the specifications of the RFP, and shall be grounds for immediate termination of the contract. I. Jacksonville High Agencies submitting proposals must be licensed to provide school-based mental health services and have trained personnel and adequate staffing to deliver appropriate services and supports. PROPOSAL EVALUTION The JNPSD will determine the proposal(s) deemed to be the most comprehensive and appropriate to serve the students within the District. The successful agency(s) will be notified by Friday, August 5, 2016, and may be asked to participate in a meeting with the District representative to discuss contract requirements as it pertains to expectations and other aspects of schoolbased
