DISPUTE RESOLUTION WORK HIGHLIGHTS CORPORATE COMMERCIAL LITIGATION Agusta Westland in the arbitration proceedings against the Ministry of Defence (MoD) challenging inter alia the wrongful termination of the contract for the supply of 12 AW-101 VVIP helicopters by the MoD on unsubstantiated allegations of corruption and bribery. Mitsubishi Hitachi Power Systems, Ltd. (MHPS) and other MHPS entities before the Madras HC in disputes arising under the terms of certain joint venture agreements. The primary allegation against the MHPS entities was that they had induced the breach of non-compete obligations under these joint venture agreements. Shriram Properties Pvt. Ltd. and Sun-Apollo Investment Holding LLC in disputes with a foreign investor investing in the JV Company set up by the client. The disputes pertained to exercise of put option in respect of Compulsorily Convertible Debentures issued to the investor by the JV Company. Advised Tata Communications Limited on their dispute in relation to NTT DoCoMo s exit from Tata Teleservices Ltd. Axis Trustee and Standard Chartered Bank in a winding up petition filed against Tulip Telecom Limited for default in payment for Non-Convertible Debentures. Thomson Reuters in its disputes with Eastern Book Company on issues relating to infringement of Intellectual Property Rights, restrain of adverse publicity campaign, contempt proceedings and writ proceedings for challenge of award of contract to Thomson Reuters. Telenor ASA in disputes with JV Partner before the Company Law Board, Delhi HC and multiple arbitration proceedings. Abu Dhabi National Energy Co. PJSC (TAQA) in a SIAC arbitration arising from its investment and taking over of a hydropower project in Himachal Pradesh. Telenor Asia Pte. Ltd. and Telenor Mobile Communications AS in a SIAC arbitration arising from disputes with its Indian minority partner over rights issue and indemnity claims. Axiom Telecom in a SIAC arbitration and proceedings before the Bombay HC against the Future Group. JSC Cryogenmash in an ICC arbitration with the Steel Authority of India Limited arising from a construction contract to build an Air Separation Unit at the Bhilai Steel Plant. Cairn Energy in an ICC arbitration against the Government of India and ONGC under operation agreements and production sharing contracts for its Rajasthan oil fields. BG Exploration and Production India Ltd. in a criminal proceeding arising out of defalcation of money by the company s employee. Delhi International Pvt. Ltd., subsidiary of GMR Group, in a criminal defamation proceedings against Associated Broadcasting Company Pvt. Ltd. (TV9). REGULATORY Electricity Meenakshi Energy, a subsidiary of ENGIE (France) Represented before the CERC and the APTEL on disputes over force majeure, change in law and its consequences on the enforceability of the Bulk Power Transmission Agreement; and Represented before the CERC and the APTEL on disputes with regard to grid discipline and gaming, metering and scheduling. OPGS Power before the Gujarat HC challenging the open access and the multi-year tariff regulations of the Gujarat Electricity Regulatory Commission. Odisha Power Generation Corporation Ltd. before the Odisha Electricity Regulatory Commission (OERC) and the APTEL on the legal approach to be adopted and parameters to be applied in determining tariff based on terms of a power purchase agreement approved by the OERC. Maru Transmission and Aravali Transmission, subsidiaries of GMR Infrastructure, before APTEL and Rajasthan Electricity Regulatory Commission for recovery of escalated costs due to change in law and force majeure events. Emco Energy Ltd., a subsidiary of GMR Energy Ltd., before the CERC for the allocation of long-term access on the SR-NEW Corridor by the Power Grid Corporation of India Ltd. (NTPC) Represented NTPC before the APTEL in relation to extension of the term of power offtake arrangements for certain power plants; Represented NTPC before the CERC and the APTEL on claims against NTPC on the calculation of energy charges; and Represented NTPC before the CERC and APTEL on change in law events affecting the tariff receivable by NTPC s generating station. Tata Power Company Ltd. (TPCL) Represented TPCL before the Supreme Court in an appeal filed by the Karnataka Discoms challenging the order passed by the Karnataka Commission allowing TPCL s claim for reimbursement of Minimum Alternate Tax under the PPA; Represented TPCL before the APTEL challenging MERC orders imposing restrictions on TPCL s right to supply to consumers in the area of supply common with Reliance Infrastructure Ltd., and passing directions regulating TPCL s network development; Represented TPCL in a dispute right up to the Supreme Court assailing the legality and propriety of decision taken by the State Load Despatch Centre refusing to schedule power from TPCL to its distribution business. The APTEL for the first time directed a statutory body in the power sector to pay compensation (Rs. 23 crores) to a generation company for its mala fide actions; Represented TPCL before the CERC on legal and regulatory issues relating to change in the terms of the bid conditions in favour of the winning bidder; Represented TPCL before the Bombay HC challenging memorandum issued by the Government of Maharashtra prohibiting TPCL from exercising its freedom to contract with any person for selling electricity generated by it, and compelled it to supply its power at regulated rates to a certain specified entity; and Advised TPCL on regulatory framework under the Gujarat Solar Power Policy, 2009 and the draft Jawaharlal Nehru National Solar Mission Policy in relation to its proposed solar power projects in Gujarat. Power Grid Corp of India Ltd., Represented Power Grid before the APTEL seeking condonation of delay in declaring the commercial operation due to statutory clearances; Represented Power Grid before the CERC on matters related to relinquishment of LTOA and related consequences; and Represented Power Grid before the CERC regarding review of transmission tariff. 13
