What Do You Really Want From Your Financial Advisor? Our clients are all unique and want to be treated that way. They don t want one-size-fits-all approaches. And that is why so many of our clients look to us for advice before they make what may be irrevocable financial decisions. How We Work With Clients As experienced Financial Advisors, we know that we can guarantee one thing to our clients. Change. Over the course of your life, you and your family will undergo transitions and life events, the impact of changing government legislation and, of course, fluctuating markets. Change, if not prepared for, can lead to emotional reactions that damage even carefully constructed financial plans. That is why our process for working with clients emphasizes change, how to anticipate it before it occurs and how to react to it constructively. Specifically, we employ the following approach: 1 Understanding Who You Are Before we offer a single recommendation, we take the time to understand who you are as a person, as well as an investor, and what you really hope to achieve for yourself and your family. That means an in-depth discussion of your current finances, future objectives, attitude toward risk and other circumstances that might assist us in developing a customized plan. 2 Creating Your Strategy We analyze your input and develop a plan that contains specific recommendations designed to meet the objectives you established. Recommendations may encompass such varied disciplines as spending and saving, cash flow, investment policy, equity compensation, taxes, insurance and estate planning. Importantly, your plan contains an integrated asset allocation that reflects your various objectives, the time frames by which you hope to achieve them and your risk tolerance for each. 6 Morgan Stanley

3 Implementing Your Strategy We group assets in what we call silos that are dedicated to meeting your various objectives, cash flow needs and timing requirements. Keith and Eric have earned Morgan Stanley s Portfolio Manager designation that entitles us to manage assets in-house. We maintain several equity and fixed income portfolios, but we also do not hesitate to employ the services of thirdparty investment managers when appropriate. Morgan Stanley has been an acknowledged industry leader in investment manager research for almost 40 years. The firm s Consulting Group analyzes hundreds of investment advisory firms annually and ranks them by a variety of criteria, including risk-adjusted performance, style adherence and organizational depth and stability. Beyond your portfolio, we work closely with you and, if you wish, your attorney, accountant and other advisors to map out strategies for reaching specific goals like planning your estate, exiting a business or financing major acquisitions. Often we can help you recognize needs of which you may not be aware and refer you to experts in trusts, philanthropic planning and other complex disciplines when necessary. 4 Review and Evaluation By recommending a broad mix of asset classes and carefully researched money managers, we seek to reduce volatility and generate returns that are consistent with your tolerance for risk. Once we invest your assets, we continue to monitor your positions so that their risk/reward characteristics remain in line with prevailing market conditions, your overall portfolio, and your specific objectives for which those assets are intended. As you would expect, we believe that ongoing communication is a vital component of our business. We strive to keep abreast of your changing financial needs and provide viable solutions to meet them.

Global Resources, Individualized Attention For some clients, we are more than Financial Advisors. We are confidants to whom you can turn in times of crisis. We are facilitators who can help you resolve financial conflicts among family members. We may not be family members, but we care about our clients as if we were. In addition to our investment management capabilities, you can look to us for: Financial Planning Morgan Stanley s comprehensive financial planning capabilities enable you to take a holistic approach to your finances and consider recommendations for assets, liabilities, cash flow, wealth transfer and asset protection. In addition, you can focus on such specific financial concerns as retirement and education funding, so you will know how much various objectives will cost and what you must do to reach them effectively. Your financial plan offers a detailed document that serves as an ongoing source of reference that can prove invaluable to your spouse, children and other family members. Moreover, your plan can be altered and amended as circumstances change and new priorities emerge. Family Governance and Wealth Education Families don t always have the same objectives. We are accustomed to working with multiple family members, each of whom may have their own agenda. When objectives conflict or cannot be achieved without compromise, we can help you establish a robust family governance structure that provides processes for informed decision making and intergenerational dialogue. Many families look to us for impartial facilitation of family meetings that can lead to resolution of seemingly intractable differences. We can also help you address such concerns as: Maintaining family unity across generations by focusing on family mission, governance and family endowments Determining how to support favorite charities in the most beneficial way possible Developing cost-effective liquidity strategies

Establishing and managing trusts without assuming responsibility for managing financial and nonfinancial assets Estate Planning and Trusts Our team can help you create a plan that decreases estate tax and ensures your assets will be used as you intend them to be. Through the judicious use of trusts, beneficiary designation and lifetime giving programs, you can increase gifts to charitable organizations, reduce turmoil and family rifts, and provide for heirs who may not have the experience or inclination to manage assets. Retirement Planning Whether you re entering your prime earning years or wondering if you can really afford to retire as planned, we can help you proceed with confidence to the future you envision for yourself. Our comprehensive strategy integrates investing with your pension, 401(k) or other plan to which you may have access at work. If you re self-employed, we ll help you determine whether your current plan is truly suitable for your needs. When you change jobs, we ll provide you with the advice you need to make the right decision about any retirement plan distribution for which you are eligible. Finally, when you approach retirement, we ll help you negotiate the maze of Social Security and Medicare options available to you and create a plan to provide you with income for as long as you live. Debt Management Whether you re seeking to buy or remodel a home, finance a major acquisition or expand your business, we offer access to experienced bankers who can help you create and implement effective financing strategies. Capabilities include commercial lending, mortgage products, lines of credit and securities-based lending that may enable you to raise cash and generate cash flow without liquidating securities positions and incurring tax liability. Family Protection If something happens to you, what will happen to your family? Will they be able to meet their most important objectives or, for that matter, day-to-day expenses? We offer access to respected providers who can help your family maintain its lifestyle, even in the face of death, disability or long-term care expenses. You ll receive the coverage that best meets your needs at the most favorable terms possible. Business Services Your revenues are cyclical but your overhead is a constant. You have the opportunity to replenish inventory at rock-bottom terms, but you re strapped for cash. You re concerned about what happens to your business after you retire. We serve successful business owners with solutions that range from cash management and lending capabilities to retirement and business succession planning. In addition, we can help you attract and retain key employees through retirement plans designed to meet your employee demographics and cost requirements. Executive Services For many executives, the rewards of employee stock ownership are often accompanied by risks that include: Compliance with complex SEC insider trading regulations when conducting restricted or control securities transactions A lack of diversification that can jeopardize the overall performance of the executive s portfolio A hesitancy to liquidate employer stock positions, due to perceived lack of loyalty or sizable income tax liability The Wood Group helps executives understand these various risks and how to mitigate them successfully. Working closely with Morgan Stanley experts, we develop strategies to help you: Comply with SEC Rules 144 and 145 when selling restricted or control securities Protect large positions against price decline, while freeing up cash for portfolio diversification Implement customized lending techniques that enable you to avoid liquidating positions and incurring substantial income tax liability Education Funding The high cost of higher education has been well documented, but fortunately, there are a variety of solutions available to help you meet the challenge. The earlier you begin planning, however, the more successful you re likely to be. We can help you determine how much you ll have to save and whether such vehicles as Education Savings Accounts and 529 College Savings Plans might have a place in your child s future. The Wood Group 9

The investments and services listed may not be suitable for all investors. Morgan Stanley Smith Barney LLC recommends that investors independently evaluate particular investments, and encourages investors to seek the advice of a financial advisor. The appropriateness of a particular investment will depend upon an investor s individual circumstances and objectives. Most importantly, you need to understand that: (1) Sufficient collateral must be maintained to support your loan(s) and to take future advances; (2) You may have to deposit additional cash or eligible securities on short notice; (3) Some or all of your securities may be sold without prior notice in order to maintain account equity at required collateral maintenance levels. You will not be entitled to choose the securities that will be sold. These actions may interrupt your long-term investment strategy and may result in adverse tax consequences or in additional fees being assessed; (4) Morgan Stanley Bank, N.A., Morgan Stanley Private Bank, National Association, or Morgan Stanley Smith Barney LLC (collectively referred to as Morgan Stanley ) reserves the right not to fund any advance request due to insufficient collateral or for any other reason except for any portion of a securities-based loan that is identified as a committed facility; (5) Morgan Stanley reserves the right to increase your collateral maintenance requirements at any time without notice; and (6) Morgan Stanley reserves the right to call your securities-based loan at any time and for any reason.
