Zambia GDN Issuance (Euroclear, Clearstream, DTC) Zambia GDN Issuance represents the creation of GDNs by the depositary bank (Citibank NY) against the deposit of local bonds made by a broker-dealer into the depositary bank s account at the custodian (Stanbic) in Zambia. Issuance of GDNs: 1. The executing broker-dealer depositing local bonds for the issuance of GDNs instructs its local custodian to Deliver Free the local bonds to Citibank NY s GDNlinked safekeeping account with Stanbic Zambia (a/c# 130038760001) using SWIFT MT542, including instructions to issue GDNs and the onward settlement details (if DTC: participant code + sub-account #, if Euroclear: account #, if Clearstream: account #). 2. The executing broker-dealer completes the applicable e-cert document (Deposit) to Citibank NY operations (please click the link below): Issuance e-cert document 3. The executing broker-dealer makes any arrangements necessary to accept delivery of the GDNs (free-of-payment) in Euroclear, Clearstream or DTC: Euroclear or Clearstream: will be delivered from Citibank NYs Common Depositary (Citivic Nominees Limited) DTC: will be delivered from DTC #953 4. Stanbic Zambia sends SWIFT MT544 deposit advice to Citibank NY operations (including: deposit date, GDN ISIN and quantity, depositing party, GDN settlement instructions). 5. Citibank NY issues/creates the GDNs and delivers them to the executing broker-dealer s DTC/Euroclear/Clearstream account. Note: Reg S GDNs are Euroclear and Clearstream-eligible; Rule 144A GDNs are DTC, Euroclear and Clearstream-eligible. 2

Zambia GDN Cancellation Zambia GDN Cancellation represents the cancellation of GDNs by the depositary bank (Citibank NY), prompting the release of local bonds from the depositary bank s custody account at the custodian (Stanbic) in Zambia to a local bank/broker-dealer. Cancellation of GDNs 1. The executing broker-dealer requesting for Citibank NY to cancel GDNs: a) instructs DTC to deliver the GDNs to Citibank NY at DTC #953; or b) arranges for the GDNs to be removed from its Euroclear/Clearstream account as follows: Euroclear: instruction type 40 Clearstream: SWIFT MT565 or MT599 2. The executing broker-dealer completes the applicable e-cert document (Withdrawal) to Citibank NY operations team (please click the link below): Cancellation e-cert document 3. The executing broker-dealer sends the GDN Cancellation Letter to Citibank NY operations at drbrokerservices@citi.com. 4. Citibank NY operations calculates cancellation fee and sends an SPO charge for the amount to the broker requesting the cancellation: Cancellation fee calculation = ([# of GDNs being cancelled x cancellation fee] [applicable USD exchange rate]) 5. Citibank NY Operations cancels the GDNs and instructs (MT542) Stanbic Zambia to deliver the corresponding local bonds to the off-shore broker dealer s local account in Zambia. 3

Zambia GDN Reg S -to- Rule 144A Switch GDN Switch: 1. The executing broker-dealer delivers the Reg S or Rule 144A GDNs (free-of-payment) to Citibank NY at DTC #953. 2. The executing broker-dealer requesting the switch completes the GDN Switch Letter to Citibank NY operations at drbrokerservices@citi.com 3. Citibank NY operations calculates the cancellation fee and sends an SPO charge for the amount to the broker requesting the switch: Cancellation fee (for switches) calculation = ([# of GDNs being cancelled x cancellation fee] [applicable USD exchange rate]) 4. The executing broker-dealer makes any arrangements necessary to accept delivery of the GDNs (free-of-payment) in Euroclear, Clearstream or DTC 5. Citibank NY operations issues and delivers the Rule 144A or Reg S GDNs to the off-shore broker-dealer in DTC.
