INTERNATIONAL COMMERCIAL ARBITRATION International commercial arbitration provides parties from different legal, national and cultural backgrounds with neutral ground, flexible procedures and independent decision makers to solve their disagreements, often confidentially. When fast track procedures are used, a final and internationally enforceable decision can be granted in months. Our commercial arbitration practice finds us representing claimants and respondents in many industries, including energy, petrochemicals, telecommunications and technology, construction, pharmaceuticals, finance, insurance and manufacturing, to name a few. Our cases are seated and our clients are found throughout the world. The proceedings are conducted under the rules of the major arbitration bodies, as well as by ad hoc arbitral tribunals. These disputes arise under the laws of many jurisdictions, with recent examples including the laws of Angola, Belgium, Brazil, China, the Czech Republic, Ecuador, England, France, Germany, India, Indonesia, Iran, Korea, the Netherlands, Nigeria, Poland, Qatar, Russia, Saudi Arabia, Switzerland, the UAE, Yemen and various states within the United States. INVESTOR-STATE DISPUTES Thousands of bilateral and multilateral investment treaties, including many recent free trade agreements, give those doing business outside their home countries important substantive rights vis-àvis the States hosting their investments. Frequently, the foreign investor will be entitled to enforce those rights through international arbitration against the host State. Our investor-state dispute practice finds us representing investors and States in disputes regarding the alleged mistreatment of investments. These disputes raise issues such as expropriation, fair and equitable treatment, most favored nation treatment, and the adequacy of the protection and security provided by the host State. The amounts in dispute range from the millions to the billions of U.S. dollars. These disputes often present intricate questions of public international law, including issues of treaty interpretation. When they cannot be resolved amicably, they are brought before ICSID, the PCA in The Hague and other arbitration bodies. OTHER PUBLIC INTERNATIONAL LAW MATTERS Recognizing the formidable combination of our arbitration lawyers forensic skills and legal training, our clients ask us to advise on a wide range of public international law issues. These questions often arise in the context of cross-border projects involving natural resources. Our public international law practice finds us advising, for example, on claims under the European Convention of Human Rights, disputes involving the application of the Kyoto Protocol to the UN Framework Convention on Climate Change, the rules and principles concerning dealings with the effective government of a State, the customary rules of the Law of the Sea, and the effects of termination of and withdrawal from international treaties. 8

MULTIJURISDICTIONAL LITIGATION Frequently, our clients face multiple, related legal proceedings in different jurisdictions. In these situations, coordination and consistency of strategy are essential and so is the experience to understand and manage the complex procedural issues that arise from the multiple, potentially different laws and rules that may apply. Our multijurisdictional litigation practice finds us pursuing or defending a wide variety of parallel legal proceedings, including arbitrations, national court lawsuits and international court proceedings. Because our team includes lawyers trained in many legal regimes and cultures, we are adept at developing and effecting a consistent, commercially sensible strategy that works multijurisdictionally. CZECH SUPPLY COMPANY v. NATIONAL OIL COMPANY Our client obtained dismissal of a US$6.5 billion claim brought under Czech law for alleged breach of contract in a Swiss Rules arbitration. We obtained the dismissal shortly after proving with forensic evidence that the claim was based on falsified contracts and then using that proof to open a Swiss criminal investigation of the claimant. CANADIAN TELECOMS PROVIDER v. TELECOMS VENDOR Our client received an award terminating an equipment and networking services contract for a transcontinental network, and rejecting all but several million of a US$4.1 billion damages claim, in an ICDR arbitration. We then defeated attempts to annul the final award. SOUTH AMERICA PROJECT COMPANY v. ASIAN CONSTRUCTION COMPANY Our client has received multiple favorable ICC dispute board rulings during the course of an on-going infrastructure project in South America. The dispute board, operating entirely in Spanish, resolved disagreements between owner and contractor in order to support completion of this major project. FRENCH/SAUDI ARABIAN JOINT VENTURE v. U.S. POWER GENERATOR Our client received an award of damages for breach of a long-term, take or pay, steam supply co-generation agreement in an AAA arbitration. The arbitration was conducted on a fast track basis, and completed within five months of initiation. BAKER BOTTS INTERNATIONAL ARBITRATION & DISPUTE RESOLUTION 11

CYPRIOT FINANCIAL ENTITY v. NATIONAL OIL COMPANY Our client received an award declaring a US$1.6 billion English-law bank guarantee to be unlawful and void in an LCIA arbitration. The dispute required coordination with a parallel court action initiated by one of the parties shareholders. UKRAINIAN BROKER v. ENGLISH BUNKERING COMPANY Our client defeated claims for breach of a services contract and various charterparties in an LCIA arbitration under English law. The arbitration was dismissed efficiently, before hearing, through the successful pursuit of a preliminary relief application. SHIPYARD ENTERPRISE v. SOUTH AMERICAN STATE Our client received an award dismissing all claims, including claims for consequential losses, lost profits and moral damages, arising under a procurement contract in an AICAC arbitration. The proceeding was conducted entirely in Spanish. U.S. ENTERTAINMENT COMPANY v. SPANISH COMPANY Our client received an award of all claimed damages for an improper termination of a sponsorship agreement in an AAA arbitration. The arbitration was fast-tracked and concluded in four months. 12

HONG KONG/UAE JOINT VENTURE CONTRACTOR v. DUBAI PROPERTY DEVELOPER Our client defeated claims of more than US$75 million and was awarded its counterclaims of approximately US$20 million, plus reimbursement of legal fees and costs, in this ICC arbitration seated in Dubai. The contractor s claims were largely based on alleged entitlements to extensions of time, which were disproven during the cross-examination of its witnesses. CENTRAL EUROPEAN STATE-OWNED ENTITY v. PETROCHEMICALS COMPANY Our client received an award dismissing all claims for alleged breaches of an off-take agreement and a joint venture agreement in an UNCITRAL arbitration. In addition to defeating all claims, the tribunal awarded our client reimbursement of virtually all of its legal fees and costs to defend the arbitration. EASTERN EUROPEAN TIMBER PRODUCER v. UK BUYER Our client obtained an award granting all of its claims for breach of contract in an ad hoc arbitration seated in London. In addition, the award ordered the respondent to pay all of our client s legal fees and expenses in the arbitration. DUBAI MAIN CONTRACTOR v. MASTER DEVELOPER Our client received an award of all amounts claimed for termination, including legal costs, plus dismissal of all counterclaims in a DIAC arbitration. This arbitration, governed by UAE law, was the third in a series of successful arbitrations for this client. BAKER BOTTS INTERNATIONAL ARBITRATION & DISPUTE RESOLUTION 13

ASIAN HYDROELECTRIC COMPANY v. ASIAN GREEN ENERGY COMPANY Our client obtained dismissal of all claims resulting from the alleged wrongful termination of an agreement to purchase carbon credits in an ICC arbitration. The dispute raised issues arising under the Kyoto Protocol to the UN Framework on Climate Change. U.S. ELECTRIC GENERATING COMPANY v. SOUTH AMERICAN STATE Our client received an award rejecting claims that changes in the electricity regulatory regime, which allegedly impaired long-term licenses, violated an investment treaty in an UNCITRAL arbitration. The award further ordered claimant to defray our client s legal fees. MINING COMPANY v. EURASIAN STATE We used available investment treaty protections to assist our mining company client negotiate a resolution of disputes with a Eurasian State that protected its valuable long-term mineral concessions from threatened expropriation and other treaty right violations. CHINESE CONGLOMERATE v. AFRICAN STATE Our client achieved a favorable settlement of a high value tax dispute with the government of an African State following our presentation of international law arguments under the applicable bilateral investment treaty. 14

TECHNOLOGY COMPANY v. AFRICAN STATE Our client received a US$100 million damages award for the respondent State s wrongful termination of its contract for implementation of a technology solution in an UNCITRAL arbitration. Our team, engaged at an advanced stage of this proceeding, developed the international law argument that proved instrumental to the favorable award. MULTIJURISDICTIONAL LITIGATION FOR AN INTERNATIONAL OIL COMPANY We coordinated for an IOC the pursuit of, and defense against, dozens of related claims in civil and common law jurisdictions, as well as before an international human rights court. MULTIJURISDICTIONAL LITIGATION FOR STATE DEPOSIT INSURANCE FUND We coordinated the pursuit of parallel civil, criminal and bankruptcy proceedings against ex-bankers in North America, South America and Europe following the collapse of a large financial group in South America. MULTIJURISDICTIONAL LITIGATION FOR ASIAN INVENTORS We coordinated multijurisdictional discovery in Japan, Vietnam, South Korea and the U.S., and then obtained dismissal of U.S.-based theft of trade secrets litigation against our clients.
