TERMS AND CONDITIONS These Terms and Conditions (the Agreement ), the accompanying Summary of Important Credit Terms ( Summary ), the card carrier and interest rate disclosures we send with any credit card we issue on your account ( Card ), and the application you submitted, govern the use of your credit card account ( Account ), and are part of and incorporated into this Agreement. You, and your mean any person who signed or otherwise applied for credit that we approved and anyone else you permit to use the Card. We, us, and our, mean First Financial Bank, Cincinnati, Ohio, and its successors or assigns. If your Account is secured as a condition of approval or continuation of this Account, we have required you to maintain a collateral account and give us a security interest in that collateral account under a separate Secured Credit Card Collateral Account Agreement. 1. Use of Account. a. In general, you can use your Account to (i) buy or lease goods and obtain services ( Purchases ) wherever the Card is honored, (ii) get instant cash loans by presenting your Card at any financial institution that accepts the Card or by using special checks ( Convenience Checks ) or other means we may provide from time to time ( Cash Advances ) and (iii) transfer balances you owe to other creditors using means we may provide from time to time ( Balance Transfers ). Balance Transfers will be Cash Advances under this Agreement. You will owe us for all Purchases, Cash Advances and Balance Transfers charged using the Card or Account, plus any other fees and costs ( Debits ) to your Account made under the terms of Section 8 of this Agreement, plus any interest accrued, all payable in U.S. dollars and as required by this Agreement. The Card shall remain our property and we may at any time revoke its use and demand its immediate surrender pursuant to Section 12 of this Agreement. You agree not to use your Card or Account for any illegal transaction, or any transaction for internet gambling.

b. If we provide you with Convenience Checks, each Convenience Check may be used only by the person(s) whose name(s) is/are printed on it and must be completed and signed by such person(s) in the same manner as a regular personal check. You may not use a Convenience Check to pay any amount owed to us or any entity now or hereafter affiliated with us through common ownership or control. We do not have to pay (and may return unpaid) any Convenience Check if: i. The amount of the check would exceed your available Credit Line; ii. We receive it after its expiration date; iii. You are in default under this Agreement, or your Account is suspended or cancelled; iv. The Convenience Check is postdated or stale; or v. You did not fully complete and/or sign the Convenience Check. If we pay a Convenience Check anyway, you still must pay us the amount of that Convenience Check and any applicable interest or fees. If you call, you must confirm your stop payment request in writing within 14 days. We cannot guarantee stop payment on Convenience Checks. We will not owe you anything if we fail to stop payment. We will not return paid Convenience Checks to you. We will not certify any Convenience Check. 2. Credit Line. Your Credit Line is listed on the documents accompanying your Card, and may be changed from time to time as reflected on your current monthly billing statement. 3. Statements and Payments. If you have a balance on your Account, we will send you a monthly statement that will show, separately, your Purchases/Debits balance, your Cash Advance balance, your Balance Transfer balance, interest charges, the Minimum Payment due and the date the payment is due. You can pay all your outstanding balance on your Account at any time, but you must make at least a Minimum Payment calculated as set forth in the Summary on or before the payment due date, which will be at least 27 days after the close of each billing cycle. We will apply payments up to the required Minimum Payment received on your Account to the balances due on your Account in any order we select, subject to any limitations of applicable law. We will apply any amounts more than the required Minimum Payment in accordance with applicable law. 4. Balance Subject to Interest. We will calculate interest for each type of balance on your Account each cycle by multiplying the applicable daily or monthly periodic rate (as described in Sections 6 and 7 below) by the balance subject to the interest rate ( Interest ) and, if your periodic rate is daily, the number of days in the billing cycle. The balance subject to Interest for each type of balance is the average daily balance of your Account. To get the average daily balance for each type of balance we (i) take the beginning balance of your Account each day, (ii) add any new transactions and Debits and (iii) subtract any payments, credits and unpaid Interest. This gives us the daily balance. Then, we add up all the daily balances for the billing cycle and divide the total by the number of days in the billing cycle. This gives us the average daily balance. 5. When Interest Begins. If you pay your entire balance (or a portion thereof) of new Purchases/Debits and any previously billed Interest for Cash Advances and Balance Transfers on or before the payment due date on the first statement showing the new Purchases/Debits, we will not charge Interest on such Purchases/Debits or such portions thereof, as applicable. Otherwise, we will begin charging Interest on Purchases/Debits and Cash Advances and Balance Transfers on the date of the transaction (or, at our option, a later date). There is no grace period for Cash Advances or Balance Transfers. 6. Periodic Rates. The periodic rate or rates used to calculate Interest on your Account each billing cycle will be the Annual Percentage Rate ( APR ) divided by 12 (if your periodic rate is monthly) or 365 (if your periodic rate is daily). Different periodic rates may apply to Purchases/Debits, Cash Advances and Balance Transfers. The periodic rate(s) and corresponding APR(s) for your Account are set forth in the Summary or any Balance Transfer offer we may make. 7. Variable Rates. If you have a variable rate account, the monthly periodic rate for each billing cycle will be the sum of (i) the Prime Interest Rate ( Index ) as quoted in the Money Rates Table of The Wall Street Journal on the 10th business day of the previous month and (ii) the Margin set forth in the Summary or Balance Transfer offer. Any changes to the Index will be effective on the first day of the next billing cycle and will apply to new Purchases/Debits, Cash Advances and Balance Transfers and to the outstanding balance of your Account. The APR may increase monthly if the Index increases during that period. If an APR increases, the amount of Interest and

the Minimum Payment may increase. If The Wall Street Journal ceases publication, we will select a new index and notify you of the change. 8. Fees. We may charge the following fees. a. Annual Fee. If applicable to your Account, we will charge you an Annual Fee at Account opening and each year thereafter on your anniversary date in the amount set forth in the Summary. b. Balance Transfer Fee. We will charge you a fee in the amount set forth in the Summary for any Balance Transfer. c. Cash Advance Fee. We will charge you a fee in the amount set forth in the Summary For any Cash Advance. This fee applies to all Cash Advances, including those made inside any bank lobby or at an ATM machine. d. Foreign Transaction Fee. For any transaction you make outside the U.S. or in a currency other than U.S. dollars including exchanges, we will charge you a fee in the amount set forth in the Summary. e. Late Payment Fee. If we do not receive your Minimum Payment by six (6) days after the payment due date, we will charge a Late Payment Fee in the amount set forth in the Summary. The Late Payment Fee will be $25 ($35 if a payment is late again within six billing cycles) or the Minimum Payment due when the payment was late, whichever is less. f. Returned Payment Fee. If any check or any instrument given for payment on the Account is dishonored for any reason, we will charge a Returned Payment Fee in the amount set forth in the Summary. The Returned Payment Fee will be $25 ($35 if another payment is returned within six billing cycles) or the Minimum Payment due immediately before the payment was returned, whichever is less. g. Returned Convenience Check Fee. If we don t pay a Convenience Check, we may charge a fee of $10, subject to any restrictions of applicable law. h. Stop Payment Fee. If you ask us to stop payment on a Convenience Check, we may charge a fee of up to $10, whether or not we successfully stop payment, subject to any restrictions of applicable law. 9. Lost or Stolen Cards. The Card is not transferable. If you notice the loss or theft of your Card, PIN or Convenience Checks, or a possible unauthorized use of your Card, you should write to us immediately at 225 Pictoria Dr, Suite 600 Card Services, Cincinnati, Ohio 45246 or call us at 1-877-339-4078. You will not be liable for any unauthorized use that occurs after you notify us. You may, however, be liable for unauthorized use that occurs before your notice to us. If this happens, we will ask you and all other persons given Account access to return all Cards and unused Convenience Checks to us. In addition, we have the right to close your Account and open a new Account. If we do so, new Cards will be issued. If requested, we may issue a new PIN and new Convenience Checks for your new Account. In any case, your liability will not exceed $50. You may not use the Card or any other Cards in your possession with the same Account number after you have notified us, even if you get the Card back. 10. Visa Zero Liability Policy: If you have reported a transaction as unauthorized, and if we determine that the transfer was in fact not authorized by you from our investigation, you will not incur any loss or liability unless we reasonably determine based on substantial evidence that you have been grossly negligent or have engaged in fraud. In such event, we will extend provisional credit for losses from unauthorized card use within 5 days of notification of this loss. The transaction at issue must be posted to your account before provisional credit may be issued. Provisional credits may be withheld, delayed or rescinded based on such factors as gross negligence or fraud, delay in reporting unauthorized use, investigation and verification of claim, and history. This liability limitation does not apply to a transaction by a person authorized to transact business on your account or who exceeds the authority to transact business on your account. (This limit on liability only applies to transactions processed through the VISA network, and does not apply to ATM transactions.) You will be in default if you (i) fail to make any required payment on your Account or any other account with us when due, (ii) die, (iii) file bankruptcy or become insolvent, (iv) exceed your Credit Line without permission or (v) have given us any false, misleading or incomplete information or signature. Following your

default, we may exercise any rights the law allows, including, but not limited to, the rights to (i) reduce your Credit Line, (ii) suspend or cancel your Account, (iii) accelerate payment of all amounts owing on your Account (that is, we may declare all amounts owing on your Account to be due and payable immediately or per such accelerated payment schedule as we require) and/or (iv) bring an action to collect amounts owed. Unless required by law, we may take any of these actions without notice to you. If we must refer collection of the Account to an attorney or must determine the non-dischargeability of the debt in bankruptcy court, you will be responsible for our reasonable attorneys fees and any court costs, if allowed by law. If we accelerate payment of your Account, the unpaid principal balance of your Account will bear interest until it is paid in full at a rate equal to the APR in effect on the date of acceleration and that APR will not vary with the market. 12. Cancellation. You may cancel your Account at any time by notifying us in writing and returning the Card cut in half. We may cancel or suspend your Account at any time and for any reason. If we cancel your Account, you will destroy the Card by cutting it in half and will give it to us or our agent, or mail it to us. If the Account is cancelled or suspended, you will pay us the amount you owe us as required by this Agreement. Use of the Account after notice of its cancellation or suspension is fraudulent and may subject you to legal proceedings. 13. Liability. Each account owner will be liable individually and together for all Purchases, Cash Advances and Balance Transfers any of you make using the Card or Account and any Interest and Debits incurred under this Agreement. 14. Irregular Payments. We can accept late payments or partial payments, or checks and money orders marked with Payment in Full or similar language, without losing any of our rights under this Agreement. No payment will operate as an accord and satisfaction without our prior written approval. All written communications concerning disputed amounts, including any check or other payment instrument that indicates that the payment constitutes payment in full of the amount owed or that is tendered with other conditions or limitations or as full satisfaction of a disputed amount, must be mailed or delivered to 225 Pictoria Dr., Suite 600 Card Services, Cincinnati, Ohio 45246. 15. Foreign Transactions. The credit card association will convert any transaction in foreign currency into U.S. dollars using an exchange rate for the applicable central processing date that is (i) selected by the association from the range of rates available in wholesale currency markets, which rate may vary from the rate the association receives, or (ii) the government-mandated rate. 16. Information Sharing. We may provide your personal data to credit card associations in order to provide emergency cash and emergency card replacement services. 17. Credit Reports. If you believe that we have inaccurate information about you or may report or have reported inaccurate information about you to a consumer reporting agency, you may notify us at 225 Pictoria Dr., Suite 600 Card Services, Cincinnati, Ohio 45246. In doing so, please identify the inaccurate information and tell us why you believe it is inaccurate. If you have a copy of the report that includes the inaccurate information, please send a copy of the report to us as well. 18. Waiver. We won t be considered to have waived our rights under this Agreement if we delay enforcing them. 19. Changes in Terms. Subject to the limitations of applicable law, we may at any time change, add to, or delete any of the terms and conditions in this Agreement, including, but not limited to, interest rates and fees and this section. Such changes may be based, in whole or in part, upon factors including, but not limited to, anti-fraud policies and procedures, your record of making timely payments and staying within the established Credit Line on your Account with us, your credit score, and information contained in your credit report. We will give you notice of any change, addition, or deletion as required by applicable law. The changed terms will apply to new Purchases/Debits, Cash Advances and Balance Transfers and to the outstanding balances of your Account as of the effective date, to the extent permitted by applicable law. 20. Governing Law. The laws of the United States and the laws of Ohio govern this Agreement regardless of your place of residence. This Card is issued under the laws of the United States and the laws of Ohio, without regard to Ohio s conflicts of law provisions. 21. Severability. If any provision of this Agreement is determined to be invalid or unenforceable for any reason, the remaining provisions will remain in effect.

22. Entire Agreement; Interpretation. The Agreement constitutes the between you and us relating to your Account. The headings used in this Agreement are for the convenience of reference only and are not intended to define or describe the scope or intent of any portion of the Agreement. BILLING RIGHTS NOTICE 23. Your Billing Rights. Keep This Document For Future Use This notice tells you about your rights and our responsibilities under the Fair Credit Billing Act. 24. What to Do If You Find a Mistake on Your Statement. If you think there is an error on your statement, write to us at the address listed on your bill. You may also contact us on the Web: www.bankatfirst.com. In your letter, give us the following information: a. Account information: Your name and account number. b. Dollar amount: The dollar amount of the suspected error. c. Description of problem: If you think there is an error on your bill, describe what you believe is wrong and why you believe it is a mistake. You must contact us: i. Within 60 days after the error appeared on your statement. ii. At least 3 business days before an automated payment is scheduled, if you want to stop payment on the amount you think is wrong. iii. You must notify us of any potential errors in writing or electronically. You may call us, but if you do we are not required to investigate any potential errors and you may have to pay the amount in question. 25. What Will Happen After We Receive Your Letter. When we receive your letter, we must do two things: a. Within 30 days of receiving your letter, we must tell you that we received your letter. We will also tell you if we have already corrected the error. b. Within 90 days of receiving your letter, we must either correct the error or explain to you why we believe the bill is correct. While we investigate whether or not there has been an error: i. We cannot try to collect any amount in question, or report you as delinquent on that amount. ii. The charge in question may remain on your statement, and we may continue to charge you interest on that amount. iii. While you do not have to pay the amount in question, you are responsible for the remainder of your balance. iv. We can apply any unpaid amount against your credit limit. After we finish our investigation, one of two things will happen: v. If we made a mistake: You will not have to pay the amount in question or any interest or other fees related to that amount. vi. If we do not believe there was a mistake: You must pay the amount in question, along with applicable interest and fees. We will send you a statement of the amount that you owe and the date payment is due. We may then report you as delinquent if you do not pay the amount we think you owe. vii. If you receive our explanation but still believe your bill is wrong, you must write to us within 10 days telling us that you still refuse to pay. If you do so, we cannot report you as delinquent without also reporting that you are questioning your bill. We must tell you the name of any one to whom we reported you as delinquent, and we must let those organizations know when the matter has been settled between us.

viii. If we do not follow all the rules above, you do not have to pay the first $50 of the amount you question, even if your bill is correct. Your Rights If You Are Dissatisfied With Your Credit Card Purchases If you are dissatisfied with the goods or services that you have purchased with your credit card, and you have tried in good faith to correct the problem with the merchant, you may have the right not to pay the remaining amount due on the purchase. To use this right, all the following must be true: 1. The purchase must have made in your home state or within 100 miles of your current mailing address, and the purchase price must have been more than $50. (Note: Neither of these are necessary if your purchase was based on an advertisement we mailed to you, or if we own the company that sold you the goods or services.) 2. You must have used your credit card for the purchase. Purchases made with cash advances from an ATM or with a check that accesses your credit card account do not qualify. 3. You must not yet have fully paid for the purchase. If all the criteria above are met and you are still dissatisfied with the purchase, contact us in writing or electronically at the address listed on your bill or on the Web at www.bankatfirst.com. While we investigate, the same rules apply to the disputed amount as discussed above. After we finish our investigation, we will tell you our decision. At that point, if we think you owe an amount and you do not pay, we may report you as delinquent.
