Warehousing & Logistics Corporation invites offers from reputed firms who are competent for providing services for scientific and safe storage in silo bags for storage of wheat at different locations in the state in the prescribed proforma till 26 th March, 2015, 1500 hours. The firm will have to make arrangements for providing services for scientific and safe storage of wheat in silo bags, made of polyethylene or any other scientifically proven material of multi layered film for superior strength, built in protection against the potentially harmful effect of radiation, superior tensile strength to hold shape in hot weather and superior puncture properties allowing for sufficiently tight packing with limited stretching and bagging of wheat thereof. The silo bags should be designed in such a way so as to keep the stored wheat in a controlled atmosphere thereby eliminating the need for fumigation and avoiding any chance of deterioration. A Pre-bid meeting is to be held on 20.03.2015 at 11:00 at Head Office, Bhopal. The interested firms may submit their proposal with company profile and required documents alongwith earnest money through demand draft or FDR of Rs. 10,00,000/- (Rupees Ten lakhs only) in favour of "M.P. M.P. WAREHOUSING & LOGISTICS CORPORATION, BHOPAL Detailed Notice Inviting Tender For Providing Services for Scientific and Safe Storage of Procured Wheat in Silo Bags 1. M.P. Warehousing and Logistics Corporation is well established in the field of scientific storage of food grains and notified commodities in the state. The procurement of wheat in rabi season 2012 was around 85 Lakh MT, around 65 lakh MTs in 2013 and around 72 lakh MTs in 2014. MPWLC has made sufficient arrangements for scientific storage of procured wheat which also includes the storage in Silo bags at some locations in the state. 2. MPWLC invites applications from reputed firms who are competent for storing wheat in silo bags and maintaining these at different locations in the state for storage of procured wheat in Rabi 2015-16. 3. The firm will have to make arrangements for providing services for scientific and safe storage of procured wheat in silo bags made of polyethylene or any other scientifically proven material of multi layered film for superior strength, built in protection against the potentially harmful effect of radiation, superior tensile strength to hold shape in hot weather and superior puncture properties allowing for sufficiently tight packing with limited stretching. The silo bags should be designed in such a way so as to keep the stored wheat in a controlled atmosphere thereby eliminating the need for fumigation and avoiding any chance of deterioration. 4. The size of the silo bags should be such that each of it can store minimum 150 MT of wheat. 5. The silo bags are to be laid on open fields which are to be made available by MPWLC. The firm will make all arrangements to meet the requirement for laying of silo bags on open field. 6. The firm will make arrangements for loader, unloader, sweeper, grain cart, tractor and/or other equipments required for storage of loose wheat in silo bags.

7. The wheat in loose, will be stored in the silo bags at the identified locations for the quantities as indicated in the tender document. These quantities are indicative in nature based on procurement in 2014-15 and may vary because of uncertain production and other market forces. 8. The successful bidder will be given storage charges (to be quoted by bidder) and other onetime handling charges as detailed below :- A. i) Sampling of wheat, laboratory test and weighment, Rs. 9.12 per Handling of procured wheat till filling of silo bags Bagging and stitching after evacuation Stacking quintal B. i) Procurement charges Rs. 13.50 per quintal C. Weighment Charges at the time of delivery will be separately reimbursed to second the service provider by MPSCSC, the rates thereof will be fixed on the basis of the concerned RM, MPSCSC, approved by the MD, MPSCSC, Bhopal. 9. Out of the charges as mentioned in clause 8(A) Rs. 5 per quintal will be paid by third party on monthly basis to successful bidder at the time of deposition of stock in a particular month and remaining Rs. 4.12 per quintal will be paid on monthly basis after the evacuation of the stock. The 1% commission equivalent to Rs. 13.50 per quintal as per clause 8(B) will be paid by third party on monthly basis to successful bidder at the time of deposit of stock during a particular month. 10. The MPWLC will provide one time business guarantee for 8 months from the date of deposit of the stocks for the quantity deposited on that day. WHR shall also be issued by the second party for the stocks deposited on a particular day. 11. The successful bidder will be paid at the rate of sanctioned storage charges for the guarantee period of 8 months. After 8 months, the storage charges @ Rs. 2.40 per quintal per month will be paid to silo bag owner for the remaining period of storage.

12. The agreement with the successful bidder will be executed for a period of 1 year for providing services for scientific and safe storage of procured wheat in silo bags. 13. An example for calculation of storage charges :- First Year (2015) : 1. Bag - A: (a) Date of deposit of stock - 01.04.2015 - The Storage charges at the sanctioned rate will be paid for guaranteed 8 months i.e. 30.11.2015. (b) After 8 months i.e. 30.11.2015 the storage charges @ Rs. 2.40 per quintal per month will be paid for remaining period of storage. Second Year (2016): 1. Bag - A: The storage charges will be paid @ Rs. 2.40 per quintal per month. 2. New Bag - B: (a) (b) Date of sealing of bag 30.03.2016 - The Storage charges at the sanctioned rate will be paid for guaranteed 8 months i.e. 29.11.2016. After 8 months i.e. 29.11.2016 the storage charges @ Rs. 2.40 per quintal per month will be paid for remaining period of storage. 14. The tender notice is for inviting bids under three envelop system, one for earnest money, second for technical bid and third for financial bid. In the technical bid the tenderer should submit following documents :- i) Annual turnover or Net worth :- The firm should have turnover or Net worth of at least one crore per annum in any one year of the last three years which also includes the current year till date of submission of the tender and should submit auditory balance sheet of that year as a matter of proof. ii) Company profile indicating the details of storage of foodgrains and operation of silo bags done in previous three years. 15. The financial bid in the 3rd envelop is to be submitted as per Annexure-A.

16. The details of the location for Providing Services for Scientific and Safe Storage of Procured Wheat in Silo Bags is Annexed at B. 17. The firm will be responsible for the comprehensive insurance of the stored stock, security, weighment and will make proper arrangement for keeping the approach road motorable within a distance of 1 km from the premises. 18. MPWLC will provide land for silo bags for the period of storage. The successful bidder will have to develop land as per requirement of storage in silo bag. 19. The interested firms may submit their proposal with company profile and required documents as mentioned above alongwith earnest money through demand draft of Rs. 10,00,000/- (Rupees ten lakhs only) in favour of "MP Warehousing & Logistics Corporation payable at Bhopal" latest by 26 th March, 2015 till 1500 hours. 20. The earnest money of successful bidder will be converted into security deposit refundable after successful completion of agreement. No interest shall be payable on earnest money and security deposit. 21. In addition to clause 20, 5% of the net amount payable to successful bidder in the monthly storage bills will be deducted as security deposit. This amount of SD shall be refunded of the quantity liquidated in that particular year after clearance by I st and III rd party. No interest shall be paid on this amount. 22. If there is any deterioration found in the stored wheat in silo bags, then the same shall be evacuated immediately. In such circumstances the business guarantee will be cancelled forthwith. The successful bidder cannot make any claim for such early evacuation from the silo bags in which deterioration takes place. 23. If required, modifications may be done in the tender document before five days of last date of downloading the tender document and same will be placed on website. If there is any change, it will be placed on the website only. 24. Please visit www.mpwarehousing.com for detailed information before submission of the offer. 25. The MPWLC reserves the right to reject any or all proposals submitted at any stage without assigning any reason whatsoever. 26. The rates are to be quoted location wise independently.

27. The successful bidder for each location will be selected on the basis of the lowest quoted rate for that location. 28. Any individual/firm which is black listed by the Corporation or any other Government/Semi Govt. Organization for working in the specific area of storage of wheat in silo bags will not be eligible to participate in this tender. 29. In the event of a shortfall in the stocks, due to deterioration in quality or any other reason at any time, the successful bidder shall pay damages to the authority which shall be calculated and paid at the rate of procurement price (MSP + bonus) plus 50% thereof per quintal. 30. In case of unprecedented or higher procurement in certain districts or if the land is not available in the same premises for any reason, the successful bidder will execute the additional work up to 50% of the agreemented quantity in the same premises or in the near vicinity of that area or in the same district on mutual consent basis. 31. The 8 months guarantee would be provided for the stocks deposited on a particular day. 32. The bagging facility of 500 MT per day for a unit of 25,000 MT should be kept ready by the Silo bag owner at each site. 33. MPSCSC will inform atleast a week before for dispatch of a rack load and will have to make available appropriate numbers of gunny bags accordingly. 34. After the II nd party complete the bagging and stacking process for evacuation, the III rd party will lift the stock within a period of 15 days positively. 35. The quantities mentioned in the NIT are indicative only and might vary depending upon the trend of procurement of wheat at that location. 36. Normally the period of storage of wheat of a particular Rabi season will be one year. 37. The II nd party will make arrangement for weigh bridge of atleast 60 MT capacity in such a way that it will ensure proper maneuvering of the vehicles. 38. If II nd party fails to execute the work in time, the work will be carried on risk & cost of the party & will be completed by other party. 39. Security from II nd party for any expected liquidated damages. The II nd party will be fully responsible to get the claim matured in four months time from

the insurance company with whom the II nd party is made the comprehensive insurance, if II nd party fails to do so the liquidated damages will be recovered from the II nd party. The II nd party will submit PDC of 50 Lakhs upto 20,000 MT and additional PDC of Rs. 10 Lakhs for every additional 10,000 MT capacity amount during the execution of the agreement with the I st party. 40. The II nd party will ensure the issuance of computerized WHR in consultation with the I st and III rd party. Chief Engineer

DRAFT AGREEMENT TO BE EXECUTED BETWEEN MPWLC, MPSCSC AND SUCCESSFUL BIDDER FOR THE WORK OF STORAGE OF WHEAT IN SILO BAGS For the work of storage and maintenance of loose wheat in silo bags the parties among which the agreement will be executed are as under :- (i) (ii) First Party - M.P. Warehousing & Logistics Corporation Second Party- The service provider and owner of the silo bags (the successful bidder) (iii) Third Party - M.P. State Civil Supplies Corporation Ltd. 1. Regional Managers of MPWLC and MPSCSC are authorized to execute the agreement. 2. MPWLC will make available land free of cost to the owner of the silo bags. 3. For storage of Wheat the representative of MPSCSC will counter sign on acceptance letter, deposit and delivery form. The owner of the silo bag will issue Warehouse Receipt (WHR) on which the concerned Branch Manager of MPWLC will counter sign. 4. The business guarantee of eight months for storage in silo bags will be on the basis of storage charges on the sanctioned lowest rate per month. 5. I st party will deploy employees for proper technical supervision of the stored wheat in silo bags. 6. The II nd party will produce the bill of monthly storages charges to I st party. The I st party will check the bills and forward it to III rd party for payment within one week of the receipt of invoice of II nd party. The payment will be made immediately within a month after receiving it from III rd party. 7. The II nd party will make all security arrangements for any fire incidents and will ensure security of the stored goods during the period of storage. The II nd party will make available the facility of weigh bridge, beam scale, laboratory on site and motorable roads in the premises. If there is any damage, the II nd party will ensure repair of roads and other requirements in time.

8. I st party will take Fidelity Insurance policy of total cost of the stored goods and the premium of said policy will be adjusted against the storage charges payable to the II nd party. 9. The II nd party will also ensure comprehensive insurance in favour of III rd party as per cost of the stored goods fixed by III rd party. The III rd party may make claim on the basis of aforesaid comprehensive insurance policy, if need arises. 10. The II nd party will clean and vacate the said premises after expiry of agreement or liquidation of stock of wheat stored in silo bags at site, whichever occurs later and will not make claim on this land. 11. The II nd party will make available the stored wheat in gunny bags properly stacked on the demand of III rd party. The III rd party will provide gunny bags for this purpose within a reasonable period. The III rd party will ensure that the gunny bags conforming to IS specifications will only be made available to II nd party. 12. The II nd party will be liable to pay all applicable statutory taxes enforced from time to time. 13. The II nd party will take samples from silo bags on rotation basis every month in such a manner that every silo bag is covered in 3 months and will submit quality report to the I st party. 14. The responsible officers of the I st party and III rd party will inspect the stored wheat time to time. 15. The storage charges will be paid to II nd party on monthly basis on receipt from the III rd party. The II nd party will not make any other claim except the storage charges and other fixed charges payable under this agreement. 16. The agreement can be terminated by the joint signature of Regional Managers of I st and III rd party after giving one months notice, only after getting approval of MD of MPWLC and MPSCSC 17. The pucca caps may also be constructed in the same premises by I st party or any other storage agency where the silo bags are to be kept and storage will be done both in the pucca caps and silo bags in the same premises, if the successful bidder fails to provide the required quantity of silo bags in that premises in required time.

Duties and Responsibilities of First Party (MPWLC) 1. The I st party will make available land (reserved by Govt. of Madhya Pradesh for the purpose of storage of wheat in silo bags) free of cost to II nd party on temporary basis for the period of storage of food grains under the agreement. 2. The I st party will counter sign on the warehouse receipt issued by II nd party for storage of wheat in silo bags. 3. After getting storage charges from III rd party on the sanctioned rates the I st party will pay storage charges to II nd party. 4. The I st party will ensure deployment of personnel for technical supervision of the stored goods. 5. The I st party will take Fidelity Insurance policy of the full cost of the stored goods, of which the premium will be adjusted from the storage bill of II nd party. Duties and Responsibilities of Second Party (the owner of the silo bags - the successful bidder) 1. The I st party shall enter into agreement with the successful bidder only if he provides valid & satisfactory proof of availability of required machinery atleast one week before the start of the procurement season. 2. The II nd party will ensure arrangement of all equipments, technical personnel and facilities required for storage of wheat in silo bags within 30 days from the date of signing of the agreement, for atleast 50% of the estimated quantity. 3. II nd party will ensure availability of separate set of equipments on the sites where the expected arrival is more than 25,000 MT. and personnel for each site. If the delay in commencing operations is on the part of the II nd party then the business guarantee will be reduced by that period, if such delay occurs. 4. During the procurement season the II nd party will make all necessary arrangements to get the procured wheat filled in silo bags before the commencement of rainy season i.e. 1 st June. If the II nd party fails in filling up the procured wheat in silo bags and if any problem occurs at site then in such circumstances I st party will be free to take action against II nd party including the cancellation of business guarantee.

5. The II nd party will issue warehouse receipts in the name of III rd party for storage of FAQ wheat as per norms fixed by Govt. of India. 6. The III rd party will provide gunny bags to II nd party and will place demand for issue of stored wheat. The II nd party on the demand of the III rd party will make all arrangements for filling the wheat of the required quantity in gunny bags as per norms, within 10 days and stack them properly. 7. The II nd party will ensure comprehensive insurance and fidelity insurance of the stored goods and will be liable for the safety and security of the stocks. The II nd party will repair / replace and maintain the silo bags in original condition, in case of any damage. 8. The II nd party will clear and vacate the said premises after disposal of the silo bags and will not make any claim on the land. The II nd party will not make any use of this land for any other purpose or storage of any other commodity except wheat of III rd party. The II nd party will not create any infrastructure or pucca building in the said premises. The II nd party will make free this land and handover to I st party in the same condition as it was handed over to II nd party for storage of wheat in silo bags. 9. The II nd party will take a license from competent authority as per MP Agriculture Act, 1952. 10. The II nd party will be responsible for comprehensive insurance of the whole stock at the rate fixed by III rd party. The insurance will include fire, flood, earthquake, strike, loot, riots, deliberate damage, dacoity, house breaking, burglary etc. The warehouse receipt will be issued immediately after the storage of wheat in silo bags. The insurance policy will be taken in the name of III rd party by II nd party, which enables III rd party to claim for any damage to the stocks. 11. The II nd party will make all safety and security arrangements as per law and liaise with local administration. 12. The II nd party will make arrangement of weigh bridge, beam scale laboratory on site and other required arrangements for warehousing of loose wheat in silo bags. 13. The II nd party will inform the PAN number to I st and III rd party. 14. The II nd party will be responsible for payment of all taxes as per extant rules. 15. The II nd party will ensure scientific storage and fumigation (if required) of the stored commodity. For any damage to the stored commodity in silo

bags, the II nd party will be solely responsible and will pay damages to III rd party on the basis of rate of procurement price (MSP + Bonus) plus 50% thereof per quintal. Any loss will be deducted from the storage bill of the II nd party and if required will be recovered from security deposit or will be recoverable as the arrears of land revenue. 16. The II nd party will ensure labour laws. The II nd party will be treated as principle controller of the premises and will be responsible for any incident taking place in that premises. 17. The II nd party will make all safety arrangements of the labours, who are deployed by them in that premises. 18. (a) The earnest money of successful bidder will be converted into security deposit and make it available to III rd party. 5% of the net amount payable to successful bidder in the monthly Storage bills will be deducted by III rd party as additional security deposit. This amount shall be refunded of the quantity liquidated in that particular year after the clearance of I st & III rd party. No interest shall be paid on this amount. (b) The authorised officer of the I st and III rd party will inspect the premises and the stored goods as per requirement. (c) The action against II nd party as per M.P. Agricultural Warehousing Act, 1947 will be enforced, if the II nd party is found violating any provisions of the Act. 19. The IInd party will make proper arrangements for keeping the approach road motorable within a distance of 1 km. from premises and proper maneuvering of the vehicles in the premises. The IInd party will also take care of proper electric facilities in the premises. 20. The II nd party will be responsible for required permissions from various authorities in accordance with extant Govt. rules. 21. The II nd party will appoint a representative at local level to liaise with I st and III rd party disclosing his name, address and telephone numbers. 22. The II nd party will make all arrangements of basic amenities during procurement season i.e. electrification, drinking water, temporary toilets, properly covered waiting area for farmers and proper sitting place for procuring agencies / societies.

23. II nd party will maintain a laboratory on site to test the quality of food grains so as to procure only FAQ wheat. 24. II nd party will be responsible for delivery of the same FAQ wheat as procured and in quantities as per requirement of III rd party. 25. In the event of a shortfall in stocks due to deterioration or due to any other reason at any time, the successful bidder shall pay damages to the authority which shall be calculated and paid at the rate of procurement price (MSP + bonus) plus 50% thereof per quintal. 26. In case of unprecedented or higher procurement in certain districts or if the land is not available in the same premises for any reason the successful bidder will execute the additional work up to 50% of the agreemented quantity in the same premises or in the near vicinity of that area or in the same district on mutual consent basis. 27. The II nd party will provide all proof of actual payments made by him towards incidentals to be reimbursed by III rd party as per this agreement alongwith this Bill (certificate issued by CA will be considered) actual payments made by bidder will be countersigned by the MPWLC officials. Duties and Responsibilities of Third Party (MPSCSC) 1. The III rd party will make available procured wheat in bulk to II nd party. The III rd party will provide business guarantee of eight months for the stocks deposited on a particular day. After the period of business guarantee is over, the storage charges @ Rs. 2.40 per quintal per month on the basis of actual stored quantity per day will be paid to II nd party for the balance period of storage. 2. The III rd party will make payment to the I st party on the basis of approved lowest storage charges. 3. III rd party will provide gunny bags to the II nd party. 4. The III rd party will take delivery of the stored goods within maximum of two years of storage. 5. The III rd party will optimize off-take of wheat from silo bags in such a manner so as to minimize the financial burden on the state. 6. The III rd party will propose to Food Commissioner for shifting of adequate number of procurement centres to every "silo bags premise" keeping in view the storage capacity of that premise and the policy of the state government.

7. Expenses incurred for sampling, laboratory, weighment, handling of wheat for filling of wheat in Silo bags and bagging + stitching after evacuation and stacking, handling & other charges at the time of delivery will be separately reimbursed to II nd party by III rd party. The truck weighment rate thereof will be fixed on the basis of proposal of the concerned Regional Manager, MPSCSC and after approval of Head Office, MPSCSC. Other Conditions 1. This agreement will remain enforce till the last delivery of the stored goods or 3 years whichever is later. The period of the agreement can be reduced, extended or terminated with mutual consent. For this purpose the Regional Managers of the I st party and III rd party are authorised. 2. For any legal dispute, the jurisdiction will be District Court, Bhopal. 3. This agreement is in accordance with the rules of M.P. Warehousing Corporation Act, 1962 and for any violation of the rules or any adverse activity, it will be deemed as null and void. 4. In case of any dispute, the II nd party will not create any obstruction in delivery and deposit of the commodity. The dispute will be settled by Arbitrator, who will Secretary, Food & Civil Supplies, Govt. of M.P. or any other officer authorized by him. He will be the sole Arbitrator for this purpose and decision of the Arbitrator will be binding on all the parties.
