PLAN HIGHLIGHTS ACRISURE 401(K) SAVINGS PLAN EMPLOYEE ELIGIBILITY ENTRY DATES Employees must be age 21 and have completed 30 days of service. The first of the quarter coincident with or next following the date you met the eligibility requirements above. EMPLOYEE CONTRIBUTIONS You may contribute the maximum as allowed by the IRS. These contributions may be made as regular deferrals (pretax) or Roth deferrals (after-tax). You may reduce to 0% at any time. ROLLOVER CONTRIBUTIONS EMPLOYER CONTRIBUTIONS You may be permitted to rollover into the plan distributions received from other plans and certain IRAs. Acrisure, LLC may make a matching contribution based on eligible compensation you contribute to the plan. The match is currently 100% of the first 3% of compensation you defer. This amount may be changed by the employer. VESTING SCHEDULE INVESTMENT INFORMATION All contributions are always 100% vested. A complete list of investment options and detailed fund information, including mutual fund prospectuses, can be found by logging into Alerus online at alerusrb.com or by calling 800.795.2697. For newly eligible employees the information is provided in your enrollment kit or is available upon request. If you do not implement investment direction, any contributions made to the plan on your behalf will be invested in the plan s default investment. You may change your investment allocation at any time by utilizing the Alerus website or phone service. Redemption fees may apply to some of the investment options. This information is available on the Alerus website. This plan is intended to be an ERISA Section 404(c) plan. This means that you exercise control over some or all of the investments in your plan account. The fiduciaries of the plan may be relieved of liability, or responsibility, for any losses that you may experience as a direct result of your investment decisions. WITHDRAWAL PROVISIONS You may withdraw money from the plan by taking a loan, attaining age 59½, upon hardship (as defined by the IRS), or upon termination of employment. Roth 401(k) Contributions Questions and answers to help you decide More than three out of 10 households, or 40.2 million, owned IRAs as of 2015.* Retirement savers found the tax-free nature of the Roth IRA, and the fact that there are no required minimum withdrawals, very attractive. Now, if you don t qualify for a Roth IRA, or just want to save more for retirement, you can take advantage of many Roth features inside your 401(k) plan. The combination of regular 401(k) and Roth 401(k) contributions is a powerful tool for enhancing your retirement savings outlook. The new Roth 401(k) feature in your plan allows you to invest after-tax dollars (allowing them to grow on a taxdeferred basis) and take qualifying distributions tax-free. The following questions and answers will help you decide if Roth 401(k) contributions are right for you. What is the difference between regular 401(k) contributions and Roth 401(k) contributions? When you participate in your 401(k) plan, you are electing to defer receiving part of your pay and placing it in a retirement savings plan. You instruct your employer to put that deferral amount into a plan account for you. When you make a regular 401(k) deferral, the amount is taken out of your pay on a pre-tax basis. The tax is deferred until your account is distributed to you, at which time your contributions and investment earnings are subject to income tax. A Roth 401(k) contribution is made on an after-tax basis, meaning that you ve already paid current income tax on it. Since it was taxed at the time of deferral, it won t be taxed again when it is later distributed to you. And if you meet several qualifications, the investment earnings on your deferrals will not be taxed when you receive them. So, the earnings can be tax-free, not just tax-deferred. Who is eligible to make these contributions? If you are eligible to contribute to your 401(k) plan, you are eligible to make Roth 401(k) contributions. Can I make both pre-tax 401(k) contributions and Roth 401(k) contributions at the same time? Yes. Your plan s recordkeeper will maintain separate accounts for these two types of contributions. * The 2016 Investment Company Fact Book, 56th edition (c) 2016, Investment Company Institute. Can I have a Roth IRA and also make Roth 401(k) contributions to my 401(k) plan? Yes. How do the Roth IRA and Roth 401(k) contribution limits differ? In 2017, you may contribute $5,500 to a Roth IRA, plus $1,000 as a catch-up contribution if you are at least age 50. In your 401(k) plan, you can contribute up to $18,000 in 2017 (plus $6,000 as a catch-up if you re at least age 50). The key point is that your pre-tax 401(k) contributions and your after-tax Roth 401(k) contributions both count toward the $18,000 limit in 2017 ($24,000 if eligible to make a catch-up contribution). Is there an income limitation for making Roth 401(k) contributions? No. You are not eligible to contribute to a Roth IRA if your gross income exceeds certain limits, but those income restrictions do not apply to Roth 401(k) contributions. When must I designate a deferral as a Roth 401(k) contribution? You must designate your contribution as a Roth 401(k) contribution at the time the deferral is made. As a practical matter, you will need to complete and submit the proper form to your plan administrator in order to begin making Roth 401(k) contributions. Your designation of contributions as Roth 401(k) deferrals is irrevocable. This means that you may not change your designation of specific contributions as Roth 401(k) contributions after they ve been made to the plan. You may, of course, change your contribution rate and any split between regular 401(k) contributions and Roth 401(k) contributions as often as the plan permits. See your Plan Highlights for more information. Is there a vesting schedule applied to my Roth 401(k) deferrals? No, because you are always 100% vested in your own contributions, just like your regular 401(k) deferrals. Will my Roth 401(k) contributions be eligible for any company match? Employers may or may not match Roth 401(k) contributions. Check with your Plan Administrator. Can I convert my pre-tax 401(k) contributions to Roth 401(k) contributions? Yes, you may convert some or all of your pre-tax amounts at any time, if your plan permits such conversions. Unlike a Roth IRA, conversions within the plan are irrevocable. Will distribution of my Roth 401(k) contributions be non-taxable? The distribution of your contributions will be tax-free, since you already paid income tax on them when they were made to the plan. In order for the earnings on those contributions to be taxfree, they must be distributed only after you reach age 59 1 2, you become disabled, or your death. Also, your Roth 401(k) contributions must have been in the plan for at least five years from when you first made a Roth 401(k) contribution. When does the five-year period start? The five-year period begins on the 1st day of the year in which you make your first Roth 401(k) contribution. Contributions made in a later year do not start a new fiveyear waiting period. What happens to my Roth 401(k) contributions when I terminate employment? Your Roth 401(k) account balance may be rolled over into a Roth IRA of your choice, or to another employer s 401(k) plan if that plan accepts Roth 401(k) deferrals. To receive your distribution tax-free, it must be made more than five years after your Roth 401(k) account was established and your distribution must be on account of attainment of age 59 1 2, death or disability. If you do not roll over your Roth 401(k) account or meet the tax-free distribution requirements in the previous sentence, your investment earnings may be subject to income tax. If you are under age 59 1 2 you may also have an early distribution penalty of 10%. Will I have to take required distributions of my Roth 401(k) contributions beginning at age 70 1 2? Yes. Like your regular 401(k) contributions, you must begin taking minimum distributions from your Roth 401(k) account at age 70 1 2. (Note that a Roth IRA has no mandatory distribution requirement.) Can I withdraw the earnings on my Roth 401(k) contributions to use them to buy my first home, without tax or penalty? No. That provision is available only in Roth IRAs. The first section provides you with information about the plan in general, including any expenses you might incur through participation in the plan or through taking advantage of different plan features. The second section provides information about the plan's investment alternatives, including any fees or expenses associated with those investments. Plan Information The Plan is intended to be an ERISA Section 404(c) plan. This simply means that you "exercise control" over some or all of the investments in your Plan account. The fiduciaries of the Plan may be relieved of liability, or responsibility, for any losses that you may experience as a direct result of your investment decisions. This information includes: annual operating expenses of the Plan investments; copies of prospectuses, financial statements, reports, or other materials relating to Plan investments provided to the Plan; a list of assets contained in each Plan investment portfolio; the value of those assets and fund units or shares; and the past and current performance of each Plan investment. You may direct the investment of your account by logging in to your account at www.alerusrb.com or using the plan s Voice Response Unit by calling 1 800 795 2697. You must have a user identification number and password to access these systems. Generally, investment directions submitted by 3:00 p.m. Central Time on days when the major stock exchanges are open for business will be reflected in your account based upon the value of the investment as of market close. Generally, investment directions submitted after 3:00 p.m. Central Time, on weekends or holidays will be reflected based upon the next business day s value. Other Plan Information Alerus shall execute and deliver to the Plan Sponsor, any vote or proxy relating to securities held by the Plan's trust. Alerus shall vote such securities only to the extent and as directed by the Plan Sponsor or, if applicable by an appointed investment manager. Other Plan related Expenses Retirement plans have different types of expenses. Administration expenses These are charges for services such as legal, accounting and recordkeepingexpenses. In our Plan, these expenses are paid partly by the Plan, partly by the Plan sponsor, and partly by participants. A participant's share of these expenses is allocated on both a pro rata and a per capita basis. Certain fees may be applied pro rata (i.e., your share of these expenses is based on the value of your account balance over the total assets in the Plan) while others, may be applied per capita (i.e., your share of these expenses is determined by dividing the total expense by the number of participants in the Plan). Your employer pays the following general plan expenses: Alerus Annual Administration Fee: $5,000, Alerus Annual Electronic 5500 Filing Fee: $50. In the event that your employer did not pay these amounts, they would be deducted from your account pro rata. Your account is charged a pro rata share (your account value/total plan value) of the following general plan expenses: Alerus Annual Compliance Service Fee: 0.05%, Annual Advisor Fee Chesme Capital Management: 0.40%. Your account will be charged the full amount of the following expenses: Alerus Annual Compliance Service Fee: $8 per participant, Alerus Annual Recordkeeping Fee: $50 per participant. Some mutual funds held by the Plan may make periodic revenue sharing

payments to Alerus. Upon receipt of revenue sharing, Alerus will credit it to the participant s account based upon the investment which generated it. Small Account Balance Fee. Terminated participants with balances smaller than the current distribution fee may be charged a small account balance fee equal to the current distribution fee listed in this disclosure Forfeitures will be used towards paying Plan administration expenses. Individual expenses These are expenses you may incur if you take advantage of certain Plan features. Loans A $100 processing fee for each new loan will be charged to your account. Qualified Domestic Relations Order (QDRO) The following QDRO related expenses will be charged to your account: A $250 processing fee for each domestic relations order Distributions The following distribution related expenses will be charged to your account: A $50 processing fee for each type of distribution requested Other Expenses You may incur certain charges for: Additional overnight charge: $35 Wire transfer fee: $20
