FESTIVAL FOOD VENDORS - We will maintain an exclusive for you on the above listed categories of Festival Food if you sign up BY MARCH 1 ST and the exclusive will be based on time stamped order of receipt and acceptance of application and total fees HAVE BEEN SUBMITTED WITH APPLICATION. NO EXCEPTIONS. PLEASE NOTE: Except for the above listed foods and drinks - ALL OTHER Beverages (soda/water/beer/alcohol, etc.) will be distributed by the management/sponsor for the event. KIDS SPECIALTY RECREATION SITE VENDOR OPPORTUNITY: _ Plan C - (4/20-4/22) & (4/27 4/29) Two weekends, 6 days total, 10AM-6PM) $1000.00 Includes vendor parking at the Holiday Inn. If paid in full by March 1 st, $1200.00 after. ADDITIONAL OPTIONS PLEASE CHECK THOSE THAT APPLY FOR YOU! _ Trailer-parking fee: $100 for 3 days, $175 for 6 days, 2 weekends _ There is a charge of $30 PER TOW for all wheeled vehicles which must be towed onto and off of the sand total the # of tows you will require. TOW passes will be issued with your confirmation, be certain you include enough for each tow. _ A 10 x 10 tent can be provided to you for an additional $35 per day (minimum 3 days) _ Power can be added to your space for $100. If needed check here. _ Your logo on 2.5 x 6 banner on event fencing $200. Deadline for submission APRIL 1, 2012.

VENDOR S AMENITIES: On site stack parking at the Holiday Inn (at the tennis courts) Golf Cart Services on and off the beach at no additional charge Daily Vendor Concierge Service Assigned load in /load off schedule Each booth space is 10 x 12 Sand Bash 2012 Sculpting Site & Wine tasting will be under tent and there will be a per day fee for all attendees. Vendors will line the outside perimeter of the tented/fenced area for optimum exposure EXHIBITOR SPACE: Vendor space is 10 x 12. All vendor gear must fit into this space, if you want an additional 10 x 12 space contact Bonnie. 2nd space fee is $350.00 Please do not exhibit outside of your allotted space. PLEASE INITIAL EACH LINE ITEM. You must provide your own booth, tent, chairs, tables, etc. and the vendor will manage your own set-up and breakdown of your area. If you need to rent items such as tents, tables, chairs, generators, etc. Please fill out the order on page 1 with the appropriate quantities. It is your responsibility to provide garbage containers at your booth. Any garbage must be placed in trash bags, securely tied and placed outside of your booth at the end of each day for collection. Running water is not available at your site, but ice will be available for sale. Any vendor that needs to be towed on or off the beach will be charged an additional $30 per tow, payable with application. All Vendors must supply a fully charged and date tagged ABC Fire Extinguisher at each booth. If you are cooking with any type of oil; you will be required to have a Class K fire extinguisher. The Fire inspector will be checking periodically. Please have your extinguisher present at all times. No vehicles of any kind including golf carts, cars or vans are allowed on the beach for any reason without a proper Town of Fort Myers Beach Permit and written permission from The Sand Lovers. All merchandise and food (size, material, selling price, etc.) sold or distributed at the event are subject to approval by the event Committee. Booth assignments will be at the discretion of the event Committee. Vendors are responsible for paying all fees, and obtaining all permits required by any and all federal, state and/or local government entity. Sand Bash 2012 is not responsible for collection or submission of any such government fees or filings. Please visit www.fortmyersbeachfl.gov for local business tax information. There is a $50.00 charge if the event needs to clean up your vendor area after the event. Distribution, layout or hanging of any items outside of the designated booth area is not permitted. Deadline for completed application, all fees and applicable permits is April 15, 2012 or sooner if the event is sold out. Designated arrival and set up time will be determined and sent to you based on your plan choice for the event. Load in s are on Thursday s 8am to 6pm. Load outs are on Sundays 6pm. Booths must be staffed at all time during the event hours. Night security will be provided but the event Organizing Committee will not be responsible for any issues that may occur at a booth during the event.

Merchandise and food vendors will be provided with one parking pass for one vehicle at the Holiday Inn and will be valid for the duration of your plan. Parking passes will be issued in your name upon arrival/set up time at the event No merchandise using the event s names or logos may be sold at the event without signed contract from the event Committee, otherwise said merchandise is subject to forfeiture and or possible legal action. No rain out. Event goes on, rain or shine. NO REFUNDS. No vendor exclusive s on non-consumable products. INDEMNIFICATION. VENDOR shall indemnify, defend, release, and hold harmless The Sand Lovers, LLC, the Holiday Inn Fort Myers, Sand Bash Organizing Committee, other event VENDORs, and any affiliates, officers, directors, employees, or agents thereof from and against any and all liabilities, damages, injuries, claims, suits, judgments, causes of action, and expenses (including reasonable attorneys fees, court costs and outofpocket expenses) suffered or incurred as a result of any breach of any obligation of VENDOR in performance of this Agreement or VENDOR s use of the benefits. This provision shall survive the expiration or termination of this Agreement. Sand Bash shall indemnify, defend and hold harmless VENDOR, and any affiliates, officers, directors, employees, or agents thereof from and against any and all liabilities, damages, injuries, claims, suits, judgments, causes of action, and expenses (including reasonable attorneys' fees, court costs and out-of-pocket expenses) suffered or incurred as a result of any breach of any obligation of Sand Bash in performance of this Agreement or Sand Bash use of the benefits. This provision shall survive the expiration or termination of this Agreement. TERMINATION. In the event of any attempted termination by VENDOR, Sand Bash shall be entitled to retain all payments received hereunder and shall have the right to pursue all available remedies at law or otherwise. INSURANCE FOOD VENDORS. Vendor shall secure and maintain at least the following insurance coverage in full force and effect throughout the Term of this Agreement from an insurance carrier having an AM Best rating of A- or better: Commercial General Liability with limits of at least $1,000,000 each occurrence and $2,000,000 general aggregate. VENDOR shall provide certificates of insurance listing The Sand Lovers LLC., the Holiday Inn Fort Myers, the event Organizing Committee as additional insureds upon request. INSURANCE MERCHANDISE VENDORS. Merchandise vendors are responsible for their own liability insurance and HOLD HARMLESS The Sand Lovers LLC, the Holiday Inn Fort Myers, the event Organizing Committee, Bonnie Roberts and will be added as additional insureds upon request. LIMITED LIABILITY. SAND BASH SHALL NOT BE LIABLE TO VENDOR FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES, AND THE EVENT S LIABILITY ARISING UNDER THIS AGREEMENT WILL BE LIMITED TO DIRECT, OBJECTIVELY MEASURABLE DAMAGES. EXCEPT TO THE EXTENT WHERE THIS PROVISION IS PROHIBITED BY LAW, AND EXCEPT WITH RESPECT TO THE INDEMNIFICATION PROVISION HEREIN, IN NO WAY SHALL THE EVENT S MAXIMUM, AGGREGATE, CUMULATIVE LIABILITY TO VENDOR ARISING OUT OF OR RELATING TO THIS AGREEMENT EXCEED THE CASH AMOUNT PAID OR PAYABLE BY VENDOR TO SAND BASH DURING THE TERM.
