SHARESAVE SAVE TO BUY GO-AHEAD SHARES AT A DISCOUNT Sharesave is a benefit for everyone working for a company that is part of The Go-Ahead Group plc. You save by putting money aside, direct from your pay. At the end of the Sharesave scheme you have six months to decide whether to buy Go-Ahead shares at a 20% discounted price (guaranteed from the start of the scheme) with your savings. Check the share price to decide what s best for you. ABOUT SHARESAVE IT S SIMPLE You save a fixed amount over three years. These savings are taken direct from your pay after tax and National Insurance contributions. You decide how much you save from a minimum of 5 to a maximum of 50 per month. OPTION PRICE The guaranteed share price which is set before you start saving is called the option price. This is a 20% discount of the market price set at the date of invitation. IT S FLEXIBLE You can miss up to six monthly contributions if you need to. Your contract end date will simply move on one month for each missed contribution. But you can t change the fixed amount you save. If you miss more than six contributions, your Sharesave contract will be cancelled and you will receive a full refund of your savings. 2
IT S YOUR CHOICE At the end of your savings period you can choose to either: take all of your savings to spend as you like or use your savings to buy Go-Ahead shares at the 20% discounted option price and become a shareholder Buying shares means you will become a shareholder in The Go-Ahead Group plc and you will benefit from any dividends that Go-Ahead pays. You have six months from the end of the scheme to decide what to do. Check the share price to decide what s best for you. Remember that share prices can rise or fall. There is a fixed limit to the number of shares available for this scheme. If the scheme is oversubscribed then applications will be scaled down according to the rules of the scheme and the amount you save each month will be reduced. 3

HOW SHARESAVE WORKS CAN I JOIN? All full or part-time employees who have completed at least six months continuous service with a company that s part of The Go-Ahead Group plc as of Friday 26 February 2016 can take part in this scheme. HOW MUCH CAN I SAVE? You can save any amount from a minimum of 5 to a maximum of 50 a month in multiples of 1 If you are paid weekly, a part of your chosen monthly contribution will be deducted each week If you are paid every four weeks, your contributions will be deducted per four weekly cycle (13 times in a year) and so your savings contract will finish slightly earlier Your savings contributions will be deducted directly from your take home pay and added to your Sharesave account with Bank of Scotland plc. 5
CAN I CHANGE OR CANCEL MY PAYMENTS? Once you have decided on the level of your monthly savings, it cannot be altered. You can miss up to six monthly contributions if you need to by giving your payroll department a month s notice. Your contract end date will simply move on one month for each missed contribution. If you miss more than six contributions, your Sharesave contract will be cancelled and you will receive a full refund of your savings. If you decide to withdraw from the Sharesave scheme, you must advise Computershare Plan Managers and your payroll department in writing to make sure deductions from your pay are stopped. The amount you receive back will depend on how long you have been contributing. If you close your account, all your savings will be repaid for the whole of the period you have saved. 6
WHAT S THE DIFFERENCE BETWEEN SHARESAVE AND THE GO-AHEAD GROUP S SHARE INCENTIVE PLAN (SIP)? Sharesave is not the same as the SIP. Go-Ahead offers two different types of share schemes to employees: the Sharesave scheme and the SIP. Under SIP, all eligible employees (those who have completed at least six months continuous service with a participating company) have the opportunity to purchase Go-Ahead shares on a monthly basis. These shares are held in a Trust on the participant s behalf for a minimum of five years. For more information about SIP, please contact the Computershare Helpline on 0344 472 6067. 7
AN EXAMPLE OF HOW THE SHARESAVE SCHEME WORKS The table shows how Sharesave works in practice for 5 and 50 monthly saving over the three years. Remember that these are examples only. The price of the shares may fall as well as rise. While you may not always make a profit on the amount you originally invested, you will always get back the full amount of your savings. The number of shares you can buy is calculated by dividing the total of your savings by the discounted share price rounded down to the nearest whole number. Any leftover balance will be returned directly to you. The examples assume an average Go-Ahead share price of 25.00. So, the price of a share with a 20% discount would be 20.00. Remember, this is just an example. This example also shows what return and profit on your savings you could make if the share price at the end of the term is 27.00 or 29.00 and you sell at these prices. 8
EXAMPLE: Three year term - assuming an option price of 20.00. MONTHLY SAVINGS CONTRIBUTION How many shares will your option buy? (Monthly savings x number of deductions) option price If you save 5 a month for three years (36 months) 5 x 36 months total amount saved 180 Number of shares you can buy = 9 ( 180 / 20.00) If share price at the end of the scheme is 27: Value of shares 243 ( 27 x 9 shares) Profit made 63 ( 243-180) If share price at time of exercise is 29: Value of shares 261 ( 29 x 9 shares) Profit made 81 ( 261-180) If you save 50 a month for three years (36 months) 50 x 36 months Total saved 1,800 Number of shares you can buy = 90 ( 1,800 / 20.00) If share price at time of exercise is 27: Value of shares 2,430 ( 27 x 90 shares) Profit made 630 ( 2,430-1,800) If share price at time of exercise is 29: Value of shares 2,610 ( 29 x 90 shares) Profit made 810 ( 2,610-1,800) 9
WHAT IF I M ON SICK LEAVE OR MATERNITY LEAVE? While you continue to receive pay from your company then Sharesave savings will continue to be taken. After that you can either continue to make payments yourself or stop payments for up to six months. You will only be able to buy shares if you re still an employee of the company when the scheme ends. I RETIRE? You can either: buy shares within six months of retiring continue to save for up to six months and then buy shares withdraw your savings and not buy shares 10
MY COMPANY IS NO LONGER PART OF THE GO-AHEAD GROUP PLC? You can either: buy shares with your savings to date within six months of the company no longer being part of The Go-Ahead Group plc continue to save for up to six months and then buy shares withdraw your savings and not buy shares I RESIGN OR I M DISMISSED? You have the choice to withdraw your savings or continue to save until the end of the savings period. You will not be able to buy shares at the discounted rate. I M MADE REDUNDANT? You can either: buy shares with your savings to date within six months of leaving continue to save for up to six months and then buy shares withdraw your savings and not buy shares 11
MY EMPLOYMENT ENDS THROUGH DISABILITY OR INJURY? You can either: buy shares with your savings to date within six months of leaving continue to save for up to six months and then buy shares withdraw your savings and not buy shares I CHANGE MY NAME OR ADDRESS? Please notify your company HR and payroll department of any changes to your details. If you have left your company, you will need to notify Computershare Plan Managers directly and, in the event of a change of name, provide evidence of such change. I DIE? Your personal representatives must either: buy shares with your savings withdraw your savings and not buy shares. 12

Please read the Terms and Conditions of the scheme before you apply. ACKNOWLEDGEMENT You will receive an onscreen acknowledgement. If you do not see an acknowledgement your application has not been successful try again. Keep your onscreen acknowledgement.
