Pro Travel Network Travel Agent Program Policies and Procedures 1. The following is the Independent Travel Agent Membership and Outside Sales Representative Agreement between Pro Travel Network: "Pro Travel Network, We and Us," and the person who has enrolled or is applying for enrollment in the Pro Travel Network, ITA (Independent Travel Agent) program, "You".All persons, "Travel Agent Members," agree to be bound by these terms of Travel Agent Membership and are urged to read them carefully. If you have any questions regarding your Travel Agent Membership and Outside Sales Representative status, you may contact our customer service center at (905) 581-6240 for Canadian Agents or (559) 224-6008 for US Agents. 2. You agree that you are at least 18 years of age. You will support the travel industry and Pro Travel Network by generating and creating travel sales for the duration of this Agreement. 3. You shall be authorized to act as an Outside Sales Representative for Pro Travel Network, promoting and selling travel products and services through Pro Travel Network. In such capacity, you shall comply with the terms of these Pro Travel Network's Travel Agent Program Policies & Procedures and guidelines contained herein, as amended from time to time. Upon acceptance (includes listing in the computer system as an "Agent") by Pro Travel Network, You will be deemed an active Travel Agent Member and shall be authorized to identify yourself as an Outside Sales Representative with Pro Travel Network in accordance with the guidelines herein. 4. You shall be able to use the promotional materials produced by Pro Travel Network, and shall have a limited right to use any of the Pro Travel Network trade or service names or marks, or any other promotional materials as expressly authorized in writing by Pro Travel Network. 5. For agents of Ontario, Canada, any and all marketing of travel must clearly state the TICO Registrant, Pro Travel Network, or Pro Travel Toronto with name, address, and registration number, and shall not include a residential address or phone number. As such, any marketing materials outside of those produced by the Registrant Pro Travel, must be pre-approved by Pro Travel. Your status on all written correspondence and in all verbal communications is as an "Outside Sales Representative, of Pro Travel Network or Pro Travel Toronto. For all other agents living in US or outside of Ontario, any and all marketing of travel must clearly state the agent s name or pseudo name, as an Independent Agent of Pro Travel Network. Pro Travel will support your efforts to sell travel by making available to you promotional material and other support services as described in its promotional literature. This agreement for all Ontario based agents, is pursuant to Section 12 of Ontario Regulation 26/05 made under the Travel Industry Act, 2002, which states that an Outside Sales Representative is required to have a contract with a registered Ontario travel retailer. For all other agents, it is understood that Pro Travel Network has adopted these same regulations as part of its own internal Policies and Procedures.

Additionally, as you agree to operate under these terms and conditions as an Outside Sales Representative, you acknowledge, under the Travel Industry Act, 2002, that any transactions must take place at the location named with the Travel Industry Council of Ontario as the official business location. 6. For US agents and non-ontario based agents, while transactions may take place outside of the official offices of Pro Travel Network, all transactions must follow all rules and regulations as described in Sections 7, 8 10, 10a below. 7. Furthermore all Outside Sales Representatives and Independent Travel Agents are required to follow the same guidelines as the registered travel retailer. This includes but is not limited to full disclosure of the price, consulting or service fees, and the availability of trip cancellation and out-ofprovince health insurance(s), which must be provided or offered to a consumer prior to booking travel services. All Outside Sales Representatives and Independent Travel Agents must also review the terms and conditions of the reservation with the consumer, and the consumer must be advised in writing what documentation is required for all traveling passengers at the time of transaction. In addition, a Pro Travel Network Invoice & Receipt detailing the travel services being purchased must be immediately provided at the time of sale. 8. All Pro Travel Network Agent members are required to follow the same rules as registered travel agencies concerning monies received. Any monies received by an Outside Sales Representative or Independent Travel Agent must be payable to the registered travel agency and any consumer cheque payments must be made payable to the travel retailer, Pro Travel Network, and deposited into the registrant s trust account. A Pro Travel Network receipt and invoice shall be immediately provided to the consumer that clearly outlines the details, particularly, the consumer s name and address for each traveling passenger; the business name, address, and telephone number of the registrant; the name of the company supplying the travel services; a brief description of the travel services purchased, the amount of payment, any fees, taxes or other charges and whether those amounts are refundable or non-refundable and whether trip cancellation and out-of-province health insurance was accepted or declined shall be provided. 9. All Outside Sales Representatives residing in Ontario, are required to meet minimum educational requirements as defined by the Travel Industry Act 2002, and Ontario Regulation 26/05. No travel may be discussed, offered or bookedwith any consumer until the educational standards are met. 10. Pro Travel Network shall pay to You, not as salary or wages but as Your share of the commissions received by Pro Travel Network in connection with travel sales, the amounts specified in the Compensation Schedule listed in Section 10a below. The Compensation Schedule is subject to change without notice. You will also be eligible for booking bonuses, special travel opportunities and prices negotiated exclusively for Pro Travel Network, as offered from time to time. You understand that benefits offered by travel and tourism vendors to the travel agency community are discretionary privileges and Pro Travel Network does not make any express or implied warranties with respect to discounts and perks provided in any of Pro Travel Network's communication materials. You agree that you have neither become nor are applying to become an Outside Sales Representative or Independent

Travel Agent of Pro Travel Network solely to obtain such benefits. Pro Travel Network does not guarantee, nor is responsible for the quality of products or services provided by any independent vendors. Pro Travel Network makes no representations with respect to those matters. In the event any benefit is deemed unsatisfactory to the Travel Agent Member, the Travel Agent Member will look solely to the provider of the product or service for rectification. Accordingly, Pro Travel Network and the sponsor make no warranty, expressed or implied, including but not limited to the warranty of merchantability or fitness for a particular purpose with respect to any of Travel Agent Membership services or products obtained by a Travel Agent Member. All warranties expressed or implied are the responsibility of the manufacturer or independent vendor. Pro Travel Network may revoke, repossess, modify, or cancel the services at any time. Use of the Travel Agent Program is governed by the conditions set forth herein, and any use of this Independent Travel Agent or Outside Sales Representative Programs constitutes acceptance thereof. 10a. Compensation Schedule: Pro Travel Network must have proof in its possession, of proper Pro Travel Network Invoice &Receipt within 24 hours of receipt of any funds received by YOU. Whether funds are forwarded to Pro Travel Network or the Travel Supplier, all funds are to be processed immediately. No Outside agent or Independent Travel agent shall receive cash under any circumstances. All members are required to: properly handle all client funds, have properly completed Credit Card authorization formsfor any and all credit card transactions, and have proof of service regarding availability of health and cancellation insurance, at the time of initial sale. Any and all commissions, for reservations or bookings found to be processed in violation of, or disregard of, Pro Travel Network s rules and regulations as outlined in this section, and/or the legal regulations outlined in section 8, will be forfeit. In addition, Pro Travel Network reserves the right to terminate any agent, at any time, with or without cause. Pro Travel Network shall pay You 50% of all commissions received in conjunction with Your travel sales, subject to the following of company rules and regulations, and any governmental rules, regulations and laws, as outlined above in Sections7, 8, and 10. After the selling of $5000 of retail travel(excluding taxes, non-commissionable fees) or the generating of $500 in gross commissions, 70% will then be paid for all future bookings. After the selling of $100,000 of retail travel(excluding taxes, non-commissionable fees) or the generating of $10,000 in gross commissions, 80% will be paid for all future bookings. 11. This Agreement contains all of the terms and conditions to operate in our Outside Sales Representative or Independent Travel Agent Program for Pro Travel Network, and no representations, inducements, promises, or agreements concerning the Travel Agent Program not included in this Agreement shall be effective or enforceable. If any of the terms of this Agreement shall become invalid or unenforceable, the remaining terms shall not be effected. 11a. Termination for Cause

Any violation of the rules set forth in this section, or Section 7, 8 and Section 10 and 10a above, are grounds for immediate termination for cause. Any agent terminated for cause will immediately forfeit any and all commissions not yet earned (traveled by consumer and paid by supplier), and any and all commissions earned, found to be earned in violation of Pro Travel Network s rules and Regulations as listed in Section 10 above or Section 7 or 8 above as required by Canadian Regulation in Ontario.. Additionally, any pending or expected commissions not yet earned at the time of termination for cause, will be forfeit. 11b. Voluntary Termination Either party may terminate this contract at-will, with or without prior notification. Pro Travel Network will continue to pay all commissions that were earned(client traveled and supplier commission received), prior to cancellation. However, any commissions not fully earned(client traveled and supplier commission received), prior to agents voluntary termination will be forfeit. Pro Travel Network will not transfer any bookings to any other agency at any time. 12. You may not assign this Agreement. This Agreement does not constitute the sale of a franchise or distributorship. Your signature on this Agreement indicates your acceptance of this Agreement and binds you to its terms, provided that Pro Travel Network accepts this Agreement as provided for above. Pro Travel Network reserves the right to assign its interest in this Agreement to another party. 13. You shall be an Outside Sales Representative or Independent Travel Agent of Pro Travel Network. You shall be responsible for any and all taxes, expenses, premiums, contributions and other payments arising from any income, and the activities You conduct under this Agreement. Pro Travel Network only controls how travel is booked but does not control hours worked, tools or equipment, nor whether You hire assistants, or will profit thru commissions generated by the sale of travel. As this agreement understands that You have paid to join Pro Travel Network for services concerning travel to include guidance, support, and access to suppliers, You will be treated as a non-employee regarding all laws covering employees including, but not limited to, the Employment Insurance Act, Canada Pension Plan, Civil Code of Quebec, Federal Insurance Contributions Act, the Social Security Act, the Federal Unemployment Tax Act, Income Tax withholding at any source and any other state or federal laws. You will not be eligible for health care, retirement or death benefits. If a resident of Ontario, You are responsible to comply with the Travel Industry Act, 2002 and Ontario Regulation 26/05, and You will comply with all applicable laws. 14. MANDATORY ARBITRATION: Any dispute, controversy or claim, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, arising out of or relating to this Agreement not resolved amicably by the parties shall be settled by mandatory, final, and binding arbitration conducted in the State of Nevada, or another mutually agreed location by one neutral arbitrator selected according to the rules of the arbitration firm administering the arbitration. If the parties cannot agree on a location, the determination shall be made by the arbitrator. MANDATORY ARBITRATION REPLACES THE RIGHT OF EITHER PARTY TO GO TO COURT AND DEMAND A JURY TRIAL (EXCEPT FOR MATTERS THAT MAY BE TAKEN TO SMALL CLAIMS COURT).

The party filing the arbitration must choose one of the following three arbitration firms and follow its rules and procedures for initiating and pursuing arbitration: American Arbitration Association, 335 Madison Avenue, Floor 10, New York, NY 10017-4605 (phone: 800-778-7879) (http://www.adr.org) National Arbitration Forum, P.O. Box 50191, Minneapolis, MN 55405-0191 (phone: 800-474- 2371) ( http://www.arb-forum.com) JAMS, 1920 Main Street, Suite 300, Irvine, CA 92614 (phone: 949-224-1810) ( http://www.jamsadr.com) In the event that the selected firm cannot administer the arbitration, the party filing the arbitration shall select another of the firms. Each party shall bear its own expenses, and the parties shall share equally the filing and other fees of the arbitration firm and the expenses of the arbitrator, except that the arbitrator shall be entitled to award a different allocation of costs and fees where the arbitrator determines that a filed claim is frivolous. The arbitrator shall not have the power to award punitive damages or other damages not measured by the prevailing party's actual damages, except as may be required by statute. Any award in arbitration initiated under this clause shall be limited to monetary damages and shall include no injunction or direction to any party other than the direction to pay a monetary amount, except as required by statute, or to comply with the terms of the contract. Any award rendered by the arbitrator shall be final and binding upon each of the parties, and judgment thereon may be entered in any court having jurisdiction thereof. The Federal Arbitration Act shall govern the interpretation and enforcement of this section. During the pending status of such arbitration and until final judgment thereon has been entered, this Agreement shall remain in full force and effect unless otherwise terminated as provided hereunder. If a provision of this clause is held to be invalid, the remainder of the clause shall remain in full force and effect, and, to this end, the provisions of this clause are severable. Neither party shall be liable for any debts, accounts, obligations, torts or other liabilities of the other party, or of that parties agents or employees, except as this Agreement or the Travel Industry Act, 2002 or Ontario Regulation 26/05 may otherwise provide. The Outside Sales Representative hereby agrees to indemnify and hold Pro Travel Network harmless from any and all claims, losses, damages, suits or actions arising from any conduct or omission of Outside Sales Representative. You understand that Pro Travel Network may tape and or record any conversation that may occur between us. However, Pro Travel Network is not obligated to do so and it may choose not to do so. Any party may waive any of its rights or other party's obligations under this Agreement in a particular situation, without becoming obligated to treat future situations similarly. A waiver of a particular right or obligation does not constitute a waiver of any other right or obligation under this Agreement. At Pro Travel Network, we are committed to protecting your privacy. We use the information we collect about you to process orders and to provide better service. When you make a reservation using our services, we may need to know your name, e-mail address, mailing address, phone number, credit card

number, and expiration date. This allows us to process and fulfill your order and to notify you of your order status. On the Internet our cookies at the present time (subject to change) do not contain any personally identifying information, but they do enable us to provide features such as automated customer login to our site. Most Web browsers automatically accept cookies, but you can usually change your browser to prevent that. Even without a cookie, you can still use most of the features in our site. When you submit your order through Pro Travel Network, Inc. we offer the use of a secure server. The secure socket layer technology (SSL) encrypts all information you input before it is sent to us. All of the customer data we collect is protected against unauthorized access. In both the online and offline world Pro Travel Network and its affiliated companies are very careful about choosing our marketing partners. Pro Travel Network, Inc. may provide aggregate statistics about our customers, sales, traffic patterns, and related information to reputable third-party vendors. Pro Travel Network., Inc. may disclose your personal information to third-parties when we have your permission to do so, or in the good faith belief that disclosure is necessary to comply with the law, with legal process, or to protect the interests of Pro Travel Network, or other. All notices concerning this Agreement are effective when either posted, mailed, emailed, couriered, faxed or other communications media to the address, telephone, or email that Pro Travel Network has on file for you. NOTWITHSTANDING ANY LIABILITY PRESENT TO A CONSUMER BOOKING TRAVEL THRU PRO TRAVEL NETWORK UNDER THE TRAVEL INDUSTRY ACT, 2002 AND ONTARIO REGULATION 26/05 ANYTHING CONTAINED WITHIN THIS AGREEMENT, IN NO EVENT SHALL PRO TRAVEL NETWORK AND ITS RESPECTIVE AFFILIATES, INDEPENDENT TRAVEL AGENTS, INDEPENDENT CONTRACTORS, TRAVEL AGENT MEMBERS, TRAVEL AGENT MEMBERS' REPRESENTATIVES, TRAVEL AGENT MEMBERS' AFFILIATES, OR THEIR RESPECTIVE PRINCIPALS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS OR VENDORS BE LIABLE TO YOU FOR ANY DAMAGES INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, LOST DATA, DELAYS, LOST PROFITS, LOSS OF REVENUE OR ANY OTHER ECONOMIC LOSS, COST OR EXPENSE ARISING FROM OR RELATED TO THIS AGREEMENT, WHETHER ARISING OUT OF CONTRACT, WARRANTY, NEGLIGENCE, STRICT LIABILITY IN TORT OR OTHERWISE, EVEN IF TRAVEL AGENT MEMBER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL PRO TRAVEL NETWORK AND THEIR RESPECTIVE AFFILIATES, TRAVEL AGENT MEMBERS, TRAVEL AGENT MEMBERS' REPRESENTATIVES, TRAVEL AGENT MEMBERS' AFFILIATES, OR THEIR RESPECTIVE PRINCIPALS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS OR VENDORS BE LIABLE FOR ANY TYPE OF LOSS TO YOU CAUSED BY AN EVENT BEYOND THEIR CONTROL, INCLUDING, BUT NOT LIMITED TO, GOVERNMENT RESTRICTIONS, NATURAL DISASTERS, TERRORIST ACTS, WARS, RIOTS, STRIKES, AND OTHER ACTS OF GOD. IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF PRO TRAVEL NETWORK UNDER THIS AGREEMENT, WHETHER ARISING OUT OF BREACH OF CONTRACT, WARRANTY, NEGLIGENCE, STRICT LIABILITY IN TORT OR OTHERWISE EXCEED THE REVENUES RECEIVED DIRECTLY FROM OUTSIDE SALES REPRESENTATIVE UNDER THIS AGREEMENT IN THE SIX (6) MONTHS PRECEDING THE DATE THE CAUSE OF ACTION ARISES. IN NO EVENT SHALL OUTSIDE SALES AGENT BRING ANY ACTION AGAINST PRO TRAVEL NETWORK MORE. THAN ONE (1) YEAR AFTER SUCH CAUSE OF ACTION ARISES

19. You understand that if you are a resident and/or citizen of a country other than the United States of America or Canada, that foreign laws, regulations, taxes, tariffs and other factors including, but not limited to, costs associated with foreign shipping and handling, exchange rates and orders, fares and seasonal influences and points of origin/destination, may reduce or eliminate benefits of doing business as an OUTSIDE SALES REPRESENTATIVE or INDEPENDENT TRAVEL AGENT with Pro Travel Network that would otherwise be available if you were a resident and citizen of the USA or Canada. 20. You will abide by all federal, provincial, state, county and local laws, rules and regulations pertaining to this Agreement, and Pro Travel Network's products or services. Any delay or omission by Pro Travel Network, regarding the exercise of their respective rights under this Agreement shall not constitute a waiver. Any waiver must be in writing. Any waiver of a breach of a provision of this Agreement shall not be a waiver of any other breach of that provision or of any other provision of the Agreement.
