Dear Friend and Fellow Customer, Revival of Projects of AN Buildwell, namely, Spire Woods and Spire Edge. M/s AN Buildwell Private Limited launched two projects namely, Spire Edge at CP- 04, Sec-8, Manesar, Gurgaon and Spire Woods at Sector 103. Presently, there are a total of approximately 1,800 across both projects who s investments and interests are at stake. We all are aware that on account of the inaction of the promoters and other shareholders of ANB, the Hon ble Delhi High Court vide its order dated 08.03.2016 has appointed the provisional liquidator. It s a matter of time when the Company will be liquidated and we, the customers, will forever lose our right to flats/units and our hard earned money will be reduced to nothing. With so much at stake, Each Day Matters.. Every Action Counts.. We Must Move NOW!! In order to protect the interest of all customers and creditors, SWBA had taken the initiative to work on the Revival of Projects over the last few months. We have met with representatives of various associations / groups / sub-groups of Customers of both Projects as well as with creditors and other stakeholders of the Company to reach a common consensus. It is clear that any way forward must address concerns of all customers and creditors, and cannot be limited to one project, or a part of ANB. Thus, SWBA has prepared a comprehensive scheme for takeover and revival of the Projects. The scheme proposes takeover, completion and management of Spire Woods project by Spire Woods Buyers Association and of Spire Edge by Federation of Spire Edge Customers Associations (FOSECA), respectively. The scheme has been proposed and filed at the Delhi High Court for its consideration and necessary action. Any Revival Scheme must have the support of a majority of the 1800 customers and creditors for it to be approved, and we request you to thoroughly examine the enclosed scheme in detail and extend it your support, and your voice. Spire Woods Buyers Association On behalf of Customers of Spire Edge and Spire Woods

SWBA REVIVAL SCHEME: Outline & Introduction PROJECTS OF AN BUILDWELL: Spire Edge: An IT/Technology Park Project at CP-04, Sector-8, Manesar, comprising of 6 Towers with a total Saleable area / Sold Area of 13,19,104 / 949,859 sft. Currently has 1250 Customers. Construction of various Towers is at different stages of construction, with no work at site since 2013-14. The principal contractor BL Gupta is ANB s largest creditor apart from customers. Spire Woods: Group Housing Project at Sector-103, Dwarka Expressway, Gurgaon, comprising of 12 Towers with 620 dwelling units (517 have been sold). The unsold inventory includes the balance 103 units, 110 EWS, 14 shops, nursery school/club plots. Construction has been at a standstill since 2014, and the contract with SP Contracts terminated by ANB in 2015. The site is currently water logged and deteriorating steadily. ISSUES & KEY CONCERNS TO BE ADDRESSED Spire Edge: Overall 1. Re-establishing credibility of Project 2. Restoration of WTC License. 3. HSIIDC Dues & Approvals BLOCK B, C & D IT Blocks, Sold & handed over BLOCK E & F Partially Sold BLOCK A: Signature Only 5% sold 4. Completion of Common Areas 1. Completion of last mile works in B, C & D including furnished offices. 2. Unpaid Dues to Customers 3. Completion of Registration (726 registered out of a total of 1087 Customers) 4. Bring all 1087 customers to the same level wrt payments made / AR Dues 5. Leasing of B, C & D, Operations & Management 1. Only partially constructed, so major civil, exterior and interior work to be completed. 2. Service Apartment Operator to be put in place. 1. Very high cost estimated for completion of balance civil, exterior and common works. 2. Shifting of existing customers to premium units in Retail Block. 3. Hold Signature Block for value retention / contingency for all customers.

SWBA Spire Woods: Overall T1-12 517 of 620 Units Sold 1. DTCP Dues and Approvals 2. Commencement of Work on an ASAP basis 3. Structural Audit 1. Approx. 70% of money already paid. 2. Bank EMI s continue every month despite stoppage of work at project. 3. Many continue to pay rent with no end in sight. WINDING UP: HOW DID WE GET HERE? Construction stopped at both Projects. Promoters and Shareholders started committing defaults in payment of Government Dues / Customer Dues / Creditors. Some Customers / Creditors filed for Recovery / Winding Up. Various Customers as well as their Associations started filing complaints with various Police Thanas including EOW in Delhi and Gurgaon. Instead of responding to the customers grievances, the Promoters and Shareholders started fighting amongst themselves before CLB and Courts. A week before the final date all Directors Resigned. ANB promoters and shareholders failed to comply with Hon ble Delhi High Court s Order and furnish 75 lakhs. Winding up of ANB was ordered by the Hon ble Delhi High Court on 08.03.2016 by appointing Provisional Liquidator. Next Date is 29 th July, 2016. POST WINDING UP ORDERS: AGITATION & ORCHESTRATION Various customers groups from both Projects began protests before various authorities. Complaints and FIRs were filed. Representations were made to Chief Minister, Haryana and Delhi, Town Planner, Chandigarh, DC, Gurgaon, Commissioner of Police, Delhi and Gurgaon. Media coverage of Protests has been widespread. Information on Diversion of Funds emerged. Promoters and Shareholders have stayed elusive and have been diverting blame onto others. Promoters and Shareholders met with only few customer representatives selectively behind closed doors. Chaos Ensued. Was this deliberate? Different Groups pursued different actions and agendas. The situation worsened.

SWBA WAY AHEAD: THE NEED FOR TRANSPARENCY The way ahead needs for trust to be built, and all concerns and objectives addressed and met to the highest level possible. Transparency is only possible when: 1. All discussions and meetings are broad based and representative. 2. All discussions are recorded and minuted, with nothing being left to the private conversations of a few. 3. Objectives are documented and have consensus. 4. Actions are documented and shared openly. Towards this, the SWBA has taken the following steps: 1. Pursuant to the Winding-Up Order, the Provisional liquidator was appointed, who sealed the offices of ANB and took possession of its books and accounts. This made access to any information difficult, and we sought the help of many including the PL s office to finally have an accurate picture. 2. The SWBA has approached various lawyers and law firms to seek opinions on ways and means to avoid winding-up, and were finally advised to include all customers and stakeholders as partial schemes would not succeed, and could be easily compromised by vested interests. 3. Accordingly, to seek a consensus for a Revival Scheme, we met with: a. Representatives of Spire Edge Block B,C and D b. Representative of SELFC c. Representatives of Spire Woods Resident Association d. Spire Edge Block E & F Buyers e. Spire Edge Block A Buyers f. Brokers and Agents g. Bankers and Financial Institutions like SBI, DHFL, Aditya Birla etc. h. Various offices like DTCP, DC, Gurgaon, HSIIDC and others. 4. We also met with various consultants and contractors including BL Gupta & Company who was earlier associated with the projects and have obtained their inputs and support for the scheme and its subsequent implementation. During the course of our interaction, the interests of various parties and stakeholders were discussed, and a broad consensus has emerged about the need to file a detailed Revival Plan that was not dependant on the Promoters and Shareholders, given the background of their failure over the last 2-3 years and information on vested interests with respect to diversion of funds.

SWBA REVIVAL SCHEME: Highlights The Revival Plan was submitted to the Hon ble Delhi High Court for its approval and further action on June 1, 2016. 1. The aforesaid scheme shall be implemented under the supervision of Court or Court appointed Commissioner as well as DTCP or HSIDC etc. 2. In case of any lapses, defaults and malpractices, same shall be reported to and addressed by the Court / Government Authorities. 3. All Associations and their governing bodies will be constituted vide fresh elections by all customers under the supervision of the Registrar. PART A: SPIRE WOODS It is proposed that Spire Woods Buyers Association (SWBA) will take over the Spire Woods project and complete its construction through appointment of appropriate consultants / contractors. The recovery of estimated sale proceed of unsold flats and recovery of dues from existing buyers is sufficient to complete the construction of project. Dues 27.51 Cr Unsold Inventory 104.00 Cr 214.91 Cr 246.95 Cr *For Contingencies & Overheads 32.04 Cr PART B: SPIRE EDGE It is proposed that SELFC will take over Blocks B, C and D, while Spire Edge Block E&F Buyers Association will take over Block E & F. It is further proposed that existing Unit Buyers of Block A shall be shifted in Block E. All these associations shall form a federation by the name of Federation of Spire Edge Customer Associations (FOSECA). FOSECA and respective associations will cater to the interest of buyers of respective towers including construction of unfinished Block E and F and making it operational, leasing of Tower B, C and D.

SWBA The source of fund to achieve the aforesaid objective shall be sale proceeds from unsold inventory as well as recovery of dues from promoters and other sundry debtors which is sufficient to meet the needs of the project. Customer Dues and outstanding shall be addressed post the commencement of the project, and the Block A: Signature has been retained for the same. Ltd., hence it is proposed that shares of company shall be transferred between FOSECA and Spire Woods Buyers Association in equal ratio. It is further proposed that creditors of the company related to promoters - Debenture Holders shall waive off their all claims against the company.

SWBA REVIVAL SCHEME: FAQ s 1. Why this Revival Scheme? Company is under liquidation and the way to avoid liquidation is to revive the Company including the Projects as well. 2. Why scheme has been proposed by SWBA? The revival scheme can be proposed by any creditor including the customer. Office bearers of SWBA has met with Provisional Liquidator, lawyers and other stakeholders in the projects and based upon their interaction and with consensus of stakeholders, they proposed the scheme for benefit of all the customers. Even though the scheme has been proposed by SWBA, it takes into account the interest of all the customers and creditors. 3. What is the court procedure for approval and implementation of the Revival Scheme? Court will call for the meeting of all Customers & Creditors in presence of court appointed chairman. Customers and creditors approve the Scheme. Court appoints Court Commissioner to oversee the implementation of the Scheme. 4. On approval how one can be assured that the scheme will be operated in fair and transparent manner? To ensure fairness and transparency in implementation of the scheme, court commissioner will be appointed to oversee its implementation by respective associations and federation. 5. Why SWBA has proposed the scheme for revival of Spire Edge as well? - Court will consider any scheme for revival if and only if such scheme addresses concerns of all customers and creditors. - SWBA discussed the proposal for revival of Spire Edge with its customers and their associations and accordingly SWBA prepared a scheme for revival comprising of both Spire Woods as well as Spire Edge. 6. Once the Scheme is approved, how the projects will be executed? - Respective associations and federation will appoint Project Management Company, contractors, consultants, sales and marketing companies and other experts to manage and execute various functions of the project. - The execution of the projects will be regularly monitored by the court appointed commissioner.

SWBA 7. Are the existing buyers expected to pay any additional amount? - It is envisaged that the amount recoverable from the existing customers including their past dues along with other sources of fund as illustrated earlier will be sufficient to meet the requirement of fund by respective projects. - To enable commencement and continuance of construction of projects, the existing customers are expected to pay their past dues within 30 days of approval of scheme and expected to pay future dues in timely manner. 8. What is the expected time for completion of the Projects? - Once the project will be approved, the construction will commence as soon as necessary resources are deployed. - Since implementation of revival scheme will happen in the supervision of court commissioner, one can expect expeditious execution of the project. 9. How one can be assured about the success of the scheme? - The scheme comprehensively explains the financing of projects and their execution; - Success of the scheme depends upon the cooperation and support of all the customers. 10. Where I can find the entire Scheme filed in the Court? - The entire scheme has been uploaded and is available online on the website www.spirewoodsbuyersassociation.com 11.
