Development activity is expected to commence in the current quarter with first coal expected from the open-cut operation in FY19. outh32 Chief Executive Officer Graham Kerr said: Approval of the 4.3 billion Rand Klipspruit Life Extension project will secure the future of the colliery for at least another 20 years, ensure employment for 740 people and create 4,000 jobs during construction. The investment is expected to generate an internal rate of return (IRR) on investment of more than 20 percent 3 by unlocking 616 4 of Resource at the Klipspruit outh and Weltevreden deposits, and fulfilling around half of our current rail obligations with Transnet. The project s costs are primarily outh African Rand based and the capital expenditure conversion to UD is predicated on a UD:ZAR exchange rate of 14.36 (average of daily spot rate from 13 to 17 November 2017 inclusive). 2. Project execution is subject to outh32 reaching satisfactory agreement on securing all land rights for infrastructure development. 3. IRR is predicated on the commencement of production from KPX in H2 FY19 and a long term thermal coal price of U$60.5/t (API4 equivalent) based on the average of 12 broker estimates (Barclays, BMO Capital, BoAML, Credit uisse, Deutsche Bank, HBC, Investec, Jefferies, Macquarie, Morgan tanley, Renaissance Capital, UB) and a spot UD:ZAR exchange rate of 14.36 (average of daily spot rate from 13 to 17 November 2017 inclusive). 4. The Coal Resource is part of the total Coal Resources for Klipspruit and Weltevreden as at 30 June 2017 disclosed as part of outh32's Annual Resource and Reserve declaration in the FY17 Annual Report on 14 eptember 2017 (www.south32.net). The breakdown of Coal Resources for Klipspruit outh, Pit BD and Pit H is provided in Table 1 of this announcement. 5. aleable production target is based on 280 of Coal Resources from a Coal Resource base of 616. There is a low level of geological confidence associated with 9.3 (3) of Inferred Coal Resources and there is no certainty that further exploration work will result in the determination of Indicated Coal Resources or that the production target itself will be realised. 6. Weltevreden includes Pit BD comprising 163 of Measured (81), 28 Indicated (14) and 9.2 Inferred Resources (5); and Pit H comprising 8.8 of Measured (85), 1.5 Indicated (14) and 0.1 Inferred Resources (1). 7. Ratio of mining waste in bank cubic metres to the coal tonnes mined. 8. Operating unit cost and strip ratio predicated on internal analysis undertaken for the project. 9. 8 of outh Africa Energy Coal is owned by a Broad-Based Black Economic Empowerment (B-BBEE) consortium. The interests owned by the B-BBEE consortium were acquired using vendor finance, with the loans repayable to outh32 via distributions attributable to these parties pro rata to their share in outh Africa Energy Coal. Until these loans are repaid, outh32 s interest in outh Africa Energy Coal is accounted for at 100.

Coal Resources The information in this announcement that relates to Coal Resources for outh Africa Energy Coal is presented on a 100 basis, represents an estimate as at 30 June 2017 based on information compiled by H trauss and P Maseko in the capacity of Competent Persons Coal Resources for Klipspruit and Weltevreden respectively. Mr. trauss (Member, GA) and Mr. Maseko (Pr. ci. Nat., ACNAP) are full time employees of outh32 and members of a Recognised Professional Organisation (RPO) included in a list posted on the AX website from time to time. They have sufficient experience relevant to the style of mineralisation and type of deposit under consideration, and to the activities being undertaken, to qualify as a Competent Person as defined in the 2012 Edition of the 'Australasian Code for Reporting of Exploration Results, Mineral Resources and Ore Reserves'. The estimated Coal Resources underpinning the production target have been prepared in accordance with the requirements in Appendix 5A (JORC Code) of the AX Listing Rules, Chapter 5 and the Competent Persons consent to the inclusion in this report of the matters based on their information in the form and context in which it appears. Years of production is estimated from the relevant Classified Coal Resources, converted to a runof-mine basis using historical Coal Resources to Ore Reserves conversion factors (as applicable), divided by the nominated run-of-mine production rate on a 100 per cent basis. Years of production calculations are indicative only and do not necessarily reflect future uncertainties such as economic conditions, technical or permitting issues. Historical Coal Resources to Ore Reserves conversion factors may not be indicative of future conversion factors.
