1. Definitions CORPORATE HOSPITALITY TERMS & CONDITIONS 1.1 In these terms and conditions the following words shall have the meanings as set out below unless the context requires otherwise: 1.1.1 "We", "Us" and "Our" means Single Market Events Limited (company number 02515823), whose registered office is 37 Warren Street, London W1T 6AD, United Kingdom. 1.1.2 "Client" means the person, people, firm or company making the Booking. 1.1.3 "Booking" means the placing of an order for Corporate Hospitality tickets for the Event by the Client. 1.1.4 Booking Form means the form the Client must complete in order to make a Booking. 1.1.5 "Event" means London Fashion Week (20 th 24 th February) in regard of which We are arranging hospitality and for which the Client has placed an order. 1.1.6 "Event Hosts" means the hosts of the Event, British Fashion Council, for which the Booking is made. 1.1.7 "Prices" means the prices for the Booking, being 385 per head per each Event date. 1.1.8 "Terms and Conditions" means the standard terms and conditions set out in this document. 1.1.9 Venue means the venue(s) for the Event. 1.2 Clause headings shall not be taken into account in the construction or interpretation of these terms and conditions. 1.3 Words importing the singular mean the plural and vice versa. References to persons shall include bodies corporate and vice versa. Reference to specific statutes shall include any statutory extension or modification, amendment or re-enactment of such statute and any regulations or orders made pursuant to or under such statute. 1.4 Reference to any clause sub-clause or schedule without further designation shall be construed as a reference to the clause, sub clause or schedule in these terms and conditions so numbered. 1.5 We manage and organise the Event on behalf of the Event Hosts at the Venue. 2. Event Descriptions 2.1 All descriptive matter, specifications and advertising issued by Us or the Event Hosts and any descriptions or illustrations contained in Our or the Event Hosts catalogues, brochures or websites are issued or published for the sole purpose of giving an approximate indication of the Event described in them and do not form part of any contract made between the parties. 2.2 The Client acknowledges that no responsibility shall rest with Us if there is any change in the details and description of the Event including (without limitation) the names or status of any persons or events advertised as attending or taking part at the Event. 2.3 The Client acknowledges that exact timings and the Venue cannot be confirmed by Us until 1 week prior to the Event. We shall notify you of such details at such time, or as reasonably soon as possible after such time. 3. Bookings and Cancellations 3.1 The Client acknowledges that spaces for the Event are limited. As a result, We cannot guarantee that a Booking will be successful. If a Booking cannot be made due to such lack
of space, We will not cash in any cheques sent to Us by the Client as payment or debit the Client s account, and We shall notify you as soon as reasonably possible that no such Booking has been made for such reason. 3.2 The Client acknowledges that the Prices quoted relate only to one Event date. If the Client additionally requires attendance at another Event date, a separate Booking must be made. 3.3 After a Booking has been made and paid for, a binding agreement will exist between the parties subject to these Terms and Conditions. 3.4 For the avoidance of doubt, no refunds will be offered by Us for any cancelled Bookings by the Client once payment has been processed. 3.5 The Client shall be responsible for ensuring the accuracy of the terms of their Booking and for giving Us any necessary information relating to the Booking (including, without limitation, any special dietary requirements and requirement of wheel chair access) within sufficient time to enable Us to arrange the Booking in accordance with its terms and requirements. 4. Payment 4.1 Payment in full must be made by the Client either by credit/debit card or cheque at the time when the Client completes the Booking Form. 4.2 The quoted Prices are exclusive of VAT. 5. Tickets 5.1 Following a successful Booking and payment in full, all tickets requested by the Client will be forwarded to the Client at the Client s address shown in the Booking Form at least 1 week before the Event. 5.2 We do not accept any responsibility should the ticket(s) requested by the Client be lost in the post or failed to reach the address shown after posting. 5.3 Tickets issued to Clients are strictly non-transferable (other than in the Client s organisation or to the Client s guests) and shall not be re-sold or used as prizes or incentives to any third parties. We reserve the right to cancel any tickets obtained by resale or transfer in contravention of this condition 5. 6. Liability 6.1 WE SHALL NOT BE HELD LIABLE FOR LOSS, THEFT OR DAMAGE TO ANY OF THE CLIENT S OR THE CLIENT S GUESTS, REPRESENTATIVES, EMPLOYEES OR INVITEES PROPERTY DURING THE EVENT UNLESS SUCH LOSS, THEFT OR DAMAGE IS AS A RESULT OF ANY WILFUL ACT OR NEGLECT OF OURS. 6.2 THE CLIENT ACKNOWELDGES THAT WE ACCEPT NO LIABILITY FOR ANY LOSSES, DAMAGES, CONSEQUENTIAL LOSS (WHETHER DIRECT OR INDIRECT) COSTS, CLAIMS AND EXPENSES (WHETHER OR NOT CAUSED BY THE NEGLIGENCE ON OUR PART, OUR OFFICERS OR EMPLOYEES OR SUB-CONTRACTORS) ARISING OUT OF OR IN CONNECTION WITH THE BOOKING OR EVENT SUBJECT TO CONDITION 6.3. 6.3 IF THE EVENT IS CANCELLED OR RESCHEDULED FOR ANY REASON, WE SHALL NOTIFY YOU AS SOON AS REASONABLY POSSIBLE. FOLLOWING SUCH NOTIFICATION, ONLY WHERE THE EVENT IS CANCELLED OR IF THE CLIENT CONFIRMS THAT IT CANNOT ATTEND AT SUCH RESCHEULED DATE, WE SHALL REFUND THE CLIENT S PAYMENT FOR THE BOOKING IN ITS ENTIRETY. 6.4 NOTHING IN THESE TERMS AND CONDITIONS SHALL OPERATE TO LIMIT OUR LIABILITY FOR DEATH OR ANY PERSONAL INJURY CAUSED BY OUR NEGLIGENCE. 7. Waiver 7.1 No waiver by Us of any breach of the Terms and Conditions by the Client shall be considered as a waiver of any subsequent breach of the same or any other provision. 8. Reservation 8.1 We reserve the right to refuse entry to any invitees should they turn up to the Venue without their ticket or in an inappropriate state. We also reserve the right to eject anyone
form the Event should they become a nuisance or act in an unruly or inappropriate manner once they are in the Venue. 9. Privacy and Data Protetcion 9.1 We shall not use, copy, adapt, disclose or part with possession of any business, employee, customer or guest information or data of or relating to the Client which is disclosed directly as a result of these Terms and Conditions or the Booking Form, nor shall we disclose to any third party the details and contents of these Terms and Conditions except as strictly necessary to perform its obligations or exercise its rights under these Terms and Conditions or with the written consent of the Client. 10. Severance 10.1 If any provision of these Terms and Conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of these Terms and Conditions and the remainder of the provision in question shall not be affected thereby. 11. Entire Agreement 11.1 These Terms and Conditions constitute the entire agreement between the parties with respect to the matters dealt with herein and supersede any previous arrangements between the parties in relation to such matters. Save in respect of statements made fraudulently the parties accept that they are to have no rights or liabilities in respect of pre-contractual statements. 12. Assignment 12.1 The Client may not assign its rights and obligations under these Terms and Conditions. 13. Third Party Rights 13.1 The parties to this Contract do not intend that the Contract will be enforceable by any person that is not a party to it by virtue of the Contracts (Rights of Third Parties) Act 1999. 14. Governing Law & Jurisdiction 14.1 The contract which incorporates these Terms and Conditions shall be governed by English law and the parties agree to submit to the exclusive jurisdiction of the English Courts.
