GAMECHANGER TERMS AND CONDITIONS 1. Introduction 1.1 Tenvic has secured rights as a sub-agent to market to corporate clients in India (each such client, a Company ) various hospitality packages at the ICC Cricket World Cup 2015 ( Event ). The Event comprises many cricket matches ( Matches ) to be held across various venues across Australia and New Zealand ( Venues ). Subject to these Terms, Company shall offer through identified Company personnel and their families and friends (for convenience, Tour Group, which expression shall include every member of the Tour Group) to avail of Tenvic s Services (as defined hereafter). 1.2 In addition to facilitating the booking of Match tickets for the Event, and facilitating booking of travel tickets and accommodation at the Venues, and any associated tours, Tenvic offers a unique, cricket-viewing experience under the name Gamechanger. Gamechanger is a proprietary concept of Tenvic pursuant to which Tenvic shall facilitate the presence of a cricketing icon ( Icon ) who shall view the relevant Match with the Tour Group. 2. Binding Contract. 2.1 These Gamechanger Terms and Conditions ( Terms ), together with the Information Sheet, shall constitute a binding contract as between Tenvic, a division of Anil Kumble Sports Promotion Private Limited, Bangalore, India, and the company named in the Information Sheet ( Company ). For the avoidance of doubt, these Terms constitute a contract between Tenvic on the one hand and only the Company on the other. The Tour Group is not a party to this contract and therefore Tenvic and the Tour Group shall have no rights, remedies, obligations or liabilities against or in favour of each other. 2.2 As between Tenvic and the Company, these Terms shall exclusively govern the provision by Tenvic of one or more services ( Services ) explicitly named herein. 2.3 The Terms shall be without prejudice to the sole responsibility of Company and Tour Group any rules and regulations that the Company and Tour Group may be required to adhere to in respect of third parties, including travel agents, airlines, hotels, the Event organisers, and local laws of at the Venues. 2.4 Company shall instruct the Tour Group to conduct themselves with decorum, discretion and courtesy towards the Icon. 3. Acceptance. 3.1 The Company s signature on the Information Sheet shall be deemed to simultaneously constitute the Company s acceptance of these Terms without any further act of acceptance on the part of the Company. 4. Company Representative. 4.1 Company shall designate one of its personnel as the Company Representative. The Company Representative shall be the single point of contact for Tenvic in all matters related to these Terms. The name and contact details of such person shall be as stated in the Information Sheet or as otherwise intimated in writing. Any communication to such Company Representative shall be deemed sufficient communication to the Company itself.
5. Tenvic s Services. 5.1 Notwithstanding anything to the contrary in these Terms and subject to Company s payment of amounts prescribed in respect thereof and Company s adherence to the other provisions of these Terms, Tenvic s sole responsibility shall be to provide the Services detailed below: 5.1.1 Basic: Facilitating ticketing for Matches: Tenvic shall facilitate the booking of tickets for one or more Matches. Tenvic shall be deemed to have fulfilled the Services upon sending an email to the Company Representative confirming the booking of the Match tickets with the appropriate proof ( Booking Confirmation ). 5.1.2 Add-On One: Facilitating ticketing for travel and local stay and tours: In addition to the above, Tenvic shall facilitate the booking of tickets for travel to and from the Venues, local stay, and local tours. Tenvic shall be deemed to have fulfilled the Services upon sending an email to the Company Representative with the Booking Confirmation. 5.1.3 Add On Two: Gamechanger : Tenvic shall facilitate the presence of the Icon at the Match. The Icon shall endeavour reasonably to interact with the Tour Group while the Match is in progress. Tenvic shall be deemed to have fulfilled the Services upon ensuring presence of the Icon at the Match. 5.2 For each of the Services detailed above, Company shall provide such details as requested by Tenvic. Company understands that failure to provide correct and complete details shall result in a delay or failure of the Services and Tenvic shall not be responsible for the same in any manner whatsoever. Tenvic shall be entitled to rely upon, on as is basis, the details furnished by the Company without the need to make any further inquiry whatsoever. 6. Disclaimers. 6.1 The Services are provided as is and with all faults. Tenvic hereby disclaims all warranties, express or implied, including warranties that the Services shall be performed diligently, with skill and diligence, and that the Services will be fulfilled. 6.2 Without prejudice the foregoing disclaimer, Tenvic specifically disclaims any and all responsibility for any claims, damages, demands, obligations, expenses, costs, proceedings, or any liabilities whatsoever in respect of: (a) cancellation or delay of flights and other means of transport to and from the Venue; (b) cancellation or delay of one or more Matches or the Event; (c) failure of the Icon to be present at the Match for any reason whatsoever (d) any harm of any nature suffered by the Company or any or any member of the Tour Group; (e) any act or omission by any member of the Tour Group; (f) any act or omission by the Company; (g) any act or omission by any third party who provides any services or products to the Company or Tour Group in connection with the Event, including any travel agents, Event organizers, hotels, travel and transport providers, and other third parties; (h) any act or omission of the Icon, including the Icon s failure or inability to be present at all, or to be present timely, or to interact with the satisfaction of the Company or the Tour Group. 6.3 Further, Tenvic makes no promise and gives no assurance about any aspect of the Icon s presence or interaction with the Tour Group, including any promise or assurance that the Icon shall be present at the Match or present throughout, or that the Icon shall interact in a particular way, or that the Company or Tour Group shall be satisfied with such interaction. NOTWITHSTANDING ANYTHING TO THE CONTRARY, TENVIC S SOLE LIABILITY FOR THE ICON S TOTAL ABSENCE AT THE MATCH SHALL BE TO REFUND THE GAMECHANGER SERVICE FEE PAID IN THAT BEHALF. 6.4 Tenvic shall not be concerned in any manner with any arrangement between Company and Tour Group and Company.
7. Consideration. 7.1 In consideration of performing the Services, Company shall pay Tenvic the applicable Service Fee as stated herein. 7.2 In respect of the Basic Services and Add-On One Services, Tenvic shall, prior to sending the relevant Booking Confirmation, send by email details of the applicable Service Fee. Upon obtaining acceptance from Company Representative, Tenvic shall raise an invoice for the Service Fee. The Basic and Add-On Service Fees shall be paid in advance and in full. Notwithstanding anything to the contrary, the Service Fees for Basic and Add-On One Services shall not be refunded for any reason whatsoever, including but not limited to any or all of the Tour Group s failure to travel to and/or attend the Event. 7.3 In consideration of Add-On Two: Gamechanger, Tenvic and Company shall, depending upon the Icon, mutually agree on the Service Fee for Add-On Two - Gamechanger Services. The Gamechanger Service Fee shall be paid in advance and in full. In the event the Icon is not present at the agreed Match, the only liabilty of Tenvic shall be to refund the Gamechanger Service Fee. For the avoidance of doubt, refund of the Gamechanger Service Fee, shall not result in a refund of the Basic Service Fee or the Add-On One Service Fee, as applicable. 7.4 The Company shall bear service tax and any other central, state or local tax on amounts payable to Tenvic. The Company may deduct tax at source as per applicable law and provide promptly tax deduction certificates to Tenvic. 8. Indemnity. 8.1 The Company shall indemnify Tenvic against any demands, claims, losses, expenses, costs, damages, obligations, and liabilities of any nature whatsoever ( Claims ) (a) which Tenvic may incur or suffer as a result of the acts and omissions of the Company and the Tour Group, including but not limited to: (i) violation by the Company or Tour Group of rules and regulations of third parties; (ii) violation of applicable law by the Company or Tour Group; (iii) made by the Icon against Tenvic as a result of any act or omission by the Company or the Tour Group, including any disparagement, misbehavior, slander, or libel or invasion of the Icon s privacy (iv) made by Tour Group against Tenvic in respect of any matter arising out or connected with these Terms; (v) made by Tour Group against Tenvic in respect of any arrangement, promise or other matter between Tour Group and Company. 9. Term and Termination. 9.1 These Terms shall be valid from the date the Company executes the Information Sheet till the date the Services are fulfilled as per the criteria above, or till the date Tenvic is paid all amounts due and payable hereunder, whichever is later. 9.2 Either party may terminate these Terms for a material breach by the other provided that termination shall not take effect unless the party in breach has been given notice in writing of thirty (30) days to cure the breach and the breach remains uncured at the end of such notice period. 9.3 Expiry of the term or termination shall not affect obligations incurred prior to such expiry or termination, including Company s obligation to pay Tenvic all amounts due and payable. 10. Limit of Liability. 10.1 NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS OR ANY CORRESPONDENCE BETWEEN THE PARTIES, THE AGGREGATE
LIABILITY OF TENVIC SHALL BE LIMITED TO DIRECT DAMAGES NOT EXCEEDING THE GAMECHANGER SERVICE FEE PAID TO TENVIC, AND SHALL NOT EXTEND TO ANY INDIRECT OR REMOTE DAMAGES, INCLUDING BUT NOT LIMITED TO SPECIAL, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES OR LOSS OF PROFITS. 10.2 For the sake of clarity, the liability of Tenvic in any case whatsoever shall be limited to the extent of the Gamechanger Service Fee, and will not extend to replacement of the Icon. 11. Miscellaneous. 11.1 Force Majeure. Tenvic shall not be responsible for any delay or failure in the performance of the Services due to fire, embargoes, requirements imposed by government, or civil and military authorities, acts of god or by public enemy and such other causes beyond Tenvic s reasonable anticipation, resistance or control. 11.2 Relationship between the Parties: In relation to the Company, Tenvic is, for every purpose related to this Agreement, an independent contractor, and not an agent of any third party, including the organizers of the Event. This relationship between the Parties is valid only for the purpose of the Event. 11.3 Severability. Notwithstanding that the whole or any part of any provision of this Agreement may prove to be illegal or unenforceable, the other provisions of these Terms and the remainder of the provision in question shall continue in full force and effect. 11.4 Governing Law and Dispute Resolution. This Agreement shall be governed by the laws of India. Disputes not resolved by discussions within thirty (30) days from the commencement thereof (as intimated by a party to the other in writing) shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 by a sole arbitrator appointed by Tenvic. The venue of arbitration shall be Bangalore. Nothing in the foregoing shall prevent either party from approaching the competent courts to obtain interim relief. ***
