About Medici Log In Medici organizes and assembles standardized, legal document packages for closing commercial loans. Maintained by lawyers for all 51 U.S. jurisdictions, Medici handles small business to middle-market lending as well as specialty lending areas. Medici allows non-lawyers to produce complex business loan transactions efficiently while helping to reduce error and risk. Loan documents can be created for a wide variety of commercial loan transactions. Documents are created in Microsoft Word format and can be printed at any location on your network or sent to another location by e-mail. 1. Double-click the Documenter icon on your desktop. 2. Enter log-on information. Click OK. You do not need a password the first time you log on. If you are logging on for the first time, you will be prompted to create a password. File Menu The Log User Admin Out option prompts you to select a new user to log on to Medici. The Change My Password option allows users to change their existing passwords. The User Administration option opens the User Administration module where the Medici Administrator or Security Manager creates users and grants user rights for specific features. This area is also accessed from the User Admin icon. The Exit option logs out the current user and closes Medici. Tools Menu The Tools menu is automatically available to Medici Administrators. Other users can access the Tools menu if they are granted specific access rights to the menu. The Transaction Delete Manager option allows the Medici Administrator to erase transactions and all related files from the system. The Transaction Lock Manager option allows the Medici Administrator to lock and unlock transactions in the system. A locked transaction cannot be accessed by any user until it has been unlocked by an administrator. The Encrypt Documents on Creation option secures all documents automatically after creation so they can only be opened by a user actively logged on to the Medici system. Main Modules The Create Documents module allows you to being a new transaction by launching the Document Wizard and Data Fill-in process. The Relationships module is where you enter information about business and individual entities. You can also access transactions and documents associated with specific businesses and individuals. The Transactions module allows you to access existing transactions with their pending or completed documents. The Doc Wizard and Data Fill-in features can be accessed here for specific loans. The Calculations module allows you to calculate loan payments. You can create Amortization Schedules if you have Microsoft Excel installed. The Bank Policy module allows you to customize Medici and control policy settings in your organization s hierarchy. The Reports module allows you to generate reports in HTML or Excel format according to loan status, closing date, loan processor, etc. The User Admin module allows your Medici Administrator or the Medici Security Manager to set up users, grant access rights, and determine password/login requirements. The Import/Export module is an add-on service that is available with a specific license. Medici Lending Training Guide 5

Operations: Relationships Objective Add individual and business entities in the Relationship Manager module. Medici Lending Training Guide 7

About Relationships The Relationships section is similar to a customer database. In the Relationships module, you enter and maintain information about individual and business customers. You must enter businesses and individuals in the Relationships module before they can be accessed when processing a transaction. You must complete relationships information before creating a new transaction. Entity list The Entity List displays all the individuals and businesses in Medici. Search for a name You can search for a name in several ways. Select an option in the Search For drop-down list to narrow a search or sort. Select an alpha character in the Alphabetical Sort Bar to display only the names beginning with the character. Enter a few letters of a name and click Find Now. Click the column header to sort individual columns. Pause the cursor over the vertical line between the two panes. After the cursor turns into a horizontal line with two arrows, move the line to resize the window. The default view displays both individuals and businesses. To change the view, select the View Individuals and/or View Business options from the View menu. 8 Medici Lending Training Guide

Add an Individual 1. Click the New icon in the Relationships module. 2. Choose Individual. Medici Lending Training Guide 9

General tab 3. Complete the General tab and click Save. The Full Name, Address, and Social Security Number (SSN) are required fields for individuals. Click the Unknown SNN checkbox to generate a random SSN. Use this option if you do not have a SSN at the time of the transaction. The XXXs that display in the SSN are a reminder to correct the SSN before printing documents. Click in the Full Name and Address boxes to display separate fields in a separate window. Affiliations tab 4. Select the Affiliations tab and add affiliations if applicable. The New Affiliation button allows you to manually add an affiliation. Affiliations are created automatically when entities are used together in a transaction. Affiliations show links between entities. Example: An organization will display if an individual is a signer for the organization. Search for the affiliation. Select the affiliation and enter the relation and ownership if applicable. Click OK. Use the Affiliations tab to view links and cross-references between entities. Medici automatically creates affiliations when individuals or business entities in the application engage in a transaction. You can also add entity affiliations manually. This is one way for institutions to create an affiliation history for entities in the Relationship module. Medici Lending Training Guide 11

Account tab 5. Select the Account tab and complete the applicable information. Click the New Account button. Enter an account number and choose an account type. Click the Save Account button. 12 Medici Lending Training Guide

Notes tab 6. Select the Notes tab and complete the applicable information. Click the New Note button. The current date displays in the Date field. Enter a subject. Enter the note in the yellow box. Click the Save Note button. Notes are only available electronically in the Relationships module and are only tied to an individual or business. Medici Lending Training Guide 13

Add a Business 1. Click on the General tab. 2. Click the New icon in the Relationships module. 3. Choose Business. 4. Complete the General Page. Click Save. The following fields are required for a business. Business Name Entity Type Tax ID Number: Click the Unknown ID option to generate a random Tax ID number. Use this option if you do not have a Tax ID number the time of the transaction. The XXXs that display in the Tax ID number are a reminder to correct the Tax ID number before printing documents. Address State State of Formation (This is a required field. If you click the Save button without completing the field, a reminder message displays.) Required Info (All fields within the Properties dialog box.) Officers (You must specify the authorized signatories before creating a transaction.) Businesses include non-individual entities such as corporations, LLCs, LLPs, and Trusts. 14 Medici Lending Training Guide

Adding Signers) Individuals must be set up in the Relationship Manager before they are available to add as a signatory. 8. Click the button below the Required Info button. This button may read: Officers, Members/Managers, Partners, General Partners, or Trustees/Beneficiaries depending on the Entity Type. 9. Select a role and click Assign Name. The Secretary Name is needed for Resolution documents. If it is not completed, a blank line prints. 10. Search for and assign names. Enter an entity name. Click Find Now. Select the name and enter a title if appropriate. Click OK. 11. When finished assigning names, click the Close button to the right of the Assign Name button (Not the Close icon at the bottom.) 16 Medici Lending Training Guide

Add Tiered Entities 1. Set up the appropriate individual(s) in the Relationships module. 2. Set up the business with the appropriate individual(s) as the signer(s). 3. Set up the business with The individual(s) that are signers The businesses that have individuals as signers. Example: Test LLC Manager - John Q. Public Manager - Test Corp., Inc. President - John Q. Public Begin by entering the entities in the Relationships module with Individual entities on the far left (John Q. Public). Continue entering entities working towards the left and upwards. Create Documents Start a Transaction Creating documents is a three step process that includes: Document Wizard Allows you to set up the characteristics of a loan. Provides questions that you answer by selecting options. The questions that appear depend on your answers to the previous questions. Data Fill In Enter specific data for loan documents. Document Generation Allows you to preview and print documents. 1. Click the Create Documents icon. 2. Enter the transaction ID (required). Enter a loan number or name that identifies the borrower. Accepts up to 30 characters/spaces. Does not accept the following characters: /\;: *? <> The transaction ID name cannot be changed after you leave the field. Right-click (alternate click) on the icon to the right of the Transaction ID box for the ten transactions most recently accessed. 3. Enter the transaction date if it s not the current date. The current date is displayed if you click in the box. 4. Click Next or place your cursor in a bank area of the dialog box and right-click (alternate click). Medici Lending Training Guide 21

5. Choose a location and/or department if applicable. 6. Choose an option in the Loan Officer and Loan Processor drop-down lists. This may be a required option depending on how Medici was set up. 7. Click the Next button. 8. Select Use Documenter Wizard for this transaction. Click Next. 22 Medici Lending Training Guide

Document Wizard The Document Wizard allows you to choose options for your transaction that determine document selection and the text that prints on your documents. You will enter information in Data Entry for the options selected in the Wizard. Obligor and Guarantor Differences In Medici, guarantor and obligor refer to the party types in a loan transaction. Each party type has its own set of options that are available when processing a transaction. Medici allows up to 20 Obligors or 20 Guarantors per transaction. Obligor As the typical borrower in a transaction, obligors have many of the same responsibilities as guarantors. For example, obligors can, but are not required to, sign Notes, and provide Security Agreements and Commercial Mortgages. However, they cannot sign Subordination Agreements or Standby Agreements, unless identified as a creditor. An obligor is not always a borrower in Medici. For example, a person who provides a mortgage on commercial property must have an obligor label, because guarantors cannot provide a Commercial Mortgage. Note: An obligor is not required to sign Promissory Notes for the transaction. Guarantor Guarantors only provide the following: Guaranties Residential Mortgages (for commercial purposes and owneroccupied) Pledge Agreements Subordination or Standby Agreements The guarantor role is more limited. Add individuals or businesses as obligors when you want them to give a guaranty for a transaction and when you need documents not available for the guarantor role such as a commercial mortgage. 24 Medici Lending Training Guide

Transaction Information 1. Search for the obligor with one of the following methods. Choose a category in the Search For drop-down list. Enter a name or the beginning characters of a name in the Entity Name box. Click Find Now. Click an item in the alphabet bar. 2. Select the name and click the Add as Obligor button. When you select an obligor, the number of required signers will display at the bottom of the window. (The number was set up in the Relationship module). The signers will display with a check box next to their name. If two names are required, assign two names. Medici will allow you to proceed, but will display a warning and confirmation message. 3. Check the box in the Signs for this loan? column. 4. Search and find the name of the guarantor. 5. Select the name and click Add as a Guarantor. 6. Click the Next icon after adding obligors and guarantors. Medici Lending Training Guide 25

Questions (Document Wizard) Navigation Tips Click the Next icon or right-click (alternate-click) in the option box. You can choose multiple checkboxes. You can only choose one option in a set of radio (circle) options. Previous: Takes you back to the previous question. AutoNext: Advances to the next window that requires data if you chose to make a change on previous windows. Close: Allows you to exit the Wizard and save your choices. Save: Does not have to be used after completing each window but can be used after finishing entry. Note: If you return to a previous window and click the Save button, all data entered after the previous window is erased and only data entered prior to the previous window is saved. 26 Medici Lending Training Guide

Data Fill-in In the Data Fill-in section, you enter details for the answers you provided to the questions in the Document Wizard. Navigation Tips Click a plus + sign to expand a folder. Enter data for an option in the box at the bottom of the window. Press Enter to proceed after selecting an option or entering information. Press Enter to move forward after an option is preselected. Enter the first letter or number of an option to select it. Example: After entering the date of the commitment/proposal letter, Press Enter. Press S to move to the Salutation for Commitment Letter. Generate Documents 1. Click the View Date Confirmation Screen and View Document Confirmation Screen checkboxes if applicable. Selecting the View Date Confirmation Screen option allows you to verify the dates that were entered for the transaction. Selecting the View Document Confirmation Screen option allows you to view all the documents selected for the transaction. You can select documents you do not want to generate if you want to only regenerate specific documents. 2. Click the Generate Documents icon. Existing documents, if available, are not overwritten. New versions are created and labeled accordingly. Determine the documents to print 1. Select the document(s) to skip if applicable. Click the > button. Open and Edit Documents 1. Click the Transactions icon. 2. Search for a transaction and select it. 3. Double-click the document. The document opens in Word. 4. Make your changes. 5. Save the document and close Word. Automatic Versioning Regenerating documents creates another set of documents. Existing documents are kept intact and not overwritten. The number in parentheses indicates the version number. Delete Documents 1. Search for a transaction and select it. 2. Select the documents. 3. Press the Delete key on your keyboard. 4. Click Yes on the confirmation window. Documents can also be deleted in: The Transaction Completed Window that displays after document generation. Restore Documents You can only restore documents in the Transactions module. 1. Search for a transaction and select it. 2. Select View Deleted Documents from the View menu. The option becomes checked and the transaction only displays the deleted documents in red text. 3. Select the document(s). 4. Right-click (Alternate click) and select the Restore option. The documents disappear from the list and are moved to the main list of documents. 5. Select View Deleted Documents from the View menu again to return to the transaction document list. Secure/ Unsecure Documents 1. Search for a transaction and select it. 2. Select the document(s). 3. Right-click (Alternate click) and select Document Security and Secure Document or UnSecure Document. The document displays Secured or Output in the Type column and details in the Remarks column. Secured documents can only be opened by a user logged into Medici. Document security is removed from emailed documents. Medici Lending Training Guide 79

Send Documents by Email 1. Search for a transaction and select it. 2. Select the document(s). 3. Right-click (Alternate click) and select Email. 4. Select the appropriate options. Selecting either of the first two options deactivates the Sends All Files for the Transaction to Medici for Help option. 5. Click the Load Mail Form button. Open the Banker s Calculator Banker's Calculator Menus File: Select Exit to leave the Banker's Calculator's module. Edit: Use Copy and Paste to copy and post values to and from the numeric entry field. View: Allows you to access specific calculators for Present Value, Future Value, Payment Value, Simple Return and Number of Periods. Options: Allows you to switch the calculations mode from Regular to Scientific. You can also set up term options for the calculator view and date options for the calendar view. 1. Click the Calculations module icon. The calculator view is displayed. 2. Click the calendar icon to display the calendar view. 3. Function Keys Using the functions The Bankers Calculator has five function keys: Present Value (PV) Future Value (FV) Payment (PMT) Simple Return/Rate (%i) Number of periods (n) 1. Select the calculator from the View menu or click the applicable function icon. 2. Enter the information. 3. Click OK. Choose a calculator type 1. Choose Regular Calculation or Scientific Calculation from the Options menu. The regular calculator processes calculations like an adding machine. Determining a maturity date using the calendar view 1. Click the Calendar icon. 2. Choose Setup and Date options from the Options menu. 3. Choose options on the Date Options dialog box and click OK. 4. Select the start date on the calendar. 5. Enter the number of periods (determined by your selection in Date Options). 6. Create an amortization schedule 1. Select Setup and Term Options from the Options menu. 2. Complete the Term Options dialog box and click OK. 3. Select Payment Calculator from the View menu. 4.
