Bridgestone Arena James Taylor Ticket Giveaway Official Rules (the Official Rules ) NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. A purchase or payment will not improve your chances of winning. James Taylor Ticket Giveaway (the "Promotion") begins at 12:01 AM CT on June 26, 2012 and ends at 10:00 PM CT on June 27, 2012 (the "Entry Period"). Central Time shall control for all purposes of this Promotion. The Promotion is governed by these Official Rules, and is subject to all applicable U.S. federal, state and local laws. Void where prohibited by law. 1. Eligibility: Powers Management LLC ( Administrator ), Promotion is open only to legal residents of the fifty (50) United States who are eighteen (18) years of age at the time of entry or the legal age of majority in their home state (the Participant ). Full-time and part-time employees, officers and representatives of the Administrator, The Nashville Hockey Club LP, d/b/a the Nashville Predators, as well as the immediate family and household members of each such employee/officer/representative are not eligible. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings or spouses, regardless of where they live. "Household members" shall mean people who share the same residence at least three months a year, whether related or not. In order to enter the Promotion or receive the Grand Prize, defined herein, you must fully comply with the Official Rules and, by entering, you represent and warrant that you agree to be bound by these Official Rules and the decisions of the Administratordesignated judges, whose decisions shall be binding and final in all respects relating to this Promotion. How to Enter: Participants may submit one (1) entry via Twitter and one (1) entry via Facebook (collectively, Entry(s) ). To enter via Twitter, during the Entry Period, Participant must (i) send a Tweet to the Administrator, @BrdgstoneArena, via Twitter stating why the Participant and a friend should win tickets to the James Taylor concert at Bridgestone Arena (the Twitter Entry ) and (ii) notify the Administrator of the Twitter Entry via email (the Twitter Notification Email ) at promotions@bridgestonearena.com with the Subject Line James Taylor Twitter Ticket Giveaway. The Twitter Entry must include the hashtag #Youvegotafriend. The Twitter Notification Email must contain the Participant s name, address, and phone number.
To enter via Facebook, during the Entry Period, Participant must (i) Like Bridgestone Arena s Facebook page at URL destination http://www.facebook.com/bridgestonearena (the Facebook Entry ) and (ii) notify the Administrator of the Facebook Entry via email (the Facebook Notification Email ) at promotions@bridgestonearena.com with the Subject Line James Taylor Facebook Ticket Giveaway. The Facebook Notification Email must contain the Participants name, address and phone number. Be sure to update your Facebook status stating why you and a friend should win tickets to the James Taylor concert at Bridgestone Arena and tag the Bridgestone Arena in that status. Also be sure to include the following link: http://www.bridgestonearena.com/event.php?event_id=481 in your status. Only one (1) Twitter Entry and one (1) Facebook Entry per person/e-mail address will be accepted. Any attempt to submit multiple Twitter Entry(s) or Facebook Entry(s) may result in voiding of all Entry(s) and disqualification. Online Entry(s) must be manually key-stroked. No Entry(s) will be accepted by mail or by delivery to the offices of the Administrator. All Entry(s) must be received by the time and dates as specified by the first paragraph of these Official Rules and must contain all the information listed above in order to be valid. In the event of a dispute over the identity of an online entrant, Entry(s) will be deemed to have been submitted by the authorized account holder of the e-mail address submitted at the time of the Entry(s). "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Mechanically altered or reproduced Entry(s) are not eligible. All Entry(s) become the property of Administrator upon receipt and will not be acknowledged or returned. By entering the Promotion, Participant is providing information to Administrator; not to Facebook or Twitter. 3. Determination of Winner/Odds of Winning: Two (2) potential winners ( Potential Winners ) will be selected by an Administrator-designated judge ( Judge ) from all eligible Entry(s) received in a random drawing to be held on or about June 28, 2012. Odds of winning depend on the total number of eligible Entry(s) received. Judges have sole and absolute discretion to choose the Potential Winners. All decisions are final. 4. Potential Winner Notification: Each Potential Winner will be notified via phone or e-mail by the Administrator on or about June 28, 2012. Each Potential Winner will have twenty-four (24) hours to respond to phone call or e-mail, or will forfeit Prize, defined herein, and a new random drawing will take place. The Administrator may require each Potential Winner to sign and return to the Administrator an affidavit of Eligibility, Liability and Publicity Release (the Affidavit ) and fulfill any such other requirements as determined by the Administrator. In the event: (a) of noncompliance with the above or within any of the aforesaid time periods, (b) Potential Winner is found to be ineligible to enter the Promotion or receive the Prize, (c) Potential Winner cannot or does not comply with the Official Rules, (d) Potential Winner s Prize notification is returned as undeliverable for whatever reason, or (e) Potential Winner fails to fulfill the Affidavit-related obligations, the Potential Winner
shall be disqualified from the Promotion and an alternate Potential Winner may be selected, at Administrator's sole discretion, from among the other eligible Entry(s) received. 5. Prizes: TWO (2) PRIZES: Two (2) Prize Potential Winners ( Winners ) will each receive two (2) tickets to see the James Taylor in concert at the Bridgestone Arena on July 12, 2012 ( Prize ). The seats for each event will be selected based on availability and at the sole discretion of the Administrator. Total Approximate Retail Value ( ARV ) of each Prize will be One Hundred and Twenty dollars ($120.00). Unless otherwise noted, the following applies to each Prize: Each Prize will be available at Will-Call for pick-up on the day of the event. A valid picture ID is required to obtain each Prize from Will-Call. Each Prize cannot be transferred or sold and must be utilized by the Winners selected by the Administrator. No responsibility is assumed by Administrator for cancelled, delayed, suspended or rescheduled events. Administrator will not provide any money for any expenses incurred as a result of Winners participation in the Promotion or the claiming or use of the Prize, including, but not limited to, transportation and other incidental expenses incurred by the Winners or Winners guests while claiming or using the Prize. Any minor guest must be accompanied at all times by an adult. In performing their respective obligations hereunder, each Participant and the Administrator (collectively, Parties ) shall be independent to the other and no such Party or any of such Party s representatives, agents, or employees shall be deemed to be the representative, agent or employee of the other Party. The Parties do not intend to create a partnership, joint venture, association, agency or other relationship between them and any legal relationship other than that of independent contractors on the terms set forth herein, no Party shall have authority to act on behalf of or bind the other Party. Accordingly, all Participants acknowledge and agree that they are obligated to report as income all consideration they received from the Administrator. Participants are solely responsible for all taxes, withholdings, and other similar statutory obligations. Participant agrees to defend, indemnify, and hold the Administrator harmless from any and all claims made by any entity on account of a failure by the Participant to satisfy any such tax withholding obligations. 6. Publicity; Use of Personal Information: Except where prohibited or restricted by law, Winner's acceptance of Prize constitutes the Winner's agreement and consent for Administrator to use and/or publish Winner's full name, city and state of residence, photographs or other likenesses, Entry, pictures, portraits, voice, testimonials, biographical information (in whole or in part), and/or statements made by Winner regarding the Promotion or Administrator, worldwide and in perpetuity for any and all purposes, including, but not limited to, advertising, trade and/or promotion on behalf of Administrator, in any and all forms of media, now known or hereafter devised, including, but not limited to, print, TV, radio, electronic, cable, or World Wide Web, without further limitation, restriction, compensation, notice, review, or approval. 7. No Tampering; Right to Cancel, Modify: Administrator and its parent, subsidiaries, affiliates, divisions, partners, representatives, agents, successors, assigns, employees, officers and directors shall not have any obligation or responsibility, including any responsibility to award any Prize to Participants, with regard to: (a) Entry(s) that contain inaccurate information or do not comply with or
violate the Official Rules; (b) Entry(s), Prize claims or notifications that are lost, late, incomplete, illegible, unintelligible, damaged or otherwise not received by the intended recipient, in whole or in part, due to computer, human or technical error of any kind; (c) Participants who have committed fraud or deception in entering or participating in the Promotion or claiming the Prize; (d) telephone, electronic, hardware, software, network, Internet or computer malfunctions, failures or difficulties; (e) any inability of the Winner to accept the Prize for any reason; (f) if a Prize cannot be awarded due to delays or interruptions due to Acts of God, natural disasters, terrorism, weather or any other similar event beyond Administrator's reasonable control; or (g) any damages, injuries or losses of any kind caused by any Prize or resulting from awarding, acceptance, possession, use, misuse, loss or misdirection of any Prize or resulting from participating in this Promotion or any promotion or Prize related activities. Administrator reserves the right, in its sole discretion, to disqualify any individual it finds to be (a) tampering with the entry process or the operation of the Promotion, or with any Website promoting the Promotion; (b) acting in violation of the Official Rules; or (c) entering or attempting to enter the Promotion multiple times through the use of multiple e-mail addresses or the use of any robotic or automated devices to submit Entry(s). If Administrator determines, in its sole discretion, that technical difficulties or unforeseen events compromise the integrity or viability of the Promotion, Administrator reserves the right to void the Entry(s) at issue, and/or terminate the relevant portion of the Promotion, including the entire Promotion, and/or modify the Promotion and/or conduct a random drawing to award a Prize using all eligible Entry(s) received as of the termination date. The Administrator's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. 8. Release of Liabilities; Disclaimer of Warranty; Forum Selection Clause: By participating in the Promotion, Participants and Winners agree to release and hold harmless Administrator and its parent, subsidiaries, affiliates, divisions, partners, representatives, agents, successors, assigns, employees, officers and directors (the "Released Parties"), Facebook, and Twitter from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever, including without limitation, property damage, personal injury (including emotional distress), and/or death, which may occur in connection with preparation for, or participation in, the Promotion, or possession, acceptance and/or use or misuse of the Prize or participation in any Promotion-related or Prize-related activity and for any claims or causes of action based on publicity rights, defamation or invasion of privacy and merchandise delivery. The Released Parties assume no responsibility for any injury or damage to Participants or to any other person's computer, regardless of how caused, relating to or resulting from entering or downloading materials or software in connection with this Promotion. Participants and Winners acknowledge that Administrator has neither made nor is in any manner responsible or liable for any warranty, representations or guarantees, express or implied, in fact or in law, relative to any Prize or any component thereof, including, but not limited to, express warranties provided by the supplier of the Prize (or any component thereof) or their affiliates. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Participant or Administrator in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Tennessee, without giving effect to any choice of law or conflict of law rules (whether of the State of Tennessee, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Tennessee. In addition, any dispute relating to the Promotion (including these Official Rules) shall be brought in
the appropriate state or federal court having jurisdiction over the subject matter located in Davidson County, State of Tennessee. Participants hereby irrevocably consent to the personal jurisdiction of said courts and waive any claim of forum non conveniens or lack of personal jurisdiction that they may have. Participant further agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Promotion shall be resolved individually, without resort to any form of class action; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion but in no event attorneys' fees; and (iii) under no circumstances will Participant be permitted to obtain awards for and Participant hereby waives all rights to Claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. 9.
