See the Application form for more information. Requirements for membership To be eligible to join you must comply with the criterion specified below. See the Skills assessment guide on the next page for more information. a b c d e f You are currently a bookkeeper in private practice in Australia with external third party clients. (Employee bookkeepers are not eligible) Provide MYOB with a copy of your business letterhead, together with a copy of either your Business Registration Certificate or Certificate of Incorporation. A minimum of two years practical bookkeeping/accounting experience specialising in MYOB software applications. A high level of proficiency using MYOB software, including payroll, time billing and inventory management. A thorough working knowledge of bookkeeping and/or accounting is required to assist client s individual needs. Detailed knowledge of other applications used with MYOB software, such as Microsoft Excel and Microsoft Word. MYOB reserves the right to verify that you are a bookkeeper in private practice, actively working in Australia with external clients, by way of seeking third party client references where required. These events will keep you up-to-date with everything MYOB and help you work more effectively with your clients. MYOB Web Forum connects you with a community of other Bookkeeper. Here you can exchange information, store a history of feedback, get information, swap ideas with other members and more. In addition, members share in the unique insights gained by MYOB through its position in Australia as a provider of both business and management software for business, and practice management software for accountants and tax professionals. Application Form Conditions of membership 1 The Applicant warrants that they have the appropriate skills and knowledge to provide bookkeeping services to the Purchasers of MYOB products and services. The applicant understands that they may be required to undertake further training and professional development as may be deemed appropriate by MYOB. Further, the Applicant acknowledges that any failure to attain or maintain the standard of skill or undertake the prescribed professional development required by MYOB shall cause removal from the PPBK. 2 The Applicant acknowledges that PPBK Membership is granted to them personally and that no other person whether in the employ or contracted by the PPBK may represent themselves as an MYOB PPBK. Where a PPBK desires to involve other Bookkeepers in assisting them in providing Bookkeeping services then additional memberships must be obtained for each person. a You may however nominate one additional support person that works within your registered company, to access MYOB Technical Support. b Changes to your nominated additional support person will only be completed by MYOB upon receipt of either an email, or written notification on registered company letterhead and signed by the PPBK licensed member. 3 The Applicant acknowledges the Professional Partner CD ( PPCD ) supplied to them; a Is a Not for Retail Sale product. b Must not be sold, given away, transferred or otherwise disposed of to any third party. c Remains the property of MYOB Australia. d May not under any circumstance be installed on a client s computer; and e Is intended solely for their own use when working with their clients data. 4 The Applicant undertakes as a member of the PPBK; d a To pay to MYOB by the way of membership fees such sums as shall be determined and advised by MYOB. This fee is non-refundable or transferable. b To provide the services required by MYOB Purchasers in accordance with world best practice and to use their best endeavours to completely satisfy all reasonable customer requirements. c To conduct themselves at all times in a manner which does not demean or damage the good reputation of MYOB or its product. To provide a positive contribution to all PPBK sponsored activities and to desist from any form of communication critical of MYOB or its products. e To provide satisfactory answers within 14 days to any complaints made to MYOB concerning the provision of their services and in the event that MYOB considers the complaint justified take such action or make such restitution reasonably requested by MYOB. f To undertake such training as shall be required to maintain a level of expertise. g To attend to and respond to such correspondence and communications as shall be reasonably required by MYOB. h To Indemnify MYOB in respect of all claims arising as a result of the Applicants involvement as a member of the PPBK. i To immediately upon termination hereof return all MYOB property and PPBK related materials to MYOB and immediately cease using the PPBK name or in any manner holding themselves out to be a member of the PPBK. j During their membership of the PPBK and for a period of three (3) years thereafter not to disclose or permit to be disclosed any information (save for that which has clearly become public domain) that has been provided to them in their capacity as a member of the PPBK. k That any development, discoveries or commercial advantage or intellectual property that shall occur as a result of the provision of information from MYOB shall remain the joint property of the Applicant and MYOB. l The partner/bookkeeper shall in the description, recommendation or demonstration of any MYOB product or service to a potential purchaser only use marketing collateral specifically produced and supplied by MYOB in respect of that product or service and shall not make any representation on their own account concerning the function or operation of that product or service. 5 Acceptance to the PPBK shall not constitute any appointments of employment or agency by MYOB and save for the specific rights conferred by this Agreement no further special rights or legal relationship shall be bestowed upon the Applicant as a result hereof. 6 The Applicant s membership for the PPBK comes into effect upon acceptance by MYOB of the application. This membership will continue for 1 year unless terminated earlier by MYOB for reasons set out below. Membership for the PPBK will be subject to annual renewal fees unless the Applicant pays by periodic payment, in which case the membership will continue on a monthly basis after the end of the first year and either party may terminate on 1 months notice. 7. This Agreement may be terminated prior to completion by MYOB forwarding a Notice of Termination citing the occurrence of any of the following; a b Breach of any of the conditions provided herein The Applicant committing any act of bankruptcy, becoming insolvent or upon the appointment of a Liquidator or receiver. 8 This Agreement shall constitute the entire agreement between the parties and may not be varied save by written agreement of the parties. Its implementation shall be governed by the laws of the state of Victoria and any action arising from its operation shall be heard in Melbourne. No course of conduct or inaction by MYOB herein shall be deemed as waiver of any of its rights under the Agreement. 9 In the event that the original MYOB software licence is converted into a Professional Partner membership, the original licence cannot be used or onsold during the term of the membership. In the event that the membership lapses or is cancelled, the applicant may request for the original licence to be reinstated. Application Form Requirements for membership Skills assessment guide As a guide to help you assess whether your skills meet MYOB s membership eligibility requirements, you are expected to be competent in the following: High level of proficiency in MYOB business management software, including payroll, time billing and inventory management including: > Thorough understanding and hands-on familiarity with MYOB applications including latest version software MYOB Accounting Plus and MYOB Premier > Fully competent in payroll functionality including the preparation of paycheques and PAYG > High level of knowledge in use of time billing and related functions > A thorough understanding of inventory management including perpetual and periodic inventory setups and related accounting procedures Thorough working knowledge of bookkeeping and/or accounting, including competency in: > Accounting concepts and terms > Business documents and transactions > Processing daily financial transactions > Recording sales and purchase transactions > Reconciling debtor and creditor balances > Reconciling inventory balances > Reconciling payroll balances > Setting up and using accounts to record expenses, revenues, assets, liabilities and equity Detailed knowledge of other applications used with MYOB business management software, such as Microsoft Excel, Microsoft Word: > Skilled in use of MYOB Officelink functionalities > Fully competent in opening, creating, editing and saving Excel spreadsheets and Word document files and related templates in each application > A thorough knowledge of editing spreadsheets including inserting/deleting rows/columns, use of formulae and printing > Similarly, a thorough knowledge of editing documents and templates including inserting/deleting lines, editing and printing > Skilled in the use of Adobe Acrobat Reader to read and print documents > Thorough knowledge and practical competency in the use of e-mail software for the purpose of receiving and sending emails, including the ability to create new emails and add attachments > Working knowledge of how to use an internet browser and the ability to search the internet and download files > Good understanding of and ability to navigate through Windows/Macintosh operating systems including the ability to move/copy files and folders and adjust basic system settings eg. Date formats > Good understanding of and ability to use electronic banking software. The above list is provided as a guide and is not limited only to those items listed. > Preparing bank reconciliations > Reporting for the GST and BAS > Preparing accounts to trial balance including Profit & Loss and Balance Sheet reporting > Maintaining thorough and accurate business records. Reseller Terms and Conditions 1 General These terms and conditions shall apply to the exclusion of all others including any terms and conditions of the Reseller (whether on the Reseller s order form or otherwise). The Reseller acknowledges that these terms and conditions embody the whole agreement between the parties and agrees to be bound by them. 2 Supply MYOB supplies all goods on a Sales or Exchange (SOE) basis (except for the Publisher CD). Any Returns that do not fall under the following conditions may be rejected or incur a Re-stocking fee. 3 New Versions MYOB protects Resellers from version changes by updating stock held free of charge to the latest version. 4 Version rotation Version rotation only applies to like product families (ie. Full Stock will only be rotated for Full Stock, Upgrades will only be rotated for Upgrades). Version rotation must be initiated* within 30 days of the release of the new version. Should the reseller request a rotation for the old version outside of 30 days from new version release a restocking fee of between 10-50% may apply, depending upon volume. Restocking Fee Structure No of units Restocking fee applied within 30 days 1 10 0% 10% 10 30 0% 20% 30 50 0% 30% Restocking fee applied outside 30 days 5 Returning old versions Resellers are required to return old version stock within 20 working days (4 weeks) of receiving an RA No. (Failure to return stock within this time period will result in the rejection of a credit claim for returned stock. The return of old versions outside of these terms will result in the expiration of the Return Authorisation supplied and the application of a restocking fee. As seen in clause 4 Version rotation only applies to like product families (ie. Full Stock will only be rotated for Full Stock, Upgrades will only be rotated for Upgrades). Please Note: For non-account customers MYOB will only dispatch the replacement order upon receiving the rotation stock. 6 To obtain a Return Authorisation ( RA ) Call 1300 555 117. On the form you will need to include the following information: a b c The Serial Number of the package(s) concerned. Serial numbers are clearly printed on the base of the package. Your company name and the date the product was purchased (our invoice number will speed the issue process). Reason for return. You will be advised of the RA by the Accounts officer. RA Numbers are valid for 20 working days from the date of issue. Expired RA s will be treated as outlined in clause 5. 7 Procedure for returning goods a Prepare goods for return by ensuring that they are the complete product, and that any price or other stickers applied by the Reseller have been removed. With the exception of damaged goods, the product should be in a saleable condition. 50 100 0% 40% 100+ 0% 50% Version rotation is limited to 5 RA s per month should this limit be exceeded a restocking fee of 20% will apply to all subsequent RA s regardless of whether or not they are within the 30 day period. Where restocking fee is applicable this amount will be deducted from the final credit raised against the resellers account. For Up- Front Payment resellers this figure will be communicated prior to the provision of a Return Authorisation. This update (version rotation) option still requires the issue of an RA as below, and return of the old version. MYOB will only issue an RA following the receipt of a purchase order and an accompanying RA request form to the same dollar value of the stock being returned. *Initiated request for an RA received by MYOB within 30 days from the release of the new version. b c d e Return the goods by your preferred carrier. MYOB will not accept freight charges. The RA number should be clearly marked on the outside of the package and quoted on the accompanying documentation. Goods without a clearly marked RA will not be accepted for return. The Reseller s documentation should contain a tracking number which can be marked on the replacement package in lieu of an order number. MYOB will send a replacement package of the same type at MYOB s cost. The replacement package will have your advised number marked on the outside in lieu of an order number. Goods returned without a valid RA will not be accepted and will be returned at the Reseller s cost. Reseller Terms and Conditions f g As stated in clause 4, goods returned for reasons other than the above will be charged a restocking fee depending on volume. Returned product must be complete and in a saleable condition (except for products returned because they failed to install, where the disk envelope may be opened but a complete product must still be returned). 10 Interest Should payment remain outstanding beyond MYOB s payment terms as outlined in Clause 2 above, the Reseller agrees to pay interest on all amounts outstanding from the due date until the date of payment a rate equal to five percentage points above the Penalty Interest Rate as varied from time to time. h Issue of an RA number DOES NOT guarantee replacement or credit it is only your authorisation to return goods to us. 8 Money Back Guarantee Where MYOB promotes a Money Back Guarantee (MBG) on a product, if the customer wishes to return the product they must return the full product to the place of purchase within the stated MBG period. The following process should be followed: a b c Find out why the product was unsuitable and assess if another MYOB product will meet their needs. Refund the customer and return the entire product as stated under Clause 6 and 7 above. MYOB will replace the product with fresh stock, returned packages are NOT to be resold. 11 Title Property Any article sold by MYOB shall not pass from MYOB to the Reseller until the Reseller has paid for the article in full and all cheques and other negotiable instruments have been cleared. The risk of loss or damage to the goods shall be entirely at the risk of the Reseller upon delivery to the Reseller. If any payment for any article sold by MYOB is overdue or if the Reseller pays MYOB by cheque (in full or in part) and such cheque is not met on presentation by MYOB, MYOB reserves the right to retake physical possession of the goods in full or partial satisfaction of the debt and for this purpose the Reseller hereby consents to MYOB or its Agents or servants entering upon the Reseller s premises. Monies owed by the Reseller to MYOB shall become due immediately upon the commencement of any act or proceedings in which the Reseller s solvency is involved. 9 Payment Payment shall be made by the Reseller to MYOB for all goods supplied and services rendered within the terms specified by MYOB. The Reseller acknowledges that these terms will enable MYOB to exercise all of its rights contained herein including (but without in any way limiting its rights) the right to cancel further credit if applicable and to take legal action for the recovery of all sums outstanding. Direct Debit Authority for MYOB Partners Partial period membership and discounts are not available. Refunds due to cancellation are not available. If you take up the monthly direct debit option, and cancel your membership, any remaining payments will become immediately due. Direct Debit Request Terms and Conditions for MYOB Partners Direct Debit Request Service Agreement (DDRSA) This section sets out your rights, our commitment to you, your responsibilities to us and where you should go for assistance. These terms and conditions are in addition to the terms and conditions of your existing contract\s with MYOB Australia. 1.1 By signing a Direct Debit Request Service Agreement you have authorised MYOB Australia Pty Ltd (User ID 184111) to deduct: Periodic Payments for all existing contract\s with recurring charges. 1.2 MYOB Australia Pty Ltd will arrange for funds to be debited from your nominated bank account, as authorised by you, on the direct debit date shown on your invoices. If the direct debit date falls on a non-working day or public holiday the payment will be processed on the next working day. 1.3 A tax invoice confirming the amount of the payment will be issued to you within 1-3 working days of: Periodic Payments the start of a month in which a payment will be made by you. 1.4 MYOB will advise of any changes to the debit arrangements at least 14 days in advance. 1.5 It is your responsibility to ensure that you have sufficient funds available in your nominated Bank Account to cover your periodic payments and that you re Bank Account details are correct. 1.6 Direct Debiting through BECS is not available on all bank accounts. If you are paying by direct debit from your Bank Account, it is your responsibility to ensure that your Bank Account can accept direct debits (your financial institution can confirm this). We also advise that you should check your Bank Account details with your financial institution before completing the Direct Debit Request. 1.7 Should a payment default MYOB will notify you by email and, it is your responsibility to organise alternative payment which should be received by MYOB within five (5) working days of the original due date. 1.8 Should a response not be received within the 5 working days allowed, MYOB Australia Pty Ltd may list your payment default with Veda Advantage (CRAA). Defaults are listed for a period of five (5) years and may have an adverse effect on your credit rating. 1.9 MYOB may suspend your account, subscription or membership until any outstanding payments have been made. 1.10 You may incur fees or charges imposed by MYOB to cover administration fees for the collection of any defaulting payment under this agreement. 1.11 If you believe that there has been an error in debiting your Bank Account you should notify our Accounts Department immediately on 03 9222 9782 or email accounts@myob.com so that we can resolve your query promptly. 1.12 If MYOB concludes, as a result of our investigations, that your Bank Account has been incorrectly debited, MYOB will advise you and arrange a refund of the amount due to you. If MYOB concludes that your account has been debited correctly, we will advise you and provide evidence of our finding. 1.13 If you wish to defer or alter any payment arrangements, stop an individual payment item or cancel a payment authority contact the MYOB Accounts Department as per point 1.11. 1.14 Confidentiality - all information provided to MYOB is confidential and protected by the MYOB privacy policy. The policy can be viewed at myob.com.au/privacy.html. However, you acknowledge and agree that we will need to provide information to our financial institution to initiate or alter payment arrangements from your Bank Account or Credit Card or to investigate an alleged incorrect or wrongful payment. 1.15 This Authority permits MYOB to change the amount debited from your Bank Account, with at least 14 days notice, to reflect any change to prices. It also permits MYOB to change the amount debited or charged to cover any increases in amounts payable arising from the purchase of additional products by you from time to time, with at least 14 days notice. If this date falls on a non-working day or a public holiday the payment will be processed the next working day. 1.3 If you have selected to pay monthly, the first payment will be pro-rated according to the start date of your Membership for the appropriate number of days for the current month. This charge and the monthly charge for the next calendar month will be charged on the day your Membership starts. 1.4 Your Membership is for a period of 12 months and cannot be cancelled within this 12 month period. 1.5 In the event that this Credit Card Charge Authority is terminated, the remainder of the year s Membership shall become immediately due and payable. 1.6 It is your responsibility to advise MYOB Australia Pty Ltd if you do not wish to continue your Membership.
