Failure to do so may subject Bidder to disqualification. This serves as an addendum to the construction documents and modifies and/or supplements them as follows: GENERAL 1. Please note that various questions received from Bidders was compiled into a Bidding Questions and Clarifications spreadsheet which was attached to Addendum #2 for inclusion into the Bid Documents. Subsequent questions and substitution requests have been included as part of this addendum for inclusion in the Bid Documents. 2. Please note that Specification Section 00 2113, Instructions to Bidders, was NOT revised as noted in Addendum #2. This spec section is correct; however, in accordance with Act 2013-205, Certificate of Exemption from Sales and Use Tax for Government Entities, contractors are to exclude sales tax from their base bid, but account for tax savings on ABC Form C-3A, which was included in the Project Manual as Document 00 4205, Estimate of Sales Tax. Failure of the contractor to complete the attachment to the Bid Proposal Form will render the bid non-responsive. 3. Please note that Document 00 1113, Advertisement for Bids, was superseded by the Advertisement for Bidder Pre-qualification and Notice of Intent to Receive Bids from Pre-Qualified Bidders, which was issued as part of Addendum #1. Bids will be received at the Sunroom in Bill Nichols where the pre-bid conference was held in lieu of being held at Alabama Department of Veterans Affairs office in the RSA Tower at Montgomery. Section 23 5000 Heating and Air Conditioning Equipment and Specialties: Paragraph 2.2.A Add Fujitsu as an approved manufacturer of Variable Refrigerant Flow Systems. VRF refrigerant piping risers must be located in the closets shown on the plans. 3. Section 26 4100 Lightning Protection System: Paragraph 3.04 A. states Upon job completion, the Contractor shall furnish to the Owner a UL Master Label "C". Afterwards, insert the following: If the alternate is accepted to replace the coping, this requirement shall apply. If the coping is not replaced, the master lightning protection installer who designs and provides supervision for the Lightning Protection System additions shall furnish a letter of compliance. Alexander City, AL SALES & USE TAX SAVINGS AGENCY AGREEMENT (AMENDED) The entire AGREEMENT Between (hereinafter called the Contractor and The Alabama Department of Veterans Affairs (hereinafter called the Owner ) entered into this day of 20 14. RECITALS 1. Contractor and Owner entered into a Construction Contract (hereinafter called the Contract ) dated for performance of the work described therein. A copy of said Contract is attached hereto as Exhibit A. 2. Pursuant to Document 01210 - SALES AND USE TAX SAVINGS REQUIREMENTS, of the Contract, Contractor and Owner desire to enter into an agreement whereby certain purchases under the Contract can be made through Owner as a means of taking advantage of Owner s status of being exempt from sales and use taxes. AGREEMENT 1. Owner does hereby appoint Contractor as agent for Owner to purchase for, and in the name of the Owner, all materials, supplies, equipment, and other items which Contractor and its subcontractors require for performance of the Contract. The purchase of any materials, supplies, equipment, or other items which are required for the performance of the Contract are expressly made outside the authority granted hereunder. 2. Owner will be liable for the payment of all purchases made hereunder. 3. Document 01210 - SALES AND USE TAX SAVINGS REQUIREMENTS, of the Contract is incorporated by reference and made a part of this Agency Agreement establishing general provisions, procedures, and forms that are applicable to the Contractor s performance hereunder. 4. As the Owner s agent the Contractor will purchase materials, supplies, equipment, and other items by means of the ADOR issued Certificate of Exemption. For items so purchased, vendors will render statements and invoices to the Contractor as the Owner s agent. The Contractor shall review and approve the invoices, as appropriate, and along with the monthly Application for Partial Payment forward the invoices to Owner for inclusion with the Application for Partial Payment. By approving and forwarding such invoices to the Owner for payment, the Contractor certifies the validity and accuracy of the invoices and that, to the best of his knowledge, the items covered by the invoices are of the quality and quantity specified in the Contract Documents. Payments made by Owner to vendors pursuant to this Agency Agreement shall also constitute payments added to the Contract sum of $. However, said amount due Contractor under the Contract shall be reduced by the sum of any savings of sales and use tax and 50 percent of any cash discounts earned on the purchases made hereunder. In the event that Contractor pays for materials, supplies, equipment, or other items that should have been purchased and/or paid for by the Owner under this Agency Agreement, the Owner shall reduce the said amount due as Contract sum by the amount of sales tax that was due and or paid. 6. Contractor shall maintain separate accounting records of all transactions carried out under this Agency Agreement. Such records shall be open to Owner during normal business hours of Contractor for a period of two (2) years after completion of the project. 7. The authority granted to Contractor hereunder may be revoked by Owner at any time upon written notice delivered to Contractor at h is offices located at during normal business hours. 8. Any costs of administration to be incurred by Contractor in conjunction with this Agency Agreement are included in the Contract sum cited in Article 5 above.
