Page No. 1 THIS AGREEMENT MADE BETWEEN UNION BANK OF INDIA, A BODY CORPORATE UNDER THE BANKING ACQUISITION AND TRANSFER ACT, 1970, AND HAVING REGISTERED OFFICE AT NO.239, UNION BANK BHAVAN, VIDHAN BHAVAN MARG, BACKBAY RECLAMATION, MUMBAI 400 021, AND STAFF TRAINING CENTER, AT PLOT 82, SECTOR 18, GURGAON 122001, HARYANA HEREINAFTER CALLED "THE BANK", WHICH TERM INCLUDES ALL ITS ASSIGNS, SUCCESSORS AND NOMINEES, ON ONE PART AND M/S CATERING CONTRACTORS, (MENTION CONSTITUTION AND ADDRESS), HEREINAFTER CALLED "THE CONTRACTOR" WHICH TERM INCLUDES ALL ITS ASSIGNS, LEGAL HEIRS, NOMINEES AND SUCCESSORS, ON ANOTHER PART, WITNESSETH AS FOLLOWS ON THIS DAY OF, 2014. WHEREAS THE BANK IS HAVING A CANTEEN FOR THE BENEFIT OF ITS STAFF MEMBERS AND GUESTS AND THE CONTRACTOR HAS AGREED TO PROVIDE SERVICES IN THIS CANTEEN FOR A PERIOD OF TWO YEARS AS PER THE TERMS AGREED BETWEEN THE TWO, AS SET OUT BELOW:

TERMS OF CONTRACT Terms of Contract Page No. 2 1. The period of contract shall be for two years from to. During the period of this contract, the contract shall be terminable by giving two months prior notice on either side. However, if mutually agreed upon, the period of the contract may be extended on expiry of the contract on such terms and conditions as may be then agreed upon 2. The Contractor shall fulfill all the obligations arising under the contract and shall not enter into sub-contract with other party/parties. He shall have no right for tenancy, demise or any interest whatsoever in respect of said premises. 3. Rates should be given separately for Tea/Coffee,- biscuits to be served with tea/coffee, Breakfast, Lunch and Dinner and Evening snacks. On an average-50 persons will have to be catered to. The bank will advise the number of persons for whom catering arrangements are to be made from time to time. The billing shall be done on actual basis. 4. The Contractor shall use the LPG cooking range and other similar equipments provided by the Bank. The use of charcoal, firewood, coke or fuel of any kind shall be done only with the prior permission of the Bank. The Contractor/s has to bear the cost of LPG fuel (including transportation cost) and cost of fuel for chefin dishes. Most of the cooking equipment are operated by LPG. However, if electricity is used as an alternative for cooking the energy used shall be paid by the Contractor (for which electricity meter is provided). Electricity used for warming the food in the dining hall has to be paid by the contractor on monthly basis. Light and water shall be provided by the Bank at free of cost. 5. The Contractor shall maintain and upkeep the Canteen, Store, Washing Place, surroundings etc. in the said premises in clean and hygienic condition to the satisfaction of the Bank. Preparation and service of food must confirm to the highest hygienic and sanitary standards. The contractor should also provide paper napkins, at his cost, at the hand-wash area and on the dining tables. 6. The Contractor shall be provided with cutlery, crockery, utensils and other equipments installed in the kitchen and other requirements for running the Canteen. The Contractor shall also ensure that the cutlery, crockery, utensils and other kitchen equipments in which food and beverages are stored and served, are properly and hygienically cleaned.

The Contractor shall without any obligation of the bank, comply with rules, regulations and bye/laws laid down by Municipal/Health authorities and other statutory requirements relating to preparation and supply of food stuffs, drinks and refreshments and shall obtain necessary license and permits in his own name and at his own expenses. 8. The Contractor shall store food stuffs, drinking water and other articles in a hygienic condition. 9. The Bank shall provide proper receptacles for throwing refuse from the hostel canteen and the Contractor shall arrange at his own cost for regular, prompt and proper removal of such refuse from the Centre/Hostel premises, every day. 10. The Contractor shall supply quality food stuffs, beverages and other refreshments to the satisfaction of the Bank. Only refined oil shall be used for cooking, frying, seasoning etc. The Bank has a right to inspect the materials used by the Contractor periodically and impound any items, the quality of which is found substandard. The Bank is also entitled to insist on branded materials to be used for preparation of food/beverages. The meat used shall be only mutton or chicken. Only fresh meat, egg, fish or vegetables etc., shall be used. The dishes shall be suitably varied everyday, using different varieties of vegetables etc. Curds served should have been prepared from fresh milk. 11. SUPERVISION A committee (which will also include the contractor or his representative) will be constituted to supervise the Canteen. The functions of the committee are as under: 1. To decide the Menu. 2. To supervise the quality of items purchased. 3. To supervise Catering. 4. Maintenance of hygiene and cleanliness. 5. The Committee will direct the contractor to take such action as deemed necessary. The majority opinion of the Committee on all the matters will be binding on the contractor. The Composition of the Committee will be decided by the Bank. The Bank will have the right to modify, alter, cancel any decision of the Committee and also will have the right to reconstitute the Committee.

CATERING SCHEDULE: DAILY SERVICE WILL BE AT THE TIME NOTED BELOW: 06.30 AM Bed tea / coffee 08.00 AM Break fast including tea / coffee 11.00 AM Forenoon tea / coffee with biscuits 01.00-2.00 PM LUNCH 03.15 PM Afternoon tea/coffee with biscuits 05.00 PM Evening tea/coffee with snacks 08.00-09.30PM DINNER Non-vegetarian food should be provided at dinner on training days and both during lunch and dinner on Bank holidays including Sundays. Breakfast, lunch and dinner will be of unlimited quantity. Breakfast, lunch and dinner will consist of following items as detailed in the enclosed annexure. (Items of Menu are as per Annexure I) The exact menu for the ensuing week should be as decided in advance by the Canteen Committee. The choice of the Committee can be deviated only with its prior approval. 13. The Contractor shall employ at his own expenses efficient and experienced persons for supervision and working of the Canteen and adequate number of servants. The Contractor shall ensure that such servants employed by him shall be free from diseases, clean, courteous and neatly clothed. The persons employed by the Contractor should wear uniforms as approved by the Bank while serving food, eatables and beverages. The cost of such uniform should be borne by the Contractor only. He shall not employ or continue to employ for the purpose of canteen any person whose employment is objected by the Bank. 14. The Canteen shall be kept open on all the days during the period when the training courses or seminars etc., are conducted by the Bank and on such other days as may be indicated by the Bank.

Page No. 5 15. The Canteen shall be for the exclusive use of employees of the Bank, their guests and its working shall be subject to the supervision and control of the Bank. 16. The said premises shall not be utilised for purpose otherwise than for the purpose of running the Canteen. The Contractor shall not make or permit to be made without the prior permission in writing of the Bank, any structural alterations or additions of any kind, either temporarily or permanently to the said premises. 17. The Contractor shall be solely responsible, answerable and liable for payment/grant of salaries, wages, allowances, bonus, retrenchment benefits and all amenities payable/allowable to persons engaged by the contractor. The Contractor will be entirely responsible for providing lodging and boarding arrangements at his cost for the staff engaged by him. The Bank will not accept any responsibility in this regard. The bank has the right to object/insist on termination of any persons engaged by the Contractor if found to be misbehaving in any manner or form. The Contractor shall also be solely responsible for any industrial disputes arising, if any, out of employment or nonemployment of any of them. The Contractor shall also be solely responsible for payment of any tax, P.F., E.S.I, license fees, or charges levied or that may be levied by any competent Government authority/local authority in connection with providing of any facility under the contract or other work whatsoever. The Bank shall not be liable or answerable to any authority in any manner whatsoever in respect of the above said obligation/liability of the contractor. 18. It is agreed that there is no relationship of master and servant between the casual / permanent workers employed by the contractor and the Bank. It is the contractor s responsibility to deal with them and settle their wages, salaries, other benefits etc. There is no privity of contract between them and the bank. Their entry / presence in the premises of the bank shall be only so long as the contractor s work subsists with the bank. 19. The contractor shall have no right to sublease the contract or entrust the work to any one else without the written permission of the bank. 20. The contractor shall get an undertaking on the terms of clause 18 from each worker and deliver the same to the bank 21. The Contractor shall allow the Bank s authorised representatives/individual committee Members to inspect the arrangements of preparation and service of food and to examine various items. The Contractor shall carry out directions given by such representatives for smooth running of the canteen and for

Page No. 6 smooth provisions of breakfast/lunch/dinner and for clean, hygienic upkeep thereof. 22.The staff of the Center are permitted to avail the canteen facility. The Contractor shall charge at rates agreed upon on actual basis for items supplied to the participants and other staff members of the Bank. The entire staff of the college / centre will be provided with morning and afternoon tear/coffee with biscuits (two times a day) at the rates agreed herein. The Bank thereon will pay the charges. 23.The Contractor shall supply the trainees packed lunch/tea etc, whenever desired by the bank in lieu of standard menu. 24. The break-up of the charges for the purpose of billing will be as under: Item (a) Tea / Coffee (b) Breakfast including Tea/Coffee (c) Forenoon Tea / Coffee - with Biscuits (d) Lunch (e) Afternoon Tea / Coffee - with Biscuits (f) Evening Tea / Coffee with snacks (g) Dinner Rate per head - Rs. Total Breakfast, Lunch, Dinner etc., should be served at the time and place notified by the Bank. Forenoon Tea / Coffee and Afternoon Tea/Coffee should be served near the Classrooms on working days. 25. During shut off period and the interim period between two programmes, the Center has to pay a minimum for 12 participants as per the accepted rate. That is 25% of the average capacity or for actual number whichever is higher. The billing for the participants will be made for every two weeks and the same will be fully paid by the bank. The bills for the amount payable by the staff members of the college, for items consumed by them, will be done every month and will be paid by the bank. The bank also reserves the right for not making payment for any substandard food served in the Canteen as may be advised by the Canteen Committee. 26. The Contractor shall not levy or receive any charges for table service. The Officer and other members of the staff of the Bank

Page No. 7 shall be entitled to use the canteen for consumption of food and refreshments brought by them from outside. 27. The Contractor shall be responsible for any loss or damage, other than normal wear & tear and breakages to any furniture, fittings, stores, utensils, cutlery, crockery or any other goods or articles kept in the said premises by the Bank. The canteen committee is empowered to assess the quantum of loss or damage other than normal wear and tear and the cost of said loss or damage will have to be borne by the contractor. In the case of utensils, cutlery and crockery, cost of breakage / loss beyond 25% Per year, will be recovered from the contractor. 28. The Contractor shall be responsible for and make good any loss or damage caused by an act of default on his part or on the part of his servants or agent to the said premises and/or Bank s property therein permitted to be used by him. However, the Contractor shall not be responsible for any reasonable wear and tear or such damage or loss, as may be caused by the act of God or other forces beyond the control (in spite of all reasonable and normal precautions taken). 29. Notwithstanding the other terms and conditions as enumerated above, the Bank will be free to avail the services of the Canteen Contractor for larger number of persons in addition to the normal strength of participants i.e. persons subject to conditions that, (a) Due notice thereof is given to the contractor by the Bank in advance; (b) The number of additional persons to be catered to shall not exceed 80 except with the consent of the contractor. The charges payable for such increase in number of participants will be at the approved rate per item, as detailed herein above. (c) Though actual charges for this larger number of participants will be payable by the college, for the purpose of reckoning compensation payable to the caterer in the shut off period, only 50 participants will be taken into account. 30. The Contractor shall not in any way obstruct person/s duly authorised by the Bank on this behalf from entering said premises in order to inspect the Canteen and/or fittings therein and for carrying out any repairs, additions or alterations. 31. The agreement shall stand terminated in the case of Contractor s insolvency. In the event of death of Contractor, lawful successor/legal heir shall, subject to Bank s approval be entitled to the rights of the Contractor under this agreement and also be subject to the same liabilities as the contractor is subject to, under this agreement.

The Bank is entitled to terminate the contract before its expiry by giving fortnight s notice in writing in the event of the Contractor committing breach of any of the terms and conditions stipulated in it or if the quality of the food served in the Canteen or the management of the Canteen is considered to be unsatisfactory by the Bank based on the advice of Canteen Committee and the security deposit will have to be forfeited. 33. The Bank is also entitled to terminate the contract before its expiry for any other reason, however, subject to the condition that the Bank should give at least one month notice before such termination. In case of such termination, Contractor shall not be entitled to any compensation by the Bank. During the currency of the contract, no fresh demand will be made by the Contractor on the Bank. The Contractor is also entitled to terminate the Contract before its expiry by giving two months notice in writing to the Bank. 34. On expiry or earlier termination of this agreement, the contractor including his servants and agent shall vacate the premises, provided however, he shall be entitled to remove only the furniture, fittings, crockery, cutlery, utensils and other articles, belonging to the Contractor without in any way causing any damage to the said premises and the Bank s property thereon. 35. On expiry or earlier termination of the agreement, the contractor shall give to the bank, licenses and permits, if any, then in force, relating to the running of the Canteen and give all assistance in his power for getting the said licenses and permits transferred to the bank or its nominee and in the event of the said licenses and permits being so transferred, the Bank shall pay to the contractor fair proportion of the cost thereof for the un-expired period in the said licenses and permits. 36. The contractor shall provide subsidized break fast and lunch menu for our bank staff members at the rate agreed upon. The breakfast menu will consist of unlimited quantity of the prepared item (as mentioned in the Menu) and coffee/tea. Lunch for this purpose excludes one vegetable dish, green salad and sweet. 37. Cost of camphor light material for chef-in-dishes and the paper napkins to be provided, will have to be borne by the contractor. 38. Contractor will be depositing a sum of Rs. 25,000/- with Union Bank Of India, Staff Training Center, Gurgaon for minimum period of two years. Bank s lien will be marked on the deposit and the same will be held with the bank during the currency of the contract period. 39. Somph and sugar are to be kept at the dining hall as mouth fresheners during lunch and dinner time.

Page No. 9 40. The contractor should not undertake any Tiffin /Lunch services outside STC without the permission of Centre- In -Charge. However, on the specific instructions from the Centre-In-Charge, this service has to be extended by him which is purely case to case basis. 41. Daily menu for breakfast/lunch and dinner are to be displayed in the white board provided for. 42. No family members / relatives of Contractor nor his workers are allowed to stay in canteen area during day or night time. 43. The responsibility of cleaning of canteen area/ its bathroom and toilet/kitchen/dining hall shall be on contractor at his own cost. 44. The service at the canteen and quality of items of menu is reviewed at least once in a quarter by the canteen committee. 45. The contractor shall strictly adhere to: 1. Child Labor Abolition Act 2.
