YouniqueIndependentPresenterAgreementTermsandConditions 1.IunderstandthatasaYouniquePresenter: a. I have the right to offer for sale Younique products and services in accordance with these TermsandConditions. b.ihavetherighttoenrollotherpersonstobecomepresentersforyounique. c. I will comply with all federal, state, county, and municipal laws, ordinances, rules, and regulationsandshallmakeallreportsandremitallwithholdingsorotherdeductionsasmaybe required by any federal, state, county, or municipal law, ordinance, rule, or regulation. Amendments shall become effective 30 days after publication, but amended policies shall not apply retroactively to conduct that occurred prior to the effective date of the amendment. The continuation of my Younique business or my acceptance of bonusesorcommissionsaftertheeffectivedateofanyamendmentshallconstitutemyacceptanceof anyandallamendments. 5. The term of this agreement is one year (subject to prior cancellation pursuant to the Policies and Procedures)andthereaftersubjecttorenewaluponagreementbytheparties.Ifeitherparty(Iasthe 2
PresenterorYounique) elects nottorenewthe Agreement,orifitiscanceledorterminatedforany reason,iunderstandthatiwillpermanentlyloseallrightsasapresenter.ishallnotbeeligibletosell YouniqueproductsandservicesnorshallIbeeligibletoreceivecommissions,bonuses,orotherincome resulting from the activities of my former Downline sales organization. In the event of cancellation, termination,ornonrenewal,iwaiveallrightsihave,includingbutnotlimitedtopropertyrights,to myformerdownlineorganization,andtoanybonuses,commissions,orotherremunerationderived through the sales and other activities of my former Downline Organization. Younique reserves the righttoterminateallpresenteragreementsupon30days noticeifthecompanyelectsto:(1)cease businessoperations;(2)dissolveasabusinessentity;or(3)terminatedistributionofitsproductsand/or services via direct selling channels. Presenter may cancel this Agreement at any time, and for any reason,uponwrittennoticetoyouniqueatitsprincipalbusinessaddress. 6. I may not assign any rights or delegate my duties under the Agreement without the prior written consent of Younique. Any attempt to transfer or assign the Agreement without the express written consent of Younique renders the Agreement voidable at the option of Younique and may result in terminationofmybusiness. 7.IunderstandthatifIfailtocomplywiththetermsoftheAgreement,Youniquemay,atitsdiscretion, imposeuponmedisciplinaryactionassetforthinthepoliciesandprocedures.ifiaminbreach,default, orviolationoftheagreementattermination,ishallnotbeentitledtoreceiveanyfurtherbonusesor commissions,whetherornotthesalesforsuchbonusesorcommissionshavebeencompleted. IagreethatYouniquemaydeduct,withhold,setJoff,orchargetoanyformofpaymentIhavepreviously authorized,anyamountsioweoramindebtedtoyounique. 8.Younique,itsdirectors,officers,shareholders,employees,assigns,andagents(collectivelyreferredto as "affiliates"), shall not be liable for, and I release Younique and its affiliates from, all claims for consequential and exemplary damages for any claim or cause of action relating to the Agreement. I furtheragreetoreleaseandholdharmlessyouniqueanditsaffiliatesfromallliabilityarisingfromor relatingtothepromotionoroperationofmyyouniquebusinessandanyactivitiesrelatedtoit(e.g.,the presentation of Younique products or Compensation and Marketing Plan, the operation of a motor vehicle,theleaseofmeetingortrainingfacilities,etc.),andagreetoindemnifyyouniqueforanyliability, damages,fines,penalties,orotherawardsarisingfromanyunauthorizedconductthatiundertakein operatingmybusiness. 9. The Agreement, in its current form and as amended by Younique at its discretion, constitutes the entire contract between Younique and myself. Any promises, representations, offers, or other communicationsnotexpresslysetforthintheagreementareofnoforceoreffect. 10. Any waiver by Younique of any breach of the Agreement must be in writing and signed by an authorizedofficerofyounique.waiverbyyounique ofanybreachoftheagreementbyme shallnot operateorbeconstruedasawaiverofanysubsequentbreach. 11. If any provision of the Agreement is held to be invalid or unenforceable, such provision shall be reformedonlytotheextentnecessarytomakeitenforceable,andthebalanceoftheagreementwill remaininfullforceandeffect. 3
12.ThisAgreementwillbegovernedbyandconstruedinaccordancewiththelawsoftheStateofUtah, without regard to principles or conflicts of laws. In the event of a dispute between a Presenter and YouniquearisingfromorrelatingtotheAgreement,ortherightsandobligationsofeitherparty,the partiesshallattemptingoodfaithtoresolvethedisputethroughnonbindingmediationasmorefully describedinthepoliciesandprocedures.youniqueshallnotbeobligatedtoengageinmediationasa prerequisitetodisciplinaryactionagainstapresenter.ifthepartiesareunsuccessfulinresolvingtheir disputethroughmediation,thedisputeshallbesettledtotallyandfinallybyarbitrationasmorefully describedinthepoliciesandprocedures. 13. Notwithstanding the foregoing, either party may bring an action before the courts seeking a restrainingorder,temporaryorpermanentinjunction,orotherequitablerelieftoprotectitsintellectual property rights, including but not limited to customer and/or Presenter lists as well as other trade secrets, trademarks, trade names, patents, and copyrights. The parties may also seek judicial enforcementofanarbitrationaward.inallactionsbeforethecourts,thepartiesconsenttoexclusive jurisdiction and venue before the U.S. District Court for the District of Utah, or state court in Utah County,StateofUtah. 14.LouisianaResidentsOnly:Notwithstandingtheforegoing,Louisianaresidentsmaybringanaction againstthecompanywithjurisdictionandvenueasprovidedbylouisianalaw. 15.MontanaResidentsOnly:ShouldaMontanaresidentcancelthePresenterAgreementwithin15days fromthedateofenrollment,youniquewillrefund100%ofthepurchasepriceforthestarterkit. 16.IfaPresenterwishestobringanactionagainstYouniqueforanyactoromissionrelatingtoorarising fromtheagreement,suchactionmustbebroughtwithinthelaterof:(a)oneyearfromthedateofthe allegedconductgivingrisetothecauseofaction,or(b)theshortesttimepermissibleunderstatelaw foruspresenters(andapplicablenonjuslawfornonjuspresenters).failuretobringsuchactionwithin suchtimeshallbarallclaimsagainstyouniqueforsuchactoromission.presenterwaivesallclaimsthat anyotherstatutesoflimitationsapply. 17.IauthorizeYouniquetousemyname,photograph,personalstory,and/orlikenessinadvertisingor promotionalmaterialsandwaiveallclaimsforremunerationforsuchuse. 18.IauthorizeYouniquetopublishmyperformanceonleaderboardsthatpublishthenameandresults for top performing Independent Presenters. Such authorization includes publication of my personal retailsales,recruitingresults,andvariousreflectionsofteam(orcircle)sales.ialsoauthorizeyounique toreferencemeandmyapproximategeographiclocationonyounique sonlinepresentermap.note thatpresentermayoptoutofthe leaderboard and/or PresenterMap authorizationbysubmitting writtennoticetoyouniquesupportatwww.youniqueproducts.com/business/support. 19.IunderstandthatforPresentersdomiciledinaninternationalmarketthatiscurrentlyservedona notforresale basis,thisagreementmaybemateriallychangedorreplacedif/when such marketis openedforresaleorif/whenyounique sstatusislegallychangedinrelationtosuchmarket. 20.AfaxedcopyoftheAgreementshallbetreatedasanoriginalinallrespects. 4

BysigningtheAgreement,youarerequiredtocomplywithallofitsTermsandConditions,withthese PoliciesandProcedures,andwithallfederal,state,andlocallawsgoverningyourYouniquebusinessand conduct.ifyouhaveanyquestionsregardinganypolicyorrule,donothesitatetoaskyoursponsoror contactyouniquesupportatwww.youniqueproducts.com/business/support 2.3'+'How'Are'Policy'Changes'Handled?' YouniquereservestherighttoupdateorchangetheAgreementand/oritsRoyaltyPlan,includingthese PoliciesandProcedures,atitssoleandabsolutediscretion.However,ifwemakechangesorrevisions, youwillbenotifiedthroughyourpresenter sbackoffice. 10
By electronically accepting this Agreement, continuing as an Independent Younique Presenter, or by acceptingfuturebonusesorcommissions,yousignalyour acceptanceofanychangesthataremade. Amendments shall be effective thirty (30) days after notice that the Agreement has been modified. Amendmentsshallnotapplyretroactivelytoconductthatoccurredpriortotheeffectivedateofthe amendment. 2.4'+'Business'Delays'Beyond'Younique s'control' Younique is not responsible for business delays due to circumstances beyond its reasonable control, such as labor strikes and difficulties, riots, war, fire, natural disasters, death, curtailment of a party's sourceofsupply,orgovernmentdecreesororders. 2.5'+'Handling'Invalid'or'Unenforceable'Policies' IfanypartoftheAgreementisheldtobeinvalidorunenforceable,onlythatinvalidorunenforceable portionmayberemoved,andtheremainderoftheagreementshallremainintactandinforce. 2.6'+'Younique s'right'to'enforce'compliance' YouniquenevergivesupitsrighttoinsistoncompliancewiththeAgreementincludingthePoliciesand Procedures.EvenifYouniquechooses,forwhateverreason,nottoenforcecompliance,thisdoesnot make any portion of the Agreement including the Policies and Procedures invalid, and it does not constituteawaiverofyounique srighttoenforcecompliancewithanytermoftheagreement.awaiver byyouniqueisonlyvalidifdeliveredinwritingbyanauthorizedrepresentativeofthecompanyand appliesonlytothespecificinstanceoroccurrenceathand.thiswrittenwaiverdoesnotlimitorimpair Younique srighttoinsistonfuturecompliancewiththepresenterrequestingawaiver,nordoesitaffect orimpactinanywaythecompliancerequiredofotherpresenters,eveninsimilarcases. SECTION3*BECOMINGAPRESENTER 3.1'+'Requirements'to'Become'a'Presenter' TobecomeaYouniquePresenteryoumust: a)beoftheageofmajorityinyourstateorcountryofresidence; b)resideinacountryorterritorytowhichyouniqueisformallypermittingpresenterenrollment persection6.2.6below; c)haveavalidsocialsecurityortaxidnumberforyourcountryofresidence; d)purchaseayouniquestarterkit(notapplicableinnorthdakota); e)readandagreetoabidebythecompany'sstatementofpoliciesandprocedures;and 11

The applicant must completetheindependentyouniquepresenteragreementandpersonallyagreetoalltermsandrelated documents.whenyousponsoranewpresenter,youmustnotfillout,sign,oraccepttheagreementon behalfoftheapplicant.seesection7.4formoreinformationonsponsoring.youniquereservestheright torejectanynewpresenterapplicationandagreement. 3.1.1'+'Country'of'Residence' YoumustbealegalresidentofacountrytowhichYouniqueisformallypermittingPresenterenrollment (persection6.2.6below),orifyouarenotalegalresidentyoumustbelegallyauthorizedtoworkin yourcountryofresidenceinordertoenrollasayouniquepresenter.ifitisdiscoveredthatanindividual hasprovidedyouniquewithfalseresidencyinformationorfalsetaxidinformationduringenrollment, theindividual syouniqueaccountwillbeclosedandtheindividualwillloseanycommissionsnotalready paid out. Younique communication, in any form, whether from a Presenter or the corporate office, shouldnotencourageindividualswhoarenotlegallyauthorizedtoworkintheirrespectivecountriesto completetheenrollmentprocess. 3.1.2' 'Starter'Kits'and'Product'Purchases' ExceptforthepurchaseofaYouniqueStarterKit,nopersonisrequiredtopurchaseYouniqueproducts, servicesorsalesaids,ortopayanychargeorfeetobecomeapresenter.inordertofamiliarizenew Presenters with Younique products, services, sales techniques, sales aids, and other matters, the CompanyrequiresthattheypurchaseaStarterKit.YouniquewillrepurchaseresalableStarterKitsfrom anypresenterwhoterminateshisorherpresenteragreementpursuanttothetermsofsection9.4. 3.2'+'Can'a'Business'Enroll'as'a'Presenter?' CertaintypesofcorporationsorbusinessescanapplytobeaYouniquePresenter. If the business enrolls online, the Presenter Entity must contact Younique compliance at compliance@youniqueproducts.com to obtain required documentation and must execute all such requireddocumentationwithin30daysoftheonlineenrollment.thecompliancedepartmentcanhelp youwiththisprocess,whichrequiresthatthepresentermustfirstenrollwithanindividualpresenter account and transfer their account to their business name and provide the business taxpayer identification number (typically EIN for USJbased businesses). Failure to complete execution of such documentationwithin30dayswillresultinterminationofthepresenteragreement. AnypersonorentitywithalegalorequitableinterestintheIndependentYouniquePresenterbusiness agreestoallofthetermsoftheagreementandthesepoliciesandprocedures.ifsuchpersonorentity violatesorisoutofcompliancewiththetermsoftheagreement,thentheentireindependentyounique Presenterbusinessisoutofcomplianceandsubjecttodisciplinaryactionasasingleentity. IfyoujoinedYouniqueasanindividual,butwishtochangeyourstatustoabusinessentity,youmaydo sobyfollowingthestepsoutlinedinsection5.2.1. 12
3.3' 'Identification. During the application process, you must provide your taxpayer identification number (or similar as variesbycountryofresidence)toyounique.foruspresenters,yourlegalnameandsocialsecurity numbermustbeenteredexactlyastheyappearonyoursocialsecuritycard.youniqueisrequiredby lawtoprovidethisinformationtotheirsfor1099reportingpurposes.failuretocomplymayresultin suspensionorcancellationofyouryouniqueaccount. Once your application is submitted and accepted, Younique will assign you a unique identification number, known as a Presenter ID Number. This number will be used to place orders and track commissionsandbonuses.theseuniquenumbersshouldnotbesharedwithothers. 3.4'+'Presenter'Benefits' WhenyourPresenterApplicationandAgreementhasbeenacceptedbyYounique,youhavetherightto: a)sellyouniqueproducts b)participateintheyouniqueroyaltyplan c)recruitandsponsorotherpresenters(buildyourdownline) d)receiveyouniqueliteratureandothercommunications e)accessyouniquejsponsoredsupport,training,motivational,andrecognitionfunctions f)participateinyouniquejsponsoredpromotionalandincentivecontestsandprograms g)receiveaccesstoanonlinepresenter sbackofficethatfacilitatesandrecordsyourbusiness interactionswithyounique 3.5'+'Renewal'of'Your'Younique'Business' WhenyoujoinYounique,thePresenterAgreementisvalidforoneyearfromthedateitisacceptedby Younique.Each year thereafter the Agreement is automatically renewed for another onejyear term, unlesseitheryouoryouniqueprovidetheotherpartywith30dayswrittennoticeoftheirintentionnot torenewtheagreement. SECTION4*PRESENTERRELATIONSHIPWITHYOUNIQUE 4.1'+'Independent'Contractor'Status' WhenyoujoinYouniqueasaPresenteryouareanindependentcontractor.Youarenotpurchasinga franchise or a business opportunity. The Agreement between you and Younique does not create an 13
employer/employeerelationship,partnership,orjointventure.asaresult,youaresolelyresponsiblefor payingalllocal,state,andfederaltaxesowedfromanycompensationearned.additionally,younique willnottreatyouasanemployeeforfederaltaxpurposes.thismeansthatyouniquewillnotwithhold FICA or taxes of any kind from your bonuses and commissions. As an independent contractor you completelycontrolthemeansbywhichyouoperateyouryouniquebusiness. You will establish your own goals, hours, and methods of sale JJ subject to compliance with the Agreementandapplicablelaw.Youwilluseyourowntoolssuchasyourowncomputer,phone,andany othertechnologiesyouchoosetouse. You are solely responsible for paying all expenses incurred in developing your business and are not authorized to incur any debt or obligation on behalf of or in the name of Younique or to open any checkingaccountonbehalfof,for,orinthenameofyounique. Youmaynotclaimtohaveauniqueadvantage,relationshipwithoraccesstoCompanyexecutivesor employeesthatallotherpresentersdonothave. AsanIndependentpresenter,youmaynotrelyontheCompany,oranyofitsdivisions,toprovidelegal, tax, financial or other professional advice.any information provided by the Company, or any of its divisions,incompanyjsponsoredtrainingseminarsorinsupportcenterejmailresponsesorinanyother contextshouldbeindependentlyverifiedbyyourownlegal,tax,financialorotherprofessional. 4.2'+'Non+Solicitation'of'Younique'Employees' Presentersareexpresslyprohibited,withoutYounique spriorwrittenpermission,fromsoliciting,hiring, offering employment or compensation of any kind, or otherwise using any services of any Younique employeeoutsideofthescopeofhis/heremploymentduringthetermofsaidemployment,orfora periodofthreeyearsaftertheemployeeleavesyounique. 4.3'+'No'Territory'Restrictions' Therearenoexclusiveterritoriesgrantedtoanyoneforselling,recruiting,ormarketing. 4.4'+'Income'Taxes' Presenters are solely responsible for paying all taxes (local, state/provincial, federal/national) on any income generated as an Independent Younique Presenter. If your business is tax exempt, you must provideyourpersonaltaxidentificationnumbertoyounique. As required by law, relevant to US Presenters, Younique will provide an IRS Form 1099 MISC (NonJ EmployeeCompensation)earningsstatementtoeachU.S.residentPresenterwho a)hadearningsof $600ormoreinthepreviouscalendaryear;orb)madepurchasesfromYouniqueduringtheprevious calendaryearinexcessof$5,000. 14
4.5'+'Timely'Reporting'of'Errors' If you believe errors have been made regarding any monetary payment or obligation, commissions, bonuses, charges, or the placement of Presenters in your Downline Organization, you must notify Youniqueinwritingwithin60daysofwhenthepurportederrororincidentoccurred.Failuretoprovide noticewithinsuch60dayperiodshallconstitutewaiverofallclaims. 4.6'+'Limitation'of'Liability' BysigningthePresenterAgreement,youagreetorelease,discharge,andholdharmlessYouniqueand anyonedirectlyaffiliatedwithyounique(employees,boardofdirectors,officers,etc.)fromanylossesor damages,includingcostsandfees,incurredorsufferedbyyouasaresultof: a)yourbreachofthepresenteragreement(includingthesepoliciesandprocedures); b)theimproperpromotionoroperationofyouryouniquebusinessandanyrelatedactivities(e.g.,the presentation of Younique s products or Royalty Plan, the operation of a motor vehicle, the lease of meetingortrainingfacilities,etc.); c)anyincorrectdataorinformationprovidedbyapresentertoyounique;or d)yourfailuretoprovideanyinformationordatanecessaryforyouniquetooperateitsbusiness. 4.7'+'Requests'for'Records' Presenterrequestsforcopiesofinvoices,applications,Downlinereports,orotherrecordswillrequirea feeof$1.00perpagepercopy. 4.8'+'Roll+Up'of'Downline'Organization' When a vacancy occurs in a Downline Organization due to the termination of a Younique business, everyoneshiftsuponelevel;sothefirstleveloftheterminatedpresenternowbecomesthefirstlevel oftheterminatedpresenter'ssponsor.forexample,ifasponsorsb,andbsponsorsc1,c2,andc3,ifb terminatesherbusiness,c1,c2,andc3will rolljup toaandbecomepartofa sfirstlevel. 4.9'+'Sale,'Transfer,'or'Assignment'of'a'Younique'Business' AlthoughyourYouniquebusinessisprivatelyownedandindependentlyoperated,thesale,transfer,or assignmentofitissubjecttocertainlimitations.ifyouwishtosellyouryouniquebusiness,youmust receive written authorization from the Company. In order to sell, transfer, or assign a Younique business,thefollowingcriteriamustbemet: a) Protection of the existing line of Sponsorship must always be maintained so that the Younique businesscontinuestobeoperatedinthatlineofsponsorship. 15
b)thebuyerortransfereemustbe(ormustbecome)aqualifiedyouniquepresenter.ifthebuyerisa currentyouniquepresenter,heorshemustterminatehisorheryouniquebusinesssimultaneouslywith thepurchase,transfer,assignment,oracquisitionofanyinterestinthenewyouniquebusiness. c) Before the sale, transfer, or assignment can be finalized and approved by Younique, any debt obligationsthesellingpresenterhaswithyouniquemustbesatisfied. d) The selling Presenter must be in good standing and not in violation of any of the terms of the Agreementinordertobeeligibletosell,transfer,orassignaYouniquebusiness. e) Both the Seller and the Buyer must contact Younique Support online at www.youniqueproducts.com/business/support and execute all forms required by Younique. Account transfersareprocessedonceeachmonth,andallmaterialsmustbereceivedbythefifth(5th)ofthe month in order to transfer the account that month. Materials received after the fifth (5th) will be processedthesubsequentmonth.paymentswillremaininthenameofthepresenteruntilthetransfer isprocessed. PriortosellingyourYouniquebusiness,youmustnotifyYouniqueSupportofyourintenttosell.Upon completeexecutionofthepurchaseandsaleagreement,youmustsubmitacopyofittoyouniquefor review. Younique reserves the right to request additional documentation that may be necessary to analyzethetransactionbetweenthebuyerandseller.youniquewill,atitssoleandabsolutediscretion, approveordenythesale,transfer,orassignmentwithinthirty(30)daysofitsreceiptofallnecessary documentsfromtheparties.ifyoufailtoobtainyounique sapprovalforthetransaction,thetransfer shallbevoidableatyounique soption. ThepurchaseroftheexistingYouniquebusinesswillassumetheobligationsandpositionoftheselling Presenter. Additionally, if you sell your Younique business you will not be eligible to rejapply as a YouniquePresenterforatleastsixfullmonths,orone(1)yearifsuchsellingPresenter spreviousrank wasgreenelitepresenterorhigher,afterthedateofthesale. 4.10'+'Separation'of'a'Younique'Business'due'to'Divorce'or'Business'Break+Up'' WhenaYounique businessisjointlyownedandoperatedbyahusbandjwifepartnership,oracross a business entity, there must be a way to equitably separate that Younique business in the event of a divorceorthedissolutionofthebusinessentity.thisseparationmustbehandledinawaythatdoesnot adversely affect the interests and income of other businesses up or down the line of Sponsorship. If YouniquedeterminesthattheseparatingpartiesfailtoprovideforthebestinterestsofotherPresenters and the Company, Younique will terminate the Presenter Agreement with such Presenter partnership/entityonaninvoluntarybasis. DuringthependencyofadivorceorbusinessbreakJup,youmustadoptoneofthefollowingmethodsof operation: a)oneofthepartiesmay,withconsentoftheother(s),operatetheyouniquebusinesspursuanttoan assignmentinwritingwherebytherelinquishingspouse,shareholders,partners,ortrusteesauthorize YouniquetodealdirectlyandsolelywiththeotherspouseornonJrelinquishingshareholder,partner,or trustee. 16
b) The parties may continue to operate the Younique business jointly on a businessjasjusual basis, whereuponallcompensationpaidbyyouniquewillbepaidinthejointnamesofthepresentersorinthe nameoftheentitytobedividedasthepartiesmayindependentlyagreebetweenthemselves.thisis thedefaultprocedureifthepartiesdonotagreeontheformatsetforthinsubjsectiona)above. Under no circumstances will the Downline Organization of divorcing spouses or a dissolving business entitybedivided.similarly,undernocircumstanceswillyouniquesplitcommissionandbonuschecks between divorcing spouses or members of dissolving entities. Younique will recognize only one DownlineOrganizationandwillissueonlyonecommissioncheckperYouniquebusinesspercommission cycle. In theeventthatyouareunabletoresolveadisputeoverthedispositionofcommissionsand ownershipofthebusiness,yourpresenteragreementwillbeinvoluntarilycancelled. OnceaspouseorformerbusinessaffiliatehascompletelygivenuptheirrightsintheiroriginalYounique business,theyarefreetoenrollunderanysponsoroftheirchoosinganddeveloptheirnewbusinessthe sameasanyothernewpresenter.insuchacase,theformerspouseorbusinessaffiliateshallhaveno rightstoanypresentersintheirformerdownlineorganization. ' 4.11'+'Succession'Due'to'Death'or'Incapacitation' Intheeventofyourdeathorincapacitation,yourYouniquebusinessmaybepassedtoyourheirs.For this to occur, the necessary legal documentation must be submitted to www.youniqueproducts.com/business/support.ifyouwishtobequeathyouryouniquebusiness,please work with an attorney to prepare a will (or other testamentary instrument). If you transfer your Younique business in this manner, your beneficiary acquires the right to collect all bonuses and commissionsfromyourdownlineorganization,providedcertainqualificationsaremet.thesuccessor(s) must: a)executeanewpresenteragreement; b)complywithtermsandprovisionsoftheagreement;and c)meetallofthequalificationsforthedeceasedpresenter'srank. Bonuses and commissions of a Younique business transferred in this manner will be paid in a single installment. If the business is bequeathed to joint devisees, they must form a business entity and acquireafederaltaxpayeridentificationnumber(tin).youniquewillissueallbonusandcommission checksandoneirsform1099tothebusinessentity. 4.11.1'+'Transfer'Upon'Death'of'a'Presenter' In addition to the requirements in Section 4.11, to affect a testamentary transfer of a Younique business,thesuccessormustprovidethefollowingtoyounique: a)anoriginaldeathcertificate; b)certifiedletterstestamentaryoraletterofadministrationappointinganexecutor;and 17
c)writteninstructionsfromtheauthorizedexecutortoyouniquespecifyingtowhomthebusinessand incomeshouldbetransferred. 4.11.2'+'Transfer'Upon'Incapacity'of'a'Presenter' InadditiontotherequirementsinSection4.11,toeffectatransferofaYouniquebusinessbecauseof incapacity,thesuccessormustprovidethefollowingtoyounique: a)anotarizedorcertifiedcopyofanappointmentastrusteeorsimilar;and b)anotarizedorcertifiedcopyofthetrustdocumentorotherdocumentationestablishingthetrustee s righttoadministerthesubjectyouniquebusiness. 4.12' 'Adjustments'to'Bonus'and'Commission'Payments' 4.12.1' 'Adjustments'for'Returned'Products' Presentersreceivebonusesandcommissionsbasedontheactualsalesofproductstoendconsumers. WhenaproductisreturnedtoYouniqueforarefund,thebonusesandcommissionsattributabletothe returnedorrepurchasedproductwillbedeductedfrombothpaymentstothepresenterandtoupline Presenterswhoreceivedbonusesorcommissionsonthesaleoftherefundedproduct,inthemonthin which the refund is given, and continuing every pay period thereafter until the bonuses and commissions are recovered. In addition, the bonuses and commissions attributable to the refunded productmaybedeductedfromanyrefundsorcreditsissuedtothepresenterwhoreceivedthebonuses orcommissionsonthesalesoftherefundedproductorcancelledservice. 4.12.2' 'Hard'Copy'Bonus'and'Commission'Checks' Bonuses and commissions are paid via direct deposit into Presenters bank accounts or via direct paymentontoacompanyjprovideddebitcard.thereisnochargefordirectdeposits.apresentermay requestpaymentbyhardjcopycheck.inthatevent,thecompanywilldeducta$20processingfeefrom eachhardjcopycheckissuedtothepresenter. 4.12.3' 'Tax'Withholdings' IfaPresenterfailstoprovideataxpayeridentificationnumbertoYouniqueorprovidesanincorrector invalidtaxpayeridentificationnumber,youniquewilldeductthenecessarybackjupwithholdingsfrom the Presenter s bonus and commission checks as required by law.in that event, the Presenter s Agreementwillbeterminated. 4.13'Presenter'Grants'Younique'Permission'to'Publish'Certain'Information'Online'' EachPresentergrantsYouniquepermissiontopublishsuchPresenter sperformanceononline leader boards thatpublishthenameandresultsfortopperformingindependentpresenters.suchpermission 18
includespublicationofyourpersonalretailsales,recruitingresults,andvariousreflectionsofyourteam (includingcircle)sales. EachPresenteralsoauthorizesYouniquetoreferencesuchPresenterbyname,photograph,andother informationincludingapproximategeographiclocation,onyounique sonlinepresentermap. Notethatyoumayoptoutofthis leaderboard authorizationand/or PresenterMap authorization bysubmittingwrittennoticetoyouniquesupportatwww.youniqueproducts.com/business/support. SECTION5*RESPONSIBILITIESOFPRESENTERS 5.1'+'Change'of'Address'or'Telephone' Toavoidanydisruptioninyourbusiness,pleasenotifyYouniqueatleasttwoweekspriortoyourchange ofaddressand/ortelephonenumber.youcaneasilymakethesechangesontheprofilepagewithinyour Presenter Back Office site. ChangeofCountryformsmustbereceivedbyNovember1oftheprioryearforyournewenrollment agreementtobeactivatedinjanuary.underthisoption,youwillmaintainyourcurrentdownline. 5.2'+'Changes'to'Your'Younique'Business' IftherearechangestoinformationinyourPresenterApplication,PresenterAgreement,orProfile,itis yourresponsibilitytoupdatetheinformationonyourpresenterbackofficesiteortonotifyyouniqueof thechanges. 5.2.1'+'Changing'From'an'Individual'to'Business'Entity' You may modify your existing Presenter Agreement (e.g. change the form of ownership from an individualproprietorshiptoabusinessentityownedbythepresenter,includingrelatedtaxidentification number changes) by submitting a written request to www.youniqueproducts.com/business/support, andthereaftercompletingallbusinessentityregistrationformsandrelateddocumentation(includinga newpresenteragreementinthenameoftheentity)providedbyyouniquesupport. 19
Changesfromanindividualtobusinessentityshallbeprocessedonlyonceperyear.Allchangesmustbe submittedtoyouniquesupportbynovember30tobecomeeffectiveonjanuary1ofthefollowingyear. AlsoseeSection3.2,whichwillapplytoanyregisteredbusinessentity. 5.3'+'Leadership'and'Continuing'Development'Obligations' When you sponsor another Presenter to enroll with Younique, you must take a proactive role in providingassistanceandtrainingtosuchpresenters.thisincludesensuringthatthoseinyourdownline (1)areawareofYouniquePoliciesandProcedures;and(2)complywiththeAgreement,includingthese PoliciesandProcedures.Youmusthaveregular,ongoingcontactwithPresentersinyourFirstLeveland Downlinetofacilitatethisprocess.Examplesofsuchcontactandcommunicationmayinclude,butare notlimitedto:newsletters,writtencorrespondence,personalmeetings,telephonecontact,voicemail, electronic mail, and the accompaniment of Presenters you sponsored to Younique meetings, team meetings,andotherfunctions. Further, if you become aware, either through your interactions with your sponsored Presenters, throughsomeoneelsecommunicatingwithyou,orfromyounique,thatapresenterinyourdownlineis violating Policies and Procedures either willfully or due to ignorance, you shall make every effort to educate,inform,andbringthembackintocompliance. The training thatyouoffertoyourdownline must include only presenters who are currently in your sponsorteam.thismeansyouarerequiredtorequestfromanyandallattendeeswhocometoyour trainingeventtoverifytoyouthattheyareeither1)apartofyoursponsorteamor2)havenotalready metwithanotherpresenterwhoisnotcurrentlyinyourteam.iftheattendeecametothemeetingat the request of your team member (but is not yet a member) feel free to assist in their training and hopeful admittances into your organization. If someone from another team comes to your training event,youarerequiredtoaskthemtoseektrainingfromtheirsponsorupline.iftheydonotknowwho thatis,thecompanywouldbehappytoassistthemandidentifythatpersonforthem. Asyouprogressthroughvariouslevelsofleadershipandbecomemoreskilledandexperiencedinsales techniques,productknowledge,andyourunderstandingofyounique,youmaybecalledupontoshare thisknowledgewithnewerpresenters. If,intheopinionofYounique,youarefailingtotrain,recognize,informand/ormotivateanyofyour FirstLevelPresenters,oryoufailtocomplywithanyapplicablePolicy,thenYouniquemay,atitssole discretion,opttoremoveyourdownline, reduce the leadership bonus, and/or cancel your Presenter Agreement. 5.4'+'Document'Training'of'Your'First'Level' Upon request, you must be able to provide documented evidence to Younique of your ongoing fulfillmentoftheresponsibilitiesofasponsorasoutlinedinsection5.3.failuretodosomayresultin disciplinaryaction. 5.5'+'Providing'Documentation'to'Applicants' 20
WhenyousponsoranewPresenter,youmustensuretheyhaveaccesstoandhavereviewedthelatest version of the Policies and Procedures and the Royalty Plan before the new Presenter signs the PresenterAgreementorsignsuponline.Thecurrentversionsofthesedocumentsarealwaysavailable forreviewthroughyourpresenterbackoffice.inaddition,youmayrequestcopiesoftheroyaltyplan andpoliciesandproceduresfromyouniquesupport. 5.6'+'Reporting'Policy'Violations' If you witness or observe a Policy violation by another Presenter, you are obligated to report the violation to compliance@youniqueproducts.com. Please provide sufficient detail (situation, violation, dates,location,personsinvolved,screenshotsorotherevidencesoftheviolationifavailable,etc.)to allowyouniquetoact.youniquewillmakeeveryefforttoensurethatyouridentity,andinformationyou sharethatmayrevealyouridentity,remainsconfidential. 5.7'+'Adherence'to'Laws'and'Ordinances' 5.7.1'+'Local'Ordinances' Many cities and counties have laws regulating certain homejbased businesses. In most cases, these ordinancesdonotapplytoyouniquepresenters;however,youmustobeythoselawsthatdoapply.ifa localgovernmentofficialinformsyouthatanordinanceappliestoyou,pleasebepoliteandcooperative and immediately send a copy of the ordinance to compliance@youniqueproducts.com. Younique will workwithyoutounderstandandresolvethesituation. 5.7.2'+'Compliance'with'Federal,'State,'and'Local'Laws' Presenters shall comply with all federal, state, and local laws and regulations in the conduct of their businesses.presentersmustobtainallrequiredlicensestoruntheirbusiness,andareresponsiblefor anyrelatedfees. 5.7.3' 'Receipts'and'Right'to'Cancel'Transactions' WhenmakingasaleofaYouniqueproducttoacustomerotherthanthroughyourPersonalWebsite, youmustprovidethecustomerwithtwocopiesofasalesreceiptatthetimeofthesaleandverbally informthecustomerofthethreejdayrightofcancellationprintedonthereceipt.thesereceiptsshould set forth the Customer Satisfaction Guarantee as well as any consumer protection rights afforded by federalandstatelaw.priortoprovidingthereceipt(twocopies)toyourcustomer,youmustensure thatthecancellationnoticesetforthonthereverseofthereceiptisproperlycompletedandcontains thefollowinginformation: a)thedateofthetransaction; b) The date (not earlier than the third business day, i.e., Monday through Saturday, excluding government holidays, following the date of the transaction) by which the buyer may give notice of cancellation(note:ifthesaletransactiontakesplaceinalaska,thedatemustbethefifthbusinessday 21

YouniquereservestherighttoverifyIndependentPresenters resaleofproductinventoryandinspect documentationofretailsales.therefore,youagreethatyouwillretainyourcopyofallsalesreceiptsfor aperiodofatleasttwoyearsandprovidethemtoyouniqueuponrequest. SECTION6*MARKETINGYOURYOUNIQUEBUSINESS 6.1'+'Adherence'to'the'Younique'Marketing'Plan' AsaYouniquePresenter,youareobligatedtomarketandpromoteyourYouniquebusinessonlyasset forthinofficialyouniqueliteratureandinamannerconsistentwithyouniquepoliciesandprocedures. You may not offer the Younique opportunity through, or in conjunction with, any other system, program, or offering. Nor shall you require or encourage other current or prospective Presenters to executeanyagreementsorcontractsotherthanofficialyouniqueagreementsandcontractsinorderto becomeayouniquepresenter.similarly,youagreethatyoushallnotrequireorencourageothercurrent or prospective Presenters to make any purchase from, or make payment to, any individual or other entity in order to participate in the Younique opportunity other than those purchases or payments identifiedasrecommendedorrequiredinofficialyouniqueliterature. YouarenotpermittedtoofferforsaleanyitemsthataresimilartoanyYouniqueproduct,suchasany competing,copycatorcounterfeitproducts. 6.2'+'General'(applying'to'both'online'and'offline'marketing'and'promotion)' ItisyourresponsibilitytosafeguardandpromotethegoodreputationoftheYouniquebrand;toensure that your marketing efforts contribute to the public interest; and to avoid discourteous, deceptive, misleading,unethical,orimmoralconductorpractices. 6.2.1'+'Trademarks'and'Copyrights' YoumaynotuseYouniquetradenames,trademarks,copyrightedmaterial,designs,images,orsymbols without prior written permission. Video or audio recordings of company events, training, and/or speechesarealsocopyrightedandmaynotbeutilizedordistributedwithoutwrittenpermission. The name Younique (and other names or logos as may be adopted by Younique) is a trademark of Younique, is of great value to the Company, and is supplied to you for your use only in an expressly authorizedmanner.useoftheyouniquenameoranyothernameorlogoadoptedbyyouniqueinany way not authorized by the Company in these Policies and Procedures or without specific written permissionfromthecompanyisprohibited. 22

Additionally, if you use the Younique name in a voicemail greeting, you must specify that you are a YouniqueIndependentPresentertoclearlydistinguishyourselffromYounique,LLC(andfromtheLLC s registeredbusinessnameofyouniqueproducts).youarealsonotpermittedtoansweryourphoneby improperlyusingthecompany sname(e.g.youmaynotanswer ThankyouforcallingYounique,Susan speaking. ) Therearenumerouswords,images,phrases,taglines,and/orideasdevelopedbyorcoinedwithinthe YouniquecommunityandusedbyPresenterstopromoteYounique,theirYouniquebusiness,ortheir Youniqueteam.NoPresentercanclaimtheexclusiverighttousesuchwords,images,phrases,taglines, orideasthatareintheyouniquecommunitydomainforusebyallyouniquepresenters.therefore,you arenotallowedtoclaimownershipofanysuchwords,images,phrases,taglines,names,orphrases,and agreethatyouwillnotseektoregisteranysuchwords,images,phrases,taglines,names,orphrasesasa trademark,copyright,ordomainname.intheeventthatyoudo,youagreetoassigntoyounique,llc any such trademark application or registration, or copyright or domain registration. In addition, YouniquemayelecttotakedisciplinaryactionagainstyouasprovidedinSection11.Byenteringintothe PresenterAgreementand/orrenewingyourPresenterAgreement,youherebyassignanyrightsthatyou mayhavetoorinanysuchintellectualpropertytoyouniqueandyoufurtheragreethatyouniquemay, at its discretion, seek to register any such words, images, phrases, taglines, names, or phrases as trademarks,copyrights,ordomainnames,asthecasemaybe. 6.2.2'+'Submission'of'Business'or'Other'Ideas'to'Younique' ByacceptingthesePoliciesandProcedures,youacknowledgeandagreethatYouniquehasandwillhave many products and projects in various stages of development and that the result may be similar or identicaltoyourownideasforproductsorprojectsandthatyouwaiveanyclaimtoanycompensation foranysuchidea,concept,product,etc.youagreeandacknowledgethatyouniquedoesnotpayfor yourideas. Youalsoagreethatifyousubmitanycreativesuggestions, ideas,notes,drawings,concepts,designs, originalartwork,orotherinformation(collectively,"submissions"),youassigntoyouniqueallofyour rights in and to them without compensation or payment of any kind. Unless otherwise specified in writing, this Submissions policy also applies to submissions made as part of any and all Younique contests, promotions, or incentives. All Submissions and all contest, promotion, or incentive submissions shall be the property of Younique. Younique shall not be obligated to keep them confidentialandmayuse ordisclose them for any purpose without further permission from you and withoutanypaymenttoyou. 23
